The following information summarizes changes made to Request for Proposal SP4705-21-R- 0001. All other terms and conditions remain the same.

Request for Proposal, Section B – Supplies or Services and Price Paragraphs K, L, and M, are amended to read as follows:

K. PRICING OF TASK ORDERS FOR AD HOC WORK

Individual task orders for Ad Hoc work will be issued as requirements occur. Task orders will specify work to be performed and will reflect the labor rates of the proposed labor category(ies) in effect when the task order is issued (in accordance with the provisions contained in Section B of the IDIQ contract and the awarded task orders), when the Contractor uses other than full-time Contractor employee(s). The Contractor shall perform all services in accordance with the task order performance work statement / specifications for the individual Ad Hoc project. All task orders will be firm-fixed price.

L. LABOR FOR AD HOC WORK

The Contractor has the discretion to utilize full-time employees, part-time employees, or temporary workers to perform Ad Hoc work. Because labor costs for Contractor employees employed full-time under the contract are considered to be fully paid under the routine services CLINs, when the Contractor utilizes full-time employees to perform Ad Hoc work during normal working hours, labor costs shall not be charged on price proposals for the Ad Hoc work. In the event the Contractor decides to utilize other than full-time Contractor personnel to perform the work during normal working hours, the Contractor may include labor costs in its price proposal for Ad Hoc work, and shall also provide the rationale for using other than full-time employees during normal working hours to perform the Ad Hoc work. The Contractor’s on-site (performed at Government facilities) fully burdened labor rates for the labor categories identified for Ad Hoc work shall apply for the base and option years of the resultant contract and shall be used by the Contractor as the ceiling labor rates when submitting price proposals in response to requests for quotation for task orders issued for Ad Hoc work. Contractors may propose at or below these labor rates, as each task order for Ad Hoc work will be negotiated on an individual basis.

Labor Rates. Labor rates for CLIN X004 will be fixed at time of IDIQ contract award for the Base Period and all Option Periods based on the rates offered in the successful awardee’s proposal. The rates that are set-forth in the IDIQ contract cannot be exceeded on any task order for Ad Hoc work. Price Analysis will be performed before contract award to determine proposed labor rates fair and reasonable. In accordance with FAR 15.404-1(b), Price Analysis will be performed to determine the fair and reasonable price for all task order CLINs.

Labor Categories. The following labor categories are anticipated to be the primary labor categories necessary to perform Ad Hoc work. Other labor categories may be added, if applicable and necessary to perform the scope of work under a specific Task Order.

M. MATERIAL COSTS FOR AD HOC WORK

Routine material purchases made for Ad Hoc work are considered passthrough costs with little to no risk to the Contractor. Therefore, there shall be no allowance for profit (fee) on materials for Ad Hoc work task orders. Additionally, routine material purchases made for Ad Hoc work require little to no managerial or technical effort. Therefore, only a reasonable allowance for General and Administrative (G&A) or Overhead (OH) may be included in the Contractor’s burden rate to recover the Contractor’s minimal costs to procure the needed materials. In the event a specific material purchase for Ad Hoc work requires significant managerial or technical effort, the Government may consider a reasonable profit on such material purchase.

Performance Work Statement, Section C2.27 – AD HOC / INDEFINITE DELIVERY

INDEFINITE QUANTITY WORK

Paragraph F, subparagraphs (2) and (3) are amended to read as follows:

(2) Labor Requirements. The Contractor may, at its discretion, utilize full-time employees, part-time employees, temporary workers, or any combination thereof, as appropriate to perform Ad Hoc work. Because labor costs for Contractor employees employed full-time under the contract are considered to be fully paid under the routine services CLINs, the Contractor shall not separately charge the Government for labor when using full-time Contractor employees to perform Ad Hoc work during normal working hours. In the event the Contractor utilizes other than full-time Contractor personnel to perform the work, the Contractor may charge labor costs in its price proposal for Ad Hoc work. When labor costs are included in the price proposal, the proposal shall include proposed prices for labor including the labor category, direct labor hours, Contractor’s labor rate (base on labor rates contained in the base contract), extended labor category price (labor rate multiplied by quantity); a cumulative total of labor costs; and an explanation as to the rational for using other than full-time employees during normal working hours to perform the work. Since labor rates on the base contract schedule are fully burdened rates and labor hours for the Ad Hoc work are covered by the applicable fixed burden (indirect cost) rate, no labor hours shall be included in the task order proposal for mark-ups, travel time, material handling, cleanup, awaiting escort, overhead, profit, supervision, delay allowance, clerical support or other similar pricing elements.

(3) Material Requirements. The price proposal for Ad Hoc/IDIQ work shall include a detailed bill of materials establishing the name/description, size, quantity, units, bare material price, Contractor's material fixed burden rate from the base contract schedule multiplied by bare material price, unit price (bare material price plus Contractor's burden), extended item price (unit price multiplied by quantity), and for the Task Order a cumulative total of proposed material prices.

(a) Routine material purchases made for Ad Hoc work are considered passthrough costs with little to no risk to the Contractor. Therefore, there shall be no allowance for profit (fee) on materials for Ad Hoc work task orders.

Additionally, normal, routine material purchases made for Ad Hoc work require little to no managerial or technical effort. Therefore, only a reasonable allowance for General and Administrative (G&A) or Overhead (OH) shall be included in the Contractor’s burden rate to recover the Contractor’s minimal costs to procure the needed materials. In the event a specific material purchase requires significant managerial or technical effort, the Government may consider a reasonable profit on such material purchase on a case-by-case basis, provided the Contractor details the additional effort required for the material purchase in its price proposal for Ad Hoc/IDIQ work.

(b) The Contractor shall submit at least three (3) vendor quotes with proposed prices for technically acceptable materials over $250. The Government will only pay the lowest priced- technically acceptable price for materials as determined by vendor's quotes or, should the Government locate a supplier having a lower price considering the factors of delivery time, availability and quality, the Government will pay that price rather than the lowest price submitted by the Contractor. The Contractor will be given the name of this supplier but has the option of using any supplier it wishes. However, the Contractor will be paid only the lowest approved price for technically acceptable materials. Material prices shall be reduced by all discounts and rebates for core value or salvage value that accrue to the Contractor. For Ad Hoc/IDIQ work, prices for pre-expended bin supplies and materials as defined in this PWS incidental to Ad Hoc/IDIQ work materials shall not be included in proposed prices for materials.
