A. GENERAL INFORMATION

This procurement is an unrestricted procurement.

PROPOSALS ARE DUE NO LATER THAN 12:00 P.M. (NOON), EST, TUESDAY, JUNE 1, 2021.

All offerors are required to register in the System for Award Management (SAM) database in accordance with FAR 52.204-7. LACK OF REGISTRATION IN THE SAM DATABASE WILL MAKE THE OFFEROR INELIGIBLE FOR AWARD. The website address for the SAM database is:

https://www.sam.gov. (Note: Registration in SAM is free.) It takes 12-15 business days for new SAM accounts to become active and the contractor to be registered. Contractors are required to be registered in SAM when submitting an offer or quotation and shall continue to be registered until time of award, during performance, and through final payment of any contract.

Per FAR 52.204-7(a) Registered in the System for Award Management (SAM) means that– (1) The Offeror has entered all mandatory information, including the unique entity identifier and the EFT indicator, if applicable, the Commercial and Government Entity (CAGE) code, as well as data required by the Federal Funding Accountability and Transparency Act of 2006 (see subpart 4.14) into SAM; (2) The offeror has completed the Core, Assertions, and Representations and Certifications, and Points of Contact sections of the registration in SAM; (3) The Government has validated all mandatory data fields, to include validation of the Taxpayer Identification Number (TIN) with the Internal Revenue Service (IRS).

The offeror will be required to provide consent for TIN validation to the Government as a part of the SAM registration process; and (4) The Government has marked the record “Active”. In addition, all offerors are required to complete and submit Annual Representations and Certification via the Online Representations and Certification Applications (ORCA) in accordance with FAR 52.204-8.

B. CONTRACT LINE ITEMS

Offeror shall insert in Section B, unit prices and amounts at the CLIN item level for the firm fixed price quantity (e.g., X001, X002, X003). The Performance Work Statement includes square footage of HQC buildings and a detailed description of the type of services to be performed on-site at the HQC building and off-site at the remote facilities. Please review this information when calculating your labor, materials, and supplies to be utilized to perform these maintenance services.

C. PAYMENT

Payment for Electrical Services for the routine services shall be made monthly in arrears for services performed during the preceding month. If services commence on a date other than the first of the month, the amount due for the first month's services shall be determined by dividing the fixed-price monthly rate by 30 and multiplying that figure by the number of days remaining in the month.

Payments for Ad Hoc work on Task Orders under line items 0004, 1004, 2004, 3004, 4004 shall be made in accordance with FAR 52.232-1 Payments.

D. SUBMISSION OF QUESTIONS

Questions regarding this RFP shall be submitted no later than 10:00 a.m. EST, MONDAY, MAY 10, 2021, via email to Regina Griffin at regina.griffin@dla.mil and Terri Reed at terri.reed@dla.mil.

Questions received after the stated deadline will not be accepted or addressed.

E. POST AWARD CONFERENCE

Within five (5) business days after contract award, prior to commencing work the Contractor will meet with the Contracting Officer and the Contracting Officer Representative (COR), at a time agreed to by the parties, to discuss and develop mutual understandings and business-related topics.

F. INDEFINITE DELIVERY/INDEFINITE QUANTITY CONTRACT

The Government anticipates issuing an Indefinite Delivery/Indefinite Quantity (IDIQ) contract for services. Multiple task orders may be issued under the IDIQ contract on a firm-fixed price basis. The contract will consist of one (1), 12-month base period of performance and four (4), 12-month option periods, for a total potential period of performance of five (5) years.

The scope of work for the electrical services is identified within the Performance Work Statement (PWS) included in this solicitation. Routine work, as identified in the PWS, is covered under the firm-fixed price CLINs X001-X003. Ad Hoc work will be ordered using separate task orders for each project, with the project information covered under a separate PWS specific to the Ad Hoc work to be performed.

Performance shall be made only as authorized by task orders issued in accordance with FAR 52.216- 18 Ordering. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to the contract stated maximum. The minimum guarantee of work to be ordered is the firm-fixed price (routine work) portion of the contract.

Except for any limitation of quantities in FAR 52.216-19 or in the Schedule, there is no limit on the number or orders that may be issued.

Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor’s and Government’s rights and obligations with respect to that order to the same extent as if the order were completed during the contractor’s effective period.

G. FULFILLING MINIMUM ORDERING REQUIREMENTS

The Government has no obligation to issue task orders beyond the minimum amount specified above.

There will be a one “minimum guarantee award amount” of the firm-fixed price CLINs for the base period. For each option period, if exercised, there will be a minimum guarantee award amount for the firm-fixed price CLINs.

H. FUNDING

Funds for the services provided will be obligated at the task order level as funds become available, or excess funds de-obligated at the task order level, by modification to the task order contracts unilaterally by the Government. The Contractor will only be paid for effort that has been authorized by the Government and performed in accordance with the contract specifications.

I. WITHHOLDING

Withholding of payments may occur for fixed priced task orders if performance of services required are not performed at a satisfactory level.

J. ISSUING TASK ORDERS FOR AD HOC WORK

Some of the services to be furnished under this contract are not predictable prior to award of the contract.

These Ad Hoc services shall be furnished at such times as ordered by issuance of task orders by the Contracting Officer. All task orders issued are subject to the terms and conditions of the base IDIQ contract. The base IDIQ contract shall control in the event of conflict with the terms and conditions of any task order.

K. PRICING OF TASK ORDERS FOR AD HOC WORK

Individual Task Orders for Ad Hoc work will be issued as requirements occur. Task Orders will specify work to be performed and will reflect the labor rates of the proposed staff in effect when the task order is issued (in accordance with the provisions contained in Section B of the IDIQ contract and the award task orders). The Contractor shall perform all services in accordance with the task order performance work statement/specifications for the individual Ad Hoc project. All Task Orders will be firm-fixed price.

L. LABOR RATES

The Contractor’s on-site (performed at Government facilities) fully-burdened labor rates for those Contractor Key Personnel identified in Table B1.1 below shall apply for the base and option years of the resultant contract for the services described in the Performance Work Statement, and shall be used by the Contractor as the ceiling labor rates when submitting price proposals in response to requests for quotation for task orders issued for Ad Hoc work. Contractors may propose at or below these labor rates, as each task order for Ad Hoc work will be negotiated on an individual basis.

Labor Rates. Labor rates for CLIN X004 will be fixed at time of IDIQ contract award for the Base Period and all Option Periods based on the rates offered in the successful awardee’s Proposal. The rates that are set-forth in the IDIQ contract cannot be exceeded on any task order for Ad Hoc work. Price Analysis will be performed before IDIQ award to determine proposed labor rates fair and reasonable.

In accordance with FAR 15.404-1(b), Price Analysis will be performed to determine the fair and reasonable price for all task order CLINs.

The following labor classifications are anticipated to be the primary labor sources necessary to perform the contract Task Orders. Other labor categories may be added, if applicable and necessary to perform the scope of work under a specific Task Order.

N. WORK CLASSIFICATION & MINIMUM WAGES

All work performed pursuant to this contract is subject to a Department of Labor Wage Determination, which is in accordance with either the Service Contract Labor Standards statue or the Construction Wage Rate Requirements statue, as defined herein. Wage Determination (SCA) and the Construction Wage Rate Requirements (formerly known as the Davis-Bacon Act) are defined herein. The Service Contract Labor Standards statue applies to the FFP CLINs within the IDIQ contract. The Construction Wage Rate Requirements statue applies to Task Orders for Ad Hoc work in excess of $2,000.

O. REVERSE AUCTION

Reference DLA Procurement Note L09 Reverse Auction (Oct 2016) of the solicitation; if the Contracting Officer decides to conduct an online reverse auction, prior to the start of the auction, the current lowest evaluated aggregate price for each CLIN may be broadcast to offerors participating in the reverse auction.

At certain intervals during the auction, the auction may be paused and the lowest evaluated aggregate price at the time of the pause will be broadcast to all offerors participating. The timing, length and number of pauses shall be determined by the Contracting Officer. By submitting a proposal, offerors are agreeing to disclose their evaluated aggregate price.

(d) Comptroller General Examination of Record. (1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement.

Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

252.204-7012 SAFEGUARDING COVERED DEFENSE INFORMATION AND CYBER

INCIDENT REPORTING (DEC 2019) DFARS

(a) Definitions. As used in this clause— “Adequate security” means protective measures that are commensurate with the consequences and probability of loss, misuse, or unauthorized access to, or modification of information.

“Compromise” means disclosure of information to unauthorized persons, or a violation of the security policy of a system, in which unauthorized intentional or unintentional disclosure, modification, destruction, or loss of an object, or the copying of information to unauthorized media may have occurred.

“Contractor attributional/proprietary information” means information that identifies the contractor(s), whether directly or indirectly, by the grouping of information that can be traced back to the contractor(s) (e.g., program description, facility locations), personally identifiable information, as well as trade secrets, commercial or financial information, or other commercially sensitive information that is not customarily shared outside of the company.

“Controlled technical information” means technical information with military or space application that is subject to controls on the access, use, reproduction, modification, performance, display, release, disclosure, or dissemination. Controlled technical information would meet the criteria, if disseminated, for distribution statements B through F using the criteria set forth in DoD Instruction 5230.24, Distribution Statements on Technical Documents. The term does not include information that is lawfully publicly available without restrictions.

“Covered contractor information system” means an unclassified information system that is owned, or operated by or for, a contractor and that processes, stores, or transmits covered defense information.

“Covered defense information” means unclassified controlled technical information or other information, as described in the Controlled Unclassified Information (CUI) Registry at http://www.archives.gov/cui/registry/category-list.html, that requires safeguarding or dissemination controls pursuant to and consistent with law, regulations, and Governmentwide policies, and is—

(1) Marked or otherwise identified in the contract, task order, or delivery order and provided to the contractor by or on behalf of DoD in support of the performance of the contract; or

(2) Collected, developed, received, transmitted, used, or stored by or on behalf of the contractor in support of the performance of the contract.

“Cyber incident” means actions taken through the use of computer networks that result in a compromise or an actual or potentially adverse effect on an information system and/or the information residing therein.

“Forensic analysis” means the practice of gathering, retaining, and analyzing computer-related data for investigative purposes in a manner that maintains the integrity of the data.

“Information system” means a discrete set of information resources organized for the collection, processing, maintenance, use, sharing, dissemination, or disposition of information.

“Malicious software” means computer software or firmware intended to perform an unauthorized process that will have adverse impact on the confidentiality, integrity, or availability of an information system.

This definition includes a virus, worm, Trojan horse, or other code-based entity that infects a host, as well as spyware and some forms of adware.

“Media” means physical devices or writing surfaces including, but is not limited to, magnetic tapes, optical disks, magnetic disks, large-scale integration memory chips, and printouts onto which covered defense information is recorded, stored, or printed within a covered contractor information system.

‘‘Operationally critical support’’ means supplies or services designated by the Government as critical for airlift, sealift, intermodal transportation services, or logistical support that is essential to the mobilization, deployment, or sustainment of the Armed Forces in a contingency operation.

“Rapidly report” means within 72 hours of discovery of any cyber incident.

“Technical information” means technical data or computer software, as those terms are defined in the clause at DFARS 252.227-7013 , Rights in Technical Data— Noncommercial Items, regardless of whether or not the clause is incorporated in this solicitation or contract. Examples of technical information include research and engineering data, engineering drawings, and associated lists, specifications, standards, process sheets, manuals, technical reports, technical orders, catalog-item identifications, data sets, studies and analyses and related information, and computer software executable code and source code.

(b) Adequate security. The Contractor shall provide adequate security on all covered contractor information systems. To provide adequate security, the Contractor shall implement, at a minimum, the following information security protections:

(1) For covered contractor information systems that are part of an Information Technology (IT) service or system operated on behalf of the Government, the following security requirements apply:

(i) Cloud computing services shall be subject to the security requirements specified in the clause 252.239- 7010 , Cloud Computing Services, of this contract.

(ii) Any other such IT service or system (i.e., other than cloud computing) shall be subject to the security requirements specified elsewhere in this contract.
