• Written amendments executed by both parties
• The Contract Agreement
• The Scope of Services
• The Unit Contract Price Schedule
• Any addenda issued prior to execution
1.03 Scope of Services
The Surveyor shall perform all land surveying services as described in Article I of this Contract, in accordance with the Contract Documents and all applicable federal, state, and local laws, regulations, and professional standards. The Surveyor shall not perform any work beyond the approved scope without prior written authorization from the District.
1.04 Notice to Proceed

The Surveyor shall be solely responsible for the means, methods, and manner of performing the work, and shall have full control over its employees, subcontractors, and equipment.
1.07 Plans and Alterations of Plans or Quantities
The District reserves the right to alter, amend, or modify the scope of surveying services, plans, or quantities at any time during the contract term through written authorization. No alterations shall be binding unless approved in writing by the District.
1.08 Subcontractors

The District shall be named as an Additional Insured on all liability insurance policies required under this Contract, except for workers’ compensation and professional liability coverage. Certificates of Insurance shall state that the District is an Additional Insured and shall reference this Contract.
All Certificates of Insurance shall provide that the District will receive no less than thirty (30) days’ prior written notice of cancellation, non-renewal, or any material adverse change or restriction in coverage, unless a longer period is required by the insurance policy or applicable law. Certificates shall be provided on an ACORD form or a form deemed equivalent by the District.
The Surveyor shall promptly replace any cancelled, non-renewed, restricted, or materially changed policy with coverage acceptable to the District and shall provide new Certificates of Insurance prior to the effective date of such cancellation or change. If replacement coverage is not provided in a manner acceptable to the District, the District may direct the Surveyor to cease work until satisfactory coverage is in place.
The District may, upon request, require the Surveyor to provide copies of its insurance policies, endorsements, and other documents related to the required coverage. Participation by the District in its own defense shall not reduce or waive the Surveyor’s obligations under this Article.
The Surveyor shall require each of its subcontractors to include an indemnity clause in their subcontracts that provides protection to the District on the same terms and conditions set forth in this Article.
1.14 Confidentiality
The Surveyor shall treat all project information, data, drawings, survey records, digital files, and documents provided by the District or generated in the performance of this Contract as confidential. Such information shall be used solely for purposes of performing the work under this Contract and shall not be disclosed, released, copied, or shared with any third party without the prior written consent of the District, except as required by law.

Upon completion or termination of this Contract, the Surveyor shall return to the District all confidential information and shall not retain copies except as required by law or professional standards.
This confidentiality obligation survives the termination or expiration of this Contract.

The Surveyor shall deliver all original documents and electronic files to the District upon completion or termination of the Contract.

If unresolved, the parties agree to submit the matter to mediation prior to initiating legal proceedings. This Contract shall be governed by Florida law, with venue for any legal proceedings in Okaloosa County, Florida.
1.18 Records & Audit
The Surveyor shall maintain complete and accurate records of all work performed and costs incurred for a period of five (5) years following final payment. The District reserves the right to audit the Surveyor's project records upon reasonable written notice.
1.19 Assignment
The Surveyor shall not assign, transfer, or delegate any rights or obligations under this Contract without the prior written consent of the District. Any attempted assignment without such consent shall be null and void.
1.20 Governing Law & Entire Agreement
This Contract shall be governed by the laws of the State of Florida. This Contract, together with all attachments and incorporated documents, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, and agreements. Amendments require a written instrument signed by both parties.
