About this file

This Amendment No. 3 to Request for Proposals (RFP) No. PB 26-2, issued by the Palm Beach County Department of Airports on June 30, 2026, provides clarifications and modifications to the Advertising Concession Agreement at Palm Beach International Airport (also known as President Donald J. Trump International Airport). The amendment addresses proposer questions regarding proposal submission requirements, contract terms, the transition period for new displays, planned airport construction projects, and the existing advertising program. The RFP permits proposers to use either the current or new airport name in their submissions without impact on evaluation. A significant modification to contract terms allows for an initial seven-year term with a three-year renewal option, rather than the originally proposed structure, with the determination based partly on the proposed Minimum Initial Capital Investment. The county will consider extensions to the six-month Transition Period for reasons beyond the concessionaire's reasonable control. Proposers may identify and propose new advertising locations beyond the existing program inventory and may request use of existing displays during the transition period, after which they become county property and the selected concessionaire assumes responsibility for removal and surface restoration.

Proposers must submit revenue proposals as a percentage fee of gross revenues, with a minimum of 45% during the transition period and 45% annually thereafter, with options for flat or increasing percentages throughout the contract term but no declining percentages permitted. Proposers are required to propose Minimum Initial Investment and Renewal Term Investment amounts and must submit complete audited financial statements for the contracting entity (not parent companies), along with business references preferably from other airport advertising concession clients. The existing advertising displays are currently owned by the incumbent concessionaire and will revert to county ownership; the selected concessionaire will coordinate their removal and be responsible for full restoration of affected surfaces. All financial information, including detailed audited statements, must be included within the required proposal submissions (one unbound original and five hard copies), and summary financial statements are not acceptable substitutes. The RFP requires proposers to demonstrate financial capability to perform all terms and conditions of the concession agreement.

AMENDMENT NO. 3

REQUEST FOR PROPOSAL # PB 26-2

ADVERTISING CONCESSION AGREEMENT

AT THE PALM BEACH INTERNATIONAL AIRPORT

Date Issued: June 30, 2026 This Amendment No. 3 to Request For Proposals No. PB 26-2, Advertising Concession Agreement the Palm Beach International Airport (the “RFP”) is issued to provide additional information and clarification to the RFP.

Proposers are advised the following questions were submitted and are answered below. To assist in organization, questions have been separated by general category or subject, and in some instances, the section number of the RFP. The phraseology of some questions were modified for clarification and/or consistency with terminology in the

RFP.

Appendix “A” Proposal Response Form

On Appendix “A”, Proposal Response Form, to the RFP, Contract Year 1, 03/01/27 - 09/30/27 is a scrivener’s error and should state 04/01/27 – 09/30/27. Appendix “A” to the RFP, is hereby deleted in its entirety and replaced with Exhibit “1” to this Amendment No. 3. Changes are shown in redline format.

Q.1. Please confirm how proposers should refer to the airport throughout the proposal and should the existing logo be used or omitted from proposal materials?

A.1. Due to the timing of the transition of the name change, proposers may use Palm Beach International Airport, President Donald J. Trump International Airport or the Airport. Use of the current or new name will not impact the evaluation of the proposals submitted.

Contract Term

Q.2. Would the County consider modifying the concession term to better align with the useful life of advertising infrastructure and maximize long-term value for both parties? Specifically, would the County consider: a) beginning the Initial Term after completion of the Transition Period, b) extending the agreement to ten (10) years, or c) using an alternate structure such as seven (7) years with a three (3) year renewal option?

A.2. Yes, the County will consider modifying the concession term set forth in the RFP to provide for an initial term of seven (7) years with a three (3) year renewal option. Approval of an alternative term will be determined, in part, based on the proposed Minimum Initial Capital Investment (i.e., a higher investment may justify a longer term). Proposers should indicate in the proposal response why a longer Initial Term is required based on the nature of the advertising program proposed. Proposers may propose exceptions or modifications to the Concession Agreement in accordance with Section 2.12, Exceptions to the Concession Agreement; however, the County is under no obligation to accept any proposed exception or modification.

Transition Period

Q.3. The Agreement requires installation of all new advertising displays during the six-month Transition Period. Given the required Airport review and approval process, permitting, fabrication lead times, and coordination with the existing concessionaire, would the County consider either: a) extending the Transition Period to twelve (12) months, or b) commencing the Transition Period upon approval of final construction documents and/or issuance of required permits?

A.3. The Airport review and approval process is not anticipated to be a lengthy process; however, the County will consider providing a modification to the Concession Agreement authorizing the County to approve an extension to the Transition Period for reasons beyond the reasonable control of the Concessionaire, as http://www.pbia.org/ determined by the County. Proposers may propose exceptions or modifications to the Concession Agreement in accordance with Section 2.12, Exceptions to the Concession Agreement; however, the County is under no obligation to accept any proposed exception or modification.

Planned Construction

Q.4. Please provide information regarding any planned terminal construction or renovation projects that may impact advertising locations during the contract term, including work associated with the Terminal Connector, Concourse B expansion, or other planned capital projects.

A.4. Information regarding current Airport construction projects is available on the Airport's website at:

https://www.pbia.org/construction-projects/. During the term of the Agreement, the Department will communicate with the Concessionaire regarding Airport construction and renovation projects that may affect the advertising concession, as appropriate, to facilitate coordination of the advertising program.

Section 1.5 – Existing Advertising Program

Q.5. Please explain the primary factors contributing to the revenue increase between Fiscal Year 2024 and Fiscal Year 2025.

A.5. The County has not identified a single factor responsible for the increase in advertising revenue between Fiscal Year 2024 and Fiscal Year 2025.

Q.6. Please provide, if available: a) annual revenue by advertising location, b) annual revenue by advertiser, and c) any other revenue breakdown available that would assist proposers in evaluating the existing advertising program.

A.6. The annual advertising revenue for Fiscal Years 2021 through 2025 is provided in Section 1.5, Passenger Demographics/Advertising Historical Revenues, of the RFP. Additional information is not available at this time.

A list of the current advertising contracts will be provided to the selected proposer.

Section 3.1 – Proposal Format

Q.7. Please confirm that proposers may: a) use single-spaced text, b) utilize spiral binding or other single-method fastening, and c) include 11” x 17” fold-out pages for organizational charts, inventory maps, renderings, capital investment summaries, and similar graphics without those pages counting as non-compliant with the proposal format requirements.

A.7. Section 3.1.1, Format, of RFP No. PB 26-2 states that proposals "should be typed, double spaced and submitted..." Proposers should prepare their proposals in accordance with the requirements of the RFP. RFP No. PB 26-2 requires submission of one (1) unbound original proposal. The RFP does not prescribe a binding method for the remaining hard copies. The RFP does not prohibit the use of 11”x17” pages.

Section 3.2.6 – Financial Information

Q.8. If the proposer is a wholly owned subsidiary or operating division that does not maintain separate audited financial statements, will the County accept: a) the parent company's audited Form 10-K together with a corporate resolution or officer certification confirming the relationship between the entities and the proposer's authority to execute the Concession Agreement; or b) the parent company's Form 10-K if the parent company will execute or guarantee the Concession Agreement?

A.8. No, pursuant to Section 3.2.6 of the RFP, the financial information submitted must be for the Proposer (i.e., the contracting entity). Financial information for a parent company or other affiliate that is not the Proposer will not satisfy this requirement. In the event the parent company is the Proposer and will be the contracting entity under the Concession Agreement, it may submit financial information in accordance with Section 3.2.6.

Q.9. Because audited financial statements may exceed several hundred pages, may proposers provide summary financial statements within the proposal; and complete financial statements electronically or as a separate PDF submission?

A.9. No, proposers must submit financial information in accordance with Section 3.2.6 of the RFP. Summary financial statements may not be submitted in lieu of the required financial documentation. All required financial materials must be included within the required proposal submissions (one (1) unbound original and five (5) hard copies), as specified in the RFP.

Section 3.2.7 – References

Q.10. May proposers satisfy the business reference requirement by providing references from airport clients where they currently operate advertising concessions? If not, please clarify the intended definition of "business references."

A.10. Yes, proposers may submit references from airports where they currently provide advertising concession services to satisfy Section 3.2.7, References, provided that the references are not from Palm Beach County Department of Airports personnel.

Section 3.3 – Development Plan/Advertising Inventory

Q.11. Please provide a complete inventory of the existing advertising program, including advertising locations by terminal area, display type, and advertising site number.

A.11. A redacted version of the inventory of existing advertising locations is provided in Attachment “1”, Inventory of Advertising Displays, to the RFP. The complete, unredacted inventory of advertising locations is considered confidential and will be made available only upon execution and submission of Attachment “8”, Non-Disclosure Agreement, to the RFP, in accordance with the instructions therein.

Q.12. May proposers identify and propose advertising locations that are not currently included in the existing advertising program?

A.12. Yes.

Q.13. Please confirm whether the locations identified as "Tension Fabric Display / Airport Use Only" are intended to remain dedicated for Airport use under the new concession agreement.

A.13. Yes.

Q.14. Please provide: a) the installation year, b) display specifications, including pixel pitch, and c) any other available technical information for the existing LED displays located in baggage claim.

A.14. The existing LED displays are owned by the incumbent concessionaire. The County does not maintain detailed pixel pitch specifications, or manufacturer technical specifications for those displays. The existing displays will be removed during the Transition Period.

Future Concourse B Advertising

Q.15. Please confirm whether advertising display locations have been incorporated into the current design plans for the Terminal Connector and Concourse B expansion.

A.15. Specific locations have not been identified for the installation of advertising displays. Potential locations should be proposed for the Terminal Connector and Concourse B expansion area to the extent feasible. The selected Concessionaire will also have the opportunity to propose additional locations upon completion of the projects as provided in the Concession Agreement. Please see Attachment “7”, Capital Improvement Renderings, to the RFP, for potential future advertising display locations.

Existing Assets/Transition

Q.16. Please clarify ownership of the existing advertising displays and indicate: a) whether the displays will remain available for use during the Transition Period, b) whether the incumbent concessionaire will remove the existing displays, c) who will be responsible for restoring affected wall, floor, and ceiling surfaces following removal; and d) whether all proposers will be required to install entirely new advertising displays for the new concession.

A.16. The County will become the owner of the existing displays at the end of the term of the current concession agreement. The County will consider making the existing displays available for use during the Transition Period. Proposers should indicate in their proposal responses if they will be requesting use of existing displays during the Transition Period. The selected Concessionaire will be responsible for coordinating for the removal of the existing displays with the County and will be responsible for restoring the affected surfaces following removal. The selected Concessionaire will be required to install new advertising displays for the new concession in accordance with the requirements of the RFP and Concession Agreement.

Laura Beebe M.

The advertising displays revert to county ownership at the end of the agreement. You will need to coordinate with the selected proposer for the removal and either retain or surplus the units - please discuss process with Debbie

Q.17. If the incumbent concessionaire is responsible for removing existing displays, will the County provide restoration specifications, finish schedules, or approved materials necessary to restore affected surfaces to Airport standards?

A.17. Yes, the requirements for restoration will be provided to the selected Concessionaire.

Unamortized Capital Investment/Minimum Investment Scoring

Q.18. Given that LED advertising infrastructure commonly has an expected service life of approximately ten (10) years, would the County consider providing compensation for any unamortized capital investment at contract expiration, or requiring a successor concessionaire to purchase or compensate for remaining asset value?

A.18. No, the treatment of Advertising Displays, including depreciation, Net Book Value, relocation, and potential reimbursement at the end of the term or upon removal, will be governed by the Concession Agreement (Attachment “3”). Pursuant to the Agreement, Advertising Displays are depreciated on a straight-line basis over their applicable term such that Net Book Value is reduced to zero at the end of the Initial Term or Renewal Term, as applicable. Proposers may elect to propose a longer Initial Term consistent with A.2 above.

Q.19. Given the longer useful life of LED advertising technology, would the County consider revising the financial scoring methodology to evaluate total capital investment over the entire contract term rather than separately scoring the Initial Term Investment and Renewal Term Investment?

A.19. No, the financial scoring methodology set forth in Attachment “4”, Selection Criteria/Scoring Instructions, will not be revised. The County has established separate scoring criteria for Minimum Initial Investment and Renewal Term Investment to ensure continued reinvestment in the advertising program throughout the term of the Concession Agreement, including renewal periods. This structure is intended to support ongoing maintenance, refreshment, and modernization of advertising assets over time and to ensure the long-term quality and appearance of the program.

Section 3.4 – Financial Pro Forma & Pricing

Q.20. Please clarify whether Amendment No. 2 modifies or supersedes the financial scoring methodology contained in Attachment 4. If not, please confirm that Attachment 4 remains the controlling methodology for calculating Estimated Revenue to the County and proposal scoring.

A.20. Amendment No. 2 does not modify scoring methodology. Attachment “4”, Selection Criteria/Scoring Instructions is an internal document intended for use by the Selection Committee and Department of Airports staff, detailing the selection criteria and scoring methodology. The “Estimated Gross Revenues” set forth in Attachment “4”, are hypothetical gross revenues to be used solely for evaluation purposes and are not intended to be a projection or representation of actual gross revenues. Attachment “4” should not be altered or submitted by proposers as a part of their proposals. Proposers are required to separately provide a proforma with financial projections in accordance with Section 3.4.2, Financial Projections, of the RFP.

Q.21. Please confirm that: a) the Estimated Gross Revenue values contained in Attachment 4 are fixed and are not to be modified by proposers; b) proposers' own revenue projections are not incorporated into the Attachment 4 calculations; and c) Attachment 4 is an internal County evaluation worksheet and is not required to be completed or submitted with the proposal.

A.21. Yes. See answer A.20 above.

All other terms and conditions of RFP No. PB 26-2 remain the same and unchanged.
