SECTION 1

BACKGROUND

The Office of Real Estate within the Division of Administration at the University of Maryland, College Park is seeking qualified firms to provide real estate advisory services.

The Office of Real Estate supports the University's strategic and operational goals through the acquisition and leasing of real property, management of land records, and tracking of local market conditions. The department is involved with numerous public-private and joint venture development projects, in addition to supporting local economic growth and the revitalization of the larger College Park community.

OBJECTIVES

The University is seeking real estate advisory services for initiatives such as, but not limited to:

acquisition, disposition, and development of real properties; privatization of existing University assets to increase revenues through creative and cooperative arrangements with the private sector; selective engagement of private developers to assume risk and provide financing and management capabilities for capital projects; and support to the University in negotiating and documenting agreements and in providing on-going advice and assistance in such other matters that may require real estate advisory services. Real estate projects may, for example, be related to student services and housing, faculty/staff housing, athletic and recreation facilities, office/commercial development, research facilities, and guest services.

CONTRACTING APPROACH & WORK SCOPE

Respondents are to provide information requested for their proposal in the attached matrix. See instructions provided in Section 4.4 Technical Requirement.

Offerors must demonstrate a clear understanding that real estate initiatives are undertaken in support of the University's education, research and public service missions. The driving factor is not to use development or revenues for their own sake but rather to use University assets and resources in ways which can most effectively address current and future needs, enhance the University community, and advance state and local government interests. Offerors should also clearly demonstrate prior and/or current experience in a higher education setting providing advice that supports higher education missions.

Offerors must demonstrate readiness and accessibility, as the selected firm will be considered part of the University’s real estate team and, as such, must be available for short turnaround on various items, including regular and/or unscheduled briefings, on-site meetings, conference calls and/or phone inquiries. Services will be largely contracted on an as-needed, task order basis and will require some ad hoc activities. The proposal (Executive/Management Summary) should address how the required readiness and accessibility will be provided, particularly if the Offeror is not local.

An outline of potential areas of work is included below as information. These examples are not all inclusive but are provided to convey the breadth of activities upon which the contractor may be called for assistance. Offers are to include sufficient documentation of an array of past projects or tasks completed by the proposing team members that convey the strengths, ability and experience of the Offeror in providing effective advisory services in such areas as highlighted in the list of sample tasks below.

SAMPLE TASKS

The following are illustrative examples of potential work programs or task orders:

A. Negotiate on behalf of the University to leverage real property assets as part of development proposals and/or land transactions involving both the public and private sector.

B. Provide brokerage services for the acquisition, disposition, or lease of real property, upon request. Note that this is an optional service and ability to provide these services is not required.

C. Evaluate market conditions and financing strategies for various land use and development opportunities including but not limited to faculty, staff and graduate housing, market rate housing, office, hotel and retail.

D. Track local real estate market conditions, activities and development plans, which may impact the University and its local environment.

E. Provide strategic review, analysis and recommendations regarding the availability of leased space, property acquisitions/dispositions and related reporting.

F. Identify and advise on priorities for real estate development opportunities in which the University might appropriately participate.

G. Assess the financial impact and/or economic feasibility of selected initiatives, which may be identified by the University or its advisor.

H. Prepare offering memoranda and other documents necessary to the conduct of development projects and other real estate transactions.

I. Advise on finance options and structures: public-private partnerships, redevelopment authorities, parking districts and other entities; sources of public and private capital; the terms and conditions appropriate to specific public-private relationships; and innovative financing strategies such as tax increment financing and special tax districts.

J. Establish strategies and criteria for evaluating real property development proposals and assist in developer review and selection processes.

K. Support valuation and appraisal services for specific properties, as required.

L. Prepare and make presentations to official University bodies, such as the University System of Maryland and USM Board of Regents, and to external bodies, such as the Maryland State Board of Public Works, upon request.

M. Assist University staff in coordinating among local, county, state, and federal agencies as applicable to establish feasibility and/or approvals of potential development opportunities.

Support University members of the College Park City-University Partnership and Terrapin Development Company in reference to proposals which come before that body.

Inspection and Acceptance

The following inspection, testing and acceptance requirements apply to services provided under this contract.

1. Delivery of services shall be made in accordance with the scope of services identified in the individual task order. All services rendered/deliveries shall be in accordance with the requirements defined in this Section.

2. Third party services, external services or subcontracting are not permitted without prior written approval from the Department of Procurement and Strategic Sourcing.

3. Any services that fail to meet the University’s expectations for reasonable quality and specifications identified in the individual task order shall be rejected. At the University’s discretion, the contractor may be requested to re-work any services/deliverables, at no additional cost to the University, until such services/deliverables prove acceptable.

4. In the event the Contractor is not able to produce acceptable services/deliverables, the University reserves the right to purchase replacement services in the open market and charge the Contractor for any excess price paid for the replacement, plus applicable expenses, if any.

5. The University, in its sole discretion, may extend the time of performance for excusable delays due to unforeseeable causes beyond the Contractor’s control.

6. The University unilaterally may order in writing the suspension, delay, or interruption of performance hereunder.

7. The services listed in the scope of work/description of work specified in the individual task order shall be delivered to the point or points specified prior to, or on the period of performance specified in the task order.

8. The Project Administrator may extend a task order period of performance in writing on an as needed basis to allow sufficient time for acceptance under each task order.

Deliveries or Performance

The following delivery or performance requirements are incorporated herein:

1. Contracts for real estate advisory services will be coordinated through the Real Estate Office within the Office of the Vice President for Administration and Finance.

2. Contracts will be utilized by the University on an "on-call, as needed" basis with an estimated dollar figure. As tasks arise, the project administrator will provide the real estate advisory Contractor with a written scope of work inclusive of the required schedule. Based on the written scope of work, the Contractor will provide to the University a written not-toexceed fee proposal for the specific task. This not-to-exceed fee must include the name of the Contractor’s lead team member and must be based on the personnel, hourly labor rates, and labor categories listed in the contract. All expenses the Contractor considers to be reimbursable based on reasonableness, such as copying, overnight/same day courier service, travel, etc. must be included in the written fee proposal for the specific task order scope of work. The project administrator reserves the unilateral right to reject an unreasonable or inappropriate request for a reimbursable expense. Upon University review and approval of the fee proposal, a notice-to-proceed for the task order will be issued to the Contractor by the project administrator.

3. A task order form will be issued to the Contractor by the Real Estate Office and will be followed by a formal Task Order Purchase Order.

4. Task orders may, at times, require an amendment in the event an alternative or expanded scope of work or additional services are required by the University. In such event, the Contractor will make every effort to retain the same team lead and/or support, as required to address scope and maintain efficiency.

5. Hourly labor rates, external positions, other external services and reimbursable expenses that are not indicated in the contract are not allowed without prior written approval from the Procurement Officer.

6. Offeror understands and agree that reimbursements the University makes to the Contractor for incidental, out-of-pocket expenses the Contractor incurs pursuant to the Contract must comply with the Board of Regents Policy on University System Travel (VIII - 11.00- February 28, 1992), and the Schedule of Reimbursement Rates (FY 2015)(VIII - 11.10 - Approved by the Chancellor, December 18, 2014).

Failure of a Contractor to acknowledge any Amendment will not relieve the Contractor of responsibility for complying with the content of the Amendment.

2.9 Alternate Proposals

Alternate proposals shall not be allowed or accepted, nor will they be considered, for this solicitation.

2.10 Economy of Preparation

Each proposal is to be prepared simply and economically, providing a straightforward, concise description of the Contractor's offer and capabilities to satisfy the requirements of this RFP.

Emphasis is to be placed on clarity of content and providing a complete response.

2.11 Unable to Propose

If Contractor is unable or unwilling to submit a proposal in response to the requirements, Contractor must indicate this in writing to the Procurement Officer on or before the proposal due date. Electronic mail is an acceptable delivery method for submittal of the Contractor’s inability to submit a proposal. UMD requests that Contractors who are unable to respond include a brief explanation of the rationale for non-submission of a proposal.

2.12 Public Information Act Notice

Contractors are required to specifically identify those portions of their proposals that they deem to contain confidential, proprietary information, or trade secrets. The Contractor is further required to provide specific justification, with respect to each separate portion identified, as to why the materials, upon request, should not be disclosed by the State under the Access to Public Records Act, State Government Article, Title 10, Subtitle 6, Annotated Code of Maryland.

For claims of confidentiality to be considered, Contractors must clearly identify and provide individual justification for each and every section that is claimed to contain confidential, proprietary information or trade secrets. It is not sufficient to preface your proposal with a proprietary statement, or to use a page header or footer that arbitrarily marks some or all pages as confidential. General claims of confidentiality or similar blanket designations will not be accepted and may result in a proposal being deemed non-acceptable, at the discretion of the Procurement Officer.

2.13 Cancellation of the RFP

The University may cancel this RFP, in whole or in part, or reject any or all proposals submitted in response to the RFP when such action is determined to be fiscally advantageous to the University and/or the State or otherwise in the best interest of the University and/or the State.

2.14 Two Volume Proposal

The selection procedure for this procurement requires an independent evaluation of the technical and financial proposals. This separation allows for evaluation of technical proposals, on a “go/no-go” or “pass/fail” decisional rule based on meeting the technical specifications and business requirements. Consequently, Contractor is required to submit its proposal in two separately sealed volumes as indicated in Section 2.4.

2.15 Volume 1- Technical Volume: Contractor Qualifications, Technical Requirements/Specifications, Business Requirements

Technical Volume Contents - the Technical Volume must contain

2.15.1 Executive Management Summary

The Contractor’s response is to contain an Executive/Management Summary. This section of the Contractor’s offer is to contain a brief synopsis of how the Contractor's proposal meets the needs of the University.

2.15.2 Technical Proposal

Contractors are expected to read the requirements in section 4 very carefully and to submit questions, in writing, by the due date for questions. Misinterpretation of specifications, requirements, or qualifications by the Contractor do not relieve the Contractor of responsibility to accurately address these components of this RFP or to perform the contract, if awarded.

The information/items specified as Requirements in section 4 must be addressed in the technical proposal, and the contractor must indicate that their proposal satisfies each item found within the technical requirements matrix. Simple YES or NO responses are insufficient when the requirement asks for an explanation. The Contractor must describe in detail how the proposed products and/or services meet or exceed the stated requirements. The Contractor must explain any exception or deviation from the requirements. In cases where the Contractor cannot or does not meet a requirement, this must be clearly stated along with the reason for not meeting the Requirement, Specification, or Qualification.

2.15.3 Exhibit 1, Solicitation/Contract Form

Contractors must complete Exhibit 1, Solicitation/Contract Form Offer Section as part of the Technical Volume. Failure to submit this document, signed by a person duly authorized to commit Contractor to the proposal may cause the Contractor’s proposal to be rejected, at the sole discretion of the University.

2.15.4.1 All required information listed as Contractor Data Requirements (Section 4.1) including but not limited to required demographic information, resumes, references, past performance documentation

2.15.4.3 Additional support documentation, as required

2.15.4.4 Contractor Qualifications, including financial viability documentation

2.15.4.5 Specifications/Requirements Matrix, as provided

2.15.4.6 Narrative Specification/Requirements responses, as required

2.16 Financial Volume

This volume consists of and must contain the offered pricing information in the format required by the University. Contractors are not to include any technical information or specifications in the financial volume. Inclusion of technical requirements in the Financial Volume, unless technical details are necessary to provide pricing clarity, may result in in disqualification of the Contractor’s response particularly if said technical details are not included in the Technical Volume.

2.17.1 Pricing Section

The Contractor is required to use the provided pricing submittal documents as included in Section 4.5. The pricing submittal documents will either be provided in the form of an electronic Pricing Matrix for those RFPs with numerous line items, complex pricing, etc. A Price Proposal Form will be used in instances when the pricing is simple and straightforward.

2.17.1.1 The Contractor is required to complete the electronic Pricing Matrix when provided

2.17.1.2 The Contractor is required to submit their proposal for pricing on the Price

Proposal Form provided when an electronic Pricing Matrix is not used. Using Price Proposal Form will help ensure consistency in the financial evaluation. The price proposal form is to be completed in full when used for submittal of pricing.

2.17.2 Best and Final Offers

The University reserves the right to request best and final offers (BAFO) following evaluation of technical and pricing proposals. Contractors must submit BAFO pricing information in the format required, on or before the date and time indicated on the BAFO request, and using the means of submission indicated by the Procurement Officer.

2.17 Incomplete Submissions

The University may make a final determination regarding a proposal’s acceptability solely on the basis of the proposal as submitted. The University is under no obligation to seek clarification for missing information or to repair responses that are deemed to be incomplete

SECTION 3

Proposers are therefore encouraged to submit the best possible proposal at each opportunity for submittal

The University reserves the unilateral right to cancel this solicitation at any time and to accept or reject any and all proposals, in whole or in part, received in response to this RFP; the unilateral right to award a contract in whole or in part; to award a contract to one Contractor; and to waive or permit cure of minor irregularities; and to conduct discussions with Contractors in any manner necessary to serve the best interest of the University.

Discussions may be conducted with those Contractors who submit proposals initially judged by the Procurement Officer to be reasonably susceptible of being selected for award. However, the University reserves the right to award a contract based upon the proposals received without further discussions.

3.4 Negotiation

The University has the right to accept the best proposal as submitted, without discussion or negotiation. Contractors should therefore not rely on having a chance to discuss, negotiate and adjust their proposals.

Contractors who submit proposals initially judged by the Procurement Officer to be reasonably susceptible of being selected for award may be asked to discuss their proposals with the University to facilitate arrival at a contract most advantageous to the University. If the Procurement Officer determines that discussion is in the best interest of the University, the Procurement Officer will advise contractors to submit a best and final offer for consideration after discussions are held.

However, discussions may not be conducted if the Procurement Officer determines either that discussions are not in the best interests of the University or that discussions need not be conducted: (a) with respect to prices that are fixed by law or regulation, although consideration shall be given to competitive terms and conditions; (b) because the time of delivery or performance does not permit discussions; or (c) because it can be demonstrated clearly from the existence of adequate competition or accurate prior price experience with the particular item that acceptance of an initial offer without negotiation would result in a fair and reasonable price.

3.5 Basis of Award

The University will award a contract resulting from this solicitation to the responsible offeror whose offer conforms to the solicitation and is determined to the offers the best value to the University.

Recommended contract awards, if any, resulting from this RFP, may be subject to State and University approvals.
