The contract opportunity involves providing cost allocation financial analysis services for Marion County and the City of Salem.

The amendment outlines that any protests to this amendment must be submitted by March 14, 2024, at 5 PM (PT). The RFP does not provide details on pricing terms, set asides, incumbents, funding requirements and sources, or contract award amounts.

COST ALLOCATION FINANCIAL ANALYSIS SERVICES

AMENDMENT #1

SECTION 1: PURPOSE

The purpose of this amendment is:

1.1 MODIFICATION OF SECTION 5.4.1 Negotiation

DASPS will negotiate Section 9. Ownership of Work Product.

DASPS will negotiate Section 11. Indemnity by Contractor.

DASPS will consider adding language submitted during Questions / Requests for Clarification period, set forth in Section 1.2. of the RFP, that DASPS specified they will consider. (Please see Questions #20 and #21 in the document titled “Questions and Answers” located in the list of Attachments)

SECTION 2: MODIFICATIONS

Section 5.4.1 Negotiation is modified as follows. (New language is indicated by bold underlined font, deleted language is indicated by strikethrough font.)

2.1 CLARIFICATION OF SECTION 5.4.1

RFP Section 5.4.1 Negotiation is hereby removed in its entirety and replaced with the following revised Section 5.4.1 Negotiation.

5.4.1 Negotiation

After selection of a successful Proposer, DASPS may enter into Contract negotiations with the successful Proposer. By submitting a Proposal, Proposer agrees to comply with the requirements of the RFP, including the terms and conditions of the Sample Contract (Attachment A), with the exception of those terms listed below for negotiation.

Proposer shall review the attached Sample Contract and note exceptions.

Proposer must submit those exceptions to DASPS during the Questions / Requests for Clarification period set forth in Section 1.2. If DASPS agrees to make any requested changes to the Sample Contract, DASPS will issue an Amendment to notify Proposers of such changes. Unless DASPS issues an Amendment modifying any of the terms and conditions, DASPS intends to enter into a Contract with the

RFP # S-DASOBO-00009641 Cost Allocation Financial Analysis Services RFP Amendment successful Proposer substantially in the form set forth in Sample Contract (Attachment A).

Following the selection of the apparent successful Proposer, DASPS may agree to negotiate changes to the negotiable provisions of the Sample Contract listed below.

However, DASPS is not required to make any changes and many provisions cannot be changed. Proposer is cautioned that the State of Oregon believes modifications to the standard provisions constitute increased risk and increased cost to the State.

Any subsequent negotiated changes are subject to prior approval of the Oregon Department of Justice.

DASPS is willing to negotiate ONLY the Statement of Work and the following terms and conditions:

• Section 9. Ownership of Work Product.;

• Section 11. Indemnity by Contractor.;

• Additional terms and conditions submitted during Questions / Requests for Clarification period, set forth in Section 1.2. of the RFP, that DASPS specified they will consider;

• Methods of payment;

• Pricing;

• Term of Contract; and

• Insurance Requirements

In the event that the parties have not reached mutually agreeable terms within 30 calendar days, DASPS, at its discretion, may terminate Negotiations and commence Negotiations with the next highest-ranking Proposer.
