About this file
This document is a Request for Proposals (RFP) issued by the State of Tennessee Department of General Services, Megasite Authority of West Tennessee for Blue Oval City Water and Wastewater Facilities Management, Operation and Maintenance Services. The RFP seeks a contractor to provide full-service operation, maintenance, and management of the water and wastewater infrastructure facilities for the Megasite. Key details include a 10-year contract term with up to five 1-year renewal options, a pre-response conference on March 23, 2023, a proposal due date of May 10, 2023, and an anticipated contract start date in November 2023. The RFP provides details on the water supply, wastewater treatment, and biosolids management requirements, as well as the contractor's responsibilities for staffing, maintenance, and capital repairs.
The RFP specifies that the contractor will be responsible for all maintenance and repair costs up to $15,000, with any items over that amount considered capital projects that require state approval. The contractor must also manage the state's pretreatment program and coordinate with the significant industrial users. Pricing is to be provided for the full 10-year term, though annual escalators are not included. The state will be directly billed for utilities and is responsible for capital items over $15,000.

# QUESTION / COMMENT STATE RESPONSE
RFP
Attachment 6.4
1. The RFP states:
“The Respondent will … Provide references … for projects similar to the goods or services sought under this RFP and which represent:
two (2) contracts Respondent currently services that are similar in size and scope to the services required by this RFP;
and three (3) completed contracts that are similar in size and scope to the services required by this RFP.
References from at least three
(3) different individuals are required to satisfy the requirements above, e.g., an individual may provide a reference about a completed project and another reference about a currently serviced account.”
· Questions on this are as follows:
· The State’s requirements – RFP Attachment 6.4 (page 38)
– with regard to the number of client references (Client Reference Questionnaires) to be provided is confusing.
· The RFP states that:
“References from at least three
(3) different individuals are
The Respondent can provide a mix of Current and Completed client contracts to meet this requirement.

required to satisfy the requirement …”
· The instructions above that statement say that: “two (2) contracts Respondent currently serves … and three (3) completed contracts …” are required.
· Will it be considered acceptable to provide a mix of Current and Completed client contracts, with two current clients and one completed contract to meet this standard of three Client References?
2. Upon termination of the Nondisclosure Agreement, is it permissible for the Respondent to retain copies of Confidential State Data that are stored on its IT backup and disaster recovery systems until the ordinary course deletion, provided that all confidentiality obligations will still apply to such data? Will the Nondisclosure Agreement terminate upon the award for a contract for the project?
There will not be a termination of the NDA for unsuccessful bidders.
3. In RFP Attachment 6.4, Reference Questionnaire, the respondent is asked to provide references for two current projects and three completed projects. As our contracts are long-term in nature and ongoing (10 years+ with renewals) we don’t have “completed” projects in the traditional sense. With
The State will not consider a change to the requirements in RFP Attachment 6.4.

that in mind, it will be difficult to provide three reference letters from completed projects as the projects we are no longer the operator for are several years old and the personnel have moved on. We would like to request an option to provide all five references from current projects. Would that be acceptable to the State?
4. Section C8 Business Approach is directly after section C6, Operating Plan. We just want to clarify that there is no section C7.
See Section 3 of RFP Amendment 2.
5. I have previously asked this question and your response was we would discuss it at the pre-submittal conference but nothing definitive was discussed so I wanted to bring it up again just in case. With the technical documents being released over a week after the RFP was advertised, we would like to request an extension to the submittal deadline.
The RFP Schedule of Events was updated by RFP Amendment 1 (issued 4-11-23). The Solicitation Coordinator will be receptive to timeline concerns and adjust the schedule accordingly.
6. I wonder if you can send me a copy of the sign-in sheet from the mandatory pre-response conference held on March 23, 2023 in connection with RFP # 32122-01: Blue Oval City Water and Wastewater Facilities Management, Operation and

Environment and Conservation.
The Contractor shall act as “Pretreatment Coordinator”. The term “Pretreatment Coordinator” means the administrative entity representing the Authority (which will act as the Control Authority in an approved Pretreatment Program under the provision of 40 CFR Part 403.11) in all matters related to the administration, implementation, and enforcement of the Pretreatment Program of the Authority as approved by the Tennessee Department of Environment and Conservation. During the first year’s administration of the Pretreatment Program, no more than four Industrial User Permits are envisioned and two inspections of the significant industrial user facilities per year which will include wastewater sampling and analysis for all permitted parameters.”
As such, does the State have an indication of who these four (4) Significant Industrial Users (SIU) are so that the Contractor can project what types wastewater analysis will be needed for the permitted parameters? Are there any existing SIU permits? Can we get a copy of the Industrial Pretreatment Program that is being or has been developed by J.R.

So, while there are limited areas that require maintenance, the Operator will need to evaluate areas that they will need to maintain ARV’s etc. and coordinate schedules with landowners/farmers as necessary to insure proper operation of the forcemains, both onsite and offsite.
12. Item A.10. of the Pro
“A specific method of decision making concerning the use of funds for repair and replacement must be outlined.” Does the State have guidelines established for replacement for assets over a specific dollar amount since that would generally be considered a capital item? Will capital items be the responsibility of the Contractor or the State?
See Section 8 of RFP Amendment 2.
13. Item A.18. of the Pro
“and costs of biosolids management shall be approved by the Authority.” Our understanding is the Contractor will be responsible for biosolids management, does management include the cost of transportation and

For example, is there any kind of regular review scheduled?
Oversight will be provided by the Megasite Authority of West Tennessee and will report monthly.
41. The contract appears to push the risk of inflation on to the contractor to predict and manage. Is that the intent of the RFP? It is unusual in these types of contracts not to have an annual escalator based on initial fees.
The State’s intent is to provide the Respondents the opportunity to build their cost to include all fees and any external factors (inflation, etc.) to their discretion on a yearly basis for a ten-year span.
42. Acres of grass and right of way to be mowed?
Question 11 in this RFP Amendment.
43. The RFP pricing requests a 10 year contract but the contract is for 5 and 5 annual extensions. Which is the correct term?
Per Attachment 6.6 Pro Forma Contract Section B.1 and B.2, the initial Term is for 60 months with up to five (5) renewal options under the same terms and conditions for a period not to exceed twelve (12) months. The maximum Term, including all renewals or extensions, shall not exceed a total of one hundred and twenty (120) months.
44. The 5 year and 1 year renewals make it difficult for the operator to mitigate their maintenance risk in the later years of the contract when maintenance should increase with the age of the equipment. This relates to the previous question about the term of the contract.
See the State’s Response to Question 41 and 43 of this RFP Amendment. Any equipment that needs to be replaced in the later years of the contract is expected to fall under the threshold of a capital project. See the State’s Response to Question 9 of this RFP Amendment that address’s capital projects.
