B. SCOPE OF WORK/SPECIFICATIONS
1. PURPOSE

Offerors responding to this solicitation must be responsible, regularly and practically engaged in providing the goods and services requested in this RFP.
Offerors must also possess ample resources for fulfilling the requirements as detailed in this RFP. A term contract will be established after the evaluation and award process is completed by NPS.
2. SCOPE OF WORK
A. CONTRACTOR REQUIREMENTS:
1. The result of this RFP will be the selection of a contractor or contractors to provide a variety of products and services for Norfolk Public Schools (hereinafter referred to as NPS). Offerors responding to this request must be provide all material, personnel equipment, supplies, supervision.
Offerors must be responsible, regularly and practically engaged in providing the services requested in this RFP and possess ample resources for fulfilling requirements as detailed in this RFP. The awarded firm should also be able to provide status updates and be available to attend periodic meetings/briefings with NPS to review performance and discuss opportunities for improvement.
2. SCOPE/CATEGORIES OF PRODUCTS AND/OR SERVICES:
a. Flooring & Carpeting – Materials, Maintenance & Repair Services
b. Carpentry Services
c. Materials & Supplies: All provided pricing should reflect a delivered (FOB Destination) price and be at the best price tier or level available. As applicable, Pricing should be identified as a set price or discount off of list for parts and materials.
It is recognized that catalog pricing may change during the contract term, but trade discounts awarded on the bid must not decrease at any time throughout the entire contract period. If order volume and/or changes in manufacturer pricing allow for better pricing discounts, they shall be offered within a reasonable time after the opportunity is recognized. Charges for various freight/delivery options should also be provided if they apply for emergency, special, or custom orders.
If applicable, the successful Offeror(s) will be expected to maintain adequate stock to meet the routine daily requirements of NPS. Delivery of Standard items shall be within two business days and Special Order or Custom-made items shall be delivered based upon the best available method that is approved by NPS. Emergency orders (Standard, Stocked, Non-Custom only) must be available (pick-up and/or delivered) so they are at the necessary job site (Schools within the City of Norfolk) within 2 hours of order placement (Limited to normal business hours). Note: Emergencies are defined as an occurrence of a serious and urgent nature that demands immediate action, for which failure to act immediately will cause appreciable damage to physical facilities or the education mission of the school system, or pose an undue safety risk to employees, students, or the community at large. Emergency procedures may be used to purchase only what is necessary to cover the requirements of the emergency. Subsequent requirements shall be obtained using normal purchasing procedures.
d. Service & Repair: Pricing for Services should be based upon labor rates or as a Time & Materials basis for the various services to be provided. The contractor shall bill for labor at the contract labor rate for “actual hours worked”. All parts needed for repair services will be identified and billed at the discounted final price (including discounts, rebates, and future trade) afforded to the Contractor. When purchasing parts/supplies or equipment to be used for providing services to NPS, Contractors may be eligible to use any current contracts or cooperative contracts that are available to NPS. For each Time and Materials category, the various labor levels should be reflective of typical patterns found in the particular industry (i.e., A Master Electrician level should have a higher hourly wage than a Journeyman, who has a higher wage than an Apprentice). NPS will not pay for on-the-job training of Contractor’s staff unless it is specifically approved by NPS and is solely for familiarization with NPS equipment and not skill training. Understanding that a trainee will cause the time period to expand due to “training” time and trainer oversight, adjustments in the hourly charges should be made so that NPS is receiving fair billing.
The Contractor shall respond to Priority 1-Emergency calls, including nights, weekends, and Holidays, within two (2) hours after the request is made.
• A Priority 1-Emergency is defined as an occurrence of a serious and urgent nature that demands immediate action, for which failure to act immediately will cause appreciable damage to physical facilities or the education mission of the school system, or pose an undue safety risk to employees, students, or the community at large.
• The Contractor is expected to respond to non-routine calls within four (4) hours after the request is made.
• If the Contractor, due to unforeseen circumstances, is unable to meet the required response time, the NPS contact must be immediately notified so that another Contractor may be contacted. Note: Multiple failures to satisfy response time requirements may cause the Contractor to be removed from consideration or limited in amount of work offered.
• Where practical, and at their complete discretion, NPS reserves the right to waive the response time requirement on individual work orders. NPS will use reasonable judgment when coordinating work order requirements, based upon the nature of the emergency, uncontrollable elements (weather and other force majeure events), and the Contractor’s input.
Travel time shall not be included in the billing. Actual hours worked shall be defined as “from the time the employee(s) reports on the job site, until the employee(s) leaves the job site”. Time spent on employee breaks for meals, picking up parts and materials, and other similar non-work tasks, shall not be included in the invoiced hours. Unless waived by the Senior Director of School Plant Facilities or his designee, the contractor’s foreman shall check in/out with the designated representative at the beginning/end of each day’s work on the job site. Labor rates shall include the use of all tools, equipment, vehicles, and consumable supplies normally required for this type of work and all other incidental costs of doing business.
e. Estimates: The contractor will be required to submit a detailed written estimate of man-hours and materials necessary to perform the work in accordance with the contract rates and terms. The estimate shall provide a not-to-exceed amount that itemizes any necessary labor, materials, equipment, or parts. Norfolk Public Schools reserves the right to obtain services from another source if the estimate appears to be unreasonable.
f. INVOICES: Invoices shall be mailed to the following address:

Work that has been started during normal working hours, but not completed the same day, shall not be completed after normal working hours unless authorized by Norfolk Public Schools.

The contractor shall be paid normal rates for any holiday it does not observe for its employees or that is not observed by Norfolk Public Schools. Access to the schools will need to be coordinated with school activities.
All NPS facilities will be subject to a summer work schedule (June-August) and the normal operating days will be Monday – Thursday. The hours will expand to 7:00 AM – 5:00 PM. Work and deliveries should be adjusted to accommodate these times.

(Code of Virginia, § 2.2-4343.1E).
In every contract over $10,000 the provisions in 1. and 2. below apply:

If the Contractor violates one of these provisions, the Commonwealth may terminate the affected part of this contract for breach, or at its option, the whole contract. Violation of one of these provisions may also result in debarment from State contracting regardless of whether the specific contract is terminated.
f. In accordance with Executive Order 61 (2017), a prohibition on discrimination by the contractor, in its employment practices, subcontracting practices, and delivery of goods or services, on the basis of race, sex, color, national origin, religion, sexual orientation, gender identity, age, political affiliation, disability, or veteran status, is hereby incorporated in this contract.
2). The contractor will include the provisions of 1. above in every subcontract or purchase order over $10,000, so that the provisions will be binding upon each subcontractor or vendor.
4. ETHICS IN PUBLIC CONTRACTING: By submitting their proposals, offerors certify that their proposals are made without collusion or fraud and that they have not offered or received any kickbacks or inducements from any other offeror, supplier, manufacturer or subcontractor in connection with their proposal, and that they have not conferred on any public employee having official responsibility for this procurement transaction any payment, loan, subscription, advance, deposit of money, services or anything of more than nominal value, present or promised, unless consideration of substantially equal or greater value was exchanged.
5. 7. ANTITRUST: By entering into a contract, the contractor conveys, sells, assigns, and transfers to the Commonwealth of Virginia all rights, title and interest in and to all causes of action it may now have or hereafter acquire under the antitrust laws of the United States and the Commonwealth of Virginia, relating to the particular goods or services purchased or acquired by the Commonwealth of Virginia under said contract.
8. MANDATORY USE OF STATE FORM AND TERMS AND CONDITIONS FOR IFBs AND RFPs : Failure to submit a proposal on the official state form provided for that purpose may be a cause for rejection of the proposal. Modification of or additions to the General Terms and Conditions of the solicitation may be cause for rejection of the proposal; however, the Commonwealth reserves the right to decide on a case-by-case basis, in its sole discretion, whether to reject such a proposal.
9. CLARIFICATION OF TERMS: If any prospective offeror has questions about the specifications or other solicitation documents, the prospective offeror should contact the buyer whose name appears on the face of the solicitation no later than five working days before the due date. 10. PAYMENT:
1. To Prime Contractor:
a. Invoices for items ordered, delivered and accepted shall be submitted by the contractor directly to the payment address shown on the purchase order/contract. All invoices shall show the state contract number and/or purchase order number; social security number (for individual contractors) or the federal employer identification number (for proprietorships, partnerships, and corporations).
b. Any payment terms requiring payment in less than 30 days will be regarded as requiring payment 30 days after invoice or delivery, whichever occurs last. This shall not affect offers of discounts for payment in less than 30 days, however.
c. All goods or services provided under this contract or purchase order, that are to be paid for with public funds, shall be billed by the contractor at the contract price, regardless of which public agency is being billed.

e. Unreasonable Charges. Under certain emergency procurements and for most time and material purchases, final job costs cannot be accurately determined at the time orders are placed. In such cases, contractors should be put on notice that final payment in full is contingent on a determination of reasonableness with respect to all invoiced charges. Charges which appear to be unreasonable will be resolved in accordance with Code of Virginia, § 2.2-4363 and -4364. Upon determining that invoiced charges are not reasonable, the Commonwealth shall notify the contractor of defects or improprieties in invoices within fifteen (15) days as required in Code of Virginia, § 2.2-4351.,. The date of mailing of any payment by U. S. Mail is deemed to be payment to the addressee. These provisions apply to each sub-tier contractor performing under the primary contract. A contractor’s obligation to pay an interest charge to a subcontractor may not be construed to be an obligation of the Commonwealth.
3. Each prime contractor who wins an award in which provision of a SWaM procurement plan is a condition to the award, shall deliver to the contracting agency or institution, on or before request for final payment, evidence and certification of compliance (subject only to insubstantial shortfalls and to shortfalls arising from subcontractor default) with the SWaM procurement plan. Final payment under the contract in question may be withheld until such certification is delivered and, if necessary, confirmed by the agency or institution, or other appropriate penalties may be assessed in lieu of withholding such payment.
