ANTITRUST ASSIGNMENT

The contractor and the Chippewa Valley Technical College recognize that in actual economic practice, overcharges resulting from antitrust violations are in fact usually borne by the Chippewa Valley Technical College (purchaser). Therefore, the contractor hereby assigns to the Chippewa Valley Technical College any and all claims for such overcharges as to goods, materials or services purchased in connection with this contract.

APPLICABLE LAW AND COMPLIANCE

This contract shall be governed under the laws of the State of Wisconsin. The College will have sole discretion as to the methodology used in making the award. Where none is specified, the award will be made to the lowest responsible bidder in compliance with the specifications and requirements of this solicitation. The right is reserved to make a separate award of each item, group of items or all items, and to make an award in whole or in part, whichever is deemed in the best interest of the College.

CVTC reserves the right to select and award only certain portions of the vendors submissions, or to reject all proposals received and resubmit the RFB/RFP if it feels an adequate level of competition was not obtained;

5 | P a g e or if specifications/terms did not allow for a sufficient level of competing proposals to be received; or if desired specifications, features, or standards were not, in the opinion of CVTC, acceptable.

CANCELLATION AND TERMINATION

The Chippewa Valley Technical College reserves the right to cancel any contract in whole or in part without penalty due to non-appropriation of funds or for failure of the contractor to comply with terms, conditions, and specifications of this contract.

Termination Without Cause The College may terminate the Agreement for any reason, provided the following procedure is followed:

a) Written notice must be given by the College to the contractor prior to the effective date of termination.

The College may terminate by giving not less than one hundred eighty (180) day notice to the contractor.

b) Termination of this Agreement by the College, prior to the expiration date of this Agreement without cause, shall not obligate Chippewa Valley Technical College for any inventories or advance payments except reasonable quantities of crested or imprinted clothing or gift items in clean saleable condition, which shall be either purchased by a new contractor or by the College, at actual wholesale invoiced cost. The College shall not be responsible for the undepreciated amount of any investment or leasehold improvement provided as part of this Agreement.

c) All written notices regarding termination shall be sent via certified or registered mail.
