SPECIFICATIONS FOR RFB-2806 JANITORIAL SUPPLIES 2026-2027

A. GENERAL TERMS AND CONDITIONS:

1. Scope: The County of Chemung and the City of Elmira require a continuous supply of janitorial products for various departments. It is the County’s intent to enter into agreement(s) to purchase the majority of its janitorial product requirements from the vendor submitting the lowest responsible bid price for each item.

2. Term: The term of this agreement shall be from January 1, 2026 (or date of contract execution) through December 31, 2026. The contract may be extended for up to two additional one-year terms upon mutual agreement between the County and the vendor(s).

3. Short-term Extension:

a. In the event a replacement contract has not been issued, this contract may be awarded hereunder by the County, and may be extended unilaterally by the County for an additional period of up to one month upon notice to the Contractor with the same terms and conditions as the original contract including, but not limited to, quantities (prorated for such one month extension), prices and delivery requirements. With the concurrence of the Contractor, the extension may be for a period of up to three months in lieu of one month. However, this extension terminates should the replacement contract be issued in the interim.

4. Award: The County will award to the responsive and responsible bidder proposing the best quality at the lowest cost per use for only those items for which it submits a bid price, whose proposal complies with all provisions to render it formal and legal per the specifications. Because of high costs of placing and processing orders and the payment of invoices, the County reserves the right, at its sole discretion, to award or not to award to contractors with a minimal quantity or dollar amount of awarded items. The County also reserves the right to award vendors bidding on fewer than five items. The County will have the sole discretion to award to the next responsive and responsible low bidder.

5. Cancellation:

a. The County reserves the right to cancel this contract, in whole or in part without reason provided the Contractor is given at least sixty (60) days’ notice of its intent to cancel. Any such cancellation shall have no effect on existing Agency agreements, which are subject to the same 60 day discretionary cancellation or cancellation for cause by the respective user Agencies.

6. Qualifications: The successful bidder(s) must be in the regular business of selling janitorial products. The apparent low proposer(s) must be prepared, if requested by the County, to furnish evidence, including documentary evidence where deemed necessary, to establish proof of financial responsibility and ability to perform the contract, if awarded.

7. Bid Prices:

a. Bidders shall provide the following information on the attached pricing page spreadsheet. New Vendor Item number, Sub-Unit Price for Each, Sub-Unit per case/carton/pack, any additional comment, and please fill out the number of days for delivery that is listed on the last page of the spreadsheet. Please complete the Form for Submission of Bid also the Pricing Pages 12-18 or use the spreadsheet document available with the Bid document on BIDNET. Please provide any additional information in the comment section.

Non-compliance with this section will be cause for rejection of that bid item.

Note: If an awarded product is sold in a different standard package unit measure than the specified item, an adjustment in price will be made to reflect the actual package unit measure and will be in direct proportion to the bid price.

b. All bid prices shall include shipping and handling, F.O.B. any point in Chemung County. All vendor costs must be built into the unit measure bid price submitted. The County will not pay any additional shipping, handling, or re-stocking charges

8. Price Adjustments: Unless otherwise stated in this document, at no time during the term of any contract arising from an award by the Chemung County Legislature may any of the contract pricing be changed for any reason without prior written approval by the Chemung County Purchasing Department. The Vendor may request a price adjustment at time of renewal of a contract term and only one (1) price adjustment allowance per each one-year contract term extension shall be allowed.

If a price adjustment request is made, the vendor shall give the County a minimum of thirty (30) calendar days notification of any request for a price adjustment. Said adjustment may at no time exceed the Consumer Price Index Table 4 for all items as calculated by the County Purchasing Department. Should the County deem the requested adjustment unacceptable, the County reserves the right to terminate the contract in accordance with the terms of this bid and seek pricing from whatever sources legally available.

An example of the price adjustment calculation is as follows (figures are illustrative only):

CPI for current period = 232.945 CPI for previous period - 229.815

Equals index point change = 3.130 Divided by previous period CPI ÷ 229.185 Equals = 1.0136 Result multiplied by 100 = 0.0136 x 100 Equals rounded percentage change = 1.4%

The contractor(s) has the sole responsibility to submit invoices at the adjusted bid prices on the applicable effective date and shall provide to the Chemung County Purchasing Department a copy of the index and other supporting documentation necessary to support the increase or decrease, as appropriate. Should the contractor fail to submit adjusted invoices and/or supporting documentation within three (3) months after the applicable effective date, the contractor shall be deemed to have waived its right to any increase in price, but the County shall not be barred from making adjustment in the case of a decrease determined in accordance with the above methodology.

9. Purchasing From Alternate Sources: The County reserves the right to purchase items included in this proposal from another County Contract, National Cooperative, or NYS OGS Contract, NYS Industries for the Disabled, Department of Correctional Services, Industries for the Blind of NYS, Inc., or the NYS Office of Mental Health when available or required by law. The County also reserves the right to obtain quotes from other vendors on large quantity orders, and/or items with a substantial cost, and purchase those items from other vendors, if it is in the best interest of the County.

10. Submission of Proposal: The submission of a responsive proposal shall be construed as evidence that a full examination of this document has been made and that the proposer has a clear understanding of all terms and conditions.

11. Product Requirements:

a. Proposed products shall be equivalent in form, function, and quality to the items listed on the Form for Submission of Bid. Brand names are sometimes indicated to show the product type and quality required. Product descriptions, product number, and estimated annual quantities are provided for informational purposes only.

b. Equivalent products will be considered. Determination of equivalence shall be in the sole discretion of Chemung County. If not bidding the exact product listed, bidders shall provide the product make, model, manufacturer number, etc. in the comment section. The information provided by the bidder must be sufficient for the County to determine an item’s equivalence to the product listed. Insufficient or vague information shall be cause for the rejection of that bid item.

PRODUCTS PREVIOUSLY DENIED, OR RETURNED AS UNACCEPTABLE WILL

NOT BE ACCEPTED IF PROPOSED FOR 2026-2027

c. The County reserves the right to require samples of proposed products prior to award. Such samples shall be provided free of charge. If in the County’s judgment the sample(s) are not in accordance with the specifications or are sub-standard, the bid for that item will be rejected. The County reserves the right to perform tests to determine the quality of any proposed product.

d. Discontinued Products: If an awarded product is discontinued during the contract term or any extension thereof, the vendor shall provide a product equal in quality and packaging size at the bid price. Any replacement product shall be subject to the approval of the County.

e. If a product ordered and delivered under this contract is determined by the County to be sub-standard or lower in quality and functionality to the specified product, the product shall be returned for full credit and replaced with an acceptable item at the bid price.

f. Estimated Quantities: The estimated annual quantities for each product are based upon historical data, are provided for general information only, and should not be construed to represent either maximum or minimum totals to be purchased during the contract term. The County is not obligated to purchase any of the items listed.

g. The Hazardous Communications and Right To Know laws require certain chemicals, cleaners, paints, etc. to be delivered with Safety Data Sheets (SDS) and be labeled accordingly. The successful vendors shall guarantee that all State and/or EPA Hazardous Materials Regulations are met where applicable.

h. Adding Products to the Contract(s): The County reserves the right to add products to the contract(s). Vendors may be awarded only those “added” items for which they provide the lowest responsible quote.

B. PERFORMANCE REQUIREMENTS

1. Contract Products Information: Upon notification of award, the successful vendor(s) shall deliver to the Purchasing Department for each awarded contract item: specifications sheet(s), general directions for usage, pictures or drawings of the exact item, Safety Data Sheets (if required), order number, and contract price in the form of a disc, CD, or accessible website.

2. Delivery Terms: All deliveries shall be F.O.B. destination to any location within Chemung County, with inside delivery guaranteed. The Vendor must deliver items within two (2) business days of the order receipt. Vendor shall pick up returned or defective material within three days of notification by the County at no charge.

3. Customer Service Representatives: The contractor shall assign an experienced sales executive to the County’s account to be responsible for all the County product and procedural requirements. The contractor must make available an experienced customer service associate to handle emergency orders, product information and/or research, and general information. The vendor will have toll free telephone & fax numbers available for the receipt of orders and/or customer service.

4. Usage Reports: The successful vendor(s) shall supply an annual usage report to the Purchasing Department. The report shall show the total quantity of each product purchased under the contract agreement. This report shall not include non-contract item purchases.

5. Authorized Contract Users: All Chemung County and City of Elmira Departments along with all political entities within Chemung County may utilize and purchase under contracts executed as a result of this bid solicitation. A Chemung County or City of Elmira purchase order or blanket purchase order is required for all orders. (Reference Section 1.12)

6. Invoicing: A separate invoice shall be issued for each individual order placed. A packing slip shall accompany all orders, and any back orders shall be indicated on the packing slip. All packing slips and invoices shall indicate the purchase order number, and shall be mailed to the “ship to” address for that order. No invoice shall be issued for a back-ordered item until delivery of that item. A standard credit memo shall be issued for all returned or defective material within one week of the return of the item(s).

C. PRODUCT INFORMATION AND ESTIMATED PURCHASE QUANTITIES

1. Estimated usage is listed, where available, from vendor supplying current contract products.

Product Package Unit Measures and other information are on the “Form for Submission of Bid.”

See VENDOR PRICING PAGES 15-30. Along with the spreadsheet. “Form for Submission of Bid” must be signed by vendor.
