About this file

This is a Term Agreement contract template for the Florida Department of Agriculture and Consumer Services, Florida Forest Service, establishing contractual services for statewide wildfire mitigation services under Invitation to Bid No. ITB FFS 26 27 58. The agreement establishes the framework for contractor performance of wildfire mitigation services including forestry mowing, mulching, chopping, vegetation grinding, tree removal, land preparation, and fireline establishment across Florida Forest Service regions. The initial agreement term shall be effective upon full execution and expire on a date to be specified, with the option for yearly renewal for up to three years upon mutual written agreement and a single extension period not to exceed six months. The contract does not obligate the Department to issue purchase orders, nor does it guarantee contractor opportunity to provide services; the Department will issue project-specific purchase orders setting forth desired services, quantities, and service levels following execution of the Term Agreement. Contractors must begin work within 30 calendar days of purchase order issuance.

Pricing shall be submitted as fixed maximum rate unit prices per acre for Service Levels 1-4 and per one-tenth mile for Service Level 5, with separate pricing required for each year of the initial three-year term and renewal periods, with all costs including labor, equipment, materials, transportation, and insurance included in unit pricing. Contractors must maintain general liability insurance of $1,000,000 per occurrence and $2,000,000 aggregate, automobile liability insurance of $300,000, and workers' compensation insurance per Florida law. The Department reserves the right to assess financial consequences of up to 10% of total invoice amounts for non-performance or breach, temporarily withhold payments, or suspend or terminate the agreement. The contractor must indemnify the Department against third-party claims arising from the agreement or services provided, except where the Department intentionally caused losses. All contractors must register with MyFloridaMarketPlace, obtain valid W-9 certification with the Department of Financial Services, and comply with E-Verify employment verification requirements.
