52.212-1 Instructions to Offerors - Commercial Products and Commercial Services (Nov 2025)

FAR 52.212-1 is amended as follows:

Offerors must have an active entity registration in the System for Award Management in order to submit an offer. https://www.sam.gov/SAM/

Offers submitted in response to this solicitation shall include pricing sheet.

Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is "late" and will not be considered unless it is received before award is made and the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition.

Submit offer by email to Erin Scott-James @ erin.scott-james@usda.gov so that it is delivered into this inbox no later than December 17, 2025 at 12:00 PM Pacific Time. Emails should contain 2 separate attachments (Technical Proposal and Price Proposal) in Microsoft Word or Adobe PDF format. Be aware that large attachments may increase the time required to deliver an email. Offerors are responsible for verifying receipt of their quotes to this office before offer due date and time.

Period for acceptance of offers The Offeror agrees to hold the prices in its offer firm for 90 calendar days from the date specified for receipt of offers.

Evaluation and Basis for Award The provision at FAR 52.212-2, Evaluation—Commercial Products and Commercial Service is not applicable to this solicitation. In lieu of this provision, quotes will be evaluated in accordance with FAR

12.203 based on the criteria listed below. Award will be made to the offeror representing the best value to the Government.

Factor 1. Past Performance The Government will assess experience and skill of the firm that is relevant to the specified project within the past three years.

Factor 2. Price The proposed price will be evaluated for reasonableness and will be weighed in conjunction with the technical factors to determine the quote offering the best value to the government.

Evaluation Method The Government will evaluate quotations based on the Lowest Price Technically Acceptable (LPTA) criteria. Only the lowest priced offer will be evaluated for Technical Acceptability.

Should the lowest priced offer not receive an acceptable technical or past performance rating, the process will continue in order of lowest priced offer until the lowest price, technically acceptable offer with acceptable or neutral past performance is identified.

The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

1. Past Performance

2. Price

Factor 1. Past Experience: Using the Past Experience Form, ATTACHMENT 9 – Past Performance Questionnaire, the offeror shall submit information for a maximum of three projects that will be evaluated. If an offeror disregards these instructions and submits more than three projects, only the first three projects will be evaluated. Offerors should describe each project with enough detail to ensure that the Government can meaningfully assess each project submitted.

i. Contract Number

ii. Award Amount

iii. Contractor Name and Telephone Number

iv. Project Title and Description of work performed.

v. Date of Award and Period of Performance

(a) vi. Identify - Prime Contractor or Subcontractor

The Government may utilize any references provided by the Contractor, along with information available from past contracts/orders with the USDA and any information found using sources such as Federal Government sources or the Contractor Performance Assessment Reporting System (CPARS) to determine if the Contractor has acceptable or neutral Past Performance. Past Performance will be evaluated using the following rating system:

• Acceptable: The contractor shows a demonstrated ability to meet contract requirements in prior or current contracts, including quality of work, timeliness, cost control, business relations, and adherence to contract terms.

• Neutral: Offeror does not have a past performance record.

• Unacceptable: The contractor has a documented history of failing to meet contract requirements, including poor quality, missed deadlines, cost overruns, lack of responsiveness, or unethical behavior.

(b) Factor 2. Price: The Offeror shall submit the Schedule of Items (SEE ATTACHMENT 3).

The offeror’s quotation will be evaluated in accordance with FAR 12.204, to determine if it is fair and reasonable.

(c) The Government may determine a quote is unacceptable if the prices quoted are materially unbalanced between line items or subline items. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items is significantly overstated or understated as indicated by the application of cost or price analysis techniques. A quote may be rejected if the Contracting Officer determines that the lack of balance poses an unacceptable risk to the Government.

(d) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding

Page 5 of contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
