I. GENERAL REQUIREMENTS
1. Insurance Requirements
The Consultant shall furnish with the proposal proof of the following minimum insurance coverage as shown in the attached sample Agreement (Exhibit “C”).
These minimum levels of coverage are required to be maintained for the duration of the project.
2. Standard Form of Agreement
The Consultant will enter into an agreement with LBUD based upon the contents of the RFP and the Consultant’s proposal. LBUD’s Agreement is included as Exhibit “C”.
The Consultant shall carefully review the Agreement, especially in regard to the indemnity and insurance provisions, and include with the proposal a description of any exceptions or changes requested to the standard contract. If there are no exceptions, a statement to that effect shall be included in the proposal. There is no guarantee that the exceptions or changes requested would be accepted. The Consultant shall be prepared to state their position on the exceptions or changes to the agreement or all requests will be denied.
3. Disclaimer
This RFP does not commit LBUD to award a contract, or to pay any costs incurred in the preparation of the proposal. The LBUD reserves the right to extend the due date for the proposal, to accept or reject any or all proposals received as a result of this request, to negotiate with any qualified Consultant, or to cancel this RFP in part or in its entirety. LBUD may require the selected Consultant to participate in negotiations and to submit such technical, fee, or other revisions of their proposals as may result from negotiations.

The LBUD will assign a responsible representative to administer the contract, and to assist the Consultant in obtaining information. The Consultant also shall assign a responsible representative (project manager) who shall be identified in the proposal. The Consultant’s representative will remain in responsible charge of the Consultant’s duties from the notice-to-proceed through project completion. Any substitution of representatives or sub-consultants identified in the proposal shall first be approved in writing by the LBUD’s representative. LBUD reserves the right to review and approve/disapprove all key staff and subconsultant substitutions or removals and may consider such changes which are not approved to be a breach of contract.
7. Site Inspection
Consultant is urged to make site visits and examinations so as to become thoroughly familiar with the conditions affecting their evaluation process. Failure to make such additional investigations will not be the grounds for additional claims or for extension of time under the contract and will not relieve the Consultant of responsibility for meeting all requirements of the RFP.

1. RFP shall be consistently evaluated based upon the following criteria:
a. Demonstrated competence;
b. Experience in performance of comparable engagements;
c. Expertise and availability of key personnel;

The LBUD shall not be obligated to accept the lowest priced RFP but shall make an award in the best interest of the LBUD.
B-3
4. The LBUD reserves the right to request clarification of any proposal term from prospective Consultants.
5. The LBUD may conduct formal interviews with a shortlist of Consultants who are considered to be best qualified to perform the contract work.
6. Any contract resulting from this RFP shall not be effective unless and until approved by the LBUD, as applicable.
7. Selected Consultant(s) will be notified in writing. The LBUD will negotiate with the person or entity whose RFP best meets the needs of the LBUD. These negotiations will address a fair and reasonable price for services to be provided and the terms of any contract to be awarded as a result of this RFP. If the LBUD is unable to obtain a fair and reasonable price or cannot reach agreement regarding the terms of a contract, then the LBUD will end negotiations with that person/entity and will begin negotiations with the next person or entity who best meets the needs of the LBUD, and so on until the LBUD reaches agreement with sufficient Consultants to meet its on-call professional engineering needs or withdraws the RFP.
8. Any award is contingent upon the successful negotiation of final contract terms.
Negotiations shall be confidential and not subject to disclosure to competing Consultants unless and until an agreement is reached. If contract negotiations cannot be concluded successfully, the LBUD reserves the right to negotiate a contract with another Consultant or withdraw the RFP.
III. EQUAL EMPLOYMENT OPPORTUNITY
LBUD is an equal opportunity employer and requires the Consultant to comply with policies and regulations concerning equal employment opportunity.
IV. CONTRACT TERMS AND CONDITIONS
