GENERAL INSTRUCTIONS
Your immediate requirements are to submit a firm fixed price proposal for performing the work set forth in the Statement of Work, identified as Appendix “B” to the sample contract included under Enclosure No. 1 to the RFP. Your proposal should also respond to all of the requirements contained in the Enclosures to the RFP, as well as the requirements described in the following paragraphs. Based upon your submission(s) and determination by the Laboratory for any subsequent award, a potential contract similar to that transmitted to you for information purposes, may be transmitted to you.
For ease of evaluation of the proposals by the Laboratory, it is requested that your proposal be segregated into two (2) separate packages: (1) Technical proposal; and (2) Cost/Price and Business Management proposal, including all non-technical portions of your proposal. Detailed instructions for preparation of proposals are outlined in Enclosure No. 5 dated February 16, 2021. Enclosure No. 4 sets forth proposal evaluation criteria and their relative importance.
A. Description of Work
A Total Proposal Amount is being requested as well as a breakout of the proposal into separate prices for Base Work and Optional Work as follows:
1. Base Work
Base work includes all the labor and materials necessary to complete all work associated with siting verification services, reference Statement of Work entitled, “Argonne Utilities Upgrade (AU2) – Subproject 1 Project”, Revision 6 dated July 19, 2021 for a full description of the base work.
2. Options
i. Option No. 1 – Preliminary Design
Option No. 1 includes the labor and materials necessary to complete all work associated with the Preliminary Design services, reference Statement of Work entitled, “Argonne Utilities Upgrade (AU2) – Subproject 1 Project”, Revision 6 dated July 19, 2021 for a full description of the optional work.
The Laboratory may exercise the Option by issuing a unilateral contract modification at any time, but not later than May 31, 2022.
If and when the Laboratory exercises the option, the work shall be completed not later than October 28, 2022.
ii. Option No. 2 – Final Design
Option No. 2 includes the labor and materials necessary to complete all work associated with the Final Design services, reference Statement of Work entitled, “Argonne Utilities Upgrade (AU2) – Subproject 1 Project”, Revision 6 dated July 19, 2021 for a full description of the optional work.

October 13, 2023.
iii. Option No. 3 – Construction Administration

The Laboratory may exercise the Option by issuing a unilateral contract modification at any time, but not later than June 30, 2024.
December 31, 2026.
3. Evaluation of Options
The Laboratory will evaluate cost proposals by adding the Option Prices and the Base Work Price. Evaluation of the Options does not obligate the Laboratory to exercise the Options.
The Laboratory may reject a proposal as nonresponsive if the prices proposed are materially unbalanced. A proposal is materially unbalanced when it is based on prices significantly less than cost for some work and prices which are significantly overstated in relation to cost for other work, and if there is a reasonable doubt that the proposal will result in the lowest overall cost to the Laboratory even though it may be the low evaluated proposal, or if its is so unbalanced as to be tantamount to allowing an advanced payment.
Offerors shall submit pricing for the Base Work and all Optional Work.
B. General Terms and Conditions
Enclosure No. 1 represents the anticipated contractual vehicle, including standard terms, provisions, and scope of work. This enclosure was provided for your information and review. Unless notified during any subsequent negotiations, these documents will be included in any resultant agreement. Any request for deviation or waiver from terms or conditions provided herein must be addressed in writing with your response. Your request must specify the particular term or condition that you desire altered, changed or deleted. Identify the basis of your request. Such exceptions, deviations or conditional assumptions will not of themselves automatically cause a proposal to be deemed unacceptable to the Laboratory. However, a large number of exceptions or one or more significant exceptions not providing benefit to the Laboratory may result in rejection of your proposal(s) as unacceptable.
C. Representations and Certifications
Enclosure No. 2 should be reviewed, completed, and returned with your price submission. Ensure that you have signed and dated the document on the last page.
D. Rights in Proposal Data
Offerors should indicate on the first page and all subsequent pages of their proposal those sections, paragraphs or areas which they consider to be proprietary or otherwise considered confidential (see enclosure entitled, "Representations and Certifications" second page Notice, and pages 14 and 15).
Such marking should be limited in scope to information the disclosure for which would cause substantial harm to the competitive position of the offeror. Argonne reserves the right to review, cancel and ignore such markings consistent with FAR 52.227-14(e)&(f). Pursuant to FAR 52.227- 14 and FAR 52.227-23, the Laboratory and Government shall have certain rights to further use and disclose technical information contained in the proposal.
E. Cost/Pricing Data
Enclosure No. 3 is a pricing format to be used when submitting your price estimates. Full disclosure on the development of each cost element is required. Instructions have been provided to assist you in costing preparation. You are to complete a separate PD-9 for the base work and each option.
Dependent upon the institutional composition of your firm, the following is also presented to assist you in cost development:
1. In the case of corporate structures, all elements of cost, such as base labor rate, hours, overhead, benefits, G & A, travel, ODC, profit/fee (if any, as applicable), etc., shall be broken out and itemized to facilitate an understanding of your total estimate(s).
2. The instructions represent the type of detail desired, regardless of how it is approached.
If subcontract opportunities or the use of outside consultants is considered, full costing information shall be required to substantiate their hourly or daily rate/fee. Therefore, the names of firms, addresses, contract number or work identity annotation, and name and telephone number of an individual contact shall be required.
F. Submission, Modification, Revision, And Withdrawal Of Proposals
1 Proposals and modifications to proposals shall be submitted electronically to jpiechocinski@anl.gov. Award may be made without discussions; and hence, your proposal should be submitted initially on the most favorable terms. Any subsequent award issued by the Laboratory shall be constituted in writing from authorized representatives of the Laboratory that are authorized to issue contracts or agreements or bind the Laboratory to any form of agreement or understanding. K. Period of Performance
All work associated with the Base Scope of Work shall be completed no later than April 1, 2022.
Award is anticipated on or about November 24, 2021.
L. Design Within Funding Limitations
(a) The Contractor shall accomplish the design services required under this contract so as to permit the award of a contract, using standard Federal Acquisition Regulation procedures for the construction of the facilities designed at a price that does not exceed the estimated construction contract price as set forth in paragraph (c) of this clause. When bids or proposals for the construction contract are received that exceed the estimated price, the Contractor shall perform such redesign and other services as are necessary to permit contract award within the funding limitation. These additional services shall be performed at no increase in the price of this contract.
However, the Contractor shall not be required to perform such additional services at no cost to the Laboratory if the unfavorable bids or proposals are the result of conditions beyond its reasonable control.
(b) The Contractor will promptly advise the Laboratory Procurement Official if it finds that the project being designed will exceed or is likely to exceed the funding limitations and it is unable to design a usable facility within these limitations. Upon receipt of such information, the Laboratory Procurement Official will review the Contractor’s revised estimate of construction cost. The Laboratory Procurement Official may, if it determines that the estimated construction contract price set forth in this contract is so low that award of a construction contract not in excess of such estimate is improbable, authorize a change in scope or materials as required to reduce the estimated construction cost to an amount within the estimated construction contract price set forth in paragraph (c) of this clause, or the Laboratory Procurement Official may adjust such estimated construction contract price. When bids or proposals are not solicited or are unreasonably delayed, the Laboratory Procurement Official shall prepare an estimate of constructing the design submitted and such estimate shall be used in lieu of bids or proposals to determine compliance with the funding limitation.
(c) The estimated construction contract price for the base scope of work as described in this contract is from $95,000,000.00 to $105,000,000.00, with a target of $100,000,000.00.
