(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

FAR 52.216-18 Ordering (Aug 2020)

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from January 1, 2025 through December 31, 2025.

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c) A delivery order or task order is considered "issued" when—

(1) If sent by mail (includes transmittal by U.S. mail or private delivery service), the Government deposits the order in the mail;

(2) If sent by fax, the Government transmits the order to the Contractor's fax number; or

(3) If sent electronically, the Government either—

(i) Posts a copy of the delivery order or task order to a Government document access system, and notice is sent to the

Contractor; or

(ii) Distributes the delivery order or task order via email to the Contractor's email address.

(d) Orders may be issued by methods other than those enumerated in this clause only if authorized in the contract.

FAR 52.216-19 Order Limitations (Oct 1995)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than 15 tons, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor-

(1) Any order for a single item in excess of 120 tons;

(2) Any order for a combination of items in excess of 120 tons; or

(3) A series of orders from the same ordering office within 30 days that together call for quantities exceeding the limitation in paragraph (b)(1) or (2) of this section.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition

Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 14 days after issuance, with written notice stating the Contractor’s intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

FAR 52.216-22 Indefinite Quantity (Oct 1995)

(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the "maximum." The Government shall order at least the quantity of supplies or services designated in the Schedule as the "minimum."

(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor’s and Government’s rights and obligations with respect to that order to the same extent as if the order were completed during the contract’s effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after December 31, 2025.

AGAR 452.204-70 Modification for Contract Closeout (Oct 2024) Upon contract closeout for contracts utilizing anything other than cost reimbursement:

(a) If unliquidated funds in the amount of $1000 or less remain on the contract, the Contracting Officer (CO) shall issue a unilateral modification for deobligation. The contractor will receive a copy of the modification but will not be required to provide a signature. The CO shall immediately proceed with contract closeout upon completion of the period of performance, receipt and acceptance of supplies or services, and final payment.

(b) Upon contract closeout for contracts utilizing SAP: if unliquidated funds of more than $1000 remain on the contract, the CO shall issue a bilateral modification for deobligation. The contractor will receive a copy of the modification and will be required to provide a signature. (The CO may also request a “Contractor Release of Claims” be completed by the contractor, although not required for contracts and orders using SAP.) If the bilateral modification and Release of Claims are not returned to the CO within 60 days, the CO shall release the modification as unilateral and proceed with contract closeout upon completion of the period of performance, receipt and acceptance of supplies or services, and final payment.

(c) Upon contract closeout for contracts utilizing anything other than cost reimbursement, if unliquidated funds of more than

$1000 remain on the contract, the CO shall issue a bilateral modification for deobligation. The contractor will receive a copy of the modification and a “Contractor Release of Claims” and will be required to provide a signature on both forms. If the bilateral modification and Release of Claims are not returned to the CO within 120 days, the CO shall release the modification as unilateral and proceed with contract closeout upon completion of the period of performance, receipt and acceptance of supplies or services, and final payment.

Notice: The Contracting Officer (CO) has the overall responsibility for the administration of awards. The CO alone, without delegation, is authorized to take actions on behalf of the Government to amend, modify or deviate from the award terms, conditions, requirements, specifications, details and/or delivery schedules; issue task orders against the contract; make final decisions on disputed deductions from contract payments for nonperformance, or unsatisfactory performance; terminate the contract for convenience or default; and issue final decisions regarding contract questions or matters under dispute. However, the CO may delegate certain other responsibilities to the CO Contracting Officer’s Representatives (COR). All delegated duties will be specified in writing by a COR Appointment and Delegation Notice.

Statement of Work Project: Small Square Straw Bales

GENERAL INFORMATION

1.0 Scope of Work:

Provide small square straw bales to the Animal Resources Unit of the USDA Laboratory from 01/01/2025 to 12/31/2025 for a minimum of 15 tons and a maximum of 120 tons.

2.0 Background:

The mission of the USDA-ARS National Animal Disease Center Animal Resources Unit in Ames, IA is to provide animal care and support services for internal users that rely on animal products for research, testing and training. Fresh, clean, high quality straw small bales are required for daily care and ensuring of animal well-being of a variety of animals used in laboratory research at the USDA Laboratories in Ames, IA.

VENDOR REQUIREMENTS

3.0 Technical Specifications:

The straw shall be US Grade No. 1, wheat or oat straw in accordance with the “Handbook of Official Hay & Straw Standards”, revised effective July 1, 1949, of the United States Department of Agriculture, Production and Marketing Administration, Grain Division.

The straw must be from year 2024 or 2025 crop and meet the specifications listed below.

No straw will be accepted that is of poor construction, moldy, weathered, weedy, wet, or shows evidence of storage on dirt floor. Straw shall not contain foreign material that may be injurious to livestock.

The straw shall be satisfactorily baled with wire or rot-proof twine. Bales that are ragged, bales shorter than 36" or longer than 48", and bales having wires or twine of unequal tension, which makes it difficult to handle, will not be acceptable. ROUND BALES WILL NOT BE ACCEPTABLE. Bales must weigh between 45 and 65 pounds each.

Quantity Minimum: 15 tons – Anticipated Maximum: 120 tons.

Vendor must accept credit cards as a payment method.

4.0 Storage:

If the bales are not delivered directly from the field then the vendor must store the straw at NO additional cost to the Government until such time as all deliveries have been made and the contract has been completed.

5.0 Delivery/Schedule:

The vendor shall provide all resources necessary to accomplish the tasks and deliverables described herein. Delivery shall be direct from fields or barns via clean vehicles not used for transportation of livestock. Shipment by rail is not acceptable.

Deliveries shall be made to: USDA, ARS, MWA, NADC, 1920 Dayton Avenue, Building 13, Ames, Iowa 50010. Deliveries shall be made during normal business hours of 7:30 a.m.

through 2:00 p.m. (CST) Monday through Friday, excluding Federal holidays.

Federal holidays include New Year's Day, Martin Luther King Jr.’s Birthday, Presidents’ Day, Memorial Day, Juneteenth, Independence Day, Labor Day, Columbus Day, Veterans’ Day, Thanksgiving Day, and Christmas Day. In addition to the days designated Federal Holiday, the Government may observe additional days in accordance with 5 USC 6103. If the date of a Federal Holiday falls on a Saturday, the Observance of the Federal Holiday shall be the preceding Friday. If the date of a Federal Holiday falls on a Sunday, the Observance of the Federal Holiday shall be the following Monday

The vendor shall make deliveries within five (5) business days after receipt of a telephone or written order from an authorized Government employee. Vendor to confirm delivery timeline within 3 business days of an order being fulfilled. It is required that vendor call TBD at time of award at least 48 hours prior to deliver. If the delivery date falls on a Federal Holiday or the Observance of a Federal Holiday, then the delivery is to be made on the next business day. Partial deliveries of a minimum quantity may be requested.

It is required by the ICC that both the empty and loaded weight must be obtained from the same weighing station. The Vendor shall provide the Government with a certified copy of the loaded weight ticket at the time of each delivery, which must be obtained at an Official Weighing Station with the firm’s name inscribed on the weigh ticket.

A DELIVERY TICKET must accompany the weigh ticket also, allowing for a signature of a person making the delivery and a signature of government personnel receiving the delivery. The delivery ticket must list the number of bales per load.

The Vendor shall be responsible for unloading and stacking the straw in an area and manner as designated by the Government.
