Appendix F – Legal Requirements, Regulatory Compliance and References Questionnaire

This is a questionnaire document for the Employees Retirement System of Texas (ERS) Request for Qualifications (RFQ) to provide public equity investment advisory services under RFQ No. 26-15426-001. The appendix serves as a compliance and qualification assessment tool requiring prospective vendors to demonstrate their legal standing, regulatory compliance history, and professional references. Respondents must provide comprehensive documentation regarding their firm's registration status with relevant regulatory bodies, including the Securities and Exchange Commission (SEC), Financial Industry Regulatory Authority (FINRA), and state securities regulators. The questionnaire requires detailed disclosure of any regulatory investigations, enforcement actions, disciplinary proceedings, or compliance violations within specified lookback periods. Additionally, vendors must provide verifiable references from current and former clients of comparable size and investment complexity to substantiate their experience managing public equity portfolios and advisory services.

The questionnaire emphasizes ERS's due diligence requirements to ensure vendor integrity and operational competency in managing significant retirement assets. Respondents must disclose information regarding their firm's organizational structure, key personnel responsible for service delivery, insurance coverage including errors and omissions insurance, business continuity plans, and cybersecurity protocols. The document requires attestation of compliance with applicable federal and state laws, including fiduciary duty requirements under the Employee Retirement Income Security Act (ERISA) where applicable. References must include contact information allowing ERS to conduct independent verification of vendor performance, client satisfaction, and service quality. This questionnaire component establishes baseline qualification standards and risk mitigation measures essential for ERS's selection of qualified investment advisory service providers.
