About this file
This is a Consultant Agreement (Design) template issued by the City of Long Beach, California through its Office of the City Attorney. The agreement establishes terms and conditions for engaging a consultant to provide specialized design services. The scope of work, rates, and other specific project details are to be detailed in Exhibit "A" and Exhibit "B," which are incorporated by reference. The consultant is expected to furnish all labor, supervision, supplies, materials, tools, and equipment necessary for performance, except as specified in the exhibits. The agreement contemplates that the consultant will select the time and place of performance, provided that access to city documents and records occurs during normal business hours and that any performance milestones are met. The consultant is required to provide regular invoices detailing services performed, time expended, and project progress, along with a progress report accompanying each invoice. The term of the agreement commences and terminates on dates to be specified by the parties, unless sooner terminated or upon project completion.
The consultant's compensation is not to exceed a maximum amount specified in the agreement and is contingent upon city council appropriation of necessary funds for each fiscal year (October 1 through September 30). Payment is made following receipt and approval of invoices certifying conformance with the agreement. The agreement requires the consultant to maintain comprehensive insurance coverage, including commercial general liability ($1,000,000 per occurrence/$2,000,000 aggregate), workers' compensation ($1,000,000), professional liability/errors and omissions ($1,000,000 per claim), and commercial automobile liability ($500,000 combined single limit). All data, materials, and work product prepared under the agreement become the exclusive property of the city. The consultant must comply with all applicable laws, including the city's Equal Benefits Ordinance and nondiscrimination requirements. Either party may terminate the agreement for any reason with fifteen calendar days' notice, with the city obligated only to pay for satisfactorily performed services and costs incurred through the termination date.
