Authorization & Certification Template for City of Long Beach Request for Proposals

This document is an Authorization and Certification form template for the City of Long Beach used in Request for Proposals (RFP) submissions. The form establishes the legal framework and compliance requirements that proposers must acknowledge when submitting bids to the City. Signatories must confirm they are authorized to submit proposals on behalf of their organization, with authorization requirements varying by business entity type: sole proprietors and limited liability companies require one signature, partnerships require general partner signatures, and corporations require either two officer signatures or one signature accompanied by a certified corporate resolution. Proposers certify that they have read and will comply with all terms and conditions specified in the RFP, agree to abide by the City of Long Beach Vendor Code of Conduct, and confirm that all required documents have been uploaded and labeled correctly in the Long Beach Buys system. The proposal is submitted as a firm and fixed offer valid for 90 days from the submission deadline, and proposers acknowledge that failure to submit all required documentation will result in being deemed nonresponsive.

The form requires proposers to certify that bids are genuine and not the result of collusion or sham bidding, and that neither the organization nor its members have conflicts of interest in the selection, award, or administration of the contract. Additionally, since City contractors may receive federal grant funds, proposers must comply with Executive Order No. 12549 and Title 2 CFR Part 180 Subpart C by certifying that they and their principals are not currently suspended, debarred, or ineligible for federal funds; have not been suspended, debarred, or declared ineligible within the preceding three years; do not have a proposed debarment proceeding pending; have not been indicted or convicted of fraud or misconduct within three years; and have not had public transactions terminated for cause or default within three years. The form includes provisions requiring written notice within 21 days of any reorganization, management turnover, or change in principals' status. A separate section allows proposers to document any exceptions to terms and conditions for potential negotiation, with the explicit notation that the City has no obligation to accept exceptions and that any award is contingent upon successful negotiation of final contract terms.

Exceptions to Terms & Conditions

EXCEPTIONS TO TERMS AND CONDITIONS (IF APPLICABLE)

Exceptions to terms and conditions are uncommon, and Proposers are not encouraged to take exception to terms and conditions. However, in the event there are terms that should be reviewed as part of potential negotiation of a final contract, they should be listed here. The City of Long Beach has no obligation to accept any exceptions to terms and conditions. Any award is contingent upon the successful negotiation of final contract terms. If contract negotiations cannot be concluded successfully, the City reserves the right to negotiate a contract with another Contractor or withdraw the RFP.
