Awards resulting from this RFP will be made on a Firm Fixed Price basis.
B.3 S&S:
B.3.1 Surge requirements are addressed in the GTP contract and will be supported by the GTP Integrator with supply support from the Vendor Contract(s). Vendor S&S supply support is not to be provided through inventory build-up, but through the smallest possible lead times needed to supply all surge requirements. In supporting S&S through the GTP Integrator or Direct Buys for tires identified under the CLIN 9000 series, the Vendor shall submit a capability assessment plan (CAP), pricing, and delivery terms that provide for expedited scheduling and production of tires to meet the surge requirements.
B.3.2 S&S capability is defined as the ability of the Vendor to meet increased demand quantities and accelerated delivery requirements in support of any possible contingencies. This ability includes a capacity to ramp-up quickly to meet early requirements (surge), as well as to sustain an increased pace throughout the contingency (sustainment). The spectrum of possible contingencies includes smaller-scale contingency operations up to major theatre warfare.
B.3.3 The items in Attachment B-3 have been identified as items for which S&S requirements apply. See applicable DLA Proc Notes: DLA Proc Note C06, DLA Proc Note L18 and DLA Proc Note M07.
B.3.4 The Monthly Wartime Rate (MWR) is the surge quantity, which is a quantity above normal requirements that may be ordered by the Government in a military contingency. The Government is not obligated to order any of the surge quantities and the Vendor should not ship such quantities without receipt of an order clearly designated for surge quantities. The MWR is expressed as a 30-day recurring surge quantity requirement for S&S tires.
B.3.5 S&S figures are identified in Attachment B-3, and offerors shall submit surge pricing, stated as a percentage of increase to each new tire CLIN identified in Attachment B-2, and delivery terms in the columns indicated therein.

B.3.6 S&S orders placed by the GTP Integrator with the Vendor under this section shall be prominently marked as “Surge and Sustainment,” and must comply with FAR 52.216-19. Within one (1) business day of receiving an S&S DO the Vendor shall obtain in writing a confirmation from the Contracting Officer or Designee that it has received a “Surge and Sustainment” DO. This confirmation authorizes the Vendor to fill the S&S DO in accordance with the terms and conditions that are in attachment B-3. The Vendor may invoice the GTP Integrator using the applicable CLIN series price. All other terms and conditions remain unchanged, except as affected by the DLA Procurement Notes referenced in B.3.3 above.
B.4 MIL-DTL-4M dated 10 January 1997
B.4.1 Tires with flaps:
Flaps shall be rolled and placed inside the tire. When the size of the rolled flap and normal distance between beads assure that flap will remain in place during normal handling and transportation, no tying is required. When the size of the rolled flap is such that it will not be securely held within the tire, it shall be secured within the tire using twine conforming to A-A-228 or A-A-145 1, or nonmetallic strapping conforming to ASTM D3950, in such a manner as to assure safe delivery. When it is too difficult to insert the rolled flap within the tire, it shall be secured within the tire in the normal installed position. Safe transportation shall be ensured by securing flaps within the tire using twine conforming to A-A-228 or A-A-145 1, or nonmetallic strapping conforming to ASTM D3950.

C.2.4.2 Unless otherwise agreed between the GTP Integrator and Vendor, within 10 days of the date the GTP Integrator delivery order was issued, the GTP Integrator shall deliver to the Vendor a quantity of carcasses necessary to support GTP Integrator demands. The Vendor's delivery requirement as cited in Attachment B-2 Pricing and Delivery Spreadsheet shall start from the date of GTP Integrator carcass delivery to the Vendor.
C.2.4.3 The Vendor(s) is responsible for all tire carcass inventory from receipt of the retreadable carcasses until GTP Integrator acceptance, as defined at C.2.4 or Vendor determination that a NRFI reparable tire is beyond physical repair (BPR) or beyond economical repair (BER).
C.2.4.4 The Vendor(s) has the authority to make the final determination that a NRFI reparable tire is BPR or BER in accordance with the latest revisions of MIL-DTL-7726 to repair or scrap reparable tire carcasses. Any carcass deemed BPR or BER, fails Vendor retreader testing procedures, or falls-out during the Vendor retread process is therefore determined scrap, and shall be disposed of by the Vendor(s) in accordance with all Federal, State and/or local regulations outlined at C.10.2 and its sub-sections below.
C.2.4.5 The Vendor will attempt to retread the total quantity of carcasses delivered to the Vendor. For example, if the GTP Integrator delivers 150 carcasses to the Vendor for retread execution, all 150 carcasses shall be inspected, tested and, if they pass inspection and testing, retreaded in accordance with the technical requirements identified herein and attached. During said inspection, testing and retread processing, 50 carcasses are deemed scrap by the Vendor. The Vendor shall supply 100 retreaded tires to the GTP Integrator and invoice the GTP Integrator for 100 retreaded tires against the unit price established in the Vendor award. The 50 carcasses deemed scrap shall be disposed of in accordance with C.10 and its subparts below and reported per C.11 below.
C.2.5 INSPECTION AND ACCEPTANCE:
C.2.5.1 The GTP Integrator shall conduct a “Kind, Count and Condition” (KCC) inspection prior to acceptance of the Vendor supplied tire(s). Inspection and Acceptance shall not exceed five (5) business days after delivery to the GTP Integrator. Acceptance of tire(s) by the GTP Integrator under this provision does not constitute acceptance on behalf of the Government. This acceptance is the GTP Integrator determination that the tire(s) is suitable for use in its performance under the resulting GTP contracts. Compatible terms are contained in the GTP Integrator's contracts.
C.2.5.1 KCC inspection shall constitute an evaluation of the quality of every tire and consist of the following:
C.2.5.1.1 Kind:
C.2.5.1.1.1 Visual identification of at least one (1) tire per the item description, verification of the part number, contract number and NSN; all as specified in the Vendor Contract.
C.2.5.1.2 Count:
C.2.5.1.2.1 Visual confirmation of the contents of the total number of packages per line item so as to conclude that the total number of packages received appears to amount to the total quantity specified in the DO.
C.2.5.1.3 Condition:
C.2.5.1.3.1 Visual verification of physical appearance of the exterior of the tire to determine if the tire visually meets the terms and condition that are in the Vendor Contract.
C.2.5.2 Should the GTP Integrator's system determine a “Kind” and/or “Count” non-conformance upon inspection of a tire, the GTP Integrator shall notify, in writing, the Contracting Officer and the Vendor. The GTP Integrator shall provide sufficient documentation/information to support the non-conformance along with a requested disposition. The GTP Integrator shall exercise its best effort to resolve any issue or controversy that arises between the GTP Integrator and the Vendor relating to “Kind” and/or “Count” non-conformance issues. A best effort attempt to resolve an issue or controversy shall include prompt and informed engagement by the appropriate level of management by the GTP Integrator with the Vendor. The GTP Integrator shall act in good faith, by being proactive with nonconformance issues and providing solutions to resolve the issues that are acceptable to all parties.
C.2.5.2.1 In the event, the GTP Integrator believes it will not be able to acceptably resolve such an issue or controversy before it impacts the Government, the GTP Integrator shall promptly raise the issue to the Contracting Officer. This will allow the Contracting Officer the opportunity to resolve the issue or controversy by taking the appropriate actions, as the Contracting Officer sees fit, under the terms and conditions of the GTP/Vendor contracts. The Contracting Officer will initiate the resolution with the Vendor(s) within 10 business days of receiving notification from the GTP Integrator. Upon concluding the Government's review of the ““Kind” and/or “Count” non-conformance, the Contracting Officer will provide disposition instructions regarding the nonconforming tire(s).
C.2.5.3 Should the GTP Integrator's system determine a “Condition” nonconformance upon inspection of a tire, the GTP Integrator shall notify, in writing, the Contracting Officer and the Vendor. The GTP Integrator shall provide sufficient documentation/information to support the nonconformance along with a requested disposition. The GTP Integrator shall exercise its best effort to resolve any issue or controversy that arises between the GTP Integrator and the Vendor relating to a “Condition” non-conformance issue. A best effort attempt to resolve an issue or controversy shall include prompt and informed engagement by the appropriate level of management by the GTP Integrator with the Vendor(s). The GTP Integrator shall act in good faith, by being proactive with non- conformance issues and providing solutions to resolve the issues that are acceptable to all parties.
C.2.5.3.1 In the event, the GTP Integrator believes it will not be able to acceptably resolve such an issue or controversy before it impacts the Government, the GTP Integrator shall promptly raise the issue to the Contracting Officer. This will allow the Contracting Officer the opportunity to resolve the issue or controversy by taking the appropriate actions, as the Contracting Officer sees fit, under the terms and conditions of the GTP/Vendor(s) contracts. The Contracting Officer will initiate the resolution with the Vendor(s) within 10 business days of receiving notification from the GTP Integrator. Upon concluding the Government's review of the “Condition” non- conformance, the Contracting Officer will provide disposition instructions regarding the nonconforming tire(s).
C.2.5.4 The GTP Integrator is not permitted to reject a conforming tire from the Vendor provided the supplied tire meet the terms and conditions of the Vendor Contract.
C.2.6 PAYMENT:
C.2.6.1 The GTP Integrator shall make payment(s) to the Vendors under NET 30 terms from the date it receives a proper invoice, pursuant to FAR 8.105 subpart “Contractor Use of Government Supply Sources” or in accordance with the payment terms established in the Vendor Contract.
C.2.6.1.1 For purposes of Vendor payment from the GTP Integrator, a proper invoice shall include, at a minimum, the following elements:

C.2.6.3 If the GTP Integrator fails to pay the Vendor for conforming tires, the Contracting Officer may authorize payment by the Government directly to the Vendor. The Government will then reduce the amount paid on future DOs that are submitted by the GTP Integrator. The Government may also charge an additional 10% administrative fee based on the amount paid to the Vendor.
C.2.6.3.1 Failure to pay by the GTP Integrator does not apply to the following scenarios:
C.2.6.3.1.1 For tires that the Vendor fails to deliver.
C.2.6.3.1.2 For tires that do not pass GTP Integrator Inspection/Acceptance.
C.2.6.3.1.3 For tires in which the Vendor does not deliver a proper invoice to the GTP Integrator as shown in section C.2.6.1 and its subparts above.
C.2.7
WARRANTY RETURNS AND CUTOMER RETURNS:
C.2.7.1 All returns will be handled by the Contracting Officer or Designee on a case by case basis.
C.2.7.2 Notwithstanding any previous inspection and/or acceptance by the Government, the Vendor warrants all tires covered by this contract shall be free from defects and fully usable in accordance with its operational application and the specifications set forth in this solicitation (to include any attachments and amendments) and consistent with the requirements at C.2.5 and C.2.7 and their subparts. This is in addition to, and not in abrogation of, any commercial or other warranty on the tires.
C.2.7.3 In the event of a customer return due to a defect or damage, the Government will investigate to assess the failure and determine cause for the defect and initiate the corrective action and return, if applicable.
C.2.7.4 Payment for Returned Tires:
C.2.7.4.1 The GTP Integrator shall bear the initial costs associated with the return and replacement of a nonconforming tire. In the event the Government's investigation determines the Vendor is responsible for the defect or failure, the Vendor shall reimburse the GTP Integrator the costs associated with the returned tire. The Vendor shall be liable for manufacturer defects or damage occurring before delivery to the GTP Integrator. In the event the Government's investigation determines the GTP Integrator is responsible for the defect or failure, the GTP Integrator shall reimburse the Government the costs associated with the returned tire. The GTP Integrator shall be liable for damage to the tire occurring after receipt of acceptance due to the GTP Integrator's handling, storage, and/or shipment of the tire to the Government end user.

The Contracting Officer will initiate the resolution with the GTP Integrator within 10 business days of receiving notification from the Vendor.
C.2.10 Any additional commercial contract requirements established between the GTP Integrator and the Vendor shall be the responsibility of the two (2) parties. In order to maintain the integrity of the GTP, all agreements shall be provided to the Contracting Officer, in writing, to ensure said agreements are not in conflict with the terms and conditions of the applicable GTP contracts. The Government is not a party to any such agreement. No disputes over terms or conditions negotiated between the GTP Integrator and the Vendor beyond the Government's contract terms and conditions shall justify delay on the performance of the Vendor Contract.
C.3
TERM:
The period of performance shall be from the Contract Effective Date listed for each individual CLIN until 19 August 2036.
The terms “Award Date” and “Contract Effective Date” are defined below:
Award Date: The date the Contracting Officer signs the properly executed award document is the Award Date. This date can be found in Block 31c of the SF1449 for this award.
Contract Effective Date: (Block 3 of SF1449) or if stated on individual CLIN basis, it will be listed in Attachment B-2.

REPRESENTATION:
By submitting a proposal in response to this RFP, the Offeror agrees to provide items in accordance with the descriptions in Attachment B-1 and that the items supplied are from the approved source(s) identified in Attachment B-2, to include this attachment as amended or modified in any resulting contract.
C.5 SPLIT AWARD CANDIDATE CLINs:
C.5.1 CLINs that have been identified as “Split Awards” are listed on the Section B spreadsheet (Attachment B-2). All Aircraft tires, new and retread, that have multiple sources are “split award” candidates. All CATL, Code and Part and Ground ZZT tires that have an ADQ greater than 1500 with multiple sources are also “split award” candidates. A contract may be awarded to multiple Vendors on the same CLIN in accordance with M.2.2 below.
C.5.2.
“Split Awards” CLINs will be awarded using the technical evaluation criteria in Section M. Contract(s) may be awarded to one (1) or more offeror(s) in accordance with M.2.2.
C.5.3 If a split award is made, the successful offeror(s) will each receive a requirements contract for a specific percentage of the demands pursuant to FAR 52.216-21(c), as determined under M.2.2.
C.5.4 In the event a Vendor is unable to perform on a DO in accordance with its applicable split award allocation, the Contracting Officer may authorize the GTP Integrator to issue a DO to the other split award Vendor that is in excess of that Vendor's split award allocation. DOs authorized by the Contracting Officer under this paragraph to the other split award Vendor shall not count towards the percentage allocation requirements of that Vendor's contract.
C.5.5 If a split award is made and the Vendor is unable to perform due to R-level capability restrictions, the split award allocation percentages would be limited to the Vendor retread capabilities. For example, when a retread CLIN is split between Vendor 1 (70%) and Vendor 2 (30%), but Vendor 2 can only perform retreading for tire carcasses R-1 and below, the following split award allocations would apply: Vendor 2 would receive 30% of all R-1 and below tire carcasses; Vendor 1 would receive 70% of all R-1 and below, AND all R-2 or higher NRFI tire carcasses. For example, when a retread CLIN is split between Vendor 1 (70%) and Vendor 2 (30%), but Vendor 2 can only perform retreading for tire carcasses R-2 and below, the following split award allocations would apply: Vendor 2 would receive 30% of all R-2 and below tire carcasses; Vendor 1 would receive 70% of all R-2 and below, AND all R-3 or higher NRFI tire carcasses, etc.
