About this file

This is a Performance Bond template document issued by the County of Orange, California, for use in securing faithful performance of county contracts. The bond requires contractors to obtain surety coverage in an amount equal to or exceeding the estimated contract value, with the surety company authorized to conduct business in California. The bond obligates the principal contractor and surety to jointly and severally perform all covenants, conditions, and agreements specified in the underlying contract, with performance to be completed according to contract specifications and timelines. The surety waives notice of any changes, extensions of time, alterations, or additions to contract terms and agrees that such modifications will not affect its bond obligations. Execution requires notarized signatures from both the contractor and surety representative, approval by the County's CEO or Risk Management office, and approval as to form by the Orange County Office of the County Counsel.

The bond document specifies that the surety must indemnify and defend the County with approved counsel and hold the County harmless from liability. In the event of contractor default, the County may enforce the bond obligation and recover all costs, reasonable expenses, and attorney fees incurred in enforcement, which shall be taxed as costs in any resulting judgment. For corporations entering into contracts with Orange County, California Corporations Code Section 313 requires either two authorized signatories (such as the chairman, president, or vice president paired with the secretary, CFO, or treasurer) or a single officer whose authority to bind the corporation is evidenced by corporate resolution. The bond premium amount and rate per thousand of contract price are to be specified by the surety based on the estimated contract value.
