About this file

This is a Performance Bond template document for the County of Orange, California, used in conjunction with a competitive invitation for bids (IFB) for Mango Languages, an online language learning software platform subscription. The bond is required to ensure faithful performance of the contract by the winning bidder. The contractor must submit a surety bond with a penal sum amount determined by the contract value, and the bond must remain in effect throughout the contract term, which runs from May 1, 2026, through April 30, 2031 (five years). The bond obligates both the principal (contractor) and surety to indemnify and defend the County against any breach of contract obligations, with the surety waiving notice of any contract modifications, extensions, or alterations. The surety's signature must be notarized and the certificate of notarization attached to the executed bond document.

The bond premium is calculated at a specified rate per thousand dollars of the total contract price, with the exact premium amount to be inserted upon execution. The surety company must be duly authorized to transact business under California law and must have its name typed or stamped above the surety representative's signature line. Execution requires compliance with California Corporations Code section 313, specifying either two authorized corporate officers of appropriate ranks or one officer with documented authority to bind the corporation. The County's Risk Management division and Office of the County Counsel must approve the bond as to surety limits and form respectively. The bond covers not only contract performance but also reasonable costs, expenses, and fees incurred by the County in enforcing the bond obligation, which may be taxed as costs in any judgment rendered against the contractor or surety.
