About this file
This is a Faithful Performance Bond template from the County of Orange, California, required for contractors engaged in public works projects with the County. The bond serves as a guarantee that the principal contractor will faithfully perform all obligations under their contract with the County and comply with all covenants, conditions, and agreements. The bond must be executed jointly and severally by the principal contractor and a surety company authorized to conduct business in California, with the surety's signature notarized and accompanied by a certificate of notarization. The bond amount is penal in nature and is set at a specific dollar amount determined by the contract value, with the premium calculated at a stated rate per thousand dollars of the contract price.
The bond obligates the contractor and surety to indemnify and defend the County and its officers and agents with County-approved counsel, as well as save them harmless from any breach or non-performance. The surety waives notice of any changes, extensions of time, alterations, or additions to contract terms, specifications, or work scope, stipulating that such modifications will not affect its obligations under the bond. Upon successful enforcement of the bond obligation by the County, all costs, reasonable expenses, and fees incurred are to be taxed as costs and included in any judgment rendered. Execution requires compliance with California Corporations Code Section 313, mandating either signatures from two corporate officers with specific titles or a single officer's signature accompanied by written evidence of authority, such as a corporate resolution. The bond must be approved by the County's CEO/Risk Management office and reviewed as to form by the Office of County Counsel.
