About this file
This is a PCI Contract Addendum for the University of Wisconsin-Milwaukee regarding cardholder data protection and security requirements for vendors providing services to the university. The addendum establishes comprehensive security and confidentiality obligations for vendors handling protected cardholder information in connection with UWM's mobile parking payment solutions initiative. The contract requires vendors to implement and maintain security measures across all systems, including computer systems, networks, servers, and databases, while maintaining secure backups and implementing secure password protocols. Vendors must certify compliance with FISMA certification and accreditation standards consistent with low-impact information systems as defined by Federal Information Processing Standards Publications 199 and 200, as well as compliance with the Federal Privacy Act of 1974 and PCI-DSS security standards and cloud computing guidelines.
The addendum establishes vendor responsibility for detecting fraudulent activity and promptly notifying UWM of any security breaches within 24 hours of discovery. In the event of a security breach, vendors must conduct forensic investigations, provide UWM access to security logs and investigation files, develop acceptable remediation plans, and cooperate with UWM on third-party inquiries. Vendors are required to indemnify and hold harmless UWM from all losses, damages, and related expenses resulting from security breaches, with enhanced indemnification obligations when breaches result from vendor negligence, intentional actions, or product flaws. Vendors must maintain written policies governing access to and dissemination of protected information and provide copies to UWM upon contract execution and upon any policy updates. The addendum terms survive contract termination and continue until the vendor no longer possesses protected information, and the addendum applies to the current service term and any renewals thereof.
