(1) Compliance with Terms and Conditions. Offerors are cautioned to submit sufficient information in the format specified in the instructions located in FAR 52.212-1, Instructions to Offerors -- Commercial Items and FAR 52.212-1 Instructions to Offerors – Commercial Items Addendum. Failure to comply with the terms and conditions of the solicitation may result in the Offeror being removed from consideration for award. Offers must clearly identify any exception to the solicitation’s terms and conditions and provide complete accompanying rationale.

(2) Basis for Award. This acquisition is in accordance with FAR Part 12 utilizing a Lowest Price Technically Acceptable (LPTA) approach. Technical tradeoffs will not be made and no additional credit will be given for exceeding acceptability. Award will be made to the offeror found to be technically acceptable with the lowest evaluated price and an acceptable past performance rating. The quote must conform to all solicitation requirements and the offeror must be deemed responsible in accordance with the FAR to be eligible for award.

The solicitation requirements include all stated terms, conditions, representations, certifications, and all other information required by FAR 52.212-1, Instructions to Offerors – Commercial Items and FAR 52.212-1 Instructions to Offerors – Commercial Items Addendum. While the Government Evaluation Team will strive for maximum objectivity, the evaluation process, by its nature, is subjective, therefore; professional judgment is implicit throughout the entire process.

By submission of its offer, the offeror accedes to all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors.

(3) In arriving at the LPTA decision, the Government will do the following:

(i) Step 1: The Government will conduct a price evaluation. The price evaluation will document the reasonableness of the proposed price including option prices. The Government’s lowest price determination will consider the total price, the base and four option years. The Government will rank offers from lowest to highest price.

(ii) Step 2: The Government will evaluate a minimum of three (3) lowest priced offers for technical acceptability in accordance with the solicitation. The Government will evaluate the three (3) lowest priced offers technical quotes on an acceptable/unacceptable basis. If none of the lowest three (3) are technically acceptable, the Government will evaluate the next lowest priced quote and thereafter until one quote is determined technically acceptable, or until all offers have been evaluated. Only those quotes considered technically acceptable will receive further consideration for award.

(iii) Step 3: The Government will evaluate the lowest priced technically acceptable quote from Step 2 for past performance on acceptable/unacceptable basis. If the lowest priced Step 2 acceptable offeror does not have acceptable past performance, then steps 2 and 3 will continue (in order by price) until an offeror has acceptable technical and past performance.

(iv) Evaluation will end and award will be made on the basis of the lowest priced quote meeting the acceptability standards for non-cost factors.

(4) The following factors shall be used to evaluate offers:

(i) Price. In accordance with (IAW) FAR 13.106-3, price must be determined fair and reasonable. Whenever possible, price reasonableness will be based on competitive offers received. If only one response is received, price reasonableness will be determined using market research, comparison of the proposed price with prices found reasonable on previous purchases, current price lists/catalogs/or advertisements, a comparison with similar items in a related industry, the contracting officer’s personal knowledge of the item being purchased, comparison to an independent government estimate, or any other reasonable basis. The purchase order resulting from this solicitation will include FAR 52.217-8 “Option to Extend the Term of the Contract”. A six-month extension period under this clause will only be utilized if necessary.

IAW 52.217-8, the extension pricing will be based on the pricing on contract if utilized. As such, a Total Evaluated Price (TEP) will be calculated by the Government by dividing the total price for the last option year in half and adding it to the total price. The total price evaluated will be the total CLIN prices for the base and all option years. Evaluation of options shall not obligate the Government to exercise such options.

(ii) Technical. The Government technical evaluation team shall evaluate the technical quotes on a pass/fail basis, assigning ratings of Acceptable or Unacceptable in accordance with Table 1 of this section. Each Offeror’s technical submission shall be evaluated, based on the criteria below, to determine if the offeror meets the minimum requirements of the Performance Work Statement (PWS), and demonstrates a thorough knowledge and understanding of those requirements. (c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(h) Certification Regarding Responsibility Matters (Executive Order 12689). (Applies only if the contract value is expected to exceed the simplified acquisition threshold.) The offeror certifies, to the best of its knowledge and belief, that the offeror and/or any of its principals–

(1) □ Are, □ are not presently debarred, suspended, proposed for debarment, or declared ineligible for the award of contracts by any Federal agency;

(4) □ Have, □ have not, within a three-year period preceding this offer, been notified of any delinquent Federal taxes in an amount that exceeds the threshold at 9.104-5(a)(2) for which the liability remains unsatisfied.

(i) Taxes are considered delinquent if both of the following criteria apply:

(A) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.

(B) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.

(ii) Examples. (A) The taxpayer has received a statutory notice of deficiency, under I.R.C.

§6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(B) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. §6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(C) The taxpayer has entered into an installment agreement pursuant to I.R.C. §6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.

(D) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. §362 (the Bankruptcy Code).

(3) If paragraph (k)(1) or (k)(2) of this clause applies–

(i) If the offeror does not certify to the conditions in paragraph (k)(1) or (k)(2) and the Contracting Officer did not attach a Service Contract Labor Standards wage determination to the solicitation, the offeror shall notify the Contracting Officer as soon as possible; and

(ii) The Contracting Officer may not make an award to the offeror if the offeror fails to execute the certification in paragraph (k)(1) or (k)(2) of this clause or to contact the Contracting Officer as required in paragraph (k)(3)(i) of this clause.
