About this file

This document is a Participating Addendum (Number 291) between the State of North Dakota and Philips Healthcare, a division of Philips North America LLC, established under the NASPO ValuePoint Master Agreement. The addendum involves a cooperative contract mechanism that allows various government entities, including state agencies, higher education institutions, counties, cities, townships, public and secondary educational entities, governmental boards, commissions, nonprofit entities, tribal agencies, and transportation providers to potentially utilize this contract.

The contract specifically covers Automated External Defibrillators (AEDs) and related accessories. It is based on a master agreement originally executed by the State of Oklahoma, with an effective date of August 30, 2024. The addendum allows Philips Healthcare to provide AED products and services to authorized purchasing entities, with each order subject to the pricing, terms, and conditions outlined in the master agreement. The participating addendum will remain in effect until the termination of the master agreement, with provisions for early termination. Quarterly reporting of sales and compliance with various state and federal requirements are key components of the agreement, including specific insurance, confidentiality, and legal compliance stipulations unique to North Dakota's procurement regulations.
