2) Automated License Data System (ALDS)

The Contractor will be responsible for acquiring, installing, and operating ALDS hardware and software. Data System (ALDS). For all requirements regarding ALDS, refer to section F, Terms of Sale of Shooting Range Fees, within this Exhibit.

E. Special Terms and Conditions

1) UNEXPLODED ORDNANCE. Prior to ownership by CDFW, SLOWA was a functioning range operated by the California National Guard and the United States Army. During this time, ordinance was regularly fired in the area and there is a possibility that Unexploded Ordinance (UXO) remains within the confines of SLOWA.

For this reason, CDFW may need to close the ranges at SLOWA for periodic UXO surveys by military personnel. Similarly, in the event that UXO is located, the Contractor will immediately notify CDFW and close the facilities or ranges as necessary until any potential safety issues are remediated.

2) The Contractor agrees to indemnify and save harmless State, its officers, agents, and employees from any and all claims and losses to any person, firm, or corporation, arising out of the potential presence of UXO. In addition, the Contractor, and its member organizations, will include a statement warning of the potential for UXO on SLOWA and a hold harmless statement specific to UXO will be included within the liability waivers signed by all users/visitors of SLOWA.

3) REVENUE GENERATING ACTIVITIES. Other than those fees identified in Exhibit A, Attachment 2 – Shooting Range Activity and Fee Schedule, the Contractor will not sell ammunition or supplies or otherwise operate any type of concessions on SLOWA. This includes any charges to persons utilizing SLOWA for shooting or other http://range.nra.org/become-a-range-safety-officer.aspx activities. Vending machines for food or drink items may be provided at the expense and responsibility of the Contractor.

4) USE OF REVENUE. All revenue generated at the SLOWA or collected for activities at the SLOWA will be used only for operating and maintaining the SLOWA, including the shooting range facilities, or for improvements at SLOWA if approved in writing by CDFW. The Contractor will ensure that all equipment and materials purchased with revenue generated at the SLOWA, or obtained through grants for SLOWA activities, will remain on the SLOWA. The obligations of the Contractor under this section survive the expiration or termination of this contract.

5) INVENTORY. Contractor will develop a complete equipment inventory in collaboration with CDFW within 60 days following contract approval. Contractor will maintain the inventory list from that point forward and will provide it to CDFW upon request. The equipment and materials on site are state property and may not be removed without the written permission of CDFW. Contractor will account for and inventory all equipment and materials purchased with revenue generated at the SLOWA, or obtained through grants for SLOWA activities. The Contractor will disclose this inventory to CDFW annually. Additional equipment and materials funded by this contract will become state property.

6) REGULATION BY CDFW. Activities under this contract will be conducted only in a manner which will not interfere with the safe and orderly operation and management of the Shooting Range or its easements and rights of way. In the event CDFW determines that any operation or the conduct of any person under this contract interferes with any CDFW activity, the Contractor agrees to discontinue such operation or remove such person immediately after notice thereof.

7) CONTRACTOR RESPONSIBILITY/AUTHORITY: The Contractor is solely responsible for the safe operation of the Shooting Range and has the authority to expel people who are using the facility in a disruptive or unsafe manner. Procedures for expelling individuals from SLOWA will be included in the Operations Plan described above.

8) WATER. The Contractor understands and agrees that CDFW does not guarantee the availability of water to, or quality or quantity of any water that may be available on, SLOWA. The Contractor will be responsible to confirm the availability of water if needed for the Contractor’s use. The Contractor will not develop water facilities, such as new wells or new pipelines, on SLOWA without the prior written approval of

CDFW.

9) BURNING & FIREFIGHTING COSTS. No burning is allowed on SLOWA without the prior written consent of CDFW. The Contractor will be responsible for all firefighting costs, including inspections and prevention measures, arising from the use of SLOWA under this contract.

10) CDFW USE OF FACILITIES. CDFW may periodically utilize the Hunter Education building when such use does not conflict with events or meetings scheduled by the Contractor.

11) TUESDAY RANGE CLOSURE. All discharge of firearms or archery equipment on the Shooting Range is prohibited on Tuesdays per California Code of Regulations Title 14 Section 551(v)(C).

12) GRAZING. The Contractor acknowledges that CDFW retains the right to allow grazing on the Shooting Range.

F. Terms of Sale of Shooting Range Fees

1) CDFW agrees to:

a. Create ALDS items for activities to facilitate the collection and tracking of all monies collected for activities on SLOWA (SLOWA Shooting Range fees).

b. Provide the Contractor access to daily, weekly, and monthly detailed and summary reports of sales activity.

c. Provide the Contractor access, through the ALDS IPOS Terminal, to detailed and summary reports of their sales activities and charges to be included in the ACH/EFT at least 24 hours prior to the ACH//EFT.

b. All Shooting Range Fees authorized to be sold under this Contract may only be sold by the Contractor or employees of the Contractor designated in this Contract.

c. The Contractor is prohibited from charging any fee for Shooting Range Fees or services in excess of the fees established in this contract.

d. The Contractor is prohibited from exchanging any parts, including the software, of the ALDS IPOS Terminal with any other Contractor.

e. Under the terms of this Contract, neither the Contractor nor the Contractor’s employee(s) or volunteers are employees, agents or officers of CDFW, nor will they make any claim of right, privilege, or benefit which would accrue to an employee, agent, or officer of CDFW. The services rendered by the Contractor under this Contract are those of an independent Contractor.

f. The Contractor is responsible for all actions of all its employees, Contractors, and any other subordinates, including but not limited to volunteers.

g. The Contractor is required to provide and maintain their own internet service for the ALDS IPOS data connection.

h. The Contractor must proactively maintain, and safeguard, an adequate supply of the license paper stock by contacting CDFW to maintain appropriate inventory levels.

i. The Contractor agrees to return the ALDS IPOS Terminal and unused paper stock within ten (10) days of the end of this contract.

j. SALES: The Contractor agrees to sell and/or issue all authorized Shooting Range Fees as defined in Exhibit A, Attachment 2 - Shooting Range Activity and Fee Schedule, through the ALDS IPOS.

Sweep will include all Shooting Range fees collected from sales occurring from 12:00 a.m. Saturday through 11:59 p.m. of the following Friday, as well as other outstanding charges.

ii. CDFW may change the ACH/EFT schedule if necessary, at any time by notifying the Contractor prior to the sweep.

iii. The Contractor must defend the SLOWA Deposit Account against levies and garnishments that are not related to CDFW ACH/EFT sweeps. The Contractor must notify CDFW if it is served any notice of a levy, garnishment, or till tap impacting the SLOWA Deposit Account. CDFW reserves the right to refer defense of the SLOWA Deposit Account to the Office of the Attorney General.

m. NON-SUFFICIENT FUNDS (NSF) FEE: In the event the Contractor fails to have sufficient funds in the ACH/EFT account when swept, a penalty of thirty dollars ($30) will be assessed by the CDFW for each failed ACH/EFT sweep.

i. The Contractor agrees that this amount is an appropriate penalty for failing to have the required funds available in the ACH/EFT account at the time required by Section 8.2.

ii. Failure to remit State Funds at the time required by this Contract will constitute a failure to comply with the terms of this Contract.

iii. The Contractor understands and agrees that if the amount due has not been paid on the date of the next scheduled sweep, CDFW may disable the ALDS IPOS Terminal(s) and the Contractor will not be authorized to sell Shooting Range Fees until all balances owed, including penalties, are paid in full. CDFW will report missing State Funds to law enforcement for investigation and enforcement.

iv. If the Contractor receives two or more NSF notifications within a year, this contract may be terminated, for cause, by the CDFW. In the event of a contract termination for cause, the Contractor must keep all bank accounts associated with their SLOWA Deposit Account open until the Contractor Project Director receives written notification from the CDFW Contract Manager indicating that an audit has been completed and their SLOWA Deposit Account can be closed.

n. CANCELLED ITEMS: Range Fees sold in error that are cancelled through the

ALDS IPOS Terminal will be immediately credited to the Contractor’s account and must be returned to the CDFW LRB within thirty (30) days.

i. The Contractor must submit all cancelled items to the CDFW LRB.

ii. Cancelled items not returned within the 30-day period will be charged back, at the value of the item(s) to the Contractor account.

iii. The Contractor may only be authorized to cancel items within ninety (90) minutes of purchase. All cancellations of items must be performed through the ALDS IPOS Terminal.
