About this file
This is a Non-Disclosure Agreement between the Michigan Department of Technology, Management and Budget and a recipient entity for the protection of confidential state information. The agreement governs all communications between the parties and establishes obligations for the recipient to maintain confidentiality of the State's technical information, security-related information, infrastructure-related information, and any information protected by state or federal law, including personal information as defined under the Michigan Identity Theft Protection Act. The recipient agrees to use the State's Confidential Information solely in connection with preparing a proposal in response to the State's Request for Proposal and to treat all confidential information with at least the same degree of care as it accords its own confidential information.
The recipient is required to exercise reasonable care to protect the State's Confidential Information and must ensure that only employees or subcontractors with a legitimate need to know have access to such information, with those individuals required to have previously signed the agreement. In the event of legally compelled disclosure such as a subpoena, the recipient must provide the State with notice within 48 hours to allow the State to seek legal protective remedies. The nondisclosure and nonuse obligations survive termination of any relationship between the parties, and upon termination, the recipient must promptly deliver all documents and materials to the State or certify that all copies have been destroyed. The agreement is governed by the laws of the United States of America and the State of Michigan, and any breach entitles the State to seek injunctive relief, specific performance, or monetary damages.
