About this file

This document is a Non-Disclosure Agreement (NDA) between the Michigan Department of Technology, Management and Budget (the State) and an unspecified recipient entity. The NDA is designed to protect confidential information that may be shared during a potential proposal process, with specific provisions for maintaining the confidentiality of technical, security-related, and infrastructure information, as well as any materials designated as confidential by the State.

The agreement outlines strict guidelines for handling confidential information, including limiting disclosure to only necessary employees and subcontractors who have signed the NDA, maintaining the same level of care as the recipient would for its own confidential information, and providing immediate notification to the State if legally compelled to disclose any protected information. The NDA includes provisions for injunctive relief in case of breach, is governed by Michigan and U.S. laws, and remains in effect even after the termination of any business relationship between the parties.
