About this file
This document is a NARA Records Management Language template for federal contracts, specifically tailored for VA Black Hills Health Care System. The clause establishes comprehensive records management obligations applicable to all contractors whose employees create, work with, or handle Federal records, regardless of medium or form.
The key requirements mandate that contractors comply with all applicable records management laws, regulations, and NARA policies, including the Federal Records Act (44 U.S.C. chs. 21, 29, 31, 33), NARA regulations at 36 CFR Chapter XII Subchapter B, and the Privacy Act of 1974. Contractors must maintain all records created for government use or delivered to government control in accordance with federal law, with electronic records accompanied by sufficient technical documentation. Contractors are prohibited from destroying, removing, or alienating records except in accordance with agency records schedules and with written approval from the Head of the Contracting Activity. Willful destruction of Federal records is subject to penalties under 18 U.S.C. 2701. Contractors must immediately notify the Contracting Officer of any unauthorized disclosures or destruction of records and implement appropriate administrative, technical, and physical safeguards to protect sensitive and confidential information. Additional requirements include obtaining Contracting Officer approval before engaging subcontractors, restricting government IT equipment use to contract-authorized purposes only, and prohibiting retention or dissemination of deliverables containing Privacy Act-protected or FOIA-exempt information. The VA Black Hills Health Care System retains all ownership rights to data and records produced under the contract. All contractor employees handling records must complete VA-provided records management training. The clause must be flowed down to all subcontractors with written acknowledgment, and subcontractor violations are attributed to the prime contractor.
