On May 25, 2022, the Department of Defense (DOD) issued Guidance on Inflation and Economic Price Adjustment (EPA). A copy of the Guidance is attached. DOD notes that an EPA clause might be appropriate in contracts since there is serious doubt about the stability of market or labor conditions.
It is requested that Contracting Division review this guidance and strongly consider including an Economic Price Adjustment clause in this solicitation. Contracting should consider the following in this clause.
1. Considerations for selecting an index to measure inflation that is linked to cost components that are most unstable;
2. Limitations on the scope of the EPA to exclude costs that are unlikely to be affected by inflation;
3. Allowance for both upward and downward adjustments in price; and
4. Establishing formulas for calculating the new pricing instead of merely reopening price negotiations.

) Please confirm that a JV between a large and small business does not qualify as a small business unless both entities have entered a SBA-approved mentor-protégé agreement (MPA)? The reasoning is that this project is being solicited under NAICS code 236220, with a size standard of $39.5M. Per 13 CFR § 125.8: "a joint venture... may submit an offer... so long as each concern is small under the size standard" and 13 CFR §121.b.6 "A firm that has an SBA-approved mentor-protégé agreement (MPA)... is not affiliated with its mentor."

Government Response. . A Mentor-Protégé Agreement is approved by the Small Business Administration as long as the Protégé is a Small Business. Construction material costs have increased significantly in recent times, and the construction material market continues to be volatile and unpredictable. It is anticipated that construction material costs will continue to increase into the foreseeable future; however, it is not possible to predict how much prices will increase by the time the IDIQ is awarded, the design effort is complete (if D-B), and construction commences. To protect both the Government and the Contractor, would the Government consider incorporating FAR 52.216-4 Economic Price Adjustment-Labor and Material or a substantially similar and suitable price adjustment clause in the solicitation documents and resulting task order(s) to allow for an adjustment to the FFP in the event of significant and unpredictable material costs fluctuation during the term of the IDIQ contract? Inclusion of this clause will protect and benefit the Government because the offered prices will not need to account for the elevated risk of unknown future material cost escalations."

It is clear from the current questions on Projnet that if PPQ's are used for past performance from the prime contractor, they are to be on the new Exhibit C provided in this solicitation; however, it is not clear if this also applies to the DOR's past performance. It is much more difficult for DOR's who are in design-build projects with prime contractors to get PPQ's directly from the Government. For DOR past performance, would the government consider accepting PPQ's from previous projects?
On: Jun 11 2022.
Government Response. . No. Offeror must utilize Exhibit C for both Offeror and Designer of Record. Per Factor 4.i,
2. If a Final AE Contractor Performance Assessment Reporting System (CPARS) evaluation is available, it must be submitted with the proposal for each project included in Factor 2 for design experience.

Additionally, A PPQ for the designer of record filled out by the Prime Contractor is not acceptable" For projects where the DOR was working with a prime contractor in an design-build and not directly for the government on a design contract, it can be very difficult for the DOR to obtain CPARS directly from the government, especially on projects that are 4-5 years old. Would the government consider allowing CPARS for the overall project or PPQ completed by the prime contractor the DOR worked for rather than requiring them to be on a new PPQ form from the Government?
On: Jun 11 2022.
Government Response. . No. Per RFP Factor 4.ii,
2. A CPARS or PPQ for the Prime Contractor is not acceptable for Design Past Performance.
Additionally, A PPQ for the designer of record filled out by the Prime Contractor is not acceptable.
3. CPARS and PPQs for each project included in Factor 2 for both Construction Experience and Design Experience shall be filled out by the project client. CPARS and PPQs for each project included in Factor 2 for Design Experience shall address Design Performance.

Government Response. . It is up to the offeror(s) how they would like to provide the POC and company info as detailed on Page 6 of the RFP (Proposal Submission Requirements, A. Phase One), as long as it is submitted as part of their Phase One submission requirements proposal/file. It is not required to be submitted with the Phase One non-price factors proposal/file. 1678134 General Factor 1 Technical
Approach E3.(b) (1)(i)(2) Organizational Chart
Comment Classification: Public (Public)
The RFP requires the organizational chart to be included in the two-page limit that also includes the Offeror's technical approach and roles and responsibilities narratives. The organizational chart itself requires one page. In order to sufficiently describe our proposed technical approach and roles and responsibilities on the contract and present an organizational chart, please exclude the organizational chart from the two-page limit or increase the page count for Factor 1 to three pages.
