During the site visit briefings much was said about, basically, the contractor has to buy all, obsolete equipment and existing conditions. FAR 22.1003 addresses obsolescence in detail and in spirit. If not already incorporated as a clause, will you add it, or/and, adhere to the intent of that clause. Examples of each (obsolescence and pre-existing) are provided in another question.

FAR 22.1003 is in regards to the applicability of the Service Contract Labor Standards statute to Government contracts and only references equipment which is wholly or partially obsolete as a consideration in distinguishing repair from remanufacturing, which is not relevant to the condition of the systems and equipment included in this solicitation and pre-existing conditions.

See Government response to GPI No.: 14.

7 12/7/2017 During the site visit briefings much was said about, basically, the contractor has to buy all, obsolete equipment and existing conditions. What in the FAR supports the position that the contractor accept all pre-existing conditions?

See Government response to GPI No.: 6 and 14.

During the site visit briefings much was said about, basically, the contractor has to buy all, obsolete equipment and existing conditions. What in the FAR supports the position that the contractor accept all pre-existing conditions? Site visits are a 6 hour, at best, snap shot. Based upon the snapshot, we can only conclude that there is a lot of obsolescence and pre-existing condition due to neglect. Does the Government expect a contractor to take on all of the risk in the bid for recurring services? A few examples follow

a. At the water plant, 3 pumps badly corroded including their journal bearings

b. Building 749 red roll up doors flaking paint

c. Pumps at wastewater plant have aggressive corrosion

d. Electrical distribution system at waste water plant is corroded e Most piping at the waste water plant is badly in need of corrosion control

All systems and equipment included in this contract shall be accepted by the successful offeror in "as is" condition. The Contractor is fully responsible for all work up to and including the specified recurring work limits of liability.

Yes, the Government expects the successful offeror to assume the risk associated with the contract requirements.

20 12/7/2017 14 C 2.6.6

This spec item states “The Contractor shall provide a Computerized Maintenance Management System (CMMS) to manage all service operations . . .” and that the government’s CMMS is MAXIMO. Having two systems creates the opportunity for errors and additional work that is overly redundant. MAXIMO is a fully capable of functioning as the single CMMS for this contract.

See Government response to GPI No.: 21.

21 12/7/2017 Question: Since the government already has MAXIMO, will the government allow the contractor to use MAXIMO for work management?

No. the Contractor shall provide a Computerized Maintenance Management System (CMMS) to manage all service operations. Refer to: Section C, Annex 0200000 Management and Administration, Spec Item 2.6.6 Computerized Maintenance Management Systems (CMMS).

22 12/7/2017 55 C 3.1

This spec item states “The Contractor may invoice for completed service orders. The Contractor shall not invoice for incomplete service orders and service orders not issued. A modification will be process at the end of each period of performance to deduct for service orders not issued and incomplete service orders. Deduction will be based on the unit prices specified in Attachment J-0200000-13 ELINs.” This item only discusses deductions if service orders fall below the amounts listed in the ELINs.

There is no discussion regarding the situation where the number of service orders EXCEEDS the amount listed in the ELINs. Additionally, the number of service orders in the ELINs are broken out by each tenant organization. It is unclear whether the government will consider the total number of service orders completed or the number of service orders per tenant organization.

Question:

a.Will the government allow the contractor to invoice for service orders that EXCEED the amount listed in the ELINs?

b.When counting the number of service orders completed during a period of performance, is the government going by the total number of service orders or the number of service orders for each ELIN / tenant organization?

23 12/7/2017 CBA

The Government published the CBAs with the solicitation. We assume this CBA remains in effect today. The Government also published the current SCA wage determination. Question:

a.Since the incumbent contractor has a CBA in place, does the Government require offerors to honor the CBA terms, benefits, and wage rates in their proposals for the base period and all option periods?

b.Can an offeror propose benefits and wage rates in compliance with the SCA wage determination instead of proposing CBA benefits and wage rates?

c.Would the Government please provide a seniority list for incumbent CBA personnel?

The information regarding effective dates of the agreements is contained within each

CBA.

In accordance with 41 U.S.C. 6707(c)(1), a contractor may not pay a service employee less than the wages and fringe benefits the employee would have receieved under the predecessor contract.

As stated in Section L.10, the offeror is required to use the wage and fringe benefit rates proposed for the base performance period in pricing labor costs for all periods of performance in the option years.

The Government does not currently have a seniority list. IAW FAR 52.222-17(d)(1) The Contractor shall, not less than 30 days before completion of the Contractor’s performance of services on the contract, furnish the Contracting Officer with a certified list of the names of all service employees working under this contract and its subcontracts at the time the list is submitted...

24 12/7/2017 163 C 3.2

This spec items states the IMP limit of liability is $15,000 in direct labor and direct material cost. This does not appear to be consistent with other spec items in Section C.

Question: Is this correct or should this by $5,000 versus $15,000?

$15,000 is the correct limit of liability. As part of the IMP, the Contractor is fully responsible for any individual occurrence of repair, including replacement up to the IMP limit of liability of $15,000 in direct labor and direct material cost for each piece of equipment per incident. 37 12/7/2017 ALL J-1502000-23

We understand that government wants the contractors to be responsible for the "entire system" under either the PM and/or IMP program. However, in order to determine the appropriate number of materials and labor hours to service the system contractors need to understand the quantities/pieces of equipment included within the system. In the J-1502000-23 HVAC equipment list provided bidders cannot determine how many supporting pieces of equipment are within the system. For example, on page 1, Westside facility 13. Should the contractor assume there is 10 AHUs and 10 Split systems, 10 air cooled condensers, and 0 VAV Boxes, no heat exchangeers, 10 heat pumps, no pumps, no fans?

The government is going to get a solution where contractors do their best to extrapolate out the number of pieces of equipment per system. Then they will make assumptions on the number of pumps, evaporators, VAVs, valves, fans etc. Does not have an asset/equipment list by building in MAXIMO?

Can the government provide a complete asset/equipment list by building so contractors can understand the quantities of HVAC equipment we are responsible for?

A component level inventory will not be provided.

The Performance Work Statement (PWS) are based on a Systems Approach. The Contractor is responsible for the Systems described in the PWS and all mechanically and electrically interlocked parts, equipment, components, and any materials therein forming the systems.

Because offerors are required to develop our price based on a systems approach, we must make assumptions regarding the composition of each system. These assumptions may require detailed explanation so that our price makes sense. With only 15 pages for a narrative, we can not adequately describe our assumptions for each system. Will the government allow the narrative to be unlimited pages?

69 12/7/2017 68 RFP Section M M.3.3.b.1.ii

Context: M.3 EVALUATION FACTORS, (b)Non-cost/price Factors, (1) Factor 1, Corporate Experience, (ii) Basis of Evaluation states, “Projects completed by a proposed subcontractor will be considered unacceptable.” It then goes on to state, “if the offeror is a Joint Venture (JV), each member of the JV must demonstrate prime contractor experience on at least one relevant project.”

Question: As written, this seems to give an unfair advantage to a Joint Venture over traditional prime/subcontractor relationship as it will allow multiple teamed companies to provide corporate experience under a JV, but prohibits the use of significant subcontractors outside of a JV. Would the Government consider allowing bidders to include up to now more than two corporate experience and past performance citations for significant subcontractors, so as to ensure a fair and level playing field?

The Government has reviewed the requirement and confirmed that it remains as stated in the RFP.

70 12/7/2017 71 RFP Section M M.3.3.b.4

Context: M.3 EVALUATION FACTORS, (b)Non-cost/price Factors, (4) Factor 4, Safety Question: Please confirm that EMR, DART and TRC Rates are not be submitted for significant subcontractors under a non-Joint Venture teaming relationship.

EMR, DART and TRC Rates shall not be submitted for subcontractors, including significant subcontractors.

71 71-72 RFP Section M M.3.3.b.4.i.a

For EMR, DART, and TRC, the RFP requests data for the “three previous complete calendar years.” Based on this phrasing, this is years 2015, 2016, and 2017. However, this only allows for 9 work days in 2018 to compile and calculate data for 2017. Is it acceptable to utilize complete data for years 2014, 2015, and 2016 if data for 2017 is not complete?

For initial proposal submission, yes.

72 12/7/2017 73 RFP Section M M.3.3.b.5.i

Context: M.3 EVALUATION FACTORS, (b)Non-cost/price Factors, (4) (5) Factor 5, Past Performance Question: When providing CPARS, should the bidder provide only the most recent CPARS evaluation or all CPARS evaluations from across the entire completed contractual periods of performance of the project?

As stated in the Non-Price Factor 5, Past Performance (i), if a completed CPARS evaluation is available for each project submitted in response to Factor 1, it shall be submitted with the proposal.

It is at the offeror's discretion to submit more than one CPARS evaluation for each project submitted in response to Factor 1 if more than one is available.

73 12/7/2017 73 RFP Section M M.3.3.b.5.i

Context: M.3 EVALUATION FACTORS, (b)Non-cost/price Factors, (4) (5) Factor 5, Past Performance states “Also include performance recognition documents received within the last five years such as awards, award fee determinations, customer letters of commendation, and any other forms of performance recognition.”

Question: Are these performance recognition documents limited to only those associated with the submitted past performance citations, or can they include corporate level citations or positive feed recognition from other customers?

Additionally, under a JV, multiple companies will have the ability to provide this documentation. Under a traditional teaming agreement only the Prime can include this information. Will the government consider allowing significant subcontractors to provide performance recognition documents?
