About this file
This is a Sole Source Decision memorandum documenting the contracting officer's determination to award a contract on a sole source basis for an on-site system assessment of the Clear Water Rinse System (CWRS) at Keflavík Air Base, Iceland.
The requirement involves diagnostic services and restoration of the CWRS, which was installed near the end of FY-2022 but was never properly commissioned and has never functioned as designed. The system remains in a locked-out state, preventing operational use or testing. Multiple troubleshooting attempts by a third-party installer and Naval Facilities Engineering Systems Command (NAVFAC) engineers were unsuccessful. The sole source contractor identified is Petter Investments, Inc. DBA Riveer Environmental (RIVEER), headquartered at 233 Veterans Boulevard South Haven, Michigan 49090-8632, the Original Equipment Manufacturer of the CWRS. The justification for sole source selection is based on three primary factors: (1) RIVEER's exclusive possession of proprietary system lock-out knowledge and factory-trained personnel, including an engineering director and senior automation programmer, required to safely bypass system locks and perform root cause analysis; (2) the significant risk of catastrophic damage from improper diagnostic procedures, with only the OEM possessing requisite knowledge of system design and engineering tolerances to perform assessment safely; and (3) RIVEER's exclusive capability to determine actions necessary to restore the system to factory specifications and full operational status. The acquisition is made pursuant to FAR 12.102 for a simplified acquisition threshold contract, with the memorandum serving as the required documentation for the sole source approach.

MEMORANDUM TO THE FILE
Requirement: On-Site System Assessment of the Clear Water Rinse System
Subj: SOLE SOURCE DECISION
I. BACKGROUND:
1. FAR 12.102 Restricting Competition states for acquisitions valued at or below the simplified acquisition threshold (SAT), the contracting officer shall document the decision that only one source is available and the basis for the decision
2. Since, no specific format or approval level is mandated by the FAR, this memorandum will serve as basis to support the sole source approach for subject requirement.
II. DESCRIPTION OF ITEM OR SERVICE:
The installation of the Clear Water Rinse System (CWRS) located at Keflavík Air Base, Iceland was completed near the end of FY-2022 by a third-party company who procured the system from the Original Equipment Manufacturer (OEM), Petter Investments, Inc. DBA Riveer Environmental (RIVEER), headquartered 233 VETERANS BLVD SOUTH HAVEN, MI 49090-
8632, US.
Following installation, the system was never properly commissioned and has never functioned as originally designed. The third-party company subsequently returned to Iceland on multiple occasions in an attempt to diagnose and correct the issues; however, those efforts were unsuccessful. US Government engineers from Naval Facilities Engineering Systems Command (NAVFAC) also attempted to resolve the problems associated with the CWRS system. After two days of troubleshooting and repair efforts, they were likewise unable to restore the system to operational status.
The CWRS incorporates highly sophisticated computer and mechanical control systems. At present, the system remains locked out, preventing any operational use, testing, or further diagnostics from being conducted.
III. DETERMINATION:
RIVEER is the only source capable of providing the required diagnostic services for the following reasons:
Proprietary System Lock-Outs & Specialized Expertise: The CWRS is in a "locked-out state," preventing any operational use or basic testing. The OEM is the only entity with the proprietary knowledge, software, and factory-trained personnel (including engineering director and senior automation programmer as specified in the SOW)
Enclosure (3) DON SAP guide required to safely bypass these lock-outs and perform a root cause analysis without causing further damage.
Risk of Catastrophic Damage: As stated in the SOW, the system's complexity creates a significant risk of "catastrophic damage" from improper diagnostic procedures. Only the OEM possesses the requisite intimate knowledge of the system's design and engineering tolerances to perform the assessment safely and effectively.
RIVEER is the OEM of the CWRS: the OEM is the only company able to determine the actions necessary to restore it to factory specifications and ensure it is fully functional as originally designed. RIVEER possesses the specialized knowledge, technical expertise, and direct system experience necessary to complete this work effectively.
