SUMMARY OF CHANGES

SECTION A - SOLICITATION/CONTRACT FORM

The following have been added by full text:

AMENDMENT 0004

The purpose of Solicitation Amendment 0004 is to:

1. Respond to questions received from industry.

2. Revise CLINs 0001, 0003, and 0004.

3. Revise clauses.

4. Revise solicitation attachments.

5. Add a provision.

6. Revise Section L INSTRUCTIONS TO OFFERORS.

7. Revise Section M EVALUATION FACTORS.

Amendment 0004 Questions and Answers:

NOTE: The Government provided responses to Industry Questions 1-35 in Solicitation Amendments 0001 and 0002.

Question 36: The below questions ((a)-(r)) regarding CLIN 0003 (Firm Fixed Priced Materials) and Attachment 2 (CLIN 0003 Firm Fixed Price Materials Pricing Table), are all either answer in Answer 36 or are no longer applicable based on the revisions made to CLIN 0003 and Attachment 2.

(a) Will the Government make available the following drawings, including revision numbers?

(b) Will the Government provide a Letter of Authorization that will allow all of the vendors listed Synopsis

Attachment #2 - Draft FFP Pricing List to respond to request for quotes?

(c) Will the Government provide drawings and drawing revision numbers for the following parts listed in

Attachment 2: 8045750; 8045462; 77C960613G001; 2193D0180; 6878884‐1; 77C960758P1; 77A120693‐

6; 2190ZC0272‐13; 6878976P001; 6878976P002?

(d) Regarding Attachment 2, will the Government consider providing an estimated material amount similar to

CLIN 0004?

(e) Regarding Attachment 2, will the Government provide 5 years of data from NDA so that offerors can view historical costs for this material over a period of time equivalent to this contract period?

(f) Regarding the requirement to propose firm fixed prices for material under CLIN 0003, will the Government consider providing an estimated material amount similar to CLIN 0004?

(g) Will the Government award a single FFP for CLIN 0003, or will the unit prices be used to price future task orders across 5 years?

(h) Does the Government require the breakout of material cost plus burdens plus fee within the unit pricing for

CLIN 0003?

(i) Regarding Attachment 2, will the Government please provide the latest revision number and drawings for Government controlled drawings?

(j) When requesting a quote for Group D, the vendor did not recognize the part number. Will the Government please review the part number and provide clarification?

(k) Given that many of the vendors listed on the Attachment 2 spreadsheet are unable to fully respond to requests for quotes, will the Government consider removing CLIN 0003 from the solicitation and adding the value of this material to CLIN 0004?

(l) Please confirm if the vendor listed in Attachment 2 for line items 30 and 33 is accurate.

(m) Will the Government provide corrected part numbers or provide comprehensive descriptions for items to be quoted in Attachment 2?

(n) Will the Government provide the specifications/drawings/revision number for each part number in Attachment 2, so that offerors can obtain pricing?

(o) Will the Government provide a CD with additional year’s historical data for all of the parts on CLIN 0003 so offerors can perform trend analysis to support their pricing?

(p) Would the Government consider pricing CLIN 0003 (with a plug number) the same as CLIN 0004?

(q) A sole source vendor listed in Attachment 2 indicated that it will only sell directly to the Government.

Request the Government provide alternate vendor and part numbers for the sole source vendors or a comprehensive description, drawings, and tech manual for the items in Attachment 2.

(r) Multiple vendors have advised that the part numbers identified in Attachment 2 are invalid. Will the Government provide corrected part numbers or provide comprehensive descriptions, drawings or technical manuals for items to be quoted?

Answer 36: The solicitation is amended to remove CLIN 0003 and Attachment 2 in their entirety. The Government estimated value of $29,243,068 (without applicable burdens) previously included in CLIN 0003 is added to CLIN 0004. The resultant CLIN 0004 material estimated amount (without applicable burdens) is revised from $29,250,844 by $29,243,068 to $58,493,912.

Question 37: The Government has included a small business goal of 10% in the RFP. Given the plug numbers for both materials and ODCs are high, would the Government change the language to equal 10% of the total labor dollars?

Answer 37: Yes. Section L INSTRUCTIONS TO OFFERORS Paragraph 3.2 is revised.

Question 38: Please clarify if the Government requires dollar amounts in the technical proposal based on the instructions in Section L INSTRUCTIONS TO OFFERORS Paragraph 4.0 (f).

Answer 38: No. The Government requires consistency between the technical narrative and the cost proposal.

Question 39: Will the Government please explain how CLIN 0004 will be billed and ordered at issuance of individual task and delivery orders? Firm Fixed Price contracts would require a payment schedule, or milestone monthly billing payments. Given that there is no price schedule or progress payments proposed, would the Government consider making this CLIN a Time and Materials or Cost Plus Fixed Fee type CLIN if the Government intends to order on an as-needed basis?

Answer 39: The individual unit pricing under CLIN 0004 will be established at the delivery or task order level. The Government will issue a request for quote for the required items when needs are identified and the awardee will provide a quote using the proposed profit percentage from CLIN 0004. The CLIN will remain Firm Fixed Price as it is the appropriate CLIN type for the material only items. Additionally, Firm Fixed Price contracts do not require a payment schedule, or milestone monthly billing payments.

Question 40: The QASP is not included in the documents released from the Government. Does the Government intend to release that document as GFI?

Answer 40: The QASP is a Government document and will not be provided for solicitation purposes. The QASP may be provided after award of the contract as GFI.

Question 41: Is FAR Clause 52.222-62 Paid Sick Leave Under Executive Order 13706 (JAN 2017) applicable to this requirement?

Answer 41: Yes. FAR Clause 52.222-62 Paid Sick Leave Under Executive Order 13706 (JAN 2017) was inadvertently omitted from the solicitation and is added to Section I by reference.

Question 42: Section L INSTRUCTIONS TO OFFERORS states that the technical and cost volumes shall be marked as “unclassified”; however, the required Facility Clearance Verification from NISS is marked “FOUO”.

Will the Government be removing this requirement to mark as unclassified?

Answer 42: For Official Use Only (FOUO) is a document designation, not a security classification. DoD Directive

5400.7 defines FOUO as "unclassified information that may be exempt from mandatory release to the public under the Freedom of Information Act (FOIA)." Therefore, no change is made to Section L as a result of this industry question.

Question 43: Please confirm that formal Earned Value Management System (EVMS) requirements do not apply to this requirement.

Answer 43: EVMS is not required; however, the Government will utilize EVMS metrics as a basis to monitor performance in accordance with Attachment 4: Performance Requirements Summary.

Question 44: Will the Contract Specialist provide an email each Offeror to confirm receipt of their package?

Answer 44: It is the offerors responsibility to ensure their package is delivered prior to the solicitation closing date in time. If an Offeror requests confirmation via email, the Contract Specialist will respond as necessary.

Question 45: If an Offeror deviates from the shipping address and mark for instructions provided in Section L INSTRUCTIONS TO OFFERORS Paragraph 1.2, will the proposal be in compliance?

Answer 45: It is the offerors responsibility to ensure their package is delivered prior to the solicitation closing date in time. Offerors shall follow the instructions in Section L INSTRUCTIONS TO OFFERORS in order to be in compliance with the proposal submission requirements.

Question 46: It appears that Attachment 7 - Governments Estimated Labor Mix for CLIN 0001 for proposal purposes includes labor hour estimates with decimal points. Request that the Government please clarify if offerors should round to the nearest labor hour for proposal purposes.

Answer 46: Attachment 7 - Governments Estimated Labor Mix for CLIN 0001 for proposal purposes is revised. All labor hour estimates that previously included decimal points are rounded up to the nearest labor hour. As a result, the quantity for CLIN 0001 is revised from 1,846,790 labor hours by 1,041 labor hours to 1,847,831 labor hours.

EVALUATION FACTORS Paragraph 4.0 COST/PRICE is revised as follows:

DELETE: For FFP CLINs, the Government will evaluate proposed prices by performing a price analysis in accordance with FAR 15.404-1(b) procedures.

Using the proposed prices (using standard currency notation with two decimals) from attachment 2, the Government will use the following methodology to determine the evaluated price for CLIN 0003:

CLIN 0003 Evaluation Step 1:

The attachment 2 spreadsheet includes formulas to multiply the unit price proposed for each stepladder quantity times the corresponding max quantity for that stepladder as shown in the table below. Offerors shall keep the formulas intact when completing attachment 2.

CLIN 0003

Description Quantity Unit Price Total Price (Max Step Quantity X

Unit Price) Item Identifier: AA

Screw Stepladder 1:

500-2,999 each $10.00 $29,990.00

Stepladder 2:

3,000-5,411 each $5.00 $27,055.00

The government will validate the calculation for each stepladder quantity for each year to confirm the total prices per year and step.

CLIN 0003 Evaluation Step 2: Using a randomizer tool, the Government will randomly select items from each of the groups (A-D) identified in attachment 2; and for each of the years. Due to the nature of randomized tools the selected items may be different between years, yet will be the same for all Offerors. The number of items randomly selected within each group per year is as follows:

Group A: 6 Items will be randomly selected from each step within Group A for each of the five years.

Group B: 5 Items will be randomly selected from each step within Group B for each of the five years.

Group C: 4 Items will be randomly selected from each step within Group C for each of the five years.

Group D: 4 Items will be randomly selected from each step within Group D for each of the five years.

CLIN 0003 Evaluation Step 3: The Government will add up the total price proposed for each random item selected using the maximum quantity multiplied by the proposed unit price for each item. The resulting amount will be used as the evaluated price of CLIN 0003.

DELETE: The evaluated costs and proposed fee for CPFF CLIN 0001 and the Cost Only CLIN 0002 will be added to the evaluated price for FFP CLIN 0003 and the evaluated FFP for CLIN 0004 to arrive at the total evaluated amount of the proposal.

INSERT: The evaluated costs and proposed fee for CPFF CLIN 0001 and the Cost Only CLIN

0002 will be added to the evaluated price for FFP CLIN 0004 to arrive at the total evaluated amount of the proposal.

NOTE: Due to the deletion of CLIN 0003 and Attachment 2, the Government will not make available the applicable drawings related to Attachment 2 via CD.

The solicitation response date and time are NOT extended as a result of solicitation Amendment 0004.

All other terms and conditions remain unchanged.

SECTION H - SPECIAL CONTRACT REQUIREMENTS

H-216-H002 LEVEL OF EFFORT--ALTERNATE I (NAVSEA) (OCT 2018)

(a) The total level of effort for the performance of this contract is specified in Section B and includes prime and subcontractor direct labor (for those subcontractors specifically identified in the Contractor's proposal as having hours included in the proposed level of effort).

(b) Of the total man-hours of direct labor set forth in Section B, it is estimated that (Offeror to fill-in) man-hours are uncompensated effort.

Uncompensated effort is defined as hours provided by personnel in excess of 40 hours per week without additional compensation for such excess work. All other effort is defined as compensated effort. If no effort is indicated in the first sentence of this paragraph, uncompensated effort performed by the Contractor shall not be counted in fulfillment of the level of effort obligations under this contract.

(c) Effort performed in fulfilling the total level of effort obligations specified in Section B shall only include effort performed in direct support of this contract and shall not include time and effort expended on such things as local travel to and from an employee's usual work location, uncompensated effort while on travel status, truncated lunch periods, work (actual or inferred) at an employee's residence or other non-work locations (except as provided in paragraph (i) below), or other time and effort which does not have a specific and direct contribution to the tasks described in Sections B and C.

(d) The level of effort for this contract is expected to be expended at an annual rate of approximately:

Contract Year Estimated Level of Effort

1 302,500 2 332,811 3 366,197 4 402,949 5 443,374

TOTAL 1,847,831

It is understood and agreed that the rate of man-hours per week may fluctuate in pursuit of the technical objective, provided such fluctuation does not result in the use of the total man-hours of effort prior to the expiration of the term hereof, except as provided in the following paragraphs.

(e) If, during the term hereof, the Contractor finds it necessary to accelerate the expenditure of direct labor to such an extent that the total man-hours of effort specified in Section B would be used prior to the expiration of the term, the Contractor shall notify the Contracting Officer in writing setting forth the acceleration required; the probable benefits which would result; an offer to undertake the acceleration at no increase in the estimated cost or fee; and an offer for the additional man-hours to cover the remainder of the term to include a proposed level of effort, cost breakdown, and proposed fee, for continuation of the work until expiration of the term. The offer shall acknowledge that the additional man-hours proposed will be subject to the terms and conditions of this contract and any additions or changes required by then current law, regulations, or directives, and that the offer, with a written notice of acceptance by the Contracting Officer, shall constitute a binding contract. The Contractor shall not accelerate any effort until receipt of a signed contract modification by the Contracting Officer. Any agreement to accelerate will be formalized by contract modification.

(f) The Contracting Officer may, by written order, direct the Contractor to accelerate the expenditure of direct labor such that the total man-hours of effort specified in Section B would be used prior to the expiration of the term. This order shall specify the acceleration required and the resulting revised term. The Contractor shall acknowledge this order within five days of receipt.

(g) The Contractor shall provide and maintain an accounting system, determined adequate by the Administrative Contracting Officer, which collects costs incurred and effort (compensated and uncompensated, if any) provided in fulfillment of the level of effort obligations of this contract. The Contractor shall indicate on each invoice the total level of effort claimed during the period covered by the invoice, separately identifying compensated effort and uncompensated effort, if any.

(h) Within 45 days after completion of the work under each separately identified period of performance hereunder, the Contractor shall submit the following information in writing to the Contracting Officer with copies to the cognizant Contract Administration Office and to the Defense Contract Audit Agency office to which vouchers are submitted: (1) the total number of man-hours of direct labor expended during the applicable period that separately identifies compensated and uncompensated hours; (2) a breakdown of this compensated total showing the number of man-hours expended in each direct labor classification and associated direct and indirect costs; (3) a breakdown of other costs incurred; and (4) the Contractor's estimate of the total allowable cost incurred under the contract for the period. Additionally, in the case of a cost underrun the Contractor shall submit the amount by which the estimated cost of this contract may be reduced to recover excess funds. All submissions shall include subcontractor information.

(i) Unless the Contracting Officer determines that alternative worksite arrangements are detrimental to contract performance, the Contractor may perform up to 10% of the hours at an alternative worksite, provided the Contractor has a company-approved alternative worksite plan. The primary worksite is the traditional “main office” worksite. An alternative worksite means an employee’s residence or a telecommuting center. A telecommuting center is a geographically convenient office setting as an alternative to an employee’s main office. The Government reserves the right to review the Contractor’s alternative worksite plan. In the event performance becomes unacceptable, the Contractor will be prohibited from counting the hours performed at the alternative worksite in fulfilling the total level of effort obligations of the contract. Regardless of work location, all contract terms and conditions, including security requirements and labor laws, remain in effect. The Government shall not incur any additional cost nor provide additional equipment for contract performance as a result of the Contractor’s election to implement an alternative worksite plan.

(j) Notwithstanding any of the provisions in the above paragraphs and subject to the Limitation of Funds or Limitation of Cost clauses, as applicable, the period of performance may be extended at the discretion of the Contracting Officer, and the estimated cost may be increased in order to permit the Contractor to provide all of the man-hours listed in Section B. The contractor shall continue to be paid fee for each man-hour performed in accordance with the terms of the contract.
