HQ B-2-0004 EXPEDITING CONTRACT CLOSEOUT (NAVSEA) (DEC 1995)

(a) As part of the negotiated fixed price or total estimated amount of this contract, both the Government and the

Contractor have agreed to waive any entitlement that otherwise might accrue to either party in any residual dollar amount of $500 or less at the time of final contract closeout. The term "residual dollar amount" shall include all money that would otherwise be owed to either party at the end of the contract, except that, amounts connected in any way with taxation, allegations of fraud and/or antitrust violations shall be excluded. For purposes of determining residual dollar amounts, offsets of money owed by one party against money that would otherwise be paid by that party may be considered to the extent permitted by law.

(b) This agreement to waive entitlement to residual dollar amounts has been considered by both parties. It is agreed that the administrative costs for either party associated with collecting such small dollar amounts could exceed the amount to be recovered.

HQ B-2-0007 LIMITATION OF COST OR LIMITATION OF FUNDS LANGUAGE

The clause entitled "LIMITATION OF COST" (FAR 52.232-20) or "LIMITATION OF

FUNDS" (FAR 52.232-22), as appropriate, shall apply separately and independently to each separately identified estimated cost.

HQ B-2-0014 PAYMENTS OF FEE(S) (COMPLETION) (NAVSEA) (MAY 1993)

(a) For purposes of this contract, "fee" means "target fee" in cost-plus-incentive-fee type contracts, "base fee" in cost-plus-award-fee type contracts, "fixed fee" in cost-plus-fixedfee type contracts for completion and phase type contracts.

(b) The Government shall make payments to the Contractor, subject to and in accordance with the clause in this contract entitled "FIXED FEE" (FAR 52.216-8) or "INCENTIVE FEE", (FAR 52.216-10), as applicable. Such payments shall be equal to TO BE FILLED IN AT AWARD percent ( TO BE FILLED IN AT

AWARD ) of the allowable cost of each invoice submitted by and payable to the Contractor pursuant to the clause of this contract entitled "ALLOWABLE COST AND PAYMENT" (FAR 52.216-7), subject to the withholding terms and conditions of the "FIXED FEE" or "INCENTIVE FEE" clause, as applicable (percentage of fee is based on fee dollars divided by estimated cost dollars, including facilities capital cost of money). Total fee(s) paid to the

Contractor shall not exceed the fee amount(s) set forth in this contract.

(c) In the event of discontinuance of the work under this contract, or any specified phase of the contract, in accordance with the clause of this contract entitled "LIMITATION OF FUNDS" (FAR 52.232-22) or

"LIMITATION OF COST" (FAR 52.232-20), as applicable, the fee shall be equitably adjusted by mutual agreement to reflect the diminution of work. If the adjusted fee is less than the sum of all fee payments made to the Contractor under this contract, the Contractor shall repay the excess amount to the Government. If the adjusted fee exceeds all payments made to the Contractor under this contract, the Contractor shall be paid the additional amount, subject to the availability of funds. In no event shall the Government be required to pay the Contractor any amount in excess of the funds obligated under this contract at the time of the discontinuance of work.

(d) Fee(s) withheld pursuant to the terms and conditions of this contract shall not be paid until the contract has been modified to reduce the fee(s) in accordance with paragraph (c) above, or until the Procuring Contracting Officer has advised the paying office in writing that no fee adjustment is required.

HQ B-2-0015 PAYMENTS OF FEE(S) (LEVEL OF EFFORT – ALTERNATE 1) (NAVSEA) (MAY 2010)

(a) For purposes of this contract, "fee" means "target fee" in cost-plus-incentive-fee type contracts, "base fee" in cost-plus-award-fee type contracts, or "fixed fee" in cost-plus-fixed-fee type contracts for level of effort type contracts.

(b) The Government shall make payments to the Contractor, subject to and in accordance with the clause in this contract entitled "FIXED FEE" (FAR 52.216-8) or "INCENTIVE FEE", (FAR 52.216-10), as applicable. Such payments shall be submitted by and payable to the Contractor pursuant to the clause of this contract entitled "ALLOWABLE COST

AND PAYMENT" (FAR 52.216-7), subject to the withholding terms and conditions of the "FIXED FEE" or

"INCENTIVE FEE" clause, as applicable, and shall be paid at the hourly rate(s) specified above per man-hour performed and invoiced. Total fee(s) paid to the Contractor shall not exceed the fee amount(s) set forth in this contract. In no event shall the Government be required to pay the Contractor any amount in excess of the funds obligated under this contract.

HQ B-2-0020 TRAVEL COSTS - ALTERNATE I (NAVSEA) (APR 2015)

(a) Except as otherwise provided herein, the Contractor shall be reimbursed for its actual travel costs in accordance with FAR 31.205-46. The costs to be reimbursed shall be those costs determined to be allowable, allocable and reasonable by the Procuring Contracting Officer, Administrative Contracting Officer or their duly authorized representative, as advised by DCAA.

(b) Reimbursable travel costs include only that travel performed from the Contractor's facility to the worksite, in and around the worksite, and from the worksite to the Contractor's facility.

(c) Relocation costs and travel costs incidental to relocation are allowable to the extent provided in FAR 31.205-35;

however, Contracting Officer approval shall be required prior to incurring relocation expenses and travel costs incidental to relocation.

(d) The Contractor shall not be reimbursed for the following daily local travel costs:

(i) travel at U.S. Military Installations where Government transportation is available,

(ii) travel performed for personal convenience/errands, including commuting to and from work, and

(iii) travel costs incurred in the replacement of personnel when such replacement is accomplished for the

Contractor's or employee's convenience.

Section C - Descriptions and Specifications

NOTE TO OFFERORS

NOTE C1: POST AWARD CONFERENCE*

Upon award of the Multiple Award Contract (MAC), all awardees shall be required to participate in the Post Award

Conference (PAC) kickoff meeting. The details of the PAC will be finalized at time of award, but the Contractors can expect it to occur in Newport, RI within 30 days after MAC award. Participation via teleconference or video teleconference (VTC) is allowed; therefore, any travel incurred for the PAC is not an authorized cost, and is solely the responsibility of the Contractor and will not be reimbursed or paid by the Government under any circumstance.

The conference will establish work level points of contact; determine the task order administration strategy, roles and responsibilities.

STATEMENT OF WORK

1.0 Background

The Platform and Payload Integration Department, Code 40, of the Naval Undersea Warfare Center (NUWC)

Division Newport is responsible for a full spectrum of engineering and research efforts pertaining to submarine, surface ship, and autonomous vehicle payload launch and recovery systems, and submarine-launched missile systems. Code 40 is involved in every aspect and every phase of the engineering life cycle as it applies to submarine and surface ship payload launch / recovery systems, and submarine-launched missile systems. Platforms include submarines, surface ships, and autonomous vehicles.

2.0 Scope

The contractor shall design, develop, fabricate, test, install, analyze, document and deliver rapid prototype solutions associated with Code 40 products, systems, subsystems, support equipment and associated capabilities outlined in section 2.0. These solutions are intended to allow Code 40 to develop a sufficient understanding of alternative solution sets that are deemed critical in providing improved performance, accelerated operational capability or response to an identified emergent threat. Prototypes shall be employed in performance demonstrations to assess their operational utility, explore and inform Concept of

Operations development, mature technology, refine requirements and otherwise reduce the risk of current or anticipated capability gaps.

There are two types of technical efforts anticipated under this contract, full project orders and stand alone task orders. Full project orders require technical support for all areas in the Statement of Work (SOW)

(tasks 4.1 through 4.5 inclusive) during the development of a prototype system. Stand alone task orders are for technical support specifically for applicable task areas described in the SOW (4.1: Conceptual design, 4.2: Prototype design, fabrication integration & test, 4.3: Ship Alteration & Prototype Installation, and 4.4:

Test & Evaluation. No stand alone task orders are anticipated for task 4.5: Transition to Production.

For a full project order, a phased approach will be employed during the task execution of a prototype development effort. A contractor shall not proceed to a subsequent development task without receiving approval from the Government that all key milestones required have been successfully achieved for the current phase of the development effort. Initiation of any technical efforts on the next development phase without Government concurrence is prohibited.

2.01 Payload Launch / Retrieval Systems

This topic area includes the development of equipment and systems for launch and retrieval of payloads, autonomous vehicles, towed bodies, and measurement devices. Enhancements are needed to increase capability, improve safety, reduce required manning, improve control, improve reliability, improve manufacturability, reduce size, weight, and required power, reduce maintenance responsibilities, ensure compliance with applicable survivability requirements and reduce total ownership cost.

2.02 Payload Stowage / Handling Equipment and Payload Integration Systems

This topic area includes the development and modification of systems for shipping, stowage and handling of payloads, autonomous vehicles, towed bodies, and off-board payload integration systems. Enhancements are needed to increase capability, improve safety, reduce required manning, improve control, improve reliability, improve manufacturability, reduce size, weight, reduce maintenance responsibilities, ensure compliance with applicable survivability requirements, reduce unique interfaces to submarine systems, increase interoperability with onboard submarine systems, and reduce the unique maintenance requirements for fleet personnel.

2.03 Hatches, Trunks, and Closures Equipment

This topic area includes the development of equipment for hatches, trunks and closures for platform access.

Enhancements are needed to increase capability, improve safety including SUBSAFE, reduce required manning, improve control, improve reliability, improve manufacturability, reduce size, weight, ensure compliance with applicable survivability requirements and required power and reduce total ownership cost.

2.04 Payload Encapsulation Systems

This topic area includes the development of methods and equipment to encapsulate weapons and other payloads to interface with and enable operation from various environments, such as surface ship and submarine launching systems. This topic includes mechanical and electrical design, fabrication, integration, modification, testing, documentation, material analysis, safety, launch envelope analysis, and shock analysis/mitigation.

2.05 Simulators and Electronic Equipment

This topic area includes mechanical and electrical equipment, circuit cards, computers and software to simulate missiles, payloads, and their associated electrical and mechanical interfaces and properties. This topic includes the design, development, documentation, fabrication, modification, evaluation, and support of missile simulator equipment as well as any associated test and evaluation equipment. This effort includes any required material analysis, safety analysis, and shock analysis/mitigation. This topic area also includes the development of test and evaluation tools that improve the government’s ability to test, reconstruct, analyze, assess and evaluate payload launch and recovery systems, and submarine-launched missile systems. Prototypes may include data gathering systems, innovative mass storage techniques and real-time playback.

2.06 Cables, Coatings and Materials

This topic area includes the development and evaluation of alternate materials, coatings and manufacturing processes for inboard and outboard cables, connectors, and assemblies to improve reliability, conductor density, manufacturability, delivery times and reductions in total ownership costs. This topic includes improved potting for long-term deep submergence applications, new hose wall material or coatings to improve resistance against water saturation, ruggedize coating on cables to resist penetration, and to prevent damage when in contact with maintenance personnel. This topic area includes development and characterization of specialized, functional coatings, materials and polymers to protect hardware from corrosion and biofouling.

4.0 Technical Requirements

The contractor shall perform the tasks in section 4.0 in accordance with the Applicable Documents in Section 3.0 and using GFI provided as part of the task order issuance. As required for stand-alone task orders, the Government will issue Technical Instructions to initiate and specify tasking, and will indicate Applicable Documents, systems and platforms, and GFI as it becomes available.

4.0.1 General Requirements: Program Management Reviews and Technical Interchange Meetings

4.0.1.1 Participate in Program Management Reviews (PMRs) and Technical Exchange Meetings (TIMs), including technical reviews, to provide technical status. The Government will establish meeting schedule and the agenda.

4.0.1.2 Provide presentation materials one day prior to PMRs, TIMs, and technical reviews. (CDRL A001 –

4.0.2 General Requirements: Quality Assurance

4.0.3 General Requirements: Technical Data Packages

4.0.3.1 Develop Technical Data Packages (TDP) that define conceptual design, developmental prototype or limited production design, or the highest type of engineering drawing required for quantity production of the item or system. The contractor shall provide TDPs for all developmental efforts, unless otherwise directed, as defined in individual task orders. TDPs shall consist of one of three Levels: (1)

Conceptual Level, (2) Developmental Level, and (3) Production Level as defined by applicable document 3.1.2. Conceptual Level TDPs are applicable for tasks within section 4.1. Developmental

4.1 Conceptual Design

4.1.1 Concept Design Analysis and Assessment Studies

4.1.1.1 Perform engineering analysis, conceptual design studies, and assessment studies for prototype systems, system of systems, engineered material and electro-mechanical devices to meet system, operational and platform requirements defined in the individual orders.

4.1.1.2 Perform trade studies, technical investigations and reviews to compare the performance, cost and development time associated with the applicable prototype options. The contractor shall evaluate tradeoffs of various designs as a function of constraints and dependencies including performance metrics, environmental conditions, ergonomics, physical limits, complexity, material composition, structural integrity, hydrodynamic stability, special security and safety features associated with system operation, and compatibility with other proposed and existing systems, components, or devices.

4.1.1.3 Assess capability advantages and disadvantages, feasible alternatives, key assumptions, sensitivity to changes in variables and technology risk.

4.1.1.4 Document results of analysis, draft computer aided design models and engineering drawings including conceptual designs and system layouts and other findings in a technical report. (CDRL A003 –

4.1.2 Performance Predictions

4.1.2.1 Predict characteristics of the prototype set(s) using mathematical formulations describing the dependency of a particular system parameter to various external stimuli and operating conditions.

4.1.2.2 Simulate candidate implementations using computer based modeling tools and numerical methods appropriate for the specific application as defined in the individual orders.

4.1.2.3 Derive metrics that form the basis of comparisons and trade-offs and evaluate these metrics quantitatively as a function of the applicable trade-space.

4.1.3 Analysis of Operation

4.1.3.1 Conduct analyses of current and future operations and missions and make recommendations to develop new system or subsystem solutions taking into account existing fielded systems as a baseline before recommending the development of a new system or subsystem.

4.1.3.2 Document results of analysis detailing all system or subsystem solutions considered and shall provide detailed rationale for selection of the recommended solution in a technical report. (CDRL A004 –

4.1.4 Compatibility Analysis

4.1.4.1 Conduct compatibility studies and prepare drawings of proposed prototype solution sets to demonstrate compatibility with platform systems and their interfaces. Compatibility studies shall include analyses necessary to evaluate the performance of payload/platform interfaces to identify potential problems and recommend and develop changes to both the platform or payload system and shipboard procedures to overcome any incompatibilities/problems identified including those associated with payload shipping, handling, stowage, deployment and recovery.

4.2.1.2.2 Utilize computer aided design (CAD) tools to document the hardware architecture, layout electrical component schematics, circuit card floor plans, connector and cable pinout diagrams, network routing, power supply interfaces or other components.

4.2.1.3.2 Utilize CAD tools to assess the functionality and compliance to requirements of multiple design options.

4.2.1.6.2 Implement software, firmware and computer code to execute required functionality on all computers incorporated into the prototype set.

4.2.1.6.4 Include unique numerical identifiers into code files to support version control and configuration management and store the software and firmware on electronic media with a unique version identification label.

4.2.2 Prototype Fabrication

4.2.2.1 General

4.2.2.1.1 Build, test and deliver a prototype set or sets consisting of systems, systems of systems, engineered materials, electronic devices, electronic interfaces, mechanical devices, and support materials to sustain the equipment and facilitate operation during test, evaluation and demonstration.

4.2.2.1.2 Include ancillary hardware and special support equipment, software or other configuration items to operate the prototype set in its intended environment.

4.2.2.1.3 Provide unique test equipment, cables, connectors, attachments or other interfaces to connect all the various subsystems, components and devices within the prototype set and to external systems required for full functionality test and evaluation.

4.2.2.1.4 Provide instrumentation and data acquisition systems required for test, evaluation and operational demonstration of electrical, software, mechanical or HMI systems, subsystems, modules or devices that comprise the prototype set.

4.2.2.1.5 Include spares to support rapid fielding and operational demonstration timelines.

4.2.2.1.6 Build, test and deliver hardware consisting of electrical circuits, semiconductor devices, computer components, memory devices, custom wiring, electrical interfaces, mechanical enclosures, mechanical interfaces and human-machine interfaces.

4.2.2.1.7 Host software on computer subsystems to execute designed system functionality.

4.2.2.1.9 Include built-in test (BIT) capabilities and interfaces to support first article unit testing in a stand-alone environment in the completed assembly.

4.2.2.1.10 The assembled prototype set shall exhibit the functionality and performance characteristics described in design documentation approved by the Government during design reviews.

4.2.2.2 Design for Manufacturability

4.3 Ship Alteration and Prototype Installation

4.3.1 Shipboard Installation and Alteration Package Development:

4.3.1.1 Develop, update and maintain a Temporary Alteration (TEMPALT) or Temporary Modification

(TEMPMOD) data package that describes the approach planned for temporary installation of the prototype set on a commercial or military test platform. The resulting Technical Data Package (TDP) shall include mechanical and electrical drawings showing the equipment components and all cable interconnections mounted on the platform’s outer surface or within the platform in an equipment space, personnel and equipment safety requirements, detailed schematics, test requirements, shipping considerations, laydown plans, installation instructions and sequences and expected schedules. 4.3.1.2 Conduct ship checks to document the as-built configuration of shipboard equipment within individual platforms, compare the results to ship design drawings, and document results of the ship check. (CDRL

4.3.1.3 Develop engineering sketches and red line drawings of noted deviations between the as-built condition of the shipboard equipment and its interface to the prototype set. 4.3.1.4 Perform mathematical or computer-based modeling of mechanical forces from platform motion or nearby equipment interactions to verify that mounting configurations and vibration isolation mechanisms meet minimum standards and requirements.

4.3.1.5 Perform mathematical or computer-based modeling of electrical power loads and distribution interfaces to ensure that connections of the prototype set equipment to ship’s power resources fall within available resources and tolerances.

4.3.1.6 Generate risk assessments and system hazard reports (SHR) to support compliance with information assurance, personnel safety, weapons safety, electronic or mechanical interference, habitability, and other regulatory controls associated with installation on a specified platform type,

4.3.2 Prototype Installation:

4.3.2.1 Assemble and install the prototype set at shipyards, on submarines, on surface ships, and aboard commercial ships on the platform’s outer surface or within the platform in a designated equipment space in preparation for in water demonstration. The Government will coordinate contractor access to shipyards and vessels as required.

4.3.2.2 Verify that the equipment is installed in accordance with installation drawings, alteration documents and alteration schematics according to design requirements as specified in the TDP and is operating as defined in the system technical manuals.

4.3.2.3 Develop, update and maintain installation plans and procedures which include scheduling, equipment staging, and installation plans. (CDRL A004 – Technical Report - DI-MISC-80508B, CDRL A003 –

4.3.3 System Operation and Verification Test (SOVT):
