B-TXT-01 PAYMENT OF FIXED FEE (COMPLETION TYPE) (JUN 2017)

FIXED FEE: $*. The Government shall make payment to the Contractor when requested as work progresses, but no more frequently than biweekly, on account of the fixed fee, equal to ** percent of the amounts invoiced by the Contractor under the “Allowable Cost and Payment” clause hereof for the related period, subject to the withholding provisions of paragraph (b) of the “Fixed Fee” clause. In the event of discontinuance of the work in accordance with clause of this contract entitled “Limitation of *** the fixed fee shall be redetermined by mutual agreement equitably to reflect the diminution of the work performed; the amount by which such fixed fee is less than, or exceeds payments previously made on account of fee, shall be paid, or repaid by, the Contractor, as the case may be.

B-TXT-04 LEVEL OF EFFORT--FEE ADJUSTMENT FORMULA (JUN 2017)

(a) Subject to the provisions of the “Limitation of Cost” or “Limitation of Funds” clause (whichever is applicable to this contract), it is hereby understood and agreed that the fixed fee is based upon the Contractor providing the below listed number of staff-hours of direct labor, hereinafter referred to as X, at the estimated cost and during the term of this contract specified elsewhere herein:

The Contractor agrees to provide the total level of effort specified above in performance of work described in Sections “B” and “C” of this contract. The total staff-hours of direct labor shall include subcontractor direct labor hours for those subcontractors identified in the Contractor’s proposal as having hours included in the proposed level of effort.

(b) Of the total staff-hours of direct labor set forth above, it is estimated that 0 staff-hours are competitive time (uncompensated overtime). Competitive time (uncompensated overtime) is defined as hours provided by personnel in excess of 40 hours per week without additional compensation for such excess work. All other effort is defined as compensated effort. If no amount is indicated in the first sentence of this paragraph, competitive time (uncompensated overtime) effort performed by the contractor shall not be counted in fulfillment of the level of effort obligations under this contract.

(c) Effort performed in fulfilling the total level of effort obligations specified above shall only include effort performed in direct support of this contract and shall not include time and effort expended on such things as local travel from an employee’s residence to their usual work location, uncompensated effort while on travel status, truncated lunch periods, or other time and effort which does not have a specific and direct contribution to the tasks described in Section B.

(d) It is understood and agreed that various conditions may exist prior to or upon expiration of the term of the contract, with regard to the expenditure of labor staff-hours and/or costs thereunder which may require adjustment to the aggregate fixed fee. The following actions shall be dictated by the existence of said conditions:

(1) If the Contractor has provided not more than 105% of X or not less than 95% of X, within the estimated cost, and at the term of the contract, then the fee shall remain as set forth in Section B.

(2) If the Contractor has provided X-staff-hours, within the term, and has not exceeded the estimated cost then the Contracting Officer may require the Contractor to continue performance until the expiration of the term, or until the expenditure of the estimated cost of the contract except that, in the case of any items or tasks funded with O&MN funds, performance shall not extend beyond 30 September. In no event shall the Contractor be required to provide more than 105% of X within the term and estimated cost of this contract. The fee shall remain as set forth in Section B.

(3) If the Contractor expends the estimated cost of the contract, during the term of the contract and has provided less than X staff-hours, the Government may require the Contractor to continue performance, by providing cost growth funding, without adjusting the fixed fee, until such time as the Contractor has provided X staff-hours.

(4) If the Contracting Officer does not elect to exercise the Government’s rights as set forth in paragraph (d)(2) and (d)(3) above, and the Contractor has not expended more than 95% of X staff-hours, the fixed fee shall be equitably adjusted downward to reflect the diminution of work.

(5) Nothing herein contained shall, in any way, abrogate the Contractor’s responsibilities, and/or the Government’s rights within the terms of the contract provision entitled “Limitation of Cost” or “Limitation of Funds” as they shall apply throughout the term of the contract, based upon the total amount of funding allotted to the contract during its specified term.

(e) Within 45 days after completion of the work under each separately identified period of performance hereunder, the Contractor shall submit the following information in writing to the Contracting Officer with copies to the cognizant Contract Administration Office and DCAA office to which vouchers are submitted:

(1) The total number of staff-hours of direct labor expended during the applicable period.

(2) A breakdown of this total showing the number of staff-hours expended in each direct labor classification and associated direct and indirect costs.

(3) A breakdown of other costs incurred.

(4) The Contractor’s estimate of the total allowable cost incurred under the contract for the period.

In the case of a cost under-run, the Contractor shall submit the following information in addition to that required above:

(5) The amount by which the estimated cost of this contract may be reduced to recover excess funds and the total amount of staff-hours not expended, if any.

(6) A calculation of the appropriate fee reduction in accordance with this clause.

All submissions required by this paragraph shall include subcontractor information, if any.

(f) SPECIAL INSTRUCTION TO THE PAYING OFFICE REGARDING WITHHELD FEE

Fees withheld pursuant to the provisions of this contract, such as the withholding provided by the “Allowable Cost and Payment” and “Fixed Fee” clauses, shall not be paid until the contract has been modified to reduce the fixed fee in accordance with paragraph (d) above, except that no such action is required if the total level of effort provided falls within the limits established in paragraph (d) above.

B-TXT-08 MINIMUM AND MAXIMUM QUANTITIES (JUN 2017)

As referred to in paragraph (b) of the “Indefinite Quantity” clause of this contract, the contract minimum quantity is a total of $10,000 worth of orders at the contract unit price(s). The maximum quantity is the total estimated amount of the contract. The maximum quantity is not to be exceeded without prior approval of the Procuring Contracting Officer.

The combined/overall ceiling for all awardees under this Multiple Award Contract is $*; however, no MAC awardee can exceed the value of its contract maximum quantity.

B-TXT-12 LIMITATION OF LIABILITY--INCREMENTAL FUNDING (JUN 2017)

This “when specified in the task order” is incrementally funded and the amount currently available for payment hereunder is limited to “$ TBD at Task Order Level” inclusive of fee. It is estimated that these funds will cover the cost of performance through “TBD at Task Order Level”. Subject to the provisions of the FAR 52.232-22 “Limitation of Funds” clause of this contract, no legal liability on the part of the Government for payment in excess of “$ TBD at Task Order Level” shall arise unless additional funds are made available and are incorporated as modifications to this contract.

Section C - Descriptions and Specifications

Statement of Work

SPAWAR SYSTEMS CENTER PACIFIC

Codes 535 Analysis and Test Engineering Support

1.0 Background and Scope

This SOW describes required contractor efforts for the research, development, test, and evaluation support services for Analysis Engineering, Test Engineering, Analysis and Test support, Test and Analysis Prototype research and development, Analysis and Test Engineering and Analysis and Test Evaluation. This SOW includes efforts for Analysis and Test Engineering (ATE) of Tactical Data Link (TDL) systems to include Multifunctional Information Distribution System (MIDS), Joint Tactical Information Distribution System (JTIDS), Joint Tactical Radio System (JTRS) waveform, Tactical Targeting Network Technology (TTNT), Advanced Electronic Guidance and Instrumentation System (AEGIS) , Ship Self Defense System (SSDS) and other new advanced Combat Direction Systems (CDS), and network and satellite communications equipment. This SOW also includes evaluation and implementation of other applications to support resolution of U.S. and Coalition/Allied military TDL interoperability problems.

In addition, the scope of work includes Command, Control, Communications, Computer, Cyber and Intelligence, Surveillance and Reconnaissance (C5ISR) research, development, test, evaluation, system integration, operational support, system engineering, test bed preparation, and configuration management supporting the SSC Pacific, Code 535, and other Government laboratories. This support will assist the Government in developing and maintaining a collaborative engineering, test, and certification environment. System integration and operational support will utilize knowledge of different C5ISR systems to include, Global Command and Control System – Maritime/Joint (GCCS-M/J), Automated Digital Network System (ADNS), Consolidated Afloat Network and Enterprise Services (CANES), Integrated Shipboard Network System (ISNS), Command and Control Processor (C2P) family of systems, Link Monitoring and Management Tool (LMMT), Israeli Missile Defense Architecture (IMDA), Po Sheng Gateway (PSGW), Data Link Test Tool/Gateway Systems and other networking and simulation technologies.

System engineering and configuration management will be applied to laboratory hardware, software, and documentation to include, specified installations, platform characteristics, in-house software, and documentation libraries, as these items are changed or modified. Additionally configuration management will include the development and maintenance of government requirements and test database for systems under test to include traceability from requirements to test cases to results. The work will require an in-depth understanding of the Software Engineering Institute (SEI) Capability Maturity Model Integration (CMMI) Maturity Level 3 (ML 3) for the entire software life cycle process. This will include system engineering, software development, integration, test, maintenance, and progress monitoring which use the reporting procedures and measures of performance in accordance with best practices as indicated by the SEI CMMI ML3.

Additionally, the scope of work includes maintaining compliance with current Federal, Department of Defense (DoD), Missile Defense Agency (MDA), Department of the Navy (DoN), U.S. Fleet Cyber Command (USFLTCYBERCOM), SPAWAR Systems Command (SPAWARSYSCOM), and SPAWAR Systems Center (SPAWARSYSCEN) Information Assurance (IA)/Cybersecurity Policies, Directives, Instructions, and Requirements.

1.1 Introduction

The Space and Naval Warfare Systems Center Pacific (SSC Pacific) Code 535 has operated multiple laboratories to include, the Combined Test Bed (CTB), Program Generation Center (PGC), Ballistic Missile Defense System (BMDS) Test Bed, San Diego (BTS), and Data Link Test Tools (DLTT) lab to support Navy interoperability since May of 1990. Numerous US Government, DoD, and Allied nations task SSC Pacific to support research, development, test, evaluation, and implementation of C5ISR. The tasking that SSC Pacific, an asset of the Governments Land Based Testing Facilities (LBTF), normally receives principally involves resolving interoperability issues with C5ISR systems using the CTB, PGC, DLTT, BTs, and other SSC Pacific laboratory equipment. SSC Pacific is tasked to solve interoperability problems with numerous systems. A partial list follows:

Joint Tactical Radio System (JTRS) waveforms (TTNT, Link-16, WNW, SRW, SINCGARS) MIDS-LVT, BU2 Terminal Configurations MIDS JTRS BC1, BC2, CMN-4/MIDS Mod, TTNT, F22 Terminal Configurations Radio Frequency Network (RFN) Distributed Integration and Interoperability Assessment Capability (DIIAC) Consolidated Afloat Networks and Enterprise Services (CANES) C2P family of systems: Command Data Link Management System (CDLMS)/Next Generation C2P

(NGC2P), Re-hosted C2P (RC2P), C2P Technology Refresh (C2PTR), C2P Modernization (C2P Mod) and related programs

1.2 Background

1.2.1 The JTIDS, MIDS, MIDS On Ship (MOS), and JTRS programs provide jam resistant, digital communications of data and voice for command and control, navigation, relative positioning, and identification. For U.S. Navy shipboard applications, the C2P family of systems provides JTIDS and MOS control. The primary application of JTIDS, MIDS, MOS, and JTRS within the U.S. Navy is to support Link-16 (TADIL-J). MOS uses the 1553B bus, but may also run on several different buses (e.g., RS-232, Ethernet). MIDS variant radios are used on the F/A-18 aircraft, E-2C/D aircraft and various joint and allied airborne, surface, and subsurface combatants. Technical evaluations of the JTIDS, MIDS, MOS and JTRS equipment, terminals, waveform, and the integration with higher level application software including the involvement of the DIIAC, CTB, PGC, Aegis Ashore, Distributed IF/EMW Experimentation and other laboratories and sites which may be on campus or geographically separated.

1.2.2 The CTB/PGC/BTS/DLTT equipment provides a controlled, repeatable test environment for the complete evaluation of all data link functions. This is a precursor to live platform testing as well as for problem resolution during a live-test phase. The DLTT equipment part of the CTB is used to interface the Multi-Service/Multi-Nation Hosts as needed. This permits the interfacing of multiple switchable terminals, development labs, software support activities, live assets, certification activities and simulation activities forming a single extended network for engineering and analysis.

1.2.3 Pre-deployment battle group assists (grooming) and multi-link integration issues must also be accomplished.

The C2P/NGC2P provides the Data Link Interface to Link-16, Link-11, and JREAP while providing data forwarding between Links 11, 16, and JREAP. Near term upgrades will include interfacing current supported data links with the Link 22 (NILE) system. Systems on air or surface combatants, like the CEC, involve the TDL interoperability of these platforms in a multi-link environment.

1.2.4 The DLTT/GS and family of tools support the test bed and provide emulation for various Link-16 terminals, JREAP, and support Link Host Simulation. These systems enable internal and distributed test architectures for Tactical Data Link (TDL) systems development, integration, and interoperability test and evaluation.

1.2.5 The CTB/PGC/BTS/DLTT can serve as the central node in the evaluation of C4I capacity of the Strike Groups in a controlled, repeatable environment. This environment can include Live, Virtual, and Constructive (LVC) simulation prior to installation and is a stimulation and data extraction node as directed. DLTT equipment is available as adjuncts to verification testing of Link-16 systems on-board ships and aircraft. These DLTTs are scheduled routinely by JTIDS, MOS and MIDS platforms for the purpose of establishing a live link between operational platforms. The use of the DLTT enables problem resolution, enhances operator familiarity, and provides support for other test activities.

The SSC Pacific BTS supports the Missile Defense Agency (MDA) in the developing, testing, integrating, and fielding of a layered BMDS to defend the United States, its Deployed Forces, Allies, and Friends against enemy threats. BTS focuses on Missile Defense Test and Evaluation (T&E), BMC4I Interoperability, Link Systems Engineering, and Aegis BMD baseline fielding. Known as "Aegis BMD Point Loma", BTS supports MDA BMD Flight Tests, Ground Tests, Fleet Exercises, Aegis BMD Shipboard Readiness Assessments (RA), and Real-World Operations.

The BTS roles include the following:

Aegis BMD Mission Execution and Coordination Center:

o The CTB/BTS serves as primary U.S. Navy element for Ballistic Missile Defense System

(BMDS) test and execution with a focus on TDL interoperability and C4I system analysis.

Surrogate Aegis BMD CG/DDG:

o The CTB/BTS provides Cruiser (CG)/Destroyer (DDG) ship system configurations which support technology demonstrations, data collection, and analysis for BMDS mission threads to include:

Long Range Surveillance & Tracking (LRS&T)/Cueing Simulated Launch-on-Remote (LoR) Standard Missile (SM)-3 Engagement

Data Analysis Center:

o Support requirements definition, analysis, and test engineering of BMD mission objectives and data to include pre-test, test execution, and post-test activities.

1.2.6 The CTB/PGC/DLTT can serve as a testing, development and experimentation platform for prototype JTRS equipment and developmental waveforms. This can include LVC simulation prior to manufacture and can function as a stimulation and data extraction node as directed. DLTT equipment can be developed as adjuncts to verification testing of systems on-board ships and aircraft. The use of the CTB enables problem resolution, enhances operator familiarity, and provides support for other test activities.

1.2.7 The E2C Lab simulation environment is utilized to support SSC Pacific’s role as the Central Engineering Activity (CEA) for product improvement of the shipboard Command control Communications Computers and Intelligence (C4I) systems. It also provides for test and evaluation of emerging C4I systems as well as requirements analyses, design reviews, application and integration analyses, and developmental problem investigations and assessments of these systems. These efforts provide interface information and documentation on C4ISR related issues to the Warfighter.

2.0 Applicable Documents

2.1 Order of precedence.

In the event of a conflict between the text of this SOW and the references cited herein, the text of this document shall take precedence. Nothing in this document, however, shall supersede applicable laws and regulations, unless a specific exemption has been obtained.

3.0 Technical Requirements

The following task areas describe the type of contractor work required in order to provide support to SSC Pacific.

The specific work to be accomplished and its schedule for delivery will be provided in individual task orders.

Contractor support shall include all classes of US Navy, USCG, and Allied ships, aircraft, and shore installations.

With respect to the types of tasking identified in paragraphs 3.1 through 3.9 below, the contractor shall support:

a. Research, development, test, evaluation, and integration of TDL and C5ISR systems interoperability tests (live and simulated)

b. Interoperability test bed preparation and testing operations for SSC Pacific laboratories to include, CTB, PGC, DLTT, and BTS.

c. The development of new prototype equipment and waveforms.

d. Research, development, test, evaluation, and integration for systems, hardware, software, information assurance, networking, model & simulation, support for military tactical data links and terminals.

e. Research, development, test, and evaluation for systems that include but are not limited to:

3.1 TASK 1 Analysis Engineering.

3.1.1 Perform the design, implementation, maintenance, and documentation of various data networks, which include but are not limited to, simulated fleet representative network architectures such as ISNS, CANES, and ADNS.

3.1.2 The contractor shall support research, development, test, and evaluation events such as Risk reduction and integration events on all classes of ships, EBEM/ESEM, and S&T. Support for these events may include document generation (engineering assessments, test plans, procedures, quick look reports and Final Test reports), equipment installation, LVC simulation, and simulation test tool operation, installation and operation of instrumentation systems and applications, test execution, data collection, and data analysis.

3.2 TASK 2 Test Engineering

As related to paragraph 3.0, the contractor shall:

3.2.1 Review and provide technical comments to Engineering Change Proposals (ECP) and associated Notice of Revisions (NORs). Recommend their acceptance/rejection based on current system definition.

3.2.2 Research identified problems, determine solutions, and articulate those solutions as necessary at Technical Interchange Meetings (TIM), Integrated Product Team (IPT) meetings or engineering assessment reports.

3.2.3 Recommend technical assets required for testing and resolving identified problems.

3.2.4 Provide support for formal technical/program reviews by preparing technical material and/or presenting the material at the reviews.

3.2.5 Provide system engineering and support for system/subsystem/software test plans and test procedures. Such support may include preparation of test plans and/or procedures, or recommended changes to them to correspond with configuration changes on the evolving system. Develop a data management and analysis plan (DMAP) as part of the test planning. Incorporate design of experiment (DOE) methodologies into test planning.

3.2.6 Provide support for test readiness reviews by preparing technical material and/or presenting the material at the readiness review

3.2.7 Identify requisite material/software/hardware to accomplish the installation and validation of the installed system.

3.2.8 Conduct pre-installation checkout and testing of systems/subsystems and/or software.

3.2.9 Test the interface of the system/subsystem/equipment/unit being installed with existing system(s).

3.2.10 Support Communications Security (COMSEC) of the system/subsystem/equipment/unit.

3.2.11 Provide maintenance support to include the installation, configuration, and troubleshooting of all C4I, timing, video, and network equipment related to the T&E laboratory infrastructure.

3.2.12 Provide systems/network administration and information assurance/cybersecurity support for all related networks and systems/subsystems.

3.3 TASK 3 TDL and C2 Test Bed Preparation support

As related to paragraph 3.0, the contractor shall:

3.3.1 Configure, load, initialize, and operate C5ISR and combat systems. Systems include TDL, C2, simulation, test tools, Radio Frequency (RF), Aegis, SSDS, and Communications Security (COMSEC) material.

3.3.2 Support test bed standard operating procedures and processes to include maintenance, operations, facility access, safety, security, material condition of facilities, configuration management, property accountability, classified material, and Cybersecurity Work Force (CSWF).

3.3.3 Provide written status reports documenting test bed preparations and maintenance, Trouble Reports, and Configuration Changes.

3.3.4 Provide support for development, configuration management and maintenance of Government test and requirements databases that capture all aspects of test development, reporting and traceability to requirements.

3.3.5 Support System Integration Test Events involving Navy C2 and C5ISR systems with Test Event Planning, Coordination and Management, Test procedures, Quick Looks and Documentation of Test Event Requirements, Schedules, Configuration, Event Execution and Final Test Results.

3.3.6 Ensure documentation and test results are entered into government test databases when available.

3.3.7 Maintain configuration management of government test databases.

3.4 TASK 4 Analysis and Test support.

As related to paragraph 3.0, the contractor shall:

3.4.1 Provide expertise and personnel to perform Verification and Validation (V&V) and support TDL certification tasks in support of various TDL and Multi-TADIL events conducted at the SSC Pacific laboratories to include, CTB, PGC, CDLMS Lab 120, DLTT laboratory, the BTS, and various other Government test and evaluation facilities.

3.4.2 Provide V&V test status after each TDL and multi-TDL event in the form of daily and weekly status reports.

3.4.3 Perform analysis following each phase of testing of the TDL and multi-TDL events.

3.4.4 Provide analysis results, following each phase of testing of the TDL and multi-TDL events in the form of daily and weekly status reports.

3.4.5 Present test planning, execution, and analysis documentation technical meeting(s), conference(s) and working groups.

3.5 TASK 5 Test and Analysis Engineering.

As related to paragraph 3.0, the contractor shall:

3.5.1 Host technical requirements meetings in order to gather data which defines the concept, operational, functional, and performance requirements.

3.5.2 Analyze the concept, operational, functional and performance requirements.

3.5.3 Identify competing technologies and approaches to meet a given series of requirements.

3.5.4 Analyze interface requirements.

3.5.5 Identify and resolve interoperability problems encountered with complex systems.

3.5.6 Collect test data.

3.5.7 Analyze test results.

3.6 TASK 6 Prototype Development, Analysis, and Test Engineering

As related to paragraph 3.0, the contractor shall:

3.6.1 Develop hardware and software to research concept, operational, functional, and performance requirements of new TDL equipment and waveforms.

3.6.2 Provide components, equipment, and materials in order to demonstrate the operational, functional and performance requirements of competing technologies and approaches to meet a given series of government requirements.

3.6.3 Provide components, equipment, and materials to demonstrate interface requirements.

3.6.4 Provide special test equipment to identify and resolve interoperability problems encountered with complex systems.

3.6.5 Execute prototype testing and collect test data.

3.7 TASK 7 Analysis and Test Evaluation.

As related to paragraph 3.0, the contractor shall:

3.7.1 Evaluate hardware and software to determine if they satisfy the concept, operational, functional, and performance requirements.

3.7.2 Evaluate concept, operational, functional and performance requirements.

3.7.3 Evaluate technologies and approaches to meet a given series of requirements.

3.7.4 Evaluate interface requirements.

3.7.5 Evaluate interoperability problems encountered with complex systems.

3.7.6 Evaluate test data.

3.7.7 Evaluate test results.

3.8 Training and Demonstration

The contractor shall prepare for and conduct technical demonstrations, technical training, on-the-job training, and operational training.

3.9 Reports, Data, and Other Deliverables

The contractor shall deliver data products resulting from work performed under this SOW as identified in the attached DD Form 1423, Contract Data Requirements List (CDRL), and Exhibit A as specified under individual delivery/task orders.

4.0 Other

4.1 Security

Contractor personnel assigned under this SOW must have either a U.S Government Secret clearance or a U.S.

Government Top Secret/Sensitive Compartmented Information (TS/SCI) in accordance with the attached DD Form 254, Contract Security Classification Specification, or as specified under the individual delivery/task orders.

The nature of this task requires access up to TS/SCI information. Some tasks shall require personnel with TS/SCI clearances. The work performed by the Contractor will include access to unclassified and up to Top Secret/Sensitive Compartmented Information (SCI) data, information, and spaces. The Contractor will be required to attend meetings classified up to Top Secret/SCI. The contractor will be required to provide individuals with security clearances at the appropriate classification levels, as specified in individual task orders. Identified Key contractor personnel performing C4ISR Cybersecurity duties are required to possess TS/SCI clearances. The Contractor will require access to Confidential/Secret Communications Security (COMSEC) and the Secure Internet Protocol Router Network (SIPRNet) and Joint Worldwide Intelligence Communications System (JWICS). There may be a requirement for the contractor to access NATO on this contract, per Naval Intelligence Security Policy Directive 17- 008, those contractors that have SCI access and a SIPRnet or JWICS account shall be North Atlantic Treaty Organization (NATO) read-on and complete the derivative classification training prior to being granted access to SIPRnet; training is provided by the facility security officer with an entry in JPAS. In addition, contractor personnel that are designated system administrators for systems that process and receive NATO classified data must be NATO read-on and complete the derivative classification training.

Some contractors performing tasks at the TS or below level without SCI access shall only receive the North Atlantic Treaty Organization (NATO) awareness brief and complete the derivative classification training prior to being granted access to SIPRnet; training is provided by the facility security officer.

Contractor personnel assigned to this effort who require access to SCI data and spaces must possess a current SSBI with ICD 704 eligibility (which replaced DCID 6/4 eligibility).

NATO information: This means information/documents belonging to, and circulated by, the North Atlantic Treaty Organization (NATO). Access to NATO information requires a (Final) U.S. government clearance at the appropriated level and a special briefing. The special briefing is provided by the contracting company’s facility security officer along with the derivative classification training with an entry in JPAS. Prior approval from the contracting activity’s NATO Control Officer (NCO)/Alternate (CODE 83310, 619-553-3005/3191) is required before the prime contractor or the subcontracting facility can be granted access to or store NATO material at their facility no exceptions for this contract. The SSC Pacific NCO/Alternate have reviewed the requirement support this contractual obligation and have approved the review to the prime contractor only that in performance of Limited SYSTEM ADMIN duties on SIPRNET/JWICS the contractor may come into contact with NATO Secret information. Some contractors may have a requirement to review NATO STANAGs noted in paragraph 2.3.

As required by National Industrial Security Program Operating Manual (NISPOM) Chapter 1, Section 3, contractors are required to report certain events that have an impact on: 1) the status of the facility clearance (FCL); 2) the status of an employee's personnel clearance (PCL); 3) the proper safeguarding of classified information; 4) or an indication that classified information has been lost or compromised. Contractors working under SSC Pacific contracts will ensure information pertaining to assigned contractor personnel are reported to the Contracting Officer Representative (COR)/Technical Point of Contact (TPOC), the Contracting Specialist, and the Security's COR in addition to notifying appropriate agencies such as Cognizant Security Agency (CSA), Cognizant Security Office (CSO), or Department Of Defense Central Adjudication Facility (DODCAF) when that information relates to the denial, suspension, or revocation of a security clearance of any assigned personnel; any adverse information on an assigned employee's continued suitability for continued access to classified access; any instance of loss or compromise, or suspected loss or compromise, of classified information; actual, probable or possible espionage, sabotage, or subversive information; or any other circumstances of a security nature that would affect the contractor's operation while working under SSC Pacific contracts.

4.2 Travel

Business travel to other U.S. Government/DOD facilities and aircraft/ships within the U.S. (CONUS) and outside the U.S. (OCONUS) and Coalition/Allied facilities and aircraft/ships is required and will be identified under individual task orders. No in-theater travel (such as to Afghanistan) is anticipated to be required under this contract.

Foreign Travel

Contractor personnel are reminded of their obligation to safeguard the vital relationship our Nation has with Foreign Countries. This includes personal conduct while performing under the contract and on one’s personal time because, at all times, you are viewed by our partners as a representative of the United States, our Navy, and SPAWAR.

Therefore, professional, courteous, and culturally aware conduct is necessary at all times. Inappropriate conduct, and especially intoxication and criminal behaviors, will not be tolerated. An all too common nexus for personnel misconduct while on travel is irresponsible consumption of alcohol. Intoxication increases your vulnerability to crime, injury, arrest, terrorism and espionage.

Examples of recent incidents of inappropriate conduct have resulted in the U.S. Naval Forces Japan ordering an immediate implementation of OPLEVEL 3/Tier 3 liberty measures for all military members in Okinawa, including those on temporary duty or leave status, until further notice. This order restricts the consumption of alcohol in Okinawa, regardless of whether on duty or leave. In addition, this order directs all U.S. Forces in Japan to immediately accomplish training focused on responsible alcohol use, risk management, and the overall behavior of our military and civilian members. Although the order is directed to military and civilian members, contractor employees and dependents are requested to comply to show solidarity with the intent of the liberty and alcohol restriction and to hold themselves accountable. In the case of Contractor performance in Japan, it is vital that everyone abides by their rights and privileges under the Status of Forces Agreement with Japan, and commits to ensuring our strategic relationship with Japan is maintained.

While traveling on official business, representing and performing in support of SPAWAR’s mission, all personnel, including military, civilian and contractors, are expected to act in a professional and responsible manner. In order to promote effective relationships with business partners and allied nations, it is incumbent on contractor personnel to follow local laws and employ courteous and culturally aware behavior. Inappropriate conduct may jeopardize important relationships for the United States Navy, SPAWAR, SSC Pacific and SSC Atlantic, and will not be tolerated.

1. If foreign travel is required, all outgoing Country/Theater clearance message requests shall be submitted to Commanding Officer, Attn: Foreign Travel Team, Space and Naval Warfare Systems Center Pacific, 53560 Hull Street, Building 27, 2nd Floor -Room 206, San Diego, CA 92152 for action.. A request for foreign travel form shall be submitted for each traveler, in advance of the travel, to initiate the release of a clearance message at least 40 days in advance of departure. Each traveler must also submit a personal protection plan and comply with SPAWARSYSCOM foreign travel training requirements prior to departure.

2. Anti-Terrorism/Force Protection (AT/FP) briefings are required for all personnel (Military, DOD Civilian, and Contractor) per OPNAVINST f3300.53c. Contractor employees must receive the AT/FP briefing annually.

3. All work is to be performed in accordance with DoD and Navy Operations Security (OPSEC) requirements and in accordance with the OPSEC attachment to the DD254.

4. The Contractor shall be familiar with and comply with the requirements, terms and conditions of the Status of Forces Agreement between the United States and that Country.

In all cases, Contractors are reminded of their responsibilities under FAR 52.203-13, Contractor Code of Business Ethics and Conduct (Oct 2015). The clause requires the contractor to:

Have a written code of business ethics and conduct;

Make a copy of the code available to each employee;

Exercise due diligence to prevent and detect criminal conduct;

Promote an organizational culture that encourages ethical conduct and a commitment to compliance with the law.

The clause also requires Contractors to timely disclose, in writing, to the agency Office of the Inspector General (OIG), with a copy to the Contracting Officer, whenever, in connection with the award, performance, or closeout of this contract or any subcontract thereunder, the Contractor has credible evidence that a principal, employee, agent, or subcontractor of the Contractor has committed—

A violation of Federal criminal law involving fraud, conflict of interest, bribery, or gratuity violations found in Title 18 of the United States Code; or

A violation of the civil False Claims Act (31 U.S.C. 3729-3733).

5.0 Data Deliverables

Data deliverable shall have been reviewed IAW “DON Policy on Digital Product/Technical Data, ASNRDA memo of 23 OCT 2004” and “Software Process Improvement Initiative Contract Language, ASNRDA memo of 17 NOV 2006” and as specified in the CDRL, DD1423, for the individual Delivery/Task Orders.

6.0 Government Furnished Equipment/Information (GFE/GFI)

None anticipated at this time. If required, GFE/GFI will be identified under individual task orders.

7.0 Operations Security (OPSEC)

OPSEC is a five step analytical process (identify critical information; analyze the threat; analyze vulnerabilities;

assess risk; develop countermeasures) that is used as a means to identify, control, and protect unclassified and unclassified sensitive information associated with U.S. national security related programs and activities. All personnel working under this task will at some time handle, produce or process Critical Information or Critical Program Information, and therefore all Contractor personnel must practice OPSEC. All work is to be performed in accordance with DoD OPSEC requirements, and in accordance with the OPSEC attachment to the DD254.

8.0 Enterprise Contractor Manpower Reporting Application (ECMRA)

The contractor shall report ALL contractor labor hours (including subcontractor labor hours) required for performance of services provided under this contract for the Space and Naval Warfare Systems Command via a secure data collection site. The contractor is required to completely fill in all required data fields using the following web address https://www.ecmra.mil.

Reporting inputs (from contractors) will be for the labor executed during the period of performance during each Government fiscal year (FY), which runs October 1 through September 30. While inputs may be reported any time during the FY, all data shall be reported no later than October 31 of each calendar year. Contractors may direct questions to the help desk, linked at https://www.ecmra.mil.

For purposes of ECMRA reporting, the Federal Supply Code / Product Service Code applicable to this contract will be provided at the task order level.
