CONTRACT INFORMATION
N64498-19-R-4041: TECHNICAL, PROCESS AND PROGRAMMATIC SUPPORT FOR THE INTEGRATION
OF LOGISTICS PRODUCTS
1. CONTRACT TYPE:
The Naval Surface Warfare Center Philadelphia Division (NSWCPD) proposes to award up to four (4) Cost-Plus- Fixed-Fee (CPFF) Indefinite-Delivery, Indefinite-Quantity (IDIQ) contract(s) resulting from this RFP. The Government will determine the number of contracts to be awarded under Solicitation No. N64498-19-R-4041 in accordance with the considerations set forth in FAR 16.504(c)(1)(ii)(A). This acquisition will be competed on the basis of full and open competition. The resultant contract(s) will also contain provisions for Task Orders to be awarded on a fixed price basis when feasible. The contract(s) shall have an ordering period from date of contract award through sixty (60) months after date of award and a period of performance from date of contract award through seventy-two (72) months after date of award.
2. BASIS OF COMPETITION:
At the Task Order level, award determination will be conducted in accordance with clause PD-I02 “ORDERING
PROCEDURES FOR DELIVERY/TASK ORDERS ISSUED UNDER MULTIPLE AWARD CONTRACTS.”
3. MULTIPLE AWARDS:
As detailed in Section M, award will be made to the Offeror(s) whose offer(s) are determined to represent the best value to the Government:
a. This multiple award contract will expire when either the ordering term expires or the cumulative total of all orders issued to all awardees equals the Government's total program estimate (to be specified at time of award).
b. The Contractor shall not be obligated to continue performance beyond the estimated total hours estimated in this RFP.
c. The minimum value of services (including Cost-Plus-Fixed-Fee) that must be ordered from each awardee will be $25,000.00. The minimum shall be satisfied by the issuance of the first Task Order issued under each resultant contract award.
d. The rate of man-hours used may fluctuate throughout the term of the contract provided such fluctuation does not result in the utilization of the total man-hours of effort prior to expiration of the term. If at any time during the performance of this contract, the number of direct labor hours (not including “excess hours*”) utilized under this contract exceeds 75% of the total estimated hours, the Contractor shall immediately notify the Contracting Officer of such circumstances. *Excess hours represent hours exceeding the estimated LOE amount.
e. Nothing herein shall be construed to alter or waive any of the rights or obligations of either party pursuant to the clause hereof entitled “Limitation of Cost” and/or “Limitation of Funds.”
f. It is understood and agreed that the number of hours and total dollar amount of each labor category specified in any Task Order issued under these contracts are estimates only and shall not limit the use of hours or dollar amounts in any labor category which may be required and provided for under an individual Task Order.
g. The Government intends to reimburse Support Costs (CLIN 0002) on the basis of actual reasonable and allowable costs incurred plus applicable indirect markup rates (i.e. G&A and material handling) (NO FEE
WILL BE PAID ON ODC’S).
h. As part of its Cost Proposal submission, the Contractor is required to complete the Direct Labor Rate
Substantiation Table (Attachment 1) and provide all pertinent supporting information (DCAA Audit or rate check information) to facilitate the cost realism analysis of proposed direct labor rates and all indirect rates (i.e., G&A, Overhead, etc.)
i. Pass through shall be proposed in accordance with B-215-H001and shall not exceed 8%.
4. NAICS:
The NAICS code for this requirement is 541330 – Engineering Services with a Size Standard of $38,500,000.00.
5. SUPPORT COSTS:
CLIN 0002, Support Costs (in support of CLIN 0001), covers Other Direct Costs, which includes incidental travel and material. Offerors are required to provide as part of their proposal any indirect burden rates (i.e. G&A and material handling) as detailed in Sections L and M. It is intended to reimburse support and subcontract costs on the basis of actual reasonable and allowable costs. For evaluation purposes, the Government will add the Offeror’s proposed indirect burden costs to the stated base support costs of $1,905,878.24 for CLIN 0002. The resulting cost (base plus any indirect burdens) will be depicted as a Not-To-Exceed amount in the contract award.
6. PERFORMANCE VS NON-PERFORMANCE BASED MEASURES:
For FFP CLIN 0003 and completion CLIN 0004, performance vs. non-performance based determinations will be made at the Task Order level and documented appropriately at that time with performance-based approaches being utilized to the maximum extent practicable.
7. SUBMISSION OF OFFERS:
As detailed in Section L of this solicitation, Offerors are required to submit both a technical and a cost proposal as part of their proposal. Failure to comply with the instructions set forth in Section L of this solicitation or to provide all information requested may result in the determination that the proposal is nonresponsive and ineligible for contract award. All proposals shall be expressed in U.S. dollars. Award will be made in fixed U.S. dollars and will not be subject to adjustments.

CLAUSES INCORPORATED BY FULL TEXT
B-215-H001 MAXIMUM RATES (NAVSEA) (OCT 2018)
(a) Maximum Pass Through Rates – Applicable to all Task Orders Types. The pass through rate is defined as the cumulative amount of the two elements listed below divided by the price paid to the subcontractor or the vendor:
(1) any and all prime contractor indirect costs including, but not limited to: overhead, material handling charges, G&A, burdens and mark-ups; and
(2) any and all prime contractor profit or fee*
*For purposes of this contract, “fee” means “target fee” in cost-plus-incentive-fee type contracts, “base fee” in cost-plus-award-fee type contracts, or “fixed fee” in cost-plus-fixed-fee type contracts.
(b) The Contractor agrees that the maximum pass-through rate that shall be charged against any non-ODC CLIN where labor is proposed under this contract shall not exceed 8%. For purposes of the maximum pass-through, any effort provided by a division, subsidiary or any other entity of the prime contractor shall not be considered subcontracted effort and all fee/profit must be provided at the prime level subject to the limitations specified in this contract.
(c) Maximum Profit/Fee Rate – Applicable to Cost Plus Fixed Fee CLINs Only. Contractor compliance with the maximum fee rate on CPFF CLINs is applicable at the time of task order award and is based on the ratio of fixed fee to the estimated cost. A proposed fee at the task order level that is higher than the maximum fee rate stated in the offeror’s base contract shall render the contractor’s proposal unacceptable. The Contractor agrees that the maximum fixed fee rate shall not exceed 8%. Fee becomes a fixed dollar amount at the time of task order award and is subject to the provisions of the Level of Effort clause of the task order. The maximum fee rate being proposed at the task order level by the prime contractor shall flow down to all subcontractors/consultants included as part of your (the Prime) proposal.
(d) Other Direct Costs and Travel. No fee is allowed on Other Direct Costs or Travel. Indirect cost elements such as G&A and material handling may be applied to ODCs but may not include fee.

(b) Reimbursable travel costs include only that travel performed from the Contractor's facility to the worksite, in and around the worksite, and from the worksite to the Contractor's facility.
(c) Relocation costs and travel costs incidental to relocation are allowable to the extent provided in FAR 31.205-35;
however, Procuring Contracting Officer approval shall be required prior to incurring relocation expenses and travel costs incidental to relocation.
(d) The Contractor shall not be reimbursed for the following daily local travel costs:
(i) travel at U.S. Military Installations where Government transportation is available,
(ii) travel performed for personal convenience/errands, including commuting to and from work, and
(iii) travel costs incurred in the replacement of personnel when such replacement is accomplished for the Contractor's or employee's convenience.

Such payments shall be equal to TBD percent (%) of the allowable cost of each invoice submitted by and payable to the Contractor pursuant to the clause of this contract entitled "Allowable Cost And Payment" (FAR 52.216-7), subject to the withholding terms and conditions of the "Fixed Fee" or "Incentive Fee" clause, as applicable (percentage of fee payable is based on fee dollars divided by estimated cost dollars including facilities capital cost of money). Fee shall not be applied on Facilities Capital Cost of Money per FAR 15.404-4(c)(3) and DFARS 215-404-71-4. Total fee(s) paid to the Contractor shall not exceed the fee amount(s) set forth in this contract.

If the adjusted fee is less than the sum of all fee payments made to the Contractor under this contract, the Contractor shall repay the excess amount to the Government. If the adjusted fee exceeds all payments made to the Contractor under this contract, the Contractor shall be paid the additional amount, subject to the availability of funds. In no event shall the Government be required to pay the Contractor any amount in excess of the funds obligated under this contract at the time of the discontinuance of work.

Section C - Descriptions and Specifications
STATEMENT OF WORK
Technical, Process and Programmatic Support for the Integration of Logistics Products
1.0 INTRODUCTION
1.0.1 BACKGROUND
Naval Surface Warfare Center Philadelphia Division (NSWCPD) is the Navy’s center for excellence for ships and ship-systems. For over one hundred (100) years, NSWCPD has provided full-spectrum research and development, testing, evaluation, in-service engineering, and fleet support organization for the Navy’s surface and under-sea vehicles. Expertise spans across more than forty (40) disciplines, from electrical and mechanical engineering to computer engineering and physics.
NSWCPD Division 30 provides program level management and leadership for logistics, and acquisition support programs and initiatives. This includes the planning, development, production, procurement, and sustainment of logistic products for Hull, Mechanical and Electrical (HM&E) systems and equipment installed on Navy’s ships, submarines, military watercraft and unmanned vehicles and coordination of Integrated Logistics Support (ILS) updates associated with life-cycle sustainment planning and execution for shipboard HM&E system and equipment.
To assist in establishing program goals – thresholds and objectives – for the minimum number of cost, schedule, and performance parameters that describes the program over its life cycle, Code 31 works closely with the logistic division and technical codes throughout NSWCPD and with new construction and in-service Program Executive Office (PEO) sponsors at NAVSEA.
1.0.2 This Contract is for non-personal services. It does not create employment rights with the U.S. Government whether actual, inherent, or implied
1.0.3 Government/Contractor Relationship
(a) The services to be delivered under this Multiple Award Contract are non-personal services and the parties recognize and agree that no employer-employee relationship exists or will exist under the Multiple Award Contract between the Government and the Contractor's personnel. Therefore, it is in the best interest of the Government to provide both parties a full understanding of their respective obligations.
(b) The Contractor employees shall identify themselves as Contractor personnel by introducing themselves or being introduced as Contractor personnel and displaying distinguishable badges or other visible identification for meetings with Government personnel. In addition, Contractor personnel shall appropriately identify themselves as Contractor employees in telephone conversations and in formal and informal written correspondence
(c) Contractor personnel under this Multiple Award Contract shall not engage in any of the inherently Governmental functions listed at FAR Subpart 7.5 or DFARS Subpart 207.5.
(d) Employee Relationship:
1) The services to be performed under this Multiple Award Contract do not require the Contractor or its personnel to exercise personal judgment and discretion on behalf of the Government. Rather the Contractor's personnel will act and exercise personal judgment and discretion on behalf of the Contractor.
2) Rules, regulations, directives, and requirements that are issued by the U. S. Navy and NSWCPD under its responsibility for good order, administration, and security are applicable to all personnel who enter a Government installation or who travel on Government transportation. This is not to be construed or interpreted to establish any degree of Government control that is inconsistent with a non-personal services contract.
(e) Inapplicability of Employee Benefits: This Multiple Award Contract does not create an employer-employee relationship. Accordingly, entitlements and benefits applicable to such relationships do not apply.
(f) Notice. It is the Contractor's, as well as the Government's, responsibility to monitor Multiple Award Contract activities and notify the Contracting Officer if the Contractor believes that the intent of this Section has been or may be violated.
1) The Contractor shall notify the Contracting Officer in writing via letter or email within three (3) calendar days from the date of any incident that the Contractor considers to constitute a violation of this Section. The notice should include the date, nature, and circumstances of the conduct; the name, function, and activity of each Government employee or Contractor official or employee involved or knowledgeable about such conduct; identify any documents or substance of any oral communication involved in the conduct; and the Contractor's estimated date when, absent a response, cost, schedule or performance will be impacted.
2) The Contracting Officer will, within five (5) calendar days after receipt of notice, respond to the notice in writing. In responding, the Contracting Officer will either:
(i) Confirm the conduct is in violation and when necessary direct the mode of further performance,
(ii) Countermand any communication regarded as a violation,
(iii) Deny that the conduct constitutes a violation and when necessary direct the mode of further performance, or
(iv) In the event the notice is inadequate to make a decision, advise the Contractor what additional information is required, and establish the date by which it should be furnished by the Contractor.
1.1 SCOPE
The Navy’s Machinery Research, Logistics and Ship Integrity Division of the Naval Surface Warfare Center Philadelphia (NSWCPD) Department 30 is responsible for providing machinery research and development, logistics and ship integrity engineering. Department 30's knowledge of machinery engineering commences at the earliest stages of shipboard equipment and component product development; continues through new ship construction; and supports In-Service engineering for ships and ship systems currently in the Fleet. Code 31 is responsible for the development, implementation, procurement and maintenance of logistic products for Hull, Mechanical and Electrical (HM&E) systems and equipment installed on U.S. Navy surface ships, aircraft carriers and submarines as well as USCG, Army, MSC and FMS program ships. It also coordinates the Integrated Logistics Support (ILS) updates associated with shipboard HM&E system and equipment alterations as well as engineering and procurement services for alteration and modernization of ship systems, in-service engineering responsibility for future and in-service systems, and training development. Code 31 supports various commands including NAVSEA, Army, MSC, USCG, PEOs, and fleet logistics, maintenance and readiness commands including the TYCOMS and RMC’s. To execute its responsibilities Code 31 requires the support in logistics, program engineering, technology systems, system engineering and business case analysis as well as business process engineering support to create an integrated approach to logistics in an effort to support the needs and demands of customers for ILS products in the most cost effective manner. As such will require support in the areas delineated in this Statement of Work (SOW) for those project areas.
