CLAUSES INCORPORATED BY FULL TEXT

HQ B-2-0004 EXPEDITING CONTRACT CLOSEOUT (NAVSEA) (DEC 1995)

(a) As part of the negotiated fixed price or total estimated amount of this contract, both the Government and the Contractor have agreed to waive any entitlement that otherwise might accrue to either party in any residual dollar amount of $500 or less at the time of final contract closeout. The term "residual dollar amount" shall include all money that would otherwise be owed to either party at the end of the contract, except that, amounts connected in any way with taxation, allegations of fraud and/or antitrust violations shall be excluded. For purposes of determining residual dollar amounts, offsets of money owed by one party against money that would otherwise be paid by that party may be considered to the extent permitted by law.

(b) This agreement to waive entitlement to residual dollar amounts has been considered by both parties. It is agreed that the administrative costs for either party associated with collecting such small dollar amounts could exceed the amount to be recovered.

(End of Text)

HQ B-2-0007 LIMITATION OF COST OR LIMITATION OF FUNDS LANGUAGE

The clause entitled "LIMITATION OF COST" (FAR 52.232-20) or "LIMITATION OF FUNDS" (FAR 52.232-22), as appropriate, shall apply separately and independently to each separately identified estimated cost.

HQ B-2-0010 NOTE (OPTION)

NOTE B - Option item to which the option clause in SECTION I-2 applies and which is to be supplied only if and to the extent said option is exercised.

HQ B-2-0015 PAYMENT OF FEES(S) (LEVEL OF EFFORT – ALTERNATE I) (NAVSEA) (MAY 2010)

(a) For purposes of this contract, "fee" means "target fee" in cost-plus-incentive-fee type contracts, "base fee" in cost-plus-award-fee type contracts, or "fixed fee" in cost-plus-fixed-fee type contracts for level of effort type contracts.

(b) The Government shall make payments to the Contractor, subject to and in accordance with the clause in this contract entitled "FIXED FEE" (FAR 52.216-8) or "INCENTIVE FEE", (FAR 52.216-10), as applicable. Such payments shall be submitted by and payable to the Contractor pursuant to the clause of this contract entitled "ALLOWABLE COST AND PAYMENT" (FAR 52.216-7), subject to the withholding terms and conditions of the "FIXED FEE" or "INCENTIVE FEE" clause, as applicable, and shall be paid at the hourly rate(s) specified above per man-hour performed and invoiced. Total fee(s) paid to the Contractor shall not exceed the fee amount(s) set forth in this contract. In no event shall the Government be required to pay the Contractor any amount in excess of the funds obligated under this contract.

HQ B-2-0017 REFUNDS (SPARES AND SUPPORT EQUIPMENT) (NAVSEA)

(SEP 1990)

(a) In the event that the price of a spare part or item of support equipment delivered under this contract significantly exceeds its intrinsic value, the Contractor agrees to refund the difference. Refunds will only be made for the difference between the intrinsic value of the item at the time an agreement on price was reached and the contract price. Refunds will not be made to recoup the amount of cost decreases that occur over time due to productivity gains (beyond economic purchase quantity considerations) or changes in market conditions.

(b) For purposes of this requirement, the intrinsic value of an item is defined as follows:

(1) If the item is one which is sold or is substantially similar or functionally equivalent to one that is sold in substantial quantities to the general public, intrinsic value is the established catalog or market price, plus the value of any unique requirements, including delivery terms, inspection, packaging, or labeling.

(2) If there is no comparable item sold in substantial quantities to the general public, intrinsic value is defined as the price an individual would expect to pay for the item based upon an economic purchase quantity as defined in FAR 52.207-4, plus the value of any unique requirements, including delivery terms, inspection, packaging or labeling.

(c) At any time up to two years after delivery of a spare part or item of support equipment, the Contracting Officer may notify the Contractor that based on all information available at the time of the notice, the price of the part or item apparently exceeds its intrinsic value.

(d) If notified in accordance with paragraph (c) above, the Contractor agrees to enter into good faith negotiations with the Government to determine if, and in what amount, the Government is entitled to a refund.

(e) If agreement pursuant to paragraph (d) above cannot be reached, and the Navy's return of the new or unused item to the Contractor is practical, the Navy, subject to the Contractor's agreement, may elect to return the item to the Contractor.

Upon return of the item to its original point of Government acceptance, the Contractor shall refund in full the price paid.

If no agreement pursuant to paragraph (d) above is reached, and return of the item by the Navy is impractical, the Contracting Officer may, with the approval of the Head of the Contracting Activity, issue a Contracting Officer's final decision on the matter, subject to Contractor appeal as provided in the "DISPUTES" clause (FAR 52.233-1).

(f) The Contractor will make refunds, as required under this requirement, in accordance with instructions from the Contracting Officer.

(g) The Contractor shall not be liable for a refund if the Contractor advised the Contracting Officer in a timely manner that the price it would propose for a spare part or item of support equipment exceeded its intrinsic value, and with such advice, specified the estimated proposed price, the estimated intrinsic value and known alternative sources or item, if any, that can meet the requirement.

(h) This requirement does not apply to any spare parts or items of support equipment whose price is determined through adequate price competition. This requirement also does not apply to any spare part or item of support equipment with a unit price in excess of $100,000; or in excess of $25,000 if the Contractor submitted, and certified the currency, accuracy and completeness of, cost or pricing data applicable to the item.

HQ B-2-0020 TRAVEL COSTS - ALTERNATE I (NAVSEA) (APR 2015)

(a) Except as otherwise provided herein, the Contractor shall be reimbursed for its actual travel costs in accordance with FAR 31.205-46. The costs to be reimbursed shall be those costs determined to be allowable, allocable and reasonable by the Procuring Contracting Officer, Administrative Contracting Officer or their duly authorized representative, as advised by DCAA.

(b) Reimbursable travel costs include only that travel performed from the Contractor's facility to the worksite, in and around the worksite, and from the worksite to the Contractor's facility.

(c) Relocation costs and travel costs incidental to relocation are allowable to the extent provided in FAR 31.205-35;

however, Contracting Officer approval shall be required prior to incurring relocation expenses and travel costs incidental to relocation.

(d) The Contractor shall not be reimbursed for the following daily local travel costs:

(i) travel at U.S. Military Installations where Government transportation is available,

(ii) travel performed for personal convenience/errands, including commuting to and from work, and

(iii) travel costs incurred in the replacement of personnel when such replacement is accomplished for the Contractor's or employee's convenience.

NOTE C

NOTE C - Stepladder Pricing. Stepladder pricing is utilized in this solicitation to provide offerors an opportunity to propose different pricing for separate and distinct quantity ranges within each CLIN. Pricing utilized at basic contract award and option exercise shall be based solely on the pricing proposed by the Offeror in Section B of their submitted Standard Form (SF) 33. Notwithstanding the availability of the option to propose different pricing for different quantities, the offeror may propose the same price for multiple quantities.

For all option CLINs with stepladder pricing, the Government may unilaterally exercise a given line item more than once prior to the latest option exercise date identified in clause FAR 52.217-7 (see Section I, below). Option CLINs with stepladder pricing may be exercised until the total quantity purchased equals the maximum quantity listed for that option CLIN in Section B.

If any line item is exercised more than once within a 60-day period, the unit price shall be adjusted to reflect the appropriate stepladder unit price for the entire quantity purchased within that 60-day period. The following hypothetical example illustrates how pricing will be adjusted for option CLIN 0007 if the line item is unilaterally exercised more than once within a 60-day period:

For the purposes of this example, assume the following stepladder pricing:

o Quantity 1-2 = $100 o Quantity 3-9 = $90

At first option exercise, $200 is obligated to subline item (SLIN) 0007AA to provide funds to acquire a quantity of two at a unit cost of $100.

2 * $100 = $200

A second option is exercised within 60 days of the first option, obligating $160 to SLIN 0007AB to provide funds to acquire an additional two units at a unit cost of $90 for a total quantity of four units, inclusive of the two units purchased under SLIN 0007AA.

4 * $90 = $360

In order to provide for a total extended price of $360 without altering the unit pricing of the first option exercise, the unit cost for SLIN 0007AB is adjusted downward to $80.

($360 - $200) / 2 = $80

Following exercise of our first two options for CLIN 0007, our contract CLIN structure for CLIN 0007 is as follows:

CLIN SLIN UNIT COST QUANTITY EXTENDED PRICE FUNDED AMOUNT

0007 $90.00 4 $360 $360

0007 AA $100.00 2 $200 $200

0007 AB $80.00 2 $160 $160

TOTAL CONTRACT QUANTITIES

Notwithstanding the sum of the stepladder pricing quantity ranges included above, no more than 310 ORDALT Kits and 35 OBA Spares may be purchased under this contract:

Supply Maximum Possible Quantity ORDALT Kits (CLINs 0006 through 0010)

OBA Spares (CLINs 0092 through 0096)

The SOW also defines the efforts required to provide AN/UYQ-107B CPS Ordnance Alteration (ORDALT) Kits and related procurements, products, installation and harvesting services to the Air Dominance Department of the Naval Surface Warfare Center, Port Hueneme Division (NSWC PHD), Port Hueneme California. Additionally, this SOW defines the efforts required to provide Engineering Services, Supportability and Life Cycle Support and related procurements to NSWC

PHD.

NSWC PHD is a field activity of Naval Sea Systems Command (NAVSEA) and is the In-Service Engineering Agent (ISEA) for the CPS.

2. BACKGROUND

The CPS provides a common computing infrastructure for ship combat systems. The CPS is a continuously evolving family of processor and network storage systems, designed to satisfy a wide spectrum of mission critical and mission essential software applications. The CPS maximizes flexibility and functional modularity by incorporating Commercial-Off-The-Shelf (COTS) Non-Developmental Item (NDI) hardware and software compliant with Open Architecture Computing Environment (OACE) technologies and standards. These components integrate together using industry-accepted software and communication interface standards in accordance with System Requirements Documents (SRDs).

The Common Processing System (CPS) consists of the CPS Enclosure Assembly including power, cooling and hotel services and three subsystems: The Processing Subsystem, the Storage/Extraction Subsystem, and the input/output (I/O) Subsystem. The Processing Subsystem provides the computing resources to execute Navy combat system application programs on Navy platforms. The Storage/Extraction Subsystem provides the mass storage resources required for Operating System (OS) image storage, program storage, data extraction, and database management. The I/O Subsystem provides the resources required to interface the processing and storage hardware to various external elements. Through its ability to host multiple types of software applications, the CPS provides the processing resources for multiple Combat/Weapons systems.

The CPS production equipment was designed, developed and delivered under NAVSEA Production Contract Numbers N00024-09-D-5212 and N00024-14-D-5213.

Resident in the current fielded Technology Insertion (TI)-12 AN/UYQ-107’s are an IBM Blade Server and an IBM Storage/Extraction Array. Resident in the current fielded TI-12R AN/UYQ-107A are an IBM Blade Server and Dot Hill storage system. The sale of the IBM Blade Server x86 Product Line to Lenovo, the foreign-owned Original Equipment Manufacturer (OEM) in 2014, triggered a corresponding restriction from the Department of Homeland Security (DHS) on procuring IBM parts that were manufactured after 2014. The subsequent TI-12H AN/UYQ-107B development eliminated the restricted items and addressed Dot Hill storage system obsolescence; resident in the TI- 12H are a Mercury XR5 Server and a Quantum 3824 Storage System. The ORDALT Kits procured under this contract are intended to perform a technical refresh of the IBM Blade Server x86 product line and obsolete Dot Hill Storage product line in existing AN/UYQ-107 and AN/UYQ-107A Cabinets in order to update the Cabinets to the TI-12H AN/UYQ-107B configuration.
