SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

SECTION L

INSTRUCTIONS TO OFFERORS

PART A:GENERAL INSTRUCTIONS
1.0GENERAL
1.1Section L contains instructions on how to prepare and submit proposals in response to this solicitation. Nonconformance with these instructions may result in an unfavorable proposal evaluation and elimination from consideration for award.
1.2The government will base its evaluation on the information presented in the offeror's proposal. The offeror has the burden to submit a proposal that convincingly demonstrates that the offeror has an accurate understanding of the requirements and the associated risks; that the offeror has viable solutions for the requirements and potential risk areas; and that the offeror is able, willing and competent to devote the resources necessary to meet the requirements.
1.3It is the offeror’s responsibility to submit a proposal that enables government evaluators to effectively evaluate and substantiate the validity of any assertions set forth in the offeror’s proposal. Assume the government has no prior knowledge of an offeror’s facilities and experience. Accordingly, do not simply rephrase or restate the government's requirements. Statements that the offeror will provide a particular feature or objective without explaining how the offeror proposes to meet that feature or objective are generally inadequate and may adversely impact the government’s evaluation assessment of the offeror. Regurgitating the Statement of Work, any Government Instruction, guideline documents or standards are inadequate and will adversely impact the government’s evaluation assessment of the offeror. Also inadequate are the following types of statements:

· unsupported statements that the offeror allegedly understands the requirements and risks;

· unsupported statements that the offeror allegedly can or will comply with requirements;

· unsupported statements that merely paraphrase the requirements;

· undefined or explained statements such as “best commercial practices will be used”;

· undefined or explained statements such as “standard procedures will be used”; and

· undefined or explained statements such as “well-known techniques will be employed.”

1.4Alternate proposals are not acceptable. In addition, taking exception or deviating from any term or condition of the RFP may make an offer unacceptable, and the proposal unawardable, unless the RFP expressly authorizes such an exception or deviation with regard to that specific term or condition.
1.5There is no need to repeat information in the same volume or in more than one volume. If an overlap exists, the detailed information should be included in the most logical place and summarized and referenced in other areas. With the exception of the Price or Past Performance Volumes, no cost or pricing information should appear in any volume.
2.0PROPOSAL FORMAT

Written proposals must be formatted using a Times New Roman 12-point normal font, no reduction permitted, single-spaced, 1-inch margins all around, and formatted for standard 8.5 x 11 inch paper. All pages should be numbered. When foldout pages are used, they must not exceed 11 x 17 inches and will be counted as 1 page. Drawings may be provided separately and may be any size, with font of any size, but should be folded to approximately 8.5 x 11 inch standard size and will count as 1 page. Graphs, drawings, graphics, tables and figures shall be presented in no smaller than a 10-point font. The Technical Volume’s CWBS and TBOE may not be smaller than 10-point font and it is preferred in a 11 x 17 inches paper.

3.0PROPOSAL VOLUMES
3.1All proposals must be UNCLASSIFIED. Each volume of the proposal shall be submitted as one paper original with additional paper and separate Compact Disk Read-Only Memory (CD-ROM) copies as specified in the table below.
3.2The separate CD-ROM copy of the Technical Volume and the separate CD-ROM copy of the Past Performance Volume must be fully compatible with Microsoft Office 2016. Do not submit in .pdf format. For information not supported by Microsoft Office products (e.g., drawings), the offeror must provide the information in portable document format (.pdf) using the latest Adobe Acrobat on each CD-ROM. The separate CD-ROM copy of the Price Volume must be provided in or be fully compatible with Microsoft Office 2016 Word and Excel format, with spreadsheets unprotected and showing all computations and formulas. Each separate CD-ROM is to be labeled for content and the offeror’s name. If a discrepancy exists between the original paper version of the proposal and a CD-ROM “copy,” the paper original will take precedence.
3.3Page limitations for each volume are specified in the table below. Proposal pages beyond the specified limit will not be evaluated. Title/cover pages, table of contents, lists of figures/tables, divider tabs, and worksheets do not count towards the page limit. In addition, the CWBS and TBOE Attachments to be completed by the offeror do not count towards the page limit.

5.4Late Proposals:

(a) Definitions. As used in this provision— “Proposal modification” is a change made to a proposal before the solicitation’s closing date and time, or made in response to an amendment, or made to correct a mistake at any time before award.

“Proposal revision” is a change to a proposal made after the solicitation closing date, at the request of or as allowed by a Contracting Officer.

“Time,” if stated as a number of days, is calculated using calendar days, unless otherwise specified, and will include Saturdays, Sundays, and legal holidays. However, if the last day falls on a Saturday, Sunday, or legal holiday, then the period shall include the next working day.

(b) Amendments to solicitations. If this solicitation is amended, all terms and conditions that are not amended remain unchanged. Offerors shall acknowledge receipt of any amendment to this solicitation by the date and time specified in the amendment(s).

(c) Submission, modification, revision, and withdrawal of proposals. Offerors are responsible for submitting proposals, and any modifications or revisions, so as to reach the government office designated in the solicitation by the time specified in the solicitation.

(1) Any proposal, modification, or revision received at the government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition, and—

(i) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of proposals; or

(ii) There is acceptable evidence to establish that it was received at the government installation designated for receipt of offers and was under the government’s control prior to the time set for receipt of offers; or

(iii) It is the only proposal received.

(2)However, a late modification of an otherwise successful proposal that makes its terms more favorable to the government will be considered at any time it is received and may be accepted.
(3)Acceptable evidence to establish the time of receipt at the government installation includes the time/date stamp of that installation on the proposal wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of government personnel.
(4)If an emergency or unanticipated event interrupts normal government processes so that proposals cannot be received at the office designated for receipt of proposals by the exact time specified in the solicitation, and urgent government requirements preclude amendment of the solicitation, the time specified for receipt of proposals will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal government processes resume.
(5)Proposals may be withdrawn by written notice received at any time before award.
(6)Offerors may submit modifications to their proposals at any time before the solicitation closing date and time, and may submit modifications in response to an amendment, or to correct a mistake at any time before award.
(7)Offerors may submit revised proposals only if requested or allowed by the Contracting Officer.
(8)Proposals may be withdrawn at any time before award. Withdrawals are effective upon receipt of notice by the Contracting Officer.

(9) A written award or acceptance of proposal mailed or otherwise furnished to the successful offeror within the time specified in the proposal shall result in a binding delivery order without further action by either party.

5.5 Restriction on Disclosure and Use of Data: Offerors that include in their proposals data that they do not want disclosed to the public for any purpose, or used by the government except for evaluation purposes, shall—

(a) Mark the title page with the following legend:

This proposal includes data that shall not be disclosed outside the Government and shall not be duplicated, used, or disclosed—in whole or in part—for any purpose other than to evaluate this proposal. If, however, a delivery order is awarded to this offeror as a result of — or in connection with — the submission of this data, the Government shall have the right to duplicate, use, or disclose the data to the extent provided in the resulting delivery order. This restriction does not limit the Government's right to use information contained in this data if it is obtained from another source without restriction. The data subject to this restriction are contained in sheets [insert numbers or other identification of sheets]; and

(b) Mark each sheet of data it wishes to restrict with the following legend:

Use or disclosure of data contained on this sheet is subject to the restriction on the title page of this proposal.

6.0 PROPOSAL PACKAGING

The offeror shall package the proposal volumes in cartons or equivalent packaging containers in the most efficient manner possible, grouping like-volumes to the maximum extent possible. Each container shall be single-person portable. One container shall include all original proposal volumes. Each box shall include a packing slip detailing the contents, to include the solicitation number, volume number, title, and copy number. Also, each box should be stamped or marked “For Official Use Only.”

PART B:SPECIFIC INSTRUCTIONS
1.0VOLUME 1: TECHNICAL

The offeror shall provide the information below. This volume shall not contain any reference to cost or price aspects of the offer.

1.1As set forth in Section M of the solicitation, the government is only evaluating each offeror’s technical approach to delivering the products under CLINs 0005, 0006, 0007, 0026, 0027, 0028, and 1026. The government is evaluating the offeror’s Contractor Work Breakdown Structure (CWBS) and Technical Basis of Estimate (TBOE) for each of the CLINs identified above using, as a baseline, the government’s Work Breakdown Structure (WBS) and the government’s TBOE for each CLIN. The government’s WBS for each CLIN is found at Attachment L-2. The government’s TBOE for each CLIN is found at Attachment L-8. The offeror is required to submit its own CWBS and to complete the offeror’s TBOE found at Attachment L-3.
1.2The government’s baselines at WBS, Attachment L-2, and TBOE, Attachment L-8, are nothing more than starting points so that an offeror can explain its approach and how and why the offeror’s proposed approach, labor hours, and labor categories differ from the government’s baselines. The offeror’s discussions and rationales as to why the offeror’s proposed approach for each rating CLIN differs from the government’s WBS and TBOE baseline for each rating CLIN gives the government evaluators something more tangible to evaluate. The government’s use of its WBS and TBOE as a starting point for evaluation is in no way a direct or indirect inference that the government’s WBS and TBOE is a preferred approach.
1.3As a result, offerors are required to provide separate CWBS and TBOE worksheets for each of the following CLINs pertaining to the Logistics Specialist Submarine rating and the Sonar Technician Surface rating: 0005, 0006, 0007, 0026, 0027, 0028, 1026. Offerors shall describe the instructional systems and systems engineering technical approaches, labor categories, and number of labor hours the offerors plan to use to deliver the multiple products that are deliverable, for each rating, under each CLIN and planned travel to accomplish the effort. Offerors shall describe the processes, steps, and activities the offeror plans to use to complete requirements, for each rating, under each CLIN. Offerors need to discuss any assumptions, estimating methods, and historical analogous data the offeror uses to determine the offeror’s technical approach. “Historical experience” or “subject matter expert estimate” do not provide the level of detail sought by this RFP. Ensure the offeror’s CWBSs and TBOEs are unprotected.
1.4The offeror shall provide a CWBS for the LSS rating (CLINs 0005, 0006, 0007), the STG rating (CLINs 0026, 0027, 0028), and the STG Virtual Simulation Software (CLIN 1026).
a.Use the Government provided WBS, Attachment L-2, as a baseline.
b.Complete the CWBS in Microsoft Excel format with font no smaller than 10-point font
c.Complete the CWBS to Level III

· Level I – requirements in SOW 170012 Section 3

· Level II – corresponding subsections to Level I requirements

· Level III – processes/steps proposed to meet Level II requirements

1.5.The offeror shall provide a separate TBOE, Attachment L-3, worksheet for each of the following CLINs: 0005, 0006, 0007, 0026, 0027, 0028, and 1026.
a.Complete the Government provided TBOE, Attachment L-3, for each of the CLINs for the LSS and STG ratings
b.Complete in Microsoft Excel format with font no smaller than 10-pont font
c.Follow the directions on the “Instructions” tab of the Attachment L-3 TBOE
d.Complete Summary, the CLIN TBOEs, Travel, Labor Categories Rationale, and Labor Categories Roles and Responsibilities tabs
e.Include TBOE information for the prime and subcontractors
f.For all products identified:

· Provide activities planned to complete requirements (Column B)

· Identify CWBS level (Column C)

· Trace to CLIN (Column D)

· Identify Quantity of Courseware (in hours) (Column E)

· Identify Quantity of Non-Courseware (in hours (Column F)

· For subcontractor provide labor categories in Columns AA-AP

· Copy and paste Columns AA-AP, as needed for additional subcontractors

· Identify associated fiscal year for labor categories (Column Z)

· Identify the fiscal year calendar if different from government fiscal year calendar

· Add/Edit/Delete labor categories (Columns J-Y and AA-AP) as needed

2.0 VOLUME 2: PAST PERFORMANCE

2.1 The offeror shall NOT submit past performance contracts that are CLASSIFIED. The offeror shall provide a “Past Performance Contract Reference Worksheet,” Attachment L-4.

a.The offeror shall identify only three (3) of the prime offeror’s most relevant government or commercial past performance contracts for the government’s evaluation of the offeror’s relevant recent past performance. As set forth in Section M of this solicitation, the government will evaluate the relevancy and demonstrated past performance of the past performance contracts to arrive at a Performance Confidence Assessment for the offeror.
b.The government is not evaluating past performance of ANY entity other than the prime contractor entity identified in Block 15A of Standard Form 33. The government is NOT evaluating the past performance of proposed subcontractors, predecessor companies, key personnel, joint venture owners (joint venturers), partnership owners (partners), corporate parents, other corporate divisions, corporate subsidiaries, or corporate affiliates. Thus, offerors must NOT submit past performance references for proposed subcontractors, predecessor companies, key personnel, joint venture owners (joint venturers), partnership owners (partners), corporate parents, other corporate divisions, corporate subsidiaries, or corporate affiliates.
c.Any submitted past performance contract must contain performance within five (5) years of the RFP release date specified in Block 5 of Standard Form 33 of the RFP. Performance that took place greater than five years from the RFP release date will NOT be considered, unless a CPARS reporting period for that past performance contract crosses the five-year mark, in which case that particular CPARS will be used in the evaluation, with the understanding that more recent performance generally has more weight on a Performance Confidence Assessment.
d.It is possible that an older past performance contract with performance that barely crosses into the five-year period (see c above) could be determined non-relevant, depending upon the work that was actually delivered or provided during that period of time. For example, for a trainer delivery solicitation with courseware delivery, a past performance contract that performed trainer deliveries could be determined non-relevant if the only thing being provided or delivered during the period of time that crosses into the five-year mark is, for example, initial support services, the trainer services, or the trainer device.
e.The offeror shall forward one (1) copy of the Past Performance Questionnaire (PPQ), Attachment L-5, to the past performance contract customer’s Procuring Contracting Officer (PCO), Administrative Contracting Officer (ACO), Program Manager or Technical Point of Contact ─ via email and carbon copy to the Contract Specialist identified in Section L A 4.0─ for the following past performance contracts:

· Past performance contracts that do not have CPARS Reports, and

· Past performance contracts with CPARS Reports completed by the Assessing Official more than 12 months prior to the RFP’s release date ONLY IF a CPARS is for a current contract that has not been completed as of the date of RFP release date. For example, when there is a 2 year contract and only 15 months (or any number of months after 12 but before 24 months) have been completed, and thus 1 CPARS has been completed for the first 12 months.

The offeror shall make sure that its Government’s Past Performance POC is current to avoid any delays in the completion and submission of the PPQs to the Contract Specialist.

All PPQ’s shall be forwarded within 7 calendar days from the RFP release date, with a copy forwarded to the Contract Specialist. The offeror shall include instructions for its government customers to send completed questionnaires within two weeks of the customer’s receipt of the questionnaire to Ms. Lileana Davila, Contract Specialist, via email at lileana.davila@navy.mil and carbon copy to michael.e.weaver@navy.mil. The offeror shall NOT complete the PPQ, but submit to its government customer for completion; and then its customer is to return it to Ms. Lileana Davila directly via email.

f.To evaluate past performance, the government may use information other than information provided by the offeror in its proposal, and may use past performance information obtained from sources other than those identified by the offeror.
g.The offeror has the burden of providing thorough and complete past performance information. It is incumbent upon the offeror to explain the relevance of data provided in its proposal. The government has no duty to search for additional data to cure problems the government finds in the information provided by the offeror.
h.Regardless of relevancy, the offeror shall provide a list of Show Cause Notices, Cure Notices, and Terminations for Default received on any contract, task order, or delivery order within the past 5 years of the RFP release date.

4 The number of questionnaires sent shall be one (1) per Past Performance Contract.

j.Task or delivery orders awarded under Multiple-Award Contracts (MACs) will be considered standalone “contracts” for purposes of past performance evaluation. Thus, offerors may not propose an entire MAC as a past performance contract reference.
k.For a single-award indefinite delivery past performance contract, offerors may propose the entire basic contract as a past performance reference, or may propose a specific task or delivery order as a past performance reference. If an offeror proposes an entire single-award indefinite delivery contract as a past performance reference, however, the offeror must provide the past performance information below for the three (3) most relevant delivery orders/task orders issued under that single-award indefinite delivery contract, and those three orders will count as one past performance contract.
2.2Relevancy Information of the Past Performance Contracts. The offeror shall provide a “Relevancy Information of the Past Performance Contract Worksheet,” Attachment L-6.
2.2.1 For each past performance contract, provide the following information on the “Relevancy Information of the Past Performance Contract Worksheet,” Attachment L-6.
a.Contract Types: Compare the contract type of the past performance contract to the contract type of this solicitation’s effort.
b.Total Dollar Amounts: Compare the total dollar amount of the past performance contract to the total proposed dollar amount of this solicitation’s effort. For purposes of the past performance evaluation, the instant solicitation (i.e., this solicitation) is estimated at a total of $80 million inclusive of Options.
c.Dollar Amounts Actually Performed: Compare the dollar amount of the effort actually performed by the offeror under the past performance contract to the dollar amount of the effort proposed to be performed by the offeror under this solicitation’s effort.
d.Locations and Divisions: Compare the location and division of the company that performed the past performance contract effort to the location and division of the company that is proposed to perform this solicitation’s effort. Note: Location and Division of the past performance contract shall be the same as the Location and Division performing this instant solicitation.
e.Period of Performances: Compare the period of performance of the past performance contract to the period of performance actually performed under that past performance contract for the offeror.
f.Compare Similarities: Compare the similarity of the product or service actually performed by the offeror under the past performance contract to the product or service proposed to be performed by the offeror under this solicitation’s effort in the following three areas:
1.Scope – Compare the scope of the work performed in the offeror’s past performance contract’s Statement of Work (SOW), Performance Work Statement (PWS), Statement of Objectives (SOO), and/or specification to the requirements under this solicitation’s Statement of Work regarding activities required as a Lead Integrator described in the “Relevancy Information of the Past Performance Contract Worksheet,” Attachment L-6, under the “Scope of Effort” Section.
2.Magnitude — The offeror shall compare the total dollar amount of the past performance contract and the annual dollar amount of the past performance contract to the instant solicitation. The instant solicitation (i.e., this solicitation) is estimated at a total of $80 million inclusive of Options.
3.Complexity— The offeror shall compare the following in the “Relevancy Information of the Past Performance Contract Worksheet,” Attachment L-6, under the “Complexity of Effort” section:
a.Compare the number of courseware hours developed as a Lead Integrator under the past performance contract to the number of courseware hours estimated for this solicitation’s effort (changed from 3,234 to 2,989 performance support and training product hours).
b.Compare the number of learning objectives developed for the courseware as a Lead Integrator under the past performance contract to the number of learning objectives required for this solicitation’s effort (changed from 3,537 to 3,640 learning objectives).

To support the offeror’s comparison of the past performance contract’s product or service similarities to the instant solicitation’s work, offerors shall provide one copy of the Statement of Work, Performance Work Statement, Statement of Objectives, and/or Specification for each past performance contract. Offerors are required to cite specific paragraphs in the corresponding Attachment L-6 worksheet to support the offeror’s comparison of the past performance contract’s similarities to the instant solicitation’s work.

2.3Demonstrated Performance Information of the Past Performance Contracts
a.For each past performance contract, the offeror shall provide available CPARS or Past Performance Questionnaires that address the following demonstrated past performance areas:

Quality of Product or Service. The offeror’s past performance in the delivery of quality supplies and services, which includes meeting technical requirements.

Schedule. The offeror’s past performance in meeting schedule requirements, to include on-time or late deliveries, modifications of original schedules.

Cost Control. The offeror’s past performance in controlling contract costs, to include the cost of performance, cost overruns, and cost underruns.

Program Management and Subcontract Management. The offeror’s past performance in managing the contracted effort, to include program management, subcontract management, and cooperation with the customer.

b.The government will use CPARS and Past Performance Questionnaires to document demonstrated past performance. The government does not want to receive, and will not use for evaluation, an offeror’s self-described assertions of demonstrated past performance. For the CPARS and Past Performance Questionnaires provided, however, explain the reasons for any past performance problems, including schedule slips, and cost or price increases from time of award. Also describe any claims or requests for equitable adjustment.
c.For any past performance problem identified in the CPARS or Past Performance Questionnaires, describe the status of the problem. If the problem was resolved, describe the resolution used to correct the past performance problem and, if applicable, how the offeror proposes to use that resolution for this solicitation’s effort.
3.0VOLUME 3: PRICE

The offeror shall provide the following information in this volume:

3.1Prices
a.Total Evaluated Price: Provide a copy of Section B of the solicitation populated with the CLIN unit prices and CLIN total prices using each CLIN’s quantity value. Provide the Total delivery order price by adding all the CLINs’ total prices.
b.Price Reasonableness: Competition is expected to establish price reasonableness. See Section M of this solicitation.
c.Unbalanced Pricing: The offeror shall explain any appearance of unbalanced pricing. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items is significantly overstated or understated as indicated by the application of cost or price analysis techniques.
d.Quasi Price Realism: See Section M of this solicitation. As described in Section M, the government is evaluating a form of price realism on CLINs 0005, 0006 & 0007 (Logistics Specialist – Submarine, Content Conversion, Train-the-Trainer, and Pilot), CLINs 0026, 0027, & 0028 (Sonar Technician – Surface, Content Conversion, Train-the-Trainer, and Pilot), and CLIN 1026 (Sonar Technician – Surface, Content Conversion Virtual Simulation Software).

The Price Volume shall also contain the following information:

a.Signed Standard Form 33 for basic solicitation and each amendment.
b.Assumptions, Conditions, Exceptions, Deviations or Waivers: Assumptions, conditions, exceptions, deviations, and requests for waivers may cause proposals to be considered deficient and, thus, not awardable. If there are no assumptions, conditions, exceptions, deviations or waivers, the offeror shall provide a statement stating that the proposal contains no assumptions, conditions, exceptions, deviations or waivers. If the offeror proposes an assumption, condition, exception, deviation, or waiver to a term or condition of the solicitation, the offeror shall provide a detailed description for each assumption, condition, exception, deviation, or request for waiver, as applicable. The offeror shall identify the portion of the solicitation and the offeror’s proposal that are affected.

SECTION M - EVALUATION FACTORS FOR AWARD

SECTION M

EVALUATION FACTORS FOR AWARD

PART A: GENERAL INFORMATION

1.0Basis for Award
1.1The government intends to award a delivery order to the responsible offeror whose proposal conforms to the solicitation’s requirements and is the most advantageous to the government based upon an integrated assessment of the evaluation Factors described further below.
1.2The government does not evaluate every requirement of the solicitation under Section M of the RFP. The awarded contractor, however, is required to comply with all requirements of the awarded delivery order. Regardless of proposal submission requirements, delivery order performance will require execution of all requirements set forth in the delivery order.
1.3Although the government may waive informalities and minor irregularities in proposals received, the failure to comply with terms and conditions of the solicitation may adversely impact the offeror’s evaluation results, and could result in the offeror being removed from consideration for award.
2.0Offeror Responsibility to Submit an Unambiguous, Convincing Proposal
2.1It is the offeror’s responsibility to draft a logical, unambiguous proposal that contains all pertinent information in sufficient detail so that government evaluators are able to meaningfully evaluate the offeror’s proposed approach and price.
2.2An offeror’s proposal must clearly and convincingly reveal the offeror’s proposed design and demonstrate that the offeror has an accurate understanding of the requirements and associated risks. An offeror’s proposal must clearly and convincingly reveal that the offeror’s proposed approach is viable for the evaluated requirements and that the offeror is able, willing, and competent to devote the resources necessary to meet the requirements.
2.3Proposal statements that the offeror will provide a particular feature or training objective without explaining how the feature or objective will be met are generally inadequate and may adversely impact the government’s evaluation of the offeror. Regurgitating the Statement of Work, any Government Instruction, guideline documents or standards are inadequate and will adversely impact the government’s evaluation assessment of the offeror. Also inadequate are the following types of statements, which also may adversely impact the government’s evaluation of the offeror:

· unsupported statements that the offeror allegedly understands the requirements and risks;

· unsupported statements that the offeror allegedly can or will comply with requirements;

· unsupported statements that merely paraphrase the requirements;

· undefined or explained statements such as “best commercial practices will be used”;

· undefined or explained statements such as “standard procedures will be used”; and

· undefined or explained statements such as “well-known techniques will be employed.”
