9. INSTRUCTIONS TO OFFERORS
9.1 FAR 52.212-1, INSTRUCTIONS TO OFFERORS – COMMERCIAL PRODUCTS
AND COMMERCIAL SERVICES (SEPT 2023) – ADDENDUM
(b) Submission of offers.
Failure to submit any of the information requested by this solicitation may be cause for unfavorable consideration.
Upon receipt, all proposals become Government property.
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 60 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions, including alternative line items (provided that the alternative line items are consistent with FAR subpart 4.10), or alternative commercial products or commercial services for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately. Offerors are advised that proposals in which the contractor utilizes Contractor facilities and utilities vice Government furnished facilities and utilities are allowable and would be considered for award. Offerors are encouraged to identify why the acceptance of an alternate proposal would be advantageous to the Government.
(g) Contract award. The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror’s initial offer should contain the offeror’s best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals. Therefore, the offeror’s initial proposal should contain the offeror’s best terms from a price and technical standpoint.
9.2 CONFIDENTIAL INFORMATION
The Freedom of Information Act (FOIA) and its amendments have resulted in an increasing number of requests from outside the Government for copies of contract qualifications and proposals submitted to federal agencies. If an offeror’s submissions contain information that he/she believes should be withheld from such requestors under FOIA on the grounds that they contain “trade secrets and commercial or financial information” [5 USC§552(b)(4)], the offeror shall mark its submissions in the following manner:
The following notice shall be placed on the title page: “Some parts of this document, as identified on individual pages, are considered by the submitter to be privileged or confidential trade secrets or commercial or financial information not subject to mandatory disclosure under the Freedom of Information Act. Material considered privileged or confidential on such grounds is contained on page(s) _______.”
Each individual item considered privileged or confidential under FOIA shall be marked with the following notice: “The data or information is considered confidential or privileged, and is not subject to mandatory disclosure under the Freedom of Information Act.”
9.3 SOLICITATION RESPONSE REQUIREMENTS
9.3.1 GENERAL
The offeror shall submit documentation illustrating their approach for satisfying the requirements of this solicitation. Proposals must be clear, coherent, and prepared in sufficient detail for effective evaluation of the offeror’s proposal against the evaluation criteria. Also, this documentation shall cover all aspects of this solicitation and include the offeror’s approach for program management activities. Proposals must clearly demonstrate how the offeror intends to accomplish the project and must include convincing rationale and substantiation of all claims. Unnecessary elaborate brochures or other presentations beyond those sufficient to present a complete effective response to the solicitation are not desired.
The offerors shall describe their proposal, through the use of graphs, charts, diagrams or a narrative, in sufficient detail for the Government to understand and evaluate the offer. In its evaluation, the Government will consider the degree of substantiation of the offer in the proposal.
All correspondence in conjunction with this solicitation should be directed to the Government Contracting Officer identified below:
Contracting Officer’s Name: Ashley Williams Phone Number: 843.228.3982 E-mail address: ashley.h.williams8.civ@us.navy.mil

The cover letter (letter of transmittal) shall identify all enclosures being transmitted and shall be used only to transmit the proposal and shall include no other information. This cover letter shall also contain:
a) The solicitation number.
b) Name (including CAGE, DUNS, and TIN), address, and telephone number and electronic address of the offeror.
c) A statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation and agreement to furnish any or all items upon which prices are offered at the price set opposite each item.
d) Names, titles, and telephone numbers, and electronic addresses of persons authorized to negotiate on the offeror’s behalf with the Government in connection with this solicitation.
e) Name, title, and signature of person authorized to sign the proposals. Proposals signed by an agent shall be accompanied by evidence of that agent’s authority, unless that evidence has been previously furnished to the issuing office.

9.3.3. ELECTRONIC COPY FORMATS.
Text and graphics portions of the electronic copies shall be in a format readable by Microsoft (MS) Word.
Data submitted in spreadsheet format shall be readable by MS Excel. Adobe Acrobat pdf format is also acceptable. See PROPOSAL DELIVERY, Section 19, for details on proposal submission.
9.3.4 RESTRICTION OF DISCLOSURE/PROPRIETARY INFORMATION.
If the offeror wishes to restrict the disclosure or use of its proposal, mark the title page with the following legend:
“This proposal includes data that shall not be disclosed outside the Government and shall not be duplicated, used, or disclosed -- in whole or in part -- for any purpose other than to evaluate this proposal. If, however, a contract is awarded to this offeror as a result of -- or in connection with -- the submission of this data, the Government shall have the right to duplicate, use, or disclose the data to the extent provided in the resulting contract. This restriction does not limit the Government’s right to use information contained in this data if it is obtained from another source without restriction. The data subject to this restriction are contained in sheets [insert numbers or other identification of sheets]; and Mark each sheet of data it wishes to restrict with the following legend: Use or disclosure of data contained on this sheet is subject to the restriction on the title page of this proposal”
9.4 TECHNICAL FACTOR REQUIREMENTS
Offerors shall submit a detailed proposal in compliance with conditions of this solicitation. The technical proposal shall contain sufficient information to make a thorough evaluation and a sound determination as to whether the proposed services are adequate to meet the Government requirements in the PWS. The proposal shall be experienced with providing services described in the PWS and shall be insured and licensed in the state of South Carolina to work on HVAC equipment. The Technical Approach shall be specific, detailed, and sufficiently complete to clearly and fully demonstrate the offeror’s total comprehensive knowledge and understanding of the requirements and technical problems inherent to the work required. Generalized statements within the proposal, such as, “standard procedures will be employed”, or “well known techniques will be used,” will be considered technically inadequate.
Paraphrasing any part of the solicitation will also be considered inadequate.
Offeror’s should note that data submitted prior to the proposal submission will not be considered in the Government’s evaluation. Therefore, such data should not be relied upon nor incorporated in the technical proposal by reference. All offerors are encouraged to submit substantial detail in response to this factor.
The contractor’s technical proposal, including revisions and amendments made prior to contract award and a copy of which is in the possession of both parties, will be incorporated into this contract upon award by reference with the same force and effect as if set forth in full text. All contractor personnel shall meet or exceed the qualification standards, experience levels, and trade backgrounds set forth in the technical proposal.
In the event of an inconsistency between the provisions of this contract and the technical proposal, the inconsistency shall be resolved by giving precedence in the following order: (i) the contract (excluding the technical proposal), and then (ii) the technical proposal.
9.5 PAST PERFORMANCE
(a) The Supplier Performance Risk System (SPSR) application (https://www.sprs.csd.disa.mil) will be used in the evaluation of suppliers' past performance in accordance with DFARS 213.106-2(b)(i).
(b) SPRS collects quality and delivery data on previously awarded contracts and orders from existing Department of Defense reporting systems to classify each supplier's performance history by Federal supply class (FSC) and product or service code (PSC). The SPRS application provides the contracting officer quantifiable past performance information regarding a supplier's quality and delivery performance for the FSC and PSC of the supplies being purchased.
(c) The quality and delivery classifications identified for a supplier in SPRS will be used by the contracting officer to evaluate a supplier's past performance in conjunction with the supplier's references (if requested) and other provisions of this solicitation under the past performance evaluation factor. The Government reserves the right to award to the supplier whose proposal or offer represents the best value to the Government.
(d) SPRS classifications are generated monthly for each contractor and can be reviewed by following the access instructions in the SPRS User's Manual found at https://www.sprs.csd.disa.mil/reference.htm. Contractors are granted access to SPRS for their own classifications only. Suppliers are encouraged to review their own classifications, the SPRS reporting procedures and classification methodology detailed in the SPRS User's Manual, and SPRS Evaluation Criteria available from the references at https://www.sprs.csd.disa.mil/pdf/SPRS_DataEvaluationCriteria.pdf. The method to challenge a rating generated by SPRS is provided in the User's Manual
9.6 PRICE FACTOR REQUIREMENTS
The offeror shall complete blocks 30a, 30b, and 30c of the 1449 (1st page of this solicitation). The offeror must submit acknowledgement of any amendments issued prior to the closing date of the solicitation. In addition, Offerors shall complete provisions and submit Offerors Representations and Certifications with their proposal as identified in FAR Clause 52.212-3 in the SF 1449 solicitation
Section 18 “Bid Schedule” shall be completed by the offeror in accordance with the following:
a) All prices contained in the pricing schedule reflect total compensation for the services detailed therein and are fully inclusive of all costs including labor (workers, management, aids, assistants, and operators), overhead, general and administrative (G&A) expenses, and profit.
b) Cooling tower and chiller maintenance are considered commercial in nature. The service to be provided, in whole or in part, is a readily available service provided in the general competitive market place.
10. EVALUATION OF PROPOSALS: Proposers shall submit a lump and individual price for
CLINs 0001 through 0011 and unit prices for Exhibit Line Item Numbers (ELINs) A through ELINs E, referenced in attachment, N4008524R2723_ELINS. For purposes of evaluating offers for award, the Government will utilize the pricing submitted for the base year and all option periods, CLINS 0001 through 0011.
Refer to FAR 52.212-2, EVALUATION – COMMERCIAL PRODUCTS AND COMMERCIAL
ITEMS (MAY 2024).
a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price, past performance, and other factors considered. The following factors shall be used to evaluate proposals:
1. Price
2. Past Performance: The apparent successful, prospective contractor must have satisfactory or neutral past performance. Past Performance shall be evaluated in accordance with FAR
13.106-2. The Supplier Performance Risk System (SPSR) application (https://www.sprs.csd.disa.mil) will be used in the evaluation of suppliers’ past performance in accordance with DFARS 213.106-2(b)(i).
3. Technical:
Solicitation Submittal Requirements:
• Contractor’s proposed supplies or services shall, at a minimum, meet the salient characteristics, specifications, deliverables, or performance requirements outlined in the solicitation.
• Capability of Key Personnel: Submit key personnel qualifications, experience, and training, including resumes of the Project Manager, Superintendent, and other key personnel.
• For relevant experience submit a minimum of three (3) to a maximum of five (5) relevant projects that are similar in size, scope and complexity.
Basis of Evaluation: Offeror’s will be evaluated on their understanding of the work on the basis of information presented that demonstrates an experienced and qualified team organization with defined roles and responsibilities and capacity and resources demonstrating knowledge of the content of the work and technical solution.
Proposals will initially be screened for price and placed in order of price (lowest price to highest price).
Total price is based on the total of all CLINs to include recurring and non-recurring CLINs. The Navy will then evaluate the technical factors of the three (3) lowest priced proposals. The Navy will make award to the lowest priced technically acceptable proposal from among the three (3) lowest priced proposals. However, if no proposals are found to be technically acceptable within the first group of proposals, the Navy, at its sole discretion, reserves the right to increase the number of proposals it will review, until the Government identifies a technically acceptable proposal. Accordingly, under this methodology, the technical factors of some proposals may not be evaluated by the Navy. If discussions are deemed necessary by the Contracting Officer, all proposals will be evaluated (both technical and price) for the purpose of establishing a competitive range.
NOTE: Offerors MUST be evaluated as technically ACCEPTABLE under factors 2 and 3 in order to be considered technically acceptable overall.
b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
11. CONTRACT LINE ITEMS AND CONTRACT SUBLINE ITEMS:
a) The contract pricing is structured into 11 Contract Line Item Numbers (CLINs). The base year is covered by CLINs 0001 - 0003. Each of the subsequent option periods are likewise covered by two (2) CLINs. The FFP/recurring work base period requirement and the overall guaranteed minimum for the contract is CLIN 0001 - 0002. CLINs 0001, 0004, 0006, 0008, 0010 account for the recurring work requirements for each option period. CLINs 0003, 0005, 0007, 0009, 0011 contain non‐recurring work requirements that are pre‐ priced as part of your offer. Proposals shall include a table as seen below in Section 18 and may be found on the first tab of the the attachment titled N4008524R2557_ELINS.
b) CLINs are supported by ELINs – both of which may be found in attachment, N4008524R2557_ELINS. Before Pricing the Bid Schedule, complete the ELINs Attachment Excel spreadsheet. The spreadsheet includes multiple worksheets which must be completed.
Submit the completed spreadsheet with your proposal in electronic format. The spreadsheet contains 11 tabs of ELINs, each corresponding to a CLIN. They are identified for example, as: “Base Period Recurring” (which is CLIN 0001), “Base Period Non‐Recurring” (which is CLIN 0003), “Option Period I Recurring” (which is CLIN 0004), and so on. ELINS with alphabetical prefixes support various periods within the contract. Please see below:
• ELINs with prefix “A” supports the Base Period
• ELINs with prefix “B” support Option Period I
• ELINs with prefix “C” support Option Period II
• ELINs with prefix “D” support Option Period III
• ELINs with prefix “E” support Option Period IV.
The total of ELINs A001 through A003 will be the amount you should enter in CLIN 0001, Bid Schedule. ELIN A004 will be the amount you should enter in CLIN 0002. The total of A700 through A702 will be the amount you should enter in CLIN 0003. The total of B001 through B003 will be the amount you should enter in CLIN 0004. The total of B700 through B702 will be the amount you should enter in CLIN 0004. The total of C001 through C003 will be the amount you should enter in CLIN 0006. The total of C700 through C702 will be the amount you should enter in CLIN 0007. The total of D001 through D003 will be the amount you should enter in CLIN 0008. The total of D700 through D702 will be the amount you should enter in CLIN 0009. The total of E001 through E003 will be the amount you should enter in CLIN 0010. The total of E700 through E702 will be the amount you should enter in CLIN 0011. Make sure that the total of each tab of ELINs is equal to its corresponding CLIN value entered in teh Bid Schedule. The total of all ELINs attachment should equal the total of all CLINs 0001 through 0011 in the Bid Schedule.
c) Bidders shall enter unit prices and amounts for the contract line items (CLINs) and exhibit line items (ELINs) as indicated in the schedules and any accompanying attachments.
d) In the event there is a difference between a unit price and the extended total amount, the unit price will be held to be the intended bid and the total of the CLINs. If the bidder provides a total amount for a CLIN but fails to enter the unit price, the total amount divided by the CLIN will be held to be the intended unit price.
e) The Schedule of Firm Fixed Price Work (CLIN 0001, 0002, 0004, 0006, 0008, 0010) and the Schedule of Indefinite Quantity Work (CLIN 0003, 0005, 0007, 0009, 0011) will be used as the basis for deductions.
f) All pricing shall be fully loaded. No other allocations, fees, O/Hs, G&A, and profits will be applied when an option is exercised or work is ordered.
12. UNIT PRICE ADJUSTMENTS IN OPTION PERIODS: This contract incorporates the Service Contract Act (SCA). The SCA Wage Determination (N4008524R2723_WD) is for the Base Year performance period only. The latest Wage Determination available at the time for each option exercise will be incorporated into the contract and the unit prices will be adjusted in accordance with FAR Clauses 52.222-43, Fair Labor Standards Act and Service Contract Act –
Price Adjustment. The contractor warrants, by submission of his proposal that the price does not include any contingency for future wage increases.

The composite labor price shall include all direct and indirect costs associated with performing an hour of work. The composite labor price should be the Contractor's hourly craft wage adjusted to allow for the offerors work force productivity (i.e., the Contractor's estimate of how its’ work force will perform in relation to the Means Facilities Cost Data and/or the Engineered Performance Standards). The Composite Labor Rate shall include all costs for preparation of the cost proposal, job preparation, travel, pre- expended bin materials and supplies, ordering and stockpiling job material, additional material handling, items of equipment necessary to perform work (i.e. bucket truck, lifting equipment, staging, etc.), equipment set up time, lift time, craft delay allowance, profit, tools, equipment, field and home office overhead, clerical support, supervision, inspection, fees, taxes, licenses, bonds, permits, insurance, etc.
14. PERIOD OF PERFORMANCE – LESS THAN ONE (1) YEAR: Offer shall be submitted for the performance of work for a period of one (1) year. The contractor is cautioned to recognize that the initial term of the contract may be for a period of less than one (1) year. In the event that the period of performance is less than one year, the Government will reduce the individual line item quantities to reflect work remaining in the contract term and no other adjustments to the pro-rated contract price will be made.
15. REQUEST FOR PROPOSALS (RFP) INFORMATION/PRE-PROPOSAL INQUIRIES
(PPIs): Contractors are required to review the entire solicitation package before submitting questions. All questions must be submitted by Monday 23 September 2024 at 2:00 P.M. EST via email to ashley.h.williams8.civ@us.navy.mil using attachment N4008524R2723_PPI. This is the most efficient way to ensure all questions are answered in a timely manner. (https://www.sam.gov). By necessity, these files are protected to prevent unauthorized editing. It is the sole responsibility of the offeror to obtain the RFP files, along with any amendments from this website. Unprotected editable file copies of the RFP documents including: Word, Excel and/or .pdf files (Adobe Acrobat files) will not be provided. Please plan accordingly.
