The price for this contract line item number (CLIN) is made up of all Non- Recurring Work items being awarded for the base contract, and are identified in the Exhibit Line Item Numbers (ELIN) List.
The price of this CLIN is expressed in U.S. Dollars for the administrative convenience of the U.S. Government. Payment will be made in Yen.

PERFORMANCE WORK STATEMENT
The contractor shall perform in accordance with the attachment(s) in the List of Attachments.
ORDERING PERIOD
This IDIQ includes a single two-year ordering period. The contemplated ordering period is shown in the Delivery Information Section (22 May 2020 to 21 May 2022). However, the start date will be adjusted to be the actual date of award and the end date to be exactly two-years after the award date.
GENERAL INFORMATION
1. BIDS: Bidders shall comply with this “Instructions to Bidders” and “Solicitation, Offer and Award (Construction, Alteration, or Repair) (Standard Form 1449)” in the preparation of bids.
2. SYSTEM FOR AWARD MANAGEMENT REGISTRATION: Bidders are required to be registered in SAM at the time the offer or quotation is submitted in order to comply with the annual representations and certifications requirements. For more information please go to https://www.sam.gov. Bidders shall complete the provisions associated with the annual representations and certifications identified in the Federal Acquisition Regulation (FAR) subpart 4.1202 and Defense FAR Supplement (DFARS) subpart 204.1202.
3. SUBMISSION OF BIDS AND PUBLIC OPENING OF BIDS: Bids will be publicly opened at the time set for opening in the invitation for bids. Their content will be made public for the information of bidders and others interested, who may be present either in person or by representative.
SUBMISSION OF BIDS: Bids shall be submitted via electronically (email or DoD SAFE) or hand delivery.

Bids shall be submited as a PDF to the POC / Contract Specialist, Miki Yamaguchi via email at miki.yamaguchi.JA@fe.navy.mil. The subject of the email shall be “N4008420B6305 COVID-19 CLEANING”.
Emails must be less than 10MB in order to be received. Emails larger than 10MB may be submitted via DoD SAFE (https://safe.apps.mil/).
DoD SAFE:
Bids shall be submited as a PDF to the POC / Contract Specialist, Miki Yamaguchi via DoD SAFE. The Bidder shall provide a single POC (name, email address, and telephone number) for submitting the bid via DOD Safe at least 5 calendar days prior to the bid opening.. The Government will send a DoD SAFE invitation email for use in submitting your bid within 3 calendar days prior to the bid opening date.
The Contract Specialist will acknowledge all eletronic bid submissions within two business days. If the Bidder submits their bid less than two business days prior to the bid opening, the Bidder is highly encouraged to follow up with the POC / Contract Specialist via email and/or telephone. If the Bidder does not receive an email confirmation of receipt from the POC / Contract Specialist, the Bidder is required to follow up with the POC / Contract Specialist via email and/or telephone with sufficient time prior to the bid opening in order to ensure the bid has been received and/or re-transmit the offer to the Contract Specialist via email or hand delivery if required.

Bidders are advised that the PWD Sasebo, Bldg. 200 / Acquisition Office is located on a secured base where passes are required to enter the base. Therefore, Bidders should anticipate delays in base access. Individuals are required to have a “DBIDS CARD” (BASE ACCESS PASS) for CFAS Main Base in order to access the PWD Sasebo, Bldg.
200 / Acquisition Office. If the individual(s) submitting the bid does not have a DBIDS CARD, please contact the POC at least 5 days prior to the closing date and follow the POCs instructions.
If you do not have a DBIDS CARD, please submit a color copy of your picture ID and the pass request form, Attachment (b) or, for U.S. Nationals only, Attachment (b) and Attachment (c), to the POC via email no later than 10:00 AM at least five business days prior to the due date and time for receipt of bid in order to receive a DBIDS PAPER PASS (Temporary Pass).

LOCATION OF BID OPENING: Bldg. 200 Gazebo on CFAS
The Bldg. 200 Gazebo is located next to Building 200 on CFAS. It is between Building 200 and the storage area at the opposite end of the Building 200 Main Entrance.
Please contact the POC for this IFB if you are unfamiliar with the location of the Bldg. 200 Gazebo.
The bid opening will occur immedaity after the due date and time for receipt of bids. The POC/ Contract Specilialist must walk from the designated place for receipt of hand-delivered bids and Electronic Submission of bid (PWD Sasebo, FEAD Acquisition Branch Bldg 200, 2nd Floor) to the Bldg. 200 Gazebo. The actual bid opening time will depend upon the number of bids received but for planning purposes is expected to be between 10:05AM to
10:30AM.
4. BIDDER'S QUALIFICATIONS: Before a bid is considered for award, the bidder may be requested by the Government to submit a statement regarding the bidder’s previous experience in performing comparable work, its business and technical organization, financial resources, and such other information as may be required to evaluate the bidders responsibility.
5. AUTHORIZATION TO PERFORM: In accordance with DFARS 252.225-7042, the Offeror must be duly authorized to operate and to do business in Japan.
6. CONTRACTOR LICENSING REQUIREMENTS: Prior to award of any contract, bidders must be registered to do business in Japan and possess all licenses required to perform the services under this requirement, Bidders will be required to provide verification of any required licenses prior to award of any contract to the contracting officer if such information is not already on file with or available to the contracting officer.
7. BONDING REQUIREMENTS: Performance bonds and bid guarantees are NOT required by this solicitation.
8. AMENDMENTS: Amendments will be posted to the Government wide point of Entry (GPE) currently located at https://beta.sam.gov/. Hard copies of the amendment will not be mailed. It is the bidder’s responsibility to check the website periodically for any amendments. Bidders must acknowledge any and all amendments issued under this solicitation either by annotating it on the SF1449 or signing each SF30 (amendment) and submitting it with the contractor’s bids.
9. BIDS SHALL BE PRICED ONLY IN JAPANESE YEN. BIDS NOT PRICED IN JAPANESE YEN WILL
BE CONSIDERED NON-RESPONSIVE AND WILL NOT BE EVALUATED.
10. PRE-BID CONFERENCE AND SITE VISIT: The Government intends to reduce the need for in person meetings to the maximum extent practical. Therefore, in lieu of a scheduled in person pre-bid conference, the pre-bid conference will be conducted via teleconference. An in person site visit will be available upon request.
Information concerning any site visit would be issued via amendment to the IFB.

11. PRE-BID INQUIRIES: All inquiries concerning this solicitation shall be made using the attached Pre-Bid Inquiry Form (Attachment (a)) and submitted via email to the Contract Specialist at miki.yamaguchi.ja@fe.navy.mil. The Government does not intend to respond to inquiries submitted less than 5 days before the bid opening date. Correspondence shall be in English ONLY in accordance with FAR 52.214-34 Submission of Offers in the English Language and DFARS 252.225-7041 Correspondence in English. Responses to inquiries will be provided in an Amendment and posted to the GPE currently located at https://beta.sam.gov/. It is the bidder’s responsibility to check the website periodically for any amendments.
12. JOINT VENTURE (JV) BIDDERS: Bidders who are Joint Ventures shall submit the following additional documentation regarding their business entities with the bid:
a. A copy of the JV agreement; and,
b. A detailed statement outlining the following in terms of percentages where appropriate:
1) The relationship of the team/partners/parties in terms of business ownership, capital contribution, profit distribution or loss sharing;
2) The management approach, structure and decision-making responsibilities of the partners/parties in terms of who will conduct, direct supervise, and control the manner and method of performance of work; and
3) Identify (by name and title) the personnel having the authority to legally bind the JV and the various partners/parties (including authority to execute the contract documents and bonds).
c. A list of partners/parties, to include company name, DUNS and CAGE numbers, address, point of contact, e-mail address, phone number and facsimile number.
NOTES: A bid may be rejected if the company name identified on the bonds is different from the JV name identified on the agreement. The JV must be actively registered in the System for Award Management (SAM) database as the JV.
13. BIDS AND INVOICES EXCLUSIVE OF EXEMPTED TAXES AND DUTIES: Bids and any subsequent invoices submitted during performance of this contract shall not include the cost of any taxes or duties for which the U.S. government is exempt from paying under SOFA agreement with Japan and for which the contractor may obtain relief from Japanese authorities.
14. INCURRED EXPENSES: The Government is not responsible for any costs incurred or associated with preparation and submission of a bid in response to this IFB.
15. NO ALTERNATE OR MULTIPLE BIDS: Neither multiple bids, nor bid variations or options, nor alternate or alternative bids will be considered in the evaluation.
16. CONTRACTOR PERFORMANCE ASSESSMENT REPORT SYSTEM (CPARS): Contractor’s performance will be evaluated using the respective contractor performance evaluation report entry system located on the website http://www.cpars.gov/. Prior to commencement of work the contractor is required to provide the government with the name, phone number and e-mail address of the “Contractor’s Representative” that will be responsible for receipt and review of draft performance evaluations prepared by the government in the appropriate system. It is the contractor’s responsibility to keep this contact information current.
17. STATUS OF FORCES AGREEMENT: The U.S. Government will not offer "United States Official Contractor" status under Article XIV of the U.S.-Japan Status of Forces Agreement (SOFA) to any offeror awarded a contract under this solicitation. The U.S. Government may certify qualified employees of a contractor as "Members of the Civilian Component" under Article I(b) of the SOFA.
18. CUSTOMS AND TAX EXEMPTION: In accordance with the Status of Forces Agreement, the U.S.
Government is entitled to an exemption from Japanese customs duties and Japanese commodity and gasoline taxes.
The Contractor warrants that all taxes and customs duties pertinent to the procurement for which the U.S.
Government is exempt have been excluded from the contract price. The Contractor is required to submit a request in writing to the Contracting Officer for issuance of an import or tax exemption certificate, as appropriate, relieving the Contractor from such customs duties or taxes. Invoices submitted in accordance with the terms and conditions of this contract shall be exclusive of all taxes or duties for which relief is available.

TAX EXEMPTION
Exemption from Japanese Customs Duties and Taxes Pursuant to Status of Forces Agreement (Aug 1987)
(1) Paragraph 2, Article XI of the Status of Forces Agreement between Japan and the United States, authorized the United States entry into Japan free from Japanese customs duties and other charges all materials, supplies and equipment imported for the official use of the United States Armed Forces or for the exclusive use of such forces or ultimately to be incorporated into articles or facilities used by such forces.
(2) Paragraph 3, Article XII of said Status of Forces Agreement, authorizes the United Status exemption from certain Japanese taxes for materials, supplies, equipment and services procured for official purpose in Japan by the United Status Armed Forces or by authorized agencies of the United State Armed Forces. Currently, these taxes are:
(a) Commodity tax; (b) Traveling tax; (c) Gasoline tax and local road tax on gasoline; (d) Diesel oil tax;
(e) Electricity and gas taxes; (f) Liquefied petroleum gas tax.
(3) If you are the successful offeror, the Contracting Officer or his authorized representative will issue customs or tax exemption certificates as appropriate, relieving you from such customs duties or taxes in accordance with procedures agreed upon between the Government of Japan and the United States of America. Tax exemption certificates for motor fuel will be issued only after consumption of the motor fuel, either at the end of each month or upon termination of the contract. These can be applied against future purchases of motor fuel. They will be issued only to you as the prime contractor, so, if you employ a subcontractor or supplier who uses motor fuel, you must purchase the motor fuel to secure the exemption.
(4) List below the customs duties or taxes, which have been excluded from your proposal as required by the Taxes Clause.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (MAR 2020)
ALTERNATE I (OCT 2014)
The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.
(a) Definitions. As used in this provision--
“Covered telecommunications equipment or services” has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
“Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
“Forced or indentured child labor” means all work or service—
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
“Inverted domestic corporation,” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).
“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except—
(1) PSC 5510, Lumber and Related Basic Wood Materials;
(2) Product or Service Group (PSG) 87, Agricultural Supplies;
(3) PSG 88, Live Animals;
(4) PSG 89, Subsistence;
(5) PSC 9410, Crude Grades of Plant Materials;
(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;
(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;
(8) PSC 9610, Ores;
(9) PSC 9620, Minerals, Natural and Synthetic; and
(10) PSC 9630, Additive Metal Materials.
“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;
(3) Consist of providing goods or services to marginalized populations of Sudan;
(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;
(5) Consist of providing goods or services that are used only to promote health or education; or
(6) Have been voluntarily suspended.
“Sensitive technology”—
(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—
(i) To restrict the free flow of unbiased information in Iran; or
(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and
(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).
“Service-disabled veteran-owned small business concern”—
(1) Means a small business concern—
(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and
(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.
(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).
“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.
“Small disadvantaged business concern, consistent with 13 CFR 124.1002,” means a small business concern under the size standard applicable to the acquisition, that--
(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--
(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and
(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and
(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.
“Subsidiary” means an entity in which more than 50 percent of the entity is owned—
(1) Directly by a parent corporation; or
(2) Through another subsidiary of a parent corporation.
“Veteran-owned small business concern” means a small business concern—
(1) Not less than 51 percent of which is owned by one or more veterans(as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and
(2) The management and daily business operations of which are controlled by one or more veterans.
“Women-owned business concern” means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.
“Women-owned small business concern” means a small business concern --
(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and
(2) Whose management and daily business operations are controlled by one or more women.

(2) [ ___ ] Have, [ ___ ] have not, within a three-year period preceding this offer, been convicted of or had a civil judgment rendered against them for: commission of fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a Federal, state or local government contract or subcontract; violation of Federal or state antitrust statutes relating to the submission of offers; or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, tax evasion, violating Federal criminal tax laws, or receiving stolen property; and
(3) [ ___ ] Are, [ ___ ] are not presently indicted for, or otherwise criminally or civilly charged by a Government entity with, commission of any of these offenses enumerated in paragraph (h)(2) of this clause; and
(4) [ ___ ] Have, [ ___ ] have not, within a three-year period preceding this offer, been notified of any delinquent Federal taxes in an amount that exceeds $3,500 for which the liability remains unsatisfied.
(i) Taxes are considered delinquent if both of the following criteria apply:
(A) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge.
