(a) The Contractor is not required to flow down the terms of any Defense Federal Acquisition Regulation

Supplement (DFARS) clause in subcontracts for commercial items at any tier under this contract, unless so specified in the particular clause.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

PERFORMANCE WORK STATEMENT

1. SCOPE

1.1 Background. Pearl Harbor Naval Shipyard and Intermediate Maintenance Facility (PHNSY & IMF), provides environmentally responsible regional maintenance, repair, overhaul, conversion, alteration, refurbishment, defueling, refueling, and decommissioning of home-ported and visiting U.S. Navy vessels.

1.2 Intent. PHNSY & IMF Code 400 intends to use this contract to accomplish the repair of Berthing Barge

YRBM-32 in accordance with Work Specification Number SSP-509-16 and applicable addendums provided in the solicitation and incorporated in resultant contract award.

2. PLACE OF PERFORMANCE

2.1 Work Site. Joint Base Pearl Harbor S15/S16 Piers. *There are no restroom facilities in the immediate area.

Contractor is responsible for providing portable latrines if desired. *

2.2 Delivery/Re-delivery of Vessel. The Government will turn-over the vessel to the Contractor on the day of work commencement.

3. CONTRACT REQUIREMENTS

3.1 The contractor shall provide all personnel, equipment, supplies, facilities, transportation, tools, materials, supervision, and other items necessary to perform work as defined in Work Specification Number SSP-509-16.

3.2 The contractor shall perform to the standards in this contract and all applicable Federal, State, Country, City, and local statutes and regulations.

4. ROLES AND RESPONSIBILITIES

4.1. This contract will be administered by the PHNSY & IMF Code 400 Contracting Officer. The Contracting

Officer is the sole authority to obligate Government funds by authorizing the contractor to begin performance and authorizing other actions required within their contractual authority.

4.2. All communication with other Government organizations, commands, and departments shall be via the

Contracting Officer or a Code 400 representative designated by the Contracting Officer. The Contractor’s employees shall not visit vessels or military activities without prior authorization from Code 400.

4.3 Should the contractor be instructed by an individual other than the Contracting Officer to perform work that it considers a change to this contract or delivery order, the contractor shall not perform such work and shall immediately notify the Contracting Officer.

5. TECHNICAL CONFERENCES/MEETINGS

5.1 The Contractor shall assign a primary point of contact. The contractor lead shall coordinate all actions with the designated Government representative and vice versa. The Contractor lead will keep the Government representatives apprised of schedule, technical, material, and financial issues pertaining to the contract.

5.2 The Contractor and Government representatives shall meet weekly or as required by the Government, for the duration of the contract, to discuss the direction, progress, results, and/or issues that occur during performance of the contract.

6. SPECIFICATIONS, AMENDMENTS OR REVISIONS APPLICABLE

6.1 Whenever specifications, standards, drawings, publications or other documents are cited without issue number, revision, date or amendment number identified, the revision, date or amendment in effect as of the date of the delivery order shall apply.

6.2 Wherever specific issue number, revision, date or amendment number for specifications, standards, and publications are specified, the issue specified shall apply.

6.3 If, during the performance of this contract, the Contractor believes that the contract contains outdated or different versions of any specifications or standards, the Contractor may request that this contract be updated to include the current version of the applicable specification or standards. Updating shall not affect the form, fit or function of any deliverable item. The Contractor should submit update requests to the Contracting Officer with copies to the designated Code 400 technical representative. The Contractor shall perform the contract in accordance with the existing specifications and standards until notified of approval/disapproval by the Contracting Officer. Any approved alternate specifications or standards shall be incorporated into the contract/delivery order.

7. CONDITION FOUND REPORT (CFR) PROCESS

7.1 The Contractor will identify needed repairs and recommend corrective action during contract performance for those deficiencies discovered which are not covered by the work specifications. As found conditions, needed repairs and corrective action reports will be submitted to the Government in the form of a Condition Found Report (CFR).

7.2 CFR's, cost estimates and supporting data will be submitted within five working days of identification of the requirement. As a minimum, the CFR will include the following:

(a) Identify contract number, ship and hull number

(b) Serialized by CFR number

(c) Identification of the applicable Work Item number

(d) Date requirement was discovered

(e) Description of the work requirement

(f) Specific location of the work

(g) Recommendation for corrective action

(h) Recommendation for the appropriate/best time to accomplish the work with supporting rational for the recommendation, such as cost efficiencies, availability of work force, availability of material, premium expenditures, etc.

(i) Identification of related changes, if any, to the internal milestones and production and contract completion dates.

7.3 The Code 400 representative will review the CFR with the requirement (deficiency), recommendation for corrective action, and estimate for proposed corrective action(s). The Government will determine if the work is required, and potentially affordable. If the CFR is inadequate or incomplete, the Government will return the CFR to the Contractor for revision.

8. REQUEST FOR CONTRACT CHANGE (RCC) PROCESS

8.1 In response to an approved CFR, the Government may issue an RCC for the growth work identified in the CFR.

The growth RCC will be generated under the parent work item under which the work is being accomplished

8.2. The Contractor will submit a proposal for the specified scope of work within three working days from receipt of

RCC.

8.3 The Contracting Officer, with the assistance of Code 400 technical personnel will review the submitted proposal and evaluate to determine technical acceptability and price reasonableness. When required, the Contractor shall participate in technical discussions and/or additional ship checks.

8.4 Negotiated RCCs will be incorporated into the basic delivery order via bilateral contract modification.

EVALUATION FACTORS

The Government will award a firm-fixed priced contract to the responsible quoter whose quote is the lowest priced, technically acceptable quote conforming to the solicitation. A single contract will be awarded against this solicitation. .

Except communications conducted for the purpose of minor clarifications, the Government intends to evaluate offers and award a contract without discussions. Therefore, each initial offer should contain the offeror’s best terms from a pricing and technical standpoint. However, the Government reserves the right to conduct discussions if it is later determined by the Contracting Officer to be necessary.

Factor 1: Technical. The following adjectival ratings will be used in evaluating each quoter’s technical proposal.

Factor 2: Past Performance: Each quoter’s Past Performance will be evaluated. Evaluation of past performance will be subjective based on consideration of all relevant facts and circumstances. The currency, content, general trends, and relevance of the information in contactor’s performance will be considered.

The Government may also consider and use any additional information from its own files, databases, references provided by the offeror, or from any source, as it deems appropriate. The Government may survey references to verify information provided and may survey other sources known to the Government.

If adverse past performance information is obtained, the respective point of contact will be contacted to obtain additional information about the circumstances surrounding the situation. Quoters will be given an opportunity to address unfavorable reports of past performance to which the quoter has not had a previous opportunity to respond.

The quoter’s response, or lack thereof, will be taken into consideration. If a quoter does not have a past performance history relating to the solicitation, a neutral rating will be given for this factor.

Factor 3: Price. Price is not rated. Price and cost analysis techniques will be used to evaluate a quoter’s proposed price. Price will be evaluated for the value offered for the price, and the extent to which it is fair and reasonable.

(a) Definitions. As used in this provision--

Administrative proceeding means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian

Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceedings at the Federal and State level but only in connection with performance of a

Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.

Federal contracts and grants with total value greater than $10,000,000 means--

(1) The total value of all current, active contracts and grants, including all priced options; and

(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).
