Update Part X Business Proposal (18) to Offeror shall certify that a current VETS-4212 Report has been filed with the Department of Labor for this fiscal year if 38 U.S Code Section 4212 and/or 41 CFR 61-300 is applicable. If 38 U.S. Code Section 4212 and/or 41 CFR 61-300 is not applicable to the offeror, please provide a brief explanation as to why 38 U.S. Code Section 4212 and/or 41 CFR 61-300 is not applicable.
4. Update Part X Business Proposal (19) to Mission-Essential Contractor Services Plan. In accordance with
DFARS 252.237-7023 and 252.237-7024, all offerors shall submit a completed Mission-Essential
Contractor Services Plan Worksheet -Attachment Q.

REQUEST FOR CLARIFICATION/QUESTION

Question/Answer:
1) “Attachment IX (I) – PWS: Item cc, Offerors are required to provide a copy of the Vessel COI with the offer, however, foreign vessels do not possess a USCG COI certificate and reflag will take place after award. Foreign vessels to be reflagged will be treated as a new construction in the case of this PWS item or
MSC will consider an amendment to address this issue?”
Answer: Attachment IX (I)-PWS (cc) will be updated in this amendment to add the following: a Safe
Manning Document (SMD) or equivalent in lieu of a COI is acceptable until the foreign vessel has been reflagged to be US flagged. After reflagging of foreign vessel to US flagged, the Owner/Offeror will be required to provide the COI.
2) “Offer due date: Due to the number of RFPs issued by MSC coupled with the challenging state of the market with historically high tanker rates and highly volatile underlying commodity markets, additional time to identify and acquire suitable tonnage on most favorable terms may ensure most competitive offers to Government. Would MSC consider an extension of the offer due dates of all RFPs by at least two weeks in order to provide Offerors more time to find appropriate candidates and complete their offers?”
Answer: The RFP Due Date will be extended by one week for a Due Date of 11 November 2022.

3) “RFP - PART X: Business Proposal item 15, reference to executed bareboat, purchase or time charter agreement. As per industry practice an agreement is reached basis a ‘recap’ agreed to by both parties.
Submission of the recap, signed by parties, is acceptable form of such executed bareboat, purchase or time charter agreement in the context of the RFP?”
Answer: No, a ‘recap’ is not acceptable. Refer to Part X Business Proposal (15) for appropriate documents to meet requirement
4) “Modifications: Will MSC consider providing a grace period of 6 months after delivery of the Vessel to the government has done for the CONSOL system for all the other major modifications (i.e. ATFP items, Hull perimeter lighting, CBRD shower room) to be completed as they are also complicated and modifications need to be executed to the government’s specific requirements after review of plans etc.?”
Answer: No, all other items must be completed by time of delivery of vessel
5) “Attachment O – CONSOL: Item 1. Basis CONSOL equipment and modification being completed within six months after delivery to the government, please confirm that DFARS 252.247-7025 will not apply for parts of the modification done after acceptance / delivery to the government.”
Answer: Offer must comply with the requirements with the DFARS 252.247-7025 and 10 USC 2631 which was amended 01 January 2021.
6) “We note per the PWS that crew may be required to remain onboard as directed by Charterer or IAW local
Government authorities. Please advise whether restriction to ship payments as supported by labor CBA will be reimbursable.”
Answer: No, restriction to ship payments as supported by labor CBA will not be reimbursed.
7) “We have yet to receive the Collective Bargaining Agreements from our Unions for building the labor costs. In order for us to prepare a timely submittal package we request an extension of one week to the current October 28 closing date.”
8) “We refer to PAST PERFORMANCE requirement (X-9) in the solicitation. Please confirm that the
Utilization of Small Business concerns (in particular, providing a lst of contracts within the last 3 years to demonstrate compliance) does not apply to small business concerns offering against this solicitation.”
Answer: Per Part X Past Performance, all offerors shall provide a list of contracts that within the last three (3) years demonstrate the offeror has carried out the policy described in FAR 52.219-8, in awarding of subcontracts to small business concerns to the fullest extend consistent with efficient contract performance.
9) “The solicitation stipulates that the 4-man contract security team shall be a part of the offeror’s fixed price.
However, in another section the wording language confloicts by “ …the Government may require the vessel to have a Contract Security Team”
Please advise whether we should price the team on a 365-day basis even if they may not always be onboard.”
Answer: No. Part V(f) Contractor Security does not apply to this Charter Party as Part V(f) is not reference in Box 6 of the RFP.
10) “Please confirm that equipment upgrades, such as the installation of CONSOL stations, are required to be done in the USA. In cases where such installations occur after delivery, will the vessel be placed off-hire by
MSC for positioning voyage to a USA facility, through the installation period, and for the re-positioning
MSC TANKTIME 2020 (Rev. 3 (02-22)) 4 voyage back to the point of off-hire? Is there a penalty for failure to have equipment installed within 6 months after delivery?”
Answer: Offer must comply with the requirements with the DFARS 252.247-7025 and 10 USC 2631 which was amended 01 January 2021. A vessel that is not available for missions may be put on off-hire as in accordance with Part IV(j) Off-Hire. If the CONSOL equipment is not installed within 6 months after delivery that will be considered a breach of contract and could result in termination of contract or other remedies.
11) “Under Attachment IX (F) Basic Pricing Data:

Answer: Attachment IX (F) Basic Pricing Data sheet will be updated in this amendment to update
Line 1-2 to reference Attachment G- Crew Complement.
12) “Technical Proposal: Contractor shall provide as part of its proposal a list of overseas ports the vessel has called at within the past 5 years of RFP issuance…
Question: Can it be considered to reduce the history to 3 years? Vessel’s that the contractor will be putting forward run spot in the MSP program overseas and will be a task to collect that data for as many ports for the duration of 5 years.”
Answer: No, the requirement is for 5 years of previous voyage itineraries.
13) “Performance Work Statement jj) should the referenced charter party be 08/20 Rev 3. (02-22)?”
Answer: Attachment IX (I) – Performance Work Statement (jj) will be updated in this amendment to
Owner/Offeror warrants agreement to all other terms and conditions as per TANKTIME 08/20
(Rev.3 (02-22)).
14) “In respects to PWS (z): Owners offeror warrants vessel will have a minimum of 12 berths available for additional government embarked personnel. Can you please advise if these 12 persons are considered surge personnel?”
Answer: No, these berths are not considered surge personnel. Attachment IX (I) Performance Work
Statement (z) is updated as follows: z) Owner/Offeror warrants vessel will have a minimum of 12 berths available for government-embarked personnel.
15) “In reference to attachment IX (J) (hh) SECURE SPACE – requesting copies please of the following: DOD
Manual 5220.22-M (Industrial Security Manual for Safeguarding Classified Information) and DOD
5220.22-S (COMSEC supplement), SECNAVINSTs 5510.30 (series) and 5510.36 (series) C, and
COMSCINST 2280.3 (series) (COMSEC and EKMS Policy)”
Answer: The requested attachments will be provided in the upcoming amendment.
16) “In reference to attachment IX (B) - This document reads as if the seafarers are directly hired by MSC as it relates to sickness / injury and paid time off. As you know, we have the SIU and MEBA who work aboard our vessels as well as the LDOs…we have contractual obligations to those unions in regards to leave.
These are not seafarers directly hired by MSC, as this document would make sense for that purpose. This is where we were asking, since we have several union obligations to meet for seagoing folks aboard the intended offered vessels, if the below would adequately capture those labor regulations. Types of Benefits
Workers who become ill in the service of a vessel are entitled to benefits under the Jones Act, including maintenance, cure, and unearned wages: • Maintenance. This is a daily payment intended to cover the costs of room and board during recovery from an illness. Workers are entitled to receive these payments from the
MSC TANKTIME 2020 (Rev. 3 (02-22)) 5 end of the voyage following the illness until maximum medical improvement has been achieved. • Medical cure. These are the medical costs related to an illness that began or was aggravated during a worker’s service of a vessel. The employer has a duty to promptly pay medical expenses until the illness reaches maximum medical improvement. • Unearned wages. This is the amount of money a worker would have earned had he remained on the vessel until the end of the voyage, end of the contract, or the end of the normal pay period. The employer should pay everything the worker would have earned had he not been ill while in service of the vessel.”
Answer: Attachment IX (B) – US Department of Labor Wage Determination shows the minimum wages/benefits that employees must be paid. Please refer to Department of Labor (DOL) for additional questions.
17) “Are the following requirements describing the same space?
- 22R5434 Attachment IX (I) – PWS, hh): Communication Space
- MILITARY SEALIFT COMMAND, COMMERCIAL ITEM ACQUISITION, TANKER TIME
CHARTER, Part V, h): Secure Space
Item 1) specifies it must have adequate square footage in which unspecified Contractor-furnished and
MSC-furnished equipment can be operated and maintained. It does not define the quantity or size of the equipment that must be accommodated.
Item 2) specifies the space must be sufficient in size for one desk to accommodate a computer workstation, monitor and a safe.”
Answer: Yes, these are referring to the same space. Please refer to Part V(h) Secure Space for guidance and Attachment IX (I) – Performance Work Statement (hh) will be updated in this upcoming amendment to reserved.
18) “22R5434 Attachment IX (L) – CBRN Requirements: Please confirm which party is responsible for providing “clips and brackets for attaching standard fire hose nozzles at each weather deck fire station”.
Please also provide the referenced document COMSCINST 3541.5 series, Part 1, Appendix C “CBRN
Policy” (MA Plan no. S89-5-1) for review.”
Answer: Offeror is responsible for providing clips and brackets for attaching standard fire hose nozzles at each weather deck fire station. The requested documents will be provided in the upcoming amendment.
19) “22R5434 Attachment IX (L) – CBRN Requirements: Please provide the referenced Attachment I
SPECIFICATIONS FOR CHEMICAL, BIOLOGICAL, RADIOLOGICAL, AND NUCLEAR DEFENSE
(CBRN) DECONTAMINATION STATION, MSC Decontamination Station Drawing Number 802-

Answer: The requested documents will be provided in the upcoming amendment.
20) “Are there any requirements for the space(s) accommodating the 12 berths required for additional government embarked personnel? For example, can they all be located in the same space and share one toilet and shower?”
Answer: The minimum requirement is 12 berths for government embarked personnel. Attachment
IX (I) Performance Work Statement (z) is updated as follows: z) Owner/Offeror warrants vessel will have a minimum of 12 berths available for government-embarked personnel.
21) “22R5434 Attachment IX (O) – CONSOL Station Requirements: These requirements state; “The capability to perform the simultaneous transfer of up to two (2) different fuel products shall be met.” Does this mean that each CONSOL station must be set up to connect two transfer hoses for the simultaneous transfer of two different fuel products at the same station? Or is it intended for the ships to be connected at BOTH fore and aft CONSOL stations simultaneously with one transfer hose connected at each?”

Answer: The intent is for each station to be capable of transferring two (2) different products but not simultaneously. If two different products are being transferred simultaneously then two CONSOL stations will be used and each station will be used for one product.
22) “It appears that if a company wants to bid 3 different ships for the 3 MR opportunities (not small business), we would need to submit all three ships for evaluation for each RFP. This is because the ships are not sisters and therefore all would need technical evaluation and each will be priced differently due to age, characteristics, etc. By submitting each ship for each RFP we can insure that our most favorable bid
(remaining) will be weighed against competing bids for each award. Are we interpreting this correctly?”
Answer: Yes, submit all vessels for each RFP.
23) “Referring to the Tanker PWS, 22R5434 Attachment IX (I), Para. cc), and the Technical Offer Worksheet, 22R5434 Attachment IX (J), I.cc, please confirm that for foreign flagged vessels, a Safe Manning
Document (SMD) or similar document may be provided as an equivalency in lieu of a U.S. Coast Guard
Certificate of Inspection (COI)?”

25) “In reference to the training requirements listed in Attachment IX (K) ATFP CBRD Requirements, will
MSC reimburse the Owner for the costs for travel, lodging, per diem, and training wages for Officers and
Unlicensed personnel to attend training.”
Answer: No, these costs are not reimbursable.
26) “As an afloat storage tanker, the ship may be at anchor for an extended period, will launch services for crew be reimbursable by MSC?”
Answer: The current intentions are for the ships to not be anchored for extended periods; they will slow steam/drift in Western Pacific ocean, therefore launch services would not be required in lieu of port calls. However, launch services and port call not directed by MSC will not be reimbursed.
27) “If the ship is assigned to a Maritime Prepositioned Squadron, will MSC or Squadron commodore provide crew launch services at no-cost to the Contractor?”
Answer: There is no intention for the ship to be assigned to A Maritime Pre-Positioning Squadron.
28) “Modifications: Will MSC consider providing a grace period of 6 months after delivery of the Vessel to the government has done for the CONSOL system for all the other major modifications (i.e. ATFP items, Hull perimeter lighting, CBRD shower room) to be completed as they are also complicated and modifications need to be executed to the government’s specific requirements after review of plans etc.?”
Answer: No, all other items must be completed by time of delivery of vessel
29) “Will public company filings with the SEC showing financial performance quantify as evidence that
Contractor has adequate financial resources to perform the contract?”

Answer: A prospective contract must demonstrate to have adequate financial resources or ability to obtain resources as per FAR 9.104-3(a).
30) “Is there a phase-in timeframe in which contractors will be able to comply with requirements under Box 13 of the DD Form 254?”
Answer: No. Offerors must meet the requirements at time of Offer submission. Please refer to Part
V(a)(B), Part X Critical Submission Data, and Part XI (6).
31) “Ref Attachedment IX (E) - GFP, can MSC please provide further guidance on purpose of this attachment/action items needed by bidder.”
Answer: The purpose of the attachment is to prepare offerors of what GFP the awarded offeror will be responsible for during the contract. Please see FAR 52.245-1 Government Property.
32) “We have not received Collective Bargaining Agreements (CBA) from one of our unions. Therefore, we are not able to price our bid. We request a 3-week extension to allow time to receive the CBAs and price accordingly. The new due date would be November 18, 2022.”
33) “Attachment IX (A)-Guidelines for Full/Partial Off-Hire Percentages on Readiness Issues is missing from the RFP documentation. Please provide.”
Answer: Attachment IX (A) – Guidelines for Full/Partial Off-Hire Percentages on Readiness Issues is located in the RFP document on pages IX-2 or page 101 of the PDF and is not a separate attachment document.
34) “Please confirm when following items are required to be installed/available on vessel (i.e. at delivery, within six months of delivery, etc.)

Offerors’ to warrant that the vessel will be approved for non-coastwise voyages at time of delivery but not at time of offer submission.”
Answer: No. Vessel must be approved for non-coastwise voyages AND coastwise voyages. Yes, it is acceptable for Offeror to warrant that the vessel will be approved for non-coastwise voyages at time of delivery.

PREAMBLE
1. This Request for Proposals (RFP) is a solicitation for offers to perform a Charter Party (the “Contract” or the
“Charter”) in accordance with the terms and conditions herein.
2. The Charter, when awarded, will consist of the completed Standard Form (SF) 1449, this Preamble, and Parts I through IX.
3. The signature of the Contracting Officer on SF 1449 signifies acceptance of the Contractor’s proposal and award of the Charter. The SF 1449 and Parts I through IX contain in full all of the amendments, references, responses, deletions, additions and interlineations made by both parties to the RFP and the proposal as of the
Charter Party date. In the event that there is any inconsistency between the terms and conditions of this

Contract and those in an offeror’s proposal, this Contract shall control. All references to boxes in Parts II through IX shall be to Part I boxes unless otherwise stated.
4. Each of the Parts or any portion thereof of this Charter Party shall be deemed severable, and should any Part or any portion thereof be held invalid, illegal, or unenforceable, the remaining Parts and portions thereof shall continue in full force and effect.
