Any inconsistency between FAR Provision 52.212-1 and the Addendum to FAR 52.212-1 shall be solved by giving precedence to the Addendum to FAR 52.212-1.

SUBMISSION PACKAGE

PLEASE ONLY SUBMIT (1) ONE PROPOSAL. MULTIPLE OFFERS WILL NOT BE ACCEPTED. Proposal may be sent via email or via DOD Safe at https://safe.apps.mil. It is highly recommended that your email submissions are sent via DOD Safe. Due to COVID-19 mailed submissions or hand delivered proposals will not be accepted.

1. E-mail proposals shall be in either Adobe or Microsoft Word format, with the exception of the signed 1449 and any amendments, which must be included in a proposal as scanned .pdf files, and the price proposal, which must be submitted in Excel format. Offerors are advised that the Government may be unable to receive other types of electronic files (e.g., .zip files) or files in excess of 20 megabytes. To be timely, an E-mail proposal must be received in its entirety in the designated E-mail inbox by the due date and time for proposal submission. An E-mail proposal that resides on a Government server, but has not appeared in the designated E-mail inbox by the due date and time for proposal submission will be considered late unless the exception at FAR 52.212-1(f)(2)(i)(A) applies. The exception at FAR 52.212-1(f)(2)(i)(B) shall not apply to E-mail proposals.

The proposal must demonstrate an understanding of and ability to meet all of the requirements set forth in the

Performance Work Statement (PWS) referenced herein. Throughout the proposal, the Offeror shall provide sufficient detail to substantiate the validity of all statements. The Offeror shall demonstrate that the proposal is compliant with the requirements, terms and conditions of the Request For Proposal (RFP).

Comprehensive responses to the requirements of the RFP are required to enable the Government to evaluate the

Offeror’s understanding of and capability to accomplish the requirements of the PWS. The proposal must clearly demonstrate the Offeror’s ability to meet the requirements of the RFP and successfully accomplish and manage all requirements of the RFP. General statements that the Offeror can or will comply with the requirements, that standard procedures will be used, that well known techniques will be used, or paraphrasing the RFP’s requirements in whole or in part, will NOT constitute compliance. Failure to conform to any of the requirements of the RFP may form the basis for rejection of the proposal.

Brochuremanship is not desired; clarity, completeness, and conciseness are essential and the overall quality of the proposal will be evaluated in the context of being representative of the Offeror’s services. An Offeror’s proposal is presumed to represent the best efforts to respond to the RFP. Only the proposal submitted in response to the RFP will be evaluated. The Offeror should make certain that its proposal is complete with regard to the information provided. Data previously submitted, or presumed to be known, e.g., previous projects performed for the

Government, will not be considered in the evaluation unless that information is physically contained in the proposal.

Proposal shall be presented in three (3) separately bound volumes:

Volume I (Technical)

Volume II (Past Performance)

Volume III (Price)

The electronic copies shall be in either Microsoft Word or Portable Document Format (PDF) and shall be provided via email or via DOD Safe. (Please note that other forms of electronic media, such as USB flash drives, will not be accepted.). The pages are to be typewritten; no less than 1 1/2-line spacing, and no smaller than 12-point type.

Volume I shall not exceed 220 pages. All Offeror documentation such as charts, figures, tables, are included in the

220-page limit. Tables of contents, dividers, pages intentionally marked as blank for ease of reading. All material in excess of the page limits will neither be read nor evaluated.

Each volume of the proposal shall be clearly marked as to the volume number, the RFP number, and the

Contractor’s name. Pages shall be numbered consecutively within each volume showing volume and page. For example, page 19 of Volume I would be numbered I-19 and page 10 of Volume II would be numbered II-10.

The Offeror is advised that the Government may selectively verify any information provided in the proposal. The

Offeror is cautioned that it is responsible to ensure that material it desires to have evaluated for a particular section is contained in that specific section. The proposal shall not contain classified material. If the Offeror considers any portion of its proposal “business sensitive”, the Offeror should clearly label that portion as such in accordance with

FAR 52.215-1.

VOLUME I: TECHNICAL

The technical information will be used to evaluate the offeror on its capability to perform under any resulting contract. The Government will determine if an Offeror’s proposal is technically acceptable based on the information submitted. The offeror shall submit the following technical information and further described in the following sections:

Offerors shall structure the technical information of their proposals in the same format set forth below. Further, to facilitate the evaluation process, Offerors shall submit their proposals in an organized manner that indicates the sections as set forth below.

Offerors are advised that the technical evaluation will be based on the information provided in the technical volume.

The Government will not make assumptions regarding the information contained therein; only information contained in the proposals will be evaluated. Therefore, offerors must conclusively demonstrate in their proposals how the Government’s stated requirements are met.

Section 1 – Introduction

The offeror shall provide introductory information concerning their company (or other business entity), and will not be a factor in the award decision. Specifically the offeror shall provide the following:

• Date of Founding;

• Degree, duration and capacity of any Sub-Contracting Agreements.

• American Bureau of Shipping (ABS) experience and certifications.

• NAVSEA experience, qualifications and certifications.

• Location and summary description of facilities; and,

• A brief summary of the contents of Sections 2 and 3.

Section 2 – Experience (Corporate/Personnel), Management, and Organization

(A) Corporate Experience:

The offeror shall provide a detailed description of the company's experience in waterborne hull cleaning, hull inspections, minor repairs, and other associated ship husbandry performed on commercial, U. S. Navy, U.S. Coast

Guard, U.S. Army, and/or Military Sealift Command ships. The detailed description shall cover all relevant work performed during the last four (4) years if possible and should include, at a minimum, the following information:

For underwater hull and propeller cleanings: (a) type of ship; (b) ship's location at time of cleaning and the date(s)

(month/yr) cleaning occurred; (c) overall waterline length of ship; (d) number of propellers; (e) diameter of each propeller; (f) ship's owner; (g) type of cleaning (hull, propeller or both); and (h) primary equipment utilized for the performance of the operation. For hull inspections, and other associated underwater ship husbandry: (a) type of ship;

(b) ship's location at time of operation and the date(s) (month/yr) operation occurred; (c) type of inspection performed and the ship’s component(s) on which the inspection was performed and/or type of associated underwater ship husbandry provided and the ship’s component(s) on which the work was performed; (d) number of days required to conduct the operation; (e) ship's owner; and (f) primary equipment utilized for the performance of the operation. The offeror shall also provide a one-page table summarizing this detailed experience. A summary description of relevant work performed prior to the last four (4) years shall be provided for any experience the contractor wishes to include for the purposes of evaluation. However, note that the Government is more interested in recent experience.

Specifically, the Offeror shall provide details that demonstrate the company's experience in the following areas:

(1) Hull Cleaning: Experience in waterborne hull cleaning operations including foul release coatings;

(2) Water Jet Propulsion Systems: Experience in cleaning, inspections and the associated equipment utilized in the confined spaces.

(3) Hull Inspections and Minor Repairs: Experience in underwater hull inspections, and minor repairs of ship components. Include any experience with waterjet propulsion systems. Additionally, the offeror shall provide ten examples of their digital photography and two examples of their video inspection capabilities. The underwater photographs and video recording shall be of underwater ship inspections performed in marine industrial waters of the Continental United States. The two digital videos shall not exceed 30 minute each in duration and shall be submitted via a video link. The ship name, inspection date, and location shall be recorded on the digital image.

(4) Technical Writing: Experience in technical writing and report preparation of documentation, including analysis and recommendation of inspection data collected relative to waterborne hull cleanings, inspections, minor repairs, and non-destructive tests conducted.

(B) Personnel Experience:

(1) Qualifications Relative to Intended Positions: The offeror shall provide a detailed table of data that depicts the number of hours of experience with the equipment proposed by the Offeror for each of the proposed individuals to perform the services required.

For each individual proposed, the Offeror shall provide a biographical/data. Offerors should note that the biographical data/resume requires specific information to ensure that the proposed individual receives credit for all related experience. The biographical data/resume forms shall specify the position intended for the individual under the resultant contract. It shall clearly and concisely describe the individual's qualifications for the intended position, including name(s) and address(es) of previous employer(s), date(s) of employment, position title(s), and a description of the work performed in each position. Include individual certificates (if held) for any relevant training the individual currently holds. For example, a DCMA Propeller VTI certificate, NAVSEA 00C training certificates, NDT certifications, DOD Security Clearance and/or NAVSEA Radiation Worker qualifications should be included in the individuals experience. The biographical data/resume forms shall cite all major projects in which the individual has participated, indicating his/her position of authority and responsibility in each effort. Biographical data/resume forms shall also provide the individual’s specific experience with the equipment proposed by the

Offeror in Section 3.

The Government’s evaluation will be based on the information contained in the biographical data/resume forms and the tabular data. The Government cannot make assumptions regarding the information contained therein.

Therefore, the Offeror shall ensure that each biographical data/resume form and the personnel experience table conclusively demonstrate the individual's qualification for the intended position.

For each individual proposed, the Offeror shall identify whether the individual is presently available through the company full time, or under other arrangements.

(2) Quantity and Categories of Persons Proposed: The offeror shall specifically detail the numbers and categories of labor proposed per crew for the performance of the work under each type of Task. This data shall be arranged in tabular form.

NOTE: If the Offeror does not possess an in-house capability to perform the tasks described in this solicitation, but intends to use subcontractor(s) to fulfill the requirements of the contract, then the Offeror shall address the experience of proposed subcontractor(s) in the same manner as stated above. Subcontractor experience shall be clearly marked as such and shall not be represented as experience of the Offeror.

(C) Management Plans:

The Offeror shall describe the firm's plan for management of all work to be performed under the resultant contract.

The Offeror shall provide a detailed plan describing how the offeror proposes to manage the following areas:

(1) Quality Assurance and Training. The Offeror shall provide a plan clearly detailing the quality assurance program for the tasks to be performed. The plan shall include training and qualifying personnel on the use of the proposed equipment and the performance of hull cleaning and associated work.

(2) Operations. The Offeror shall describe the plan to managing personnel, equipment, and facilities to support the requirements of this solicitation in conjunction with any additional commercial or government work that the

Offeror intends to perform. The Offeror must specifically describe how any additional work will affect, either favorably or adversely, the work to be performed hereunder. This discussion shall include the estimated effect on management, personnel, equipment, assets, etc.

NOTE: If the Offeror intends to utilize subcontractor resources to fulfill any portion of the requirements of the solicitation, then the contractor shall identify all subcontractor management plans in the same depth of detail as stated above, as well as identify the Offeror's proposed plan for management of the proposed subcontractor(s).

(D) Organization:

Offerors shall provide a line diagram of the personnel proposed for the performance of waterborne hull cleaning and associated work as required, showing the lines of direct and indirect authority stemming from corporate management down through the lowest positions and shall include maintenance, supply, contract administration and clerical personnel. The Offeror shall provide a detailed discussion of the organization and how it will perform the services required by this solicitation.

The Offeror shall describe the responsibilities of each Key Personnel; excluding non-supervisory divers, and the lines of communication within the organization and between the Offeror and the Government.

The Offeror shall describe their organization, manning, responsibilities and lines of communication to perform work in multiple Regions and Zones.

If the Offeror proposes to use subcontractor resources for any portion of the services, the Offeror shall identify the subcontractor(s) organization in the same manner as stated above and discuss how that organization will relate to the

Offeror's organization.

Section 3 – Equipment

The offeror shall provide a list of the specific equipment ensuring compliance with the specifications established in

Navy Ships Technical Manual (NSTM) Chapter 081 Qualified Parts List (QPL) and their capabilities proposed for the performance of work under the resultant contract in addition to the specific operating procedures that mitigate risk of damage to ship systems.

Include evidence of an established and effective Preventive and Corrective Maintenance Program, and the availability of back-up equipment and spare parts support for the equipment proposed.

Section 4 – Certifications and Relevant Documentation

The Offeror shall provide the following certification and documentation:

(A) Certifications:

(1) American Bureau of Shipping Recognized External Specialist for In-Water Surveys

(2) NAVSEA Propeller Visual Inspection Course certificates

(3) NDT certifications (which includes radiography, magnetic particle, liquid penetrant, eddy current, ultrasonic inspections and visual inspections) for Level I, II, and III qualifications for personnel in accordance with

NAVSEA Technical Publication T9074-AS-GIB-010/271 or ASNT-TC-1A

(B) Documentation:

(1) NAVSEA Radiation Worker Trained Personnel Documentation (NAVSEA 389-0288)

(2) Crane and Weight Management Plan

(3) Quality Assurance and Training Plan

(4) Security Clearance Documentation for Employees sorted for each zone

VOLUME II: PAST PERFORMANCE

Offerors are requested to provide information on up to three (3) Government contracts whose effort is/was recent and relevant to the effort required by this solicitation.

A. “Recent” is defined as a contract in-progress for at least a full year or completed within the last three (3) years. If the offeror has not had three (3) Government contracts within the last three (3) years, information on recent and relevant subcontracts and/or commercial contracts may be submitted.

B. “Relevant” is defined as a contract that is of similar scope, magnitude, and complexity to the requirements as set forth in this solicitation.

a. Scope: Experience in the areas defined in the PWS.

b. Magnitude: The measure of the similarity of the volume, dollar value and/or duration of the work actually performed under the Offeror’s submitted contracts to the PWS.

c. Complexity: The measure of the similarity of technical difficulty, managerial intricacy and/or required coordination of efforts and disciplines performed by the Offeror in its submitted contracts to the PWS. For complexity, not only will the tasks performed by the Offeror be considered, but also the Offeror’s ability to coordinate tasks (e.g., concurrent performance requirements).

A Past Performance Data Sheet is requested to be submitted for each contract to be considered as past performance.

Offerors shall provide a detailed explanation demonstrating the similarity of the contracts to the requirements of this solicitation; a detailed description of the work performed for the contract; and the role performed, including whether the Offeror acted as a prime contractor or a subcontractor. Offerors are responsible for the accuracy of all data provided. In evaluating past performance the Government may contact some of the references provided by the offeror and other sources of information, including, but not limited to: Federal, state and local government agencies, better business bureaus, published media, and electronic databases. The Government may consider past performance information obtained from sources other than those identified by the offeror.

VOLUME III: PRICE AND SOLICITATION DOCUMENTS VOLUME REQUIREMENTS

1. Price Quote. The Offeror’s price quote shall contain the following:

1.1 Price proposals shall consist of a completed copy of Pricing Sheets (5 separate attachments for ordering periods 1-5)” of this solicitation, and the information requested below. Offerors shall utilize the Microsoft

Excel files and fill in all applicable blanks with their price or rate for each Task for the applicable region/Zone. Upon completion, Offerors shall save each file with the original file name preceded by the company’s initials. For example:

Ordering Period 1 (Year 1)-TL

Ordering Period 2 (Year 2)-TL

Ordering Period 3 (Year 3)-TL

Ordering Period 4 (Year 4)-TL

Ordering Period 5 (Year 5)-TL

The Government may not accept electronic files that have been re-formatted. The Government may not accept additional pricing sheets, electronic or paper, which display pricing data in different formats. Unit prices and rates should be rounded to the whole dollar for the tasks listed in the spreadsheets. Please utilize/refer section 2.1 of the

PWS to fill out the pricing excel attachments. “AA” thru “CD” represents the Location Zone and Region. For example, “AA” means Zone A-Atlantic waters, and the Region is Virginia. Task 1 and Task 2 will require the contractor to provide a Flat price, and not a per hour rate for these tasks for each Zone/Region and for each vessel class listed. This price will not include travel and materials. The remaining task requires the contractor to provides rates for each task listed based on the Zone/Region. The estimated quantity tabs are estimates on the number of times a task may be needed for each Zone/Region and is only for informational purposes. Offerors are advised that offers containing only partially completed pricing schedules may be rejected as ineligible for award.

The Contractor is required to provide their fully burdened labor rate/price (inclusvive of profit, G&A, etc.) for each task in each of the pricing spreadsheets provided. The rates/prices that are provided by the contractor will be the same rates utilized for time-and-material/labor hours orders.

G&A and Profit will not be allowed as a separate charge for anything.

If the contractors feel that other labor categories are needed for this contract other than the categories provided by the Government in the pricing spreasheet, then those labor categories can be proposed and will be evaluated.

Also, please inform the government if the Service Contract Labor Standards statue FAR 52.222-41 will apply and what positions. However, if the contractor feels that they are exempt from the Service Contract Labor Standards, then the contractor must certify by following the instructions in FAR 52.222-52.

1.2 Solicitation Documents. The Offeror shall provide the following:

1.2.1. A cover letter that includes:

-The Solicitation number, the name, address, and telephone numbers of the Offeror;

-A statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation and agreement to furnish any or all services upon which prices are offered;

-The names, titles, telephone numbers, and e-mail address of persons authorized to negotiate on the Offeror's behalf with the Government in connection with this solicitation;

-The names, titles, telephone numbers, and e-mail address of persons authorized to sign the quote on the Offeror's behalf;

-“Remit to” address, if different than mailing address;

-Company/Division’s Data Universal Numbering System (DUNS) number; and Commercial and

Government Entity (CAGE) Code.

1.3 Completed Representations and Certification as required by the RFP (FAR Clause 52.212-3). Please read and provide a response for FAR 52.204-24 and FAR 52.209-7. Please provide a response based on the instructions provided in these clauses.

1.4 Acknowledgement of receipt of all RFP amendments (if applicable);

1.5 With respect to FAR 52.212-1(c), unless offeror inserts a shorter period by submission of an offer, offeror agrees that its offer, including any timely revisions thereto, shall remain valid until the Government makes award under this solicitaton. The foregoing does not preclude an offeror from withdrawing its offer prior to award.

1.6 Exceptions: If applicable, the Offeror shall clearly detail any exceptions taken and the rationale for the exceptions taken to the RFP or its amendments. Please note that exceptions taken to the RFP may render the

Offeror’s quote unacceptable to the Government.

1.7 Financial Responsibility: The Offeror must have and confirm that they have the financial capability to conduct hull cleaning operations in accordance with the requirements of the PWS. Accordingly, the Offeror shall furnish information necessary for the Contracting Officer to determine the financial responsibility of the Offeror.

1.8 Site Survey: If it is determined to be necessary to assess an Offeror’s financial responsibility, the Government reserves the right to conduct a site survey of the Offeror's (and any proposed subcontractors) facilities and equipment and/or to require evidence of technical, managerial, and similar abilities to perform under the terms and conditions of the resultant contract.

1.9 Proposal Security Classification and Distribution: The classification of this proposal shall be UNCLASSIFIED.

The originals and all copies of the Signed Solicitation Documents and Volumes I through III shall be sent via email or via DOD Safe.

2.0 Restriction on Disclosure and Use of Data: Offerors who include data in their proposal they do not want disclosed to the public, or to be used by the Government for evaluation purposes only, shall mark such data in accordance with FAR 52-215-1. Such data shall be specifically identified by page(s), paragraph(s), sentence(s), and must not be generalized.

NOTICE OF AWARD

A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party.

Before the offer's specified expiration time, the Government may accept an offer, whether or not there are negotiations after.
