SECTION SF 30 BLOCK 14 CONTINUATION PAGE

SUMMARY OF CHANGES

SECTION SF 30 - BLOCK 14 CONTINUATION PAGE

The following have been added by full text:

AMENDMENT 0002 Q&A

Q1. The due date for proposal submission is March 12, 2018 by 10 AM. Proposal delivery can be complicated due to the vagaries of cross country flights for the delivery, especially within a 2 hour window of time for proposal submission. (SF33, Block 9, pg 1) Will the Government extend the due date to Tuesday, March 13, 2018?

A1. The proposal submission date is extended to 10:00 AM (Pacific) on 21 March 2018.

Q2. Will the Government agree to a reasonable fifteen (15) calendar day extension for proposal submittals?

Such an extension is reasonable in light of, among other things, additional scope included in Amendment 0001.

A2. The proposal submission date is extended to 10:00 AM (Pacific) on 21 March 2018.

Q3. CLIN 2002 appears to be a duplicate of CLIN 2004. By the structure of the remainder of Section B, it appears 2002 was intended to be Non-Production Material, CPFF. Please advise.

A3. CLIN 2002 is corrected to reflect USN TI-22 Non-Production Material (Year 7), CPFF.

Q4. CLIN 2002 and CLIN 2004 both have the description "USN TI-22 Production, Surge & Spares" CPIF, Year 7. There is not a CLIN for "USN TI-22 Non-Production Material" CPFF Year 7. Are CLINs 2002 and 2004 correct as stated in Amendment 0001, or should CLIN 2002 be revised to reflect "USN TI-22 Non- Production Material" CPFF Year 7?

A4. CLIN 2002 is corrected to reflect USN TI-22 Non-Production Material (Year 7), CPFF.

Q5. Per RFP pg 143 “The electronic proposal material shall not contain any information not contained in the paper format.” However, Section 2.6 (beginning on pg 155) indicates that formula and calculations need to be included which cannot be included in the paper format. Additionally, historical cost data files could take thousands of pages if printed. Please confirm that data such as formulas and calculations utilized to complete the 10A-G worksheets and Cost Volume summaries can be provided electronically only.

A5. A paper submission of the actual formulas and calculations contained within the Worksheet 10A-G spreadsheet cells is not required. Table L-1 is revised to reflect the historical cost data files response.

Q6. The proposal shall include the following: i) Standard Form 33, “Solicitation, Offer and Award"; ii) RFP The Offeror must fill in all areas of the RFP identified as Offeror as fill-ins; iii) Section K, “Representation, Certifications and Other Statements of Offerors; iv) Volumes I through IV. (pg 144) In which Volume and section should the Standard Form 33, RFP Section K, and RFP fill-ins should be provided? Does the Government desire a stand-alone Contract volume to include the Standard Form 33, Sections B –J with all fill-ins completed, and RFP Section K?

Q6. The SF 33, RFP fill-ins, and Section K shall be provided in Volume V, Solicitation Documents. Table L-1 and Section L, paragraph 2.2(a) reflect this clarification.

Q7. Please confirm that the statement on page 155 "Unless otherwise stated, the requirements of this section apply equally to the offeror and any proposed subcontractors, regardless of subcontract type" refers to Major Subcontractor as defined on page 152. Additionally, please confirm that this statement means that a Major Subcontractor must provide a full Section 2.6 Cost Proposal. (Page 155.)

A7. The cited statement is changed to read, “Unless otherwise stated, the requirements of this section apply equally to the Offeror and all proposed subcontractors, regardless of subcontract type.” (pg 155) The statement means that every subcontractor must provide a full Section 2.6 Cost Proposal.

Q8. RFP pg 157 states the following: “(e) If conducted within the last twelve (12) months, provide a copy of the most recent DCAA Audit of the Offeror, as well as a copy of the most recent DCAA Audit for each subcontractor/teaming member. If a DCAA Audit was not conducted within the last twelve (12) months, the Offeror shall state in its cost proposal, “No DCAA Audit within the last twelve (12) months.” DCAA conducts multiple different types of audits. Please clarify what type of DCAA audit this refers to.

A8. The cited statements refer to DCAA direct and indirect rate audits. Solicitation Section L, Section 2.6 Volume IV Cost Proposal, Tab 2 Additional Required Information, paragraph (e) is revised to reflect this clarification.

Q9. Section L.2.1.2 (a) states, "All schedules, including Integrated Master Schedule, shall be in Microsoft Project 2010." (pg 143) This implies that an MS Project 2010 file can be submitted, as a separate IMS file, yet there is no specific Section L requirement to do so. Section 2.1.2(a) also states, "The electronic proposal material shall not contain any information not contained in the paper format." This indicates that the electronic and paper submission must match, so if a separate MS Project file were allowed to be submitted, then it would be required to be matched by a paper copy of the IMS in the Tech Volume. Will the Government clarify the requirement to include an MS Project 2010 file on CD, and exclude the detailed IMS from page count and allow it to be added as an appendix to Volume I?

A9. The cited sentence in Section L, paragraph 2.1.2(a) is revised to read, “All schedules, including the Integrated Master Schedule, shall be in Microsoft Office 2010 compatible applications.” See also Section L, paragraph 2.1.2(b). (pg 143) The IMS may be included as an appendix to Volume I, Technical. Table L-1 is revised to exclude the IMS from the page limit for Volume I, Technical. The requirement for paper and electronic submissions to match remains unchanged.

Q10. Although not one of the TIH 16/18 referenced documents, the Department of Defense Integrated Master Plan and Integrated Master Schedule Preparation and Use Guide (http://www.acq.osd.mil/se/docs/IMP_IMS_Guide_v9.pdf ) states in part “The initial IMS will typically have four levels of indenture: events, accomplishments, criteria, and tasks.” It also warns that requesting hardcopy formats as part of the proposal “can easily drive page size and page count to an unwieldy level.”

Based on Q&A #13 the IMS is now required to be part of the tech volume page count. A fully detailed IMS could be between 50 and 100 pages, which offsets the reason why an increase in page count to 150 was requested. Will the Government consider having the IMS as an attachment and not included in the Technical Volume page count?

A10. The IMS may be included as an appendix to Volume I, Technical. Table L-1 is revised to exclude the IMS from the page limit for Volume I, Technical.

Q11. Q&A response to Q8 resulted in a change to Table L-2 Item #2 for Virtualization. Table L-2 Item #2 now states, "Define the approach to be employed to address virtualization." However, Table M-1 Item #2 pertaining to virtualization still retains another sentence whose subject matter was removed from Section L:

"The feasibility of the approach to interact with the integrated product teams and working groups." Will the Government remove this sentence in Table M-2 Item #2 to align with Section L?

A11. The sentence, “Response shall include a description of the approach to interact with the integrated product teams and working groups” was removed from Table L-2 Item #2 (pg 146) because this requirement is already stated within Sample Task 2 verbiage (pg 150); therefore, it was deemed redundant. Sample Task 2 verbiage states, “The Offeror shall describe the approach required to design and develop the hardware upgrades, including how its approach relates and interfaces with the technology insertion process and associated participants.” Therefore, Table M-1 Item #2 remains unchanged

Q12. First, Table L-2, #13 states: "Format shall be a fold out page schedule for the overall program plan showing the schedule for how each Sample Task will be accomplished." It also states: "identification of the “critical path” as determined by the Offeror;". A complete critical path assessment in a fully detailed IMS requires far greater detail than can be depicted in a one page foldout. (pg 148) Will the Government please clarify in specific detail the requirement for inclusion of a detailed IMS in the Tech Volume?

A12. Table L-2 Item #13 (last sentence) is revised to read, “Format shall be fold out page(s) schedule for the overall program plan showing the schedule for how each Sample Task will be accomplished.”

Q13. The competitive RFP includes DFARS 252.215-7009, Proposal Adequacy Checklist (Jan 2014), in Section L. It appears this clause may have been included in error, as this is a competitive RFP. Will the Government remove this clause from Section L? (Page 127 – 134).

A13. DFARS 252.215-7009, Proposal Adequacy Checklist, is deleted from this competitive solicitation.

Q14. FAR 252.215-7009 Proposal Adequacy Checklist (Jan 2014) - The offeror shall complete the Proposal Adequacy Checklist. (pg 128) In which Volume and section should the FAR 252.215-7009, Proposal Adequacy Checklist, be provided?

A14. DFARS 252.215-7009, Proposal Adequacy Checklist, is deleted from this competitive solicitation.

Q15. Row 2 of Wkst 10G states "Based on the significant commonality of components between variants, the economic order quantity at time of delivery order placement will reflect the cumulative quantity of all variants ordered." The New Construction (NEWCON Columbia, and NEWCON VA) shipsets contain a significant amount of material (fabricated metal) that is price quantity sensitive and is not common to the upgrade shipsets. Based on this cost sensitivity would the Government agree to exclude New Construction from the stepladder cumulative quantity on the economic order quantity?

A15. The NEWCON variants will not be combined with modernization variants for purposes of determining the cumulative quantity unit price for each delivery order. The example provided in Attachment 10 Worksheet 10G (Shipset Stepladder Pricing Table) is revised to reflect this change.

Q16. Row 2 of Wkst 10G states "Based on the significant commonality of components between variants, the economic order quantity at time of delivery order placement will reflect the cumulative quantity of all variants ordered." There may not be significant commonality between the TI-20 and the TI-22 variants.

Would the Government clarify that the economic order quantity at time of delivery order placement will reflect the cumulative quantity of all variants ordered does not cross between TI-20 and TI-22?

A16. Modernization variants TI-20 and TI-22 will not be combined with each other for purposes of determining the cumulative quantity unit price for each delivery order. The example provided in Attachment 10 Worksheet 10G (Shipset Stepladder Pricing Table) is revised to reflect this change.

Q17. Please provide further guidance for Attachment 4 - Labor Hour Breakdown in regards to Sample Task

3. A 10B Worksheet is required to be completed for a quantity of 1 each of every FY20 shipset variant for TI-20 and for every FY22 shipset variant for TI-22 (for a total of 22 worksheets). Does the Government desire a corresponding Attachment 4, Sample Task 3, for each 10B Worksheet or should all 22 10B Worksheets be combined to complete one exhibit for Attachment 4, Sample Task 3?

A17. The Attachment 10 Worksheet 10B (ST3, Production) should be combined to complete one Attachment 4 (Labor Hour Breakdown) for Sample Task 3.

Note: The total number Worksheet 10B submissions is reduced from twenty-two (22) to twenty (20) based on the deletion of variants TI-20 BYG-1 VA TI-10 to TI-20 and TI-20 ARCI VA TI-10 to TI-20, as shown in the revised Attachment 10 incorporated via this amendment.

Q18. The Attachment 10 issued with the RFP Amendment 1 is inconsistent with the base document. The following differences were noted:

a. Worksheet 10D adds the new hours for CLINs 2001-2009, however does not adjust the hours in CLINs 1001-1021 which were changed in the Amendment.

b. Worksheet 10E adds the new Target Costs for CLINs 2004-2012, however does not adjust the Target Costs for CLINs 1008-1024 which were changed in the Amendment.

c. Worksheet 10F adds the new Target Costs for CLINs 2002-2010, however does not adjust the Target Costs for CLINs 1006-1022 which were changed in the Amendment.

d. Worksheet 10G

i. For TI22, Column F (Cells F58 and F80) should be FY24/25, not FY25/26

ii. For TI22, Column G (Cells G58 and G80) should be FY25/26, not FY26/27.

e. Please advise.

A18. Attachment 10, Worksheets 10D, 10E, and 10F are corrected to match the hours/costs identified in Amendment 0001 Section B. Worksheet 10G is corrected to align the fiscal years with the periods of performance identified in Amendment 0001 Section F.

Q19. The maximum hours for CLINs 1001 - 1005, CLINs1009-1013, and CLINs1017-1021 do not reflect the revised hours per CLIN provided in Amendment 0001. Should the Offeror update Worksheet 10D LOE Rates for CLINs 1001 - 1005, CLINs1009-1013, and CLINs1017-1021 to reflect the revised hours per CLIN provided in Amendment 0001?

A19. Attachment 10, Worksheets 10D, 10E, and 10F are corrected to match Section B hours/costs identified in Amendment 0001.

Q20. Note 1 of Worksheet 10D states "1. Target Cost Hourly Rate (Composite Rate) is derived using Worksheet 10A, Sample Task 2 (LOE)". Sample Task 2 period of performance is inclusive of Contract Years

1 through 4. In Worksheet 10D the Offeror is required to also enter "Target Cost Hourly Rate (Composite Rate)" for Contract Years 5, 6, and 7. What approach or total hours should the Offeror use to establish Composite Rates for Contract Years 5, 6, and 7?

A20. The Offeror is to describe the methodology (approach) it uses to establish its composite rates for contract years 5, 6 and 7. Per Section L, Section 2.6 Volume IV Cost Proposal, Tab1 Total Cost Summary, paragraph (b):

“…For years where the Government has not identified hours in Tables L-3 and L-4, the Offeror must propose a Target Cost Hourly Rate using a similar labor mix. The Offeror shall describe the methodology used to develop the proposed rates, and provide all mathematical computations in sufficient detail for the Government to evaluate and recreate the process during evaluation (see Section M, Factor 5, paragraph (b) Cost Realism Evaluation of CPIF

CLINS).”

Q21. NEWCON COLUMBIA to TI-20. There is not a Level 1 drawing for Columbia. Will the Government clarify what is included in a NEWCON Columbia TI-20 configuration by providing a Level 1 drawing for this ship set? (Attachment 10, Wkst 10G)

A21. Current COLUMBIA Level 1 Drawing has been uploaded into E-TIC at the following location: TIH Technical Data>Level 1 and Level 2 Drawings>Level 1>COLUMBIA.

Q22. BYG-1 Level 1 drawings include miscellaneous items such as laptops, ward room displays, etc. These items may also include inter-Unit cabling. There are also elements within Units that are specified and provided by other functions (e.g., Navigation) that may or may not be procured through TIH. (pg 145) Will the Government identify all the miscellaneous items and Unit sub-elements that should be included in the BYG-1 configurations?

A22. The BYG-1 configurations include all components shown on the BYG-1 Level 1 drawings with the exception of Multi-Tube Weapons Simulator (MTWS) 1 & 2 identified on TI-12 and TI-16 SEAWOLF Level 1 drawings.

Q23. ARCI Level 1 drawings include multiple Units and/or Unit Subsystems, which have previously not been supplied by TIH. (pg 145) Is the Offeror to describe the development work and production cost for all of the Units identified in the ARCI TI-20 shipset or just a subset of Units? If a subset is to be proposed, please identify the subset of Units and Unit subsystems to include.

A23. Refer to E-TIC at the following location: TIH Technical Data>Level 1 and Level 2 Drawings>TIH ARCI Hardware.xlsx for a matrix depicting the ARCI hardware.

Q24. Sample Task 3 states, “The required delivery date is nine (9) months after receipt of order”. If multiple shipsets are requested in a single order, is the customer’s expectation that the complete order will be delivered within 9 months or can the Offeror propose a phased delivery approach?

A24. A phased approach may be offered. Delivery of the first shipset must be within the required delivery date (RDD) of no later than nine (9) months after receipt of the delivery order. Sample Task 3 is revised to reflect this change.

Q25. Request clarification on the number of ATC Cabinets that should be included in the SEAWOLF Class TI16 Upgrade. In the “TIH SONAR Hardware.xlsx” document, on the TI16 Tab, the table indicates only a single ATC (4025) Cabinet is to be assumed per SEAWOLF Shipset. However, on the TI12 Tab, as well as in the TI12 and TI16 SEAWOLF SONAR Level 1 Drawing, two ATC Cabinets (4025 & 4058) are identified.

Should the Offeror assume one or two ATC Units are required in the SEAWOLF Class TI16 SONAR upgrade configuration?

A25. The Offeror should assume two ATC Units are required in the SEAWOLF Class TI16 SONAR upgrade configuration. See "TIH SONAR Hardware_Rev.xlsx" document in ETIC.

Q26. Request clarification on Back-up Heading Reference Unit (BUHR). In the TI16 (TI16_Q-70 COTS.xlsx) the Back-up Heading Reference Unit is included in the COTS List, however BUHR was not included in TIH prior to TI-16. This part can have a longer lead time and may drive schedule. Should the Offeror assume that the Back-up Heading Reference Unit (BUHR) is required for procurement in TIH for Columbia and Virginia CLASS Systems?

A26. The Offeror should assume that the Back-up Heading Reference (BUHR) Unit is required for procurement in VIRGINIA Class NEWCON.

Q27. Please confirm that all PMO costs will be charged to the Engineering Services LOE CLINs.

A27. Hours associated with Program Management (Statement of Work Section 3.5) must be identified as Program Management, and should be charged to the appropriate Engineering CLINs.

Q28. Please clarify the completion and acceptance criteria for deliveries. Alternatively, please confirm that completion and acceptance criteria for deliveries will be determined on individual orders. The RFP at Section E (pp. 40-44) does not appear to include specific completion and acceptance criteria for deliveries.

Section E includes clauses HQ E-1-0004 and HQ E-1-0007, which provide that inspection and acceptance shall be made by the cognizant Contract Administration Office or Contracting Officer’s Representative, respectively, for the CLINs identified in Attachment 3, Clause Applicability Matrix. Attachment 3 identifies the CLINs to which the clauses apply, but does not include specific completion and acceptance criteria for deliveries.

A28. The Statement of Work (SOW) Section 3.2.10, Test and Evaluation, addresses completion, inspection, and acceptance criteria for deliveries.

Q29. CDRL A018 states the Design Review Information Package (DRIP) “shall be submitted not later than 45 working days prior to the date of each program design review”. The advertised award date is 2 JUL 2019 and the first scheduled delivery date is OCT/NOV 2020. A 9 month ARO, and a 45 working day review window for PDR and CDR eliminates any opportunity to finalize drawings after CDR. Recommend the 45 working day review window be shortened to 10 working days.

A29. CDRL A018 (Design Review Information Package (DRIP)), Block 16 requirements regarding Blocks 10, 12, and 13 is revised to read, “DRIP shall be submitted not later than 30 calendar days prior to the date of each Program Design Review (PDR).” The updated CDRL A018 will be provided upon contract award.

Q30. CDRL A025 and CDRL A028 state that the Provisioning Parts List and Engineering Data for Provisioning “will be delivered 30 days after final design review or when requested by the Government.” An accurate Provisioning Parts List will not be available until the drawing are released and the BOM’s are finalized. Recommend this submission be extended to 150 days (30 days after TDP delivery).

A30. CDRL A025 (Provisioning Parts List (PPL)), Block 16 requirements regarding Blocks 10, 12, and 13 is revised to read, “A Parts List shall be delivered 30 days after the Technical Design Package (TDP) delivery, or when requested by the Government.” The updated CDRL A025 will be provided upon contract award.

CDRL A028 (Engineering Data for Provisioning), Block 16 requirements regarding Blocks 10, 12, and 13 is revised to read, “The report shall be delivered 30 days after the Technical Design Package (TDP) delivery, or within 15 days after a change has been identified.” The updated CDRL A028 will be provided upon contract award.

Q31. Data Item B001 says “The complete TI-20 TDP submission shall be delivered not later than 30 days after the TI-20 final design review. The complete TI-22 TDP submission shall be delivered not later than 30 days after the TI-22 final design review”. Although the CDRL allows for changes to be submitted, this period does not allow adequate time for drawings to be finalized and the TDP to be assembled. Recommend this submission window be extended to 120 days.

A31. CDRL B001 (Technical Data Package (TDP)), Block 16 requirements regarding Blocks 10, 12, and 13 is revised to read, “The complete TI-20 TDP submission shall be delivered not later than 120 days after the TI-20 final design review. The complete TI-22 TDP submission shall be delivered not later than 120 days after the TI-22 final design review. Revisions shall be delivered within 14 working days from the date an approved change has been generated.” The updated CDRL B001 will be provided upon contract award.

SECTION B NOTES

NOTE A – Applicable to Engineering Level of Effort (LOE) Contract Line Item Numbers (CLINs)

1. The LOE target cost and target fee pool amounts of the contract are set forth in Section J, Attachment 10, Worksheet 10D. The final target cost and target fee pool amounts shall be based upon the actual level of effort the contractor provides as explained in paragraphs 2 through 5 of this note.

2. The final CPIF target cost for the LOE CLINs (and LOE options, if exercised) shall be determined by multiplying the allowable hours worked, including subcontractor hours, not to exceed the hours authorized by Technical Instructions (TIs), under each task order by the rate in the Target Cost Hourly Rate column. The final CPIF target fee for each CLIN shall be determined by multiplying the allowable hours worked, including subcontractor hours, not to exceed the hours authorized by TIs, under each task order by the rate in the Target Fee Hourly Rate column.

3. The fee adjustment formula (share ratio) for all CPIF LOE CLINs, including options if exercised, is 60/40 for underruns and 50/50 for overruns (Government/Contractor). The fee earned will be based on the total allowable cost incurred by the contractor in comparison to the final target cost for each CLINs. See paragraphs 4 and 5 of this Note A and the Incentive Fee clause (FAR 52.216-10) in Section I for further information on how the target cost and target fee are determined and the fee earned is calculated.

4. The following examples illustrate how the final target cost and target fee amounts are determined and how the actual fee earned thereon is calculated. The assumptions are:

NEGOTIATED HOURS 300,000

TARGET COST HOURLY RATE $110

TARGET COST $33,000,000

TARGET FEE HOURLY RATE $6.60

MINIMUM FEE 0% $0

MAXIMUM FEE 10% $3,300,000

SHARE RATIO UNDERRUN 60/40 (Government/Contractor) SHARE RATIO OVERRUN 50/50 (Government/Contractor)

EXAMPLE 1 – SLIGHT UNDERRUN (Share Ratio 60/40) Actual Hours Worked: 300,000 Actual Cost Incurred: $31,000,000 (including COM) Final Target Cost: 300,000 hours X $110 Target Cost hourly rate = $33,000,000 (including COM) Final Target Fee: 300,000 hours X $6.60 Target Fee hourly rate = $1,980,000 Incentive Fee Earned: $1,980,000 + [40% X ($33,000,000 - $31,000,000)] = $2,780,000 (Subject to Min/Max Fees) Total Cost plus Fee paid by Government: $31,000,000 + $2,780,000 = $33,780,000

EXAMPLE 2 – LARGE UNDERRUN (Share Ratio 60/40) Actual Hours Worked: 300,000 Actual Cost Incurred: $29,000,000 (including COM) Final Target Cost: 300,000 hours X $110 TC hourly rate = $33,000,000 (including COM) Final Target Fee: 300,000 X $6.60 TF hourly rate = $1,980,000 Incentive Fee Earned: $1,980,000 + [40% X ($33,000,000 - $29,000,000)] = $3,580,000 (Exceeds Max Fee) Total Cost plus Fee paid by the Government: $29,000,000 + $3,300,000 - $32,300,000

EXAMPLE 3 – SLIGHT OVERRUN (Share Ratio 50/50) Actual Hours Worked: 300,000 Actual Cost Incurred: $34,000,000 (including COM) Final Target Cost: 300,000 hours X $110 TC hourly rate = $33,000,000 (including COM) Final Target Fee: 300,000 hours X $6.60 TF hourly rate = $1,980,000 Incentive Fee Earned: $1,980,000 + [50% X ($33,000,000 - $34,000,000)] = $1,480,000 (Subject to Min/Max Fees) Total Cost plus Fee paid by Government: $34,000,000 + $1,480,000 = $35,480,000

EXAMPLE 4 – LARGE OVERRUN (Share Ratio 50/50) Actual Hours Worked: 300,000 Actual Cost Incurred: $37,000,000 (including COM) Final Target Cost: 300,000 hours X $110 TC hourly rate = $33,000,000 (including COM) Final Target Fee: 300,000 hours X $6.60 TF hourly rate = $1,980,000 Incentive Fee Earned: $1,980,000 + [50% X ($33,000,000 - $37,000,000)] = -$20,000 (Below Min Fee) Total Cost plus Fee paid by Government: $37,000,000 + $0 = $37,000,000

5. Separate Target Fee pools are established for each task order issued under the LOE CLINs listed in the Section J, Attachment 10, Worksheet 10D. Accordingly, the cost performance on one (or more) of the task orders cannot be used by the Contractor to offset the cost performance on one or more of the other task orders. If, for example, the contractor underruns task order 0001, this underrun cannot be used by the Contractor to offset an overrun on task order 0002.

NOTE B – Applicable to Non-Production Material CLINs

The Government has provided amounts for materials on the applicable CLINs and will fund materials as needed during contract performance. Costs incurred by the Contractor during performance of the specified material CLINs will be reimbursed at cost, including indirect burdens, and the fixed fee rate proposed in Section J, Attachment 10, Worksheet 10F.

NOTE C – Applicable to Travel and Subsistence CLINs

The Government has provided amounts for travel and subsistence on the applicable CLINs and will fund these CLINs as needed during contract performance. Costs incurred by the Contractor during performance of the specified travel and subsistence CLINs will be reimbursed at cost only, including indirect burdens, no fee.

NOTE D – Applicable to Production, Surge Requirements, and Spares CLINs

1. The fee adjustment formula (share ratio) is 60/40 for underruns and 50/50 for overruns (Government/Contractor).

The fee earned will be based on the total allowable cost incurred by the contractor in comparison to the final target cost for each delivery order. See paragraphs 2 and 3 of this Note D and the Incentive Fee clause (FAR 52.216-10) in Section I for further information on how the target cost and target fee are determined and the fee earned is calculated.

2. The following examples illustrate how the final cost and fee amounts are determined for delivery orders under this CLIN. The assumptions are:

TARGET COST $15,000,000

TARGET FEE 6% $900,000

MINIMUM FEE 0% $0

MAXIMUM FEE 10% $1,500,000

SHARE RATIO UNDERRUN 60/40 (Government/Contractor) SHARE RATIO OVERRUN 50/50 (Government/Contractor)

EXAMPLE 1 – SLIGHT UNDERRUN (Share Ratio 60/40) Actual Cost Incurred: $14,000,000 (including COM) Incentive Fee Earned: $900,000 + [40% X ($15,000,000 - $14,000,000)] = $1,300,000 (Subject to Min/Max Fees) Total Cost plus Fee paid by Government: $14,000,000 + $1,300,000 = $15,300,000

EXAMPLE 2 – LARGE UNDERRUN (Share Ratio 60/40) Actual Cost Incurred: $12,000,000 (including COM) Incentive Fee Earned: $900,000 + [40% X ($15,000,000 - $12,000,000)] = $2,100,000 (Exceeds Max Fee) Total Cost plus Fee paid by the Government: $12,000,000 + $1,500,000 = $13,500,000

EXAMPLE 3 – SLIGHT OVERRUN (Share Ratio 50/50) Actual Cost Incurred: $16,000,000 (including COM) Incentive Fee Earned: $900,000 + [50% X ($15,000,000 - $16,000,000)] = $400,000 (Subject to Min/Max Fee) Total Cost plus Fee paid by the Government: $16,000,000 + $400,000 = $16,400,000

EXAMPLE 4 – LARGE OVERRUN (Share Ratio 50/50) Actual Cost Incurred: $18,000,000 (including COM) Incentive Fee Earned: $900,000 + [50% X ($15,000,000 - $18,000,000)] = -$600,000 (Less than Min Fee) Total Cost plus Fee paid by the Government: $18,000,000 + $0 = $18,000,000

3. Separate Target Fee pools are established for each delivery order awarded under this CLIN. Accordingly, the cost performance on one (or more) of the delivery orders cannot be used by the Contractor to offset the cost performance on one or more of the other delivery orders. If, for example, the contractor underruns delivery order 0001, this underrun cannot be used by the Contractor to offset an overrun on delivery order 0002.

4. Attachment 10, Worksheet G – Shipset Stepladder Pricing Table, applies to this CLIN. The Offeror shall provide stepladder pricing in Worksheet G, which shall be contractually binding.

NOTE E - Option item to which the clause in Section I entitled “Option to Extend the Term of the Contract” applies and which is to be supplied only if and to the extent the option is exercised.

NOTE F – Attachment 3, Clause Applicability Matrix, provides clause applicability for those clauses that are only applicable to a certain CLINs. Clauses not listed in the matrix apply to all CLINs.
