MINIMUM AND MAXIMUM QUANTITIES (SINGLE AWARD CPFF IDIQ) (SEP 2015)

As referred to in paragraph (b) of the “Indefinite Quantities” language of this contract, this contract has a total contract minimum quantity of $1,000.00 worth of orders. The contract maximum for this contract is a total of

$24,274,599.87 worth of orders and 32,240 hours of effort.

The maximum value of the contract is $24,274,599.87; however, the Contracting Officer may issue orders beyond this value in accordance with paragraph (e) of the “Level of Effort” language, provided the total hours ordered do not exceed the hours of effort shown above. Similarly, the Contracting Officer may issue orders beyond the maximum hours of effort shown in paragraph (a) above in accordance with paragraph (e) of the “Level of Effort” language, provided the contract value does not exceed the maximum dollar values shown in this paragraph (b).

The Government intends to award a single award Cost-Plus-Fixed-Fee (CPFF) Indefinite Delivery-Indefinite

Quantity (IDIQ) contract as a result of this solicitation in accordance with FAR Part 15. Award will be made to that offeror whose proposal is most advantageous to the Government under the selection criteria set forth in this solicitation. The Government intends to evaluate proposals and award a contract based on initial proposals.

Therefore, the offeror's initial proposal should contain the offeror's best terms from a non-cost and cost standpoint.

However, the Government may contact any or all offerors with questions concerning their responses. The

Government reserves the right to award a CPFF contract to other than the lowest cost offeror; award a CPFF contract without discussions; or award a CPFF contract after discussions, whichever is in the best interest of the

Government.

Initial proposals and any modifications thereto are to be submitted to the Contracting Officer on or before the closing date and time cited elsewhere in this solicitation. Faxes, responses through beta.SAM.gov or any method other than email submission are not acceptable.

HAND-CARRIED PROPOSALS ARE NOT AUTHORIZED

IMPORTANT NOTES:

(1) Offerors shall respond to all requirements of the solicitation. Offerors are cautioned not to alter the solicitation.

(2) In the event any person who is not a bona fide employee of the offeror participated in the creation, formulation, or writing of any portion of the proposal, a certificate to this effect shall be included in the proposal which shall be signed by an officer of the offeror. Such certificate shall identify the name of the person who is not a bona fide employee, that person’s employment capacity, the name of the person’s firm, the relationship of that firm to the offeror, and the portion of the proposal in which the person participated.

(3) In order to ensure that all questions submitted by potential offerors are answered prior to the solicitation closing date, questions concerning the solicitation should be submitted via e-mail to the contract specialist, Heather Coleman at Heather.Coleman@navy.mil and Dorothy Curling at Dorothy.curling@navy.mil no later than 3:00 pm, Eastern Time (ET), on 11 March 2021. The Government reserves the right not to respond to any questions received concerning this solicitation after the questions receipt date above.

Accordingly, offerors are encouraged to carefully review all solicitation requirements and submit questions to the Government early in the proposal timeframe.

(4) Offerors are strongly encouraged to confirm their proposal was received PRIOR to the closing date and time. It is the responsibility of the offerors to ensure that the Contracting Office has received their entire proposal, with all attachments, PRIOR to the solicitation closing date and time. Only the documents received prior to the solicitation closing date and time will be evaluated.

Note: The beta.SAM.gov website includes a “submit bid” button next to the solicitation number. The feature does not allow for submission of the detailed proposals we often seek in our solicitations. Moreover, the contracting activity has had issues with transmittal of proposals and tracking whether or not the proposal was timely submitted.

Accordingly, submissions through beta.SAM.gov will not be accepted.

II. REQUIREMENTS FOR PROPOSAL CONTENT

(1) Introduction and Purpose: This section specifies the format that offerors shall use in this Request for

Proposal (RFP). The intent is not to restrict offerors in the manner in which they will perform their work but rather to ensure a certain degree of uniformity in the format of the responses for evaluation purposes.

(2) Each volume should contain the following items in addition to the other information required by this solicitation:

(3) Requirements for Style: Each offeror shall submit a proposal that clearly and concisely describes and defines the contractor’s response to the requirements contained in the RFP. Unnecessary elaboration or other presentations beyond that sufficient to present a complete and effective proposal are not desired and may be construed as an indication of the offeror’s lack of understanding of cost consciousness. Elaborate art work and expensive visual or other presentation aids are neither necessary nor desired. The proposal shall contain all the pertinent information in sufficient detail in the one area of the proposal where it contributes most critically to the discussion of the same information. When necessary, offerors shall refer to the initial discussion and identify its location within the submitted proposal.

All submission and attachments shall be in Microsoft Office Word/Excel. Submissions sent in any other format other than Microsoft Word/Excel will not be evaluated and will be considered non-responsive. Submissions are page limited to the maximum number of pages as defined above. These page limitations are inclusive of any charts, diagrams, and/or other graphics. Graphics (including tables) in the proposal must use an alternative Times New

Roman font with 8 point size type or larger. Each “page” is defined as one sheet, 8 ½ “ x 11”, with at least one inch margins on all sides, using Times New Roman font with a point size of 12 or greater (e.g., "Times New Roman" style with 12 point font). Lines shall, at a minimum, be selected as single-spaced in Microsoft Word with Microsoft

Word Normal character spacing. Pages shall be consecutively numbered. The offeror is permitted to submit no more than one page for each of the following, which will not be included in the page count: a cover sheet, list of tables, list of figures, list of acronyms, compliance matrix, and table of contents.

Pages submitted in excess of the page limitations described above will not be evaluated.

The Small Business Participation Plan, Cost, and Small Business Subcontracting Plan are not page-limited;

however, the Small Business Participation Plan, Cost, and Small Business Subcontracting Plan are to be strictly limited to small business participation information, cost information, and completed solicitation documents as described in the General section above.

* Page limits represent the maximum pages the Government will evaluate and are not construed as de facto standards for the amount of material expected in the proposal.

*Cross-Referencing: The proposal volumes shall be written on a stand-alone basis so that its contents may be evaluated without cross referencing to another volume/ factor/ sub-factor. Information required for proposal evaluation which is not found in its designated volume/ factor/ sub-factor will be assumed to have been omitted from the proposal.

Volume I Non-Cost Proposal

Factor I – Technical Approach:

The offeror shall provide a technical approach consisting of the below two (2) sub-factors.

Sub-Factor I – Management & Performance Approach:

The offeror shall provide a management approach that demonstrates the offeror’s ability to flexibly staff with commitment to perform work assignments on short notice based on changing task priorities, and effective allocation of staff and resources to accomplish goals. The offerors shall demonstrate an understanding of the requirement and ability to perform the required tasks, and shall convince the government that the offeror is capable of fully providing the services identified in the PWS. The offeror shall also demonstrate an understanding of the below:

Technical tasks in accordance with Section 5 of the Performance Work Statement (PWS);

Timeliness of performance in accordance with Section 4.12 of the PWS;

Detailed plan that outlines program milestone requirements in accordance with Section 4.11 of the PWS;

Ability to respond to trouble calls within 24 hours and repair within 96 hours in accordance with Section

5.2 of the PWS;

Plan for the execution of external paint and corrosion control without an on-site paint booth in accordance with Section 5.3 of the PWS;

Plan for the cleaning of assets in the 12/18-month program to ensure parts are free of oil, grease, wax, dirt, salt, rust, etc. without an on-site wash rack in accordance with Section 5.3 of the PWS; and

Plan for transportation of assets for transfer, move, relocations, or shipping in accordance with the PWS.

Sub-Factor II – Staffing Approach:

The offeror shall provide a staffing approach that demonstrates the offeror’s ability to provide and retain the appropriate mix and quantity of personnel resources with the skill set levels necessary within Section 6 of the PWS.

The offeror’s approach shall clearly detail how this effort will be managed within the offeror’s corporate organizational structure, including the roles, responsibilities, authorities, and a brief synopsis of the professional qualification(s)/ background(s)/ experience(s) of those individuals to be dedicated to this contract effort.

Demonstrate utilization of the offeror’s personnel resources and demonstrated understanding of the skill sets required to successfully accomplish the tasks/requirements specified in Section 6 of the PWS. The offeror shall provide a staffing approach that places a fully qualified work force in place on the first day of performance in the event of the issuance of a task order very shortly after the IDIQ award.

Methodology for identifying, recruiting, preparing, training, and retention of qualified personnel for performance at each site that demonstrates the offeror’s plan to minimize staff turnover.

Mitigation plan for retaining personnel in the event that task orders are not issued consecutively so as to not delay continuation of services.

Risks associated with its staffing approach and any risks associated with implementation of its approach to staffing describing any techniques and actions to mitigate such risks and explain whether the techniques and actions identified for risk mitigation have been successfully used by the offeror.

NOTE: At a minimum, the offeror shall address the above items in their staffing approach.

Factor II – Past Performance

To demonstrate its past performance, the offeror shall identify up to three (3) of its most relevant contracts performed within five (5) years of the solicitation issuance date. Those contracts must also reflect one year of completed performance by the closing date of the solicitation. Offerors shall provide a detailed explanation demonstrating the relevance of the contracts to the requirements of the solicitation.

For purposes of this solicitation, a contract is defined as a single contract or a single task order placed under an

ID/IQ contract, a Blanket Purchase Agreement (BPA), or a Federal Supply Schedule. Offerors shall not submit the

IDIQ contract, FSS contract, or BPA itself as a reference. Offerors may submit a combination of no more than three

(3) delivery orders (DOs), task orders (TOs), technical direction letters (TDLs), and/or technical area tasks (TATs) placed under an ID/IQ or BPA as one of the three examples of past performance. Such a combination must also meet the requirements stated above: each individual example in the combination must have been performed within five (5) years of the solicitation issuance date and demonstrate at least one (1) year of completed performance by the closing date of the solicitation. If a combination of DOs, TOs, TDLs and or TATs are used as a past performance example, the offeror shall state the specific experience claimed, period of performance, and dollar value of each. A

Past Performance example that does not provide the level of detail required may not be evaluated. No more than one combination of DOs, TOs, TDLs and or TATs is permitted in the past performance submittal.

If a proposed subcontractor’s past performance is provided as part of the three (3) of its most relevant contracts or efforts, the percentage and type of work to be done by the subcontractor on the solicitation requirement must be stated. The offeror’s submittal shall also detail clearly the aspects of the work in the solicitation that the subcontractor is proposed to perform. A Past Performance example which does not detail clearly the aspects of the work in the solicitation that the subcontractor is proposed to perform may not be evaluated.

If the prime offeror or intended subcontractor/partner submits a past performance example in which it served as a subcontractor, the prime/sub/partner shall detail clearly the work that it performed and the magnitude (dollar value) of that subcontracted work only. A Past Performance example that does not differentiate between the overall contract effort and the subcontractor effort may not be evaluated.

The past performance of subcontractors who will be performing major or critical aspects of the solicitation will be considered as highly as a prime contractor’s past performance.

Failure of offerors to provide the required information and level of specificity may result in the contract reference not being evaluated.

With respect to joint ventures, the procuring activity will consider work done individually by each member of the joint venture as well as any work done by the joint venture itself previously. Joint venture references must meet the temporal requirements described in section L (within five years and a year of completed performance). Additionally, if a joint venture member submits a past performance reference, the joint venture member shall detail clearly the work that it performed in that effort and the magnitude (dollar value) of that work. A reference that does not differentiate between the overall contract effort and the joint venture member’s effort for that reference may not be evaluated. The past performance of a joint venture member who will be performing major or critical aspects of the solicitation will be considered as highly as the joint venture’s past performance.

The offeror shall complete a “Past Performance Information Form” for each reference submitted. The form is an attachment to the solicitation.

In addition to the information requested above, offerors shall contact their past performance references and request that each reference complete the Attachment 6: Past Performance Report Form and e-mail the completed survey form directly to Heather Coleman at Heather.Coleman@navy.mil and Dorothy Curling at

Dorothy.curling@navy.mil by the DUE DATE OF THIS SOLICITATION. The Government reserves the right to consider past performance report forms received after the due date of the solicitation and to contact references for verification or additional information.

***The Past Performance submission is limited to 12 pages***

Factor III: Small Business Participation Plan

Offerors (large and small businesses) SHALL provide a Small Business Participation Plan. Small Business

Participation Plans shall address the following:

The extent to which small business concerns are specifically identified;

The extent of commitment to use small business concerns (for example, enforceable commitments will be weighted more heavily than non-enforceable ones);

The variety of the work small firms are to perform;

Past performance of the offerors in complying with requirements of the clauses at FAR 52.219-8, Utilization of Small Business Concerns, and 52.219-9, Small Business Subcontracting Plan; and

The extent of participation of small business concerns in terms of the value of the total acquisition.

Volume II – Cost Proposal

In addition to the items required in the General Section above, Volume II shall include the following:

Completed solicitation documents to include signed copies of all amendments, if applicable.

Unless completed in SAM, “Representations, Certifications and Other Statements of Offerors” completed by the offeror (to be provided in Volume II along with Cost Proposal)

Additionally, unless completed in SAM, Offerors SHALL complete and return FAR 52.204-25, FAR 52.209-7, and FAR 52.209-11 in the solicitation.

Complete and detailed cost/price breakdown with all supporting documentation.

The cost/price proposal shall include all elements of cost and such other cost information as considered appropriate to support the Offeror’s proposal.

1. Offeror shall fill out the attached price/cost spreadsheet (Attachment 3- Pricing Spreadsheet) with the clearly indicated Cost CLINs and Price CLINs.

2. Basic Cost Information – Offeror’s proposal must contain sufficient information to allow for the

Government to perform an analysis of the proposed cost and to determine cost reasonableness and cost realism. Cost shall be broken down by cost element for each CPFF Contract Line Item Number

(CLIN).These elements shall at a minimum include, as applicable: direct labor, other direct cost, travel, subcontracts, indirect cost and rates, and fee. Offeror shall provide for each element of cost, the basis of estimate, including explanation and rationale sufficient to support a determination of reasonableness.

Any and all subcontracts shall be identified and priced in the proposal. Subcontracts (regardless of dollar value) shall be adequately documented. The same level of detailed cost information required in this solicitation of the prime contractor, to include certified cost and pricing data if required, shall be provided by each subcontractor proposed for this effort. Subcontractor cost/price breakdowns shall be submitted separately by the subcontractor.

3. The itemized cost proposal must include the following:

a. Direct Labor: Show the current and projected salary amounts in man-hours, man-months, or annual salary to be charged by any technical personnel either by person or position. For each person or position, provide the following information:

i. The basis for the direct labor hours or percentage of effort is based on the level of effort prescribed by the Government in Section B

ii. The basis for the direct labor rates or salaries. Labor costs should be based upon current labor rates or salaries. Rates may be adjusted upward for forecast salary or wage cost-of-living increases that will occur during the agreement period. The cost proposal should separately identify the ratio applied to base salary/wage for cost-of living adjustments and merit increases. Each must be fully explained. In order to verify the realism of the offeror's proposed direct labor rates, all offerors should submit, as part of their Cost

Proposal, documentation substantiating the realism of their proposed direct labor rates.

To the extent that an Offeror is proposing a subcontractor on a cost-reimbursement basis, the documentation substantiating the accuracy of the subcontractor’s proposed direct labor rates is also requested. Acceptable documentation may include the following:

1. Payroll data (if proposing current, named employees)

2. Actual billing records showing direct labor rates (if proposing current, named employees).

3. Copies of signed Letters of Intent that indicate agreed upon annual salary (if proposing named, new hires)

4. Copies of current or prior fiscal year DCMA Forward Pricing Rate Agreement

(FPRA), the offeror’s Forward Pricing Rate Proposal (FPRP), Provisional

Billing Rate Approval or Provisional Billing Rate Submission, whichever is most recent.

5. If labor category averages are used as consistent with the offeror's accounting practice and approved by DCAA, provide a detailed narrative and include the calculation used to establish the category average. For example, provide a list of the current salaries for all employees working in that labor category, divided by the number of current employees in that labor category.

6. If proposing rates that do not fall within one of the above criteria, provide a detailed, comprehensive description of the methodology used to establish the proposed direct rate. The description shall include both the source where the rate was obtained and a description of how the resulting rate was calculated. Merely stating that a "salary survey" or "market survey" was used is generally not sufficient.

iii. The total annual salary charged to the effort.

iv. Any details that may affect the salary during the effort, such as plans for leave.

b. Fringe Benefits and Indirect Costs (Overhead, General and Administrative (G&A), Facilities and

Other): The most recent rates, dates of negotiation, the base or bases, and periods to which the rates apply must be disclosed and a statement included to identify whether the proposed rates are provisional or fixed. If a Forward Pricing Rate Agreement has been negotiated by a Government agency, state when and by which agency. A copy of the negotiation memorandum and the approved or provisionally approved rates shall be provided. If negotiated forecast rates do not exist, offerors must provide sufficient detail to enable the Government to determine that the costs included in the forecast rates are allocable, allowable, and reasonable according to applicable

FAR/DFARS provisions. An offeror's disclosure should be sufficient to permit a complete understanding of the content of the rate(s) and how it was established. As a minimum, the submission should identify:

i. All individual cost elements included in the forecast rate(s);

ii. Bases used to prorate indirect expenses to cost pools, if any;

iii. How the rate(s) was calculated;

iv. Distribution basis of the developed rate(s);

v. Bases on which the overhead rate is calculated, such as "salaries and wages" or "total costs;" and

vi. The period of the offeror's fiscal year.

vii. Subcontracts: A precise description of proposed services or materials that are subcontracted must be provided. For all subcontracts proposed, provide the following specific information:

1. A clear description of the work to be performed.

2. If known, the identification of the proposed subcontractor and an explanation of why and how the subcontractor was selected or will be selected.

3. The identification of the type of award to be used (cost reimbursement, fixed price, etc.).

4. Whether or not the award will be competitive and, if noncompetitive, rationale to justify the absence of competition.

5. A detailed cost summary (i.e., cost elements) to include the cost pool and allocation base for each element and a certificate of current cost and pricing data

(if required).

6. The results of the offeror's cost or price analysis of the subcontractor's proposed price.

c. Other Direct Costs (ODCs): Offeror shall insert the Government estimated ODC plug number in their proposed price in addition to any applicable General and Administrative (G&A) and/or

Overhead (OH) rate applicable in accordance with FAR Part 31 and their accounting system. Only

G&A and/or OH indirect costs are allowed to be applied to ODCs, no profit or fee is allowed. The offeror shall include an explanation in their price proposal as to how the proposed rates will be applied to ODCs in accordance with FAR Part 31 and their accounting system. Additionally, offerors shall state in their price proposal if the proposed indirect rates are approved by or have been audited by the Defense Contract Management Agency (DCMA) or the Defense Contract

Audit Agency (DCAA). NOTE: If no G&A and/or OH are proposed, it will be determined that the offeror does not intend on applying any applicable indirect cost to provided ODCs. The

Materials/ODC/Travel estimates are included in Attachment 3- Pricing Spreadsheet.

d. Fixed Fee: Provide the percentage and dollar amount proposed for the fee.

e. Facilities Capital Cost of Money: If Contract Facilities Capital Cost of Money is proposed, a completed Contract Facilities Capital Cost of Money (FCCM) (DD Form 1861) is required.

f. Supporting Information: Supporting data including labor rates and hours, burden rates, material lists and costs and travel charges used in developing the cost/price breakdown shall be furnished.

g. DCAA/DCMA Audit: If the Offeror has been or is currently being audited by the Defense

Contract Audit Agency (DCAA) or Defense Contract Management Agency (DCMA), the offeror shall provide the name and location of the assigned DCAA/DCMA office should be furnished with the proposal.

h. ESTIMATED LEVEL OF EFFORT: An offeror’s cost proposal shall use the duties and personnel qualifications defined in the Section B to develop pricing for the labor categories included in

Attachment 7- Pricing Spreadsheet. Failure to propose the specified LOE in Attachment 7 will result in the proposal being eliminated from the consideration for award and will not be further evaluated.

i. Proof of accounting system adequacy (DCMA letter).

All cost/price and cost/price supporting information shall be contained in the price proposal. No cost/price information shall be included in any other volume including cover letters. The offeror is responsible for submitting sufficient information to enable the Government to fully evaluate its’ cost/price proposal.

Offerors shall insert the Government estimated Materials/ODC/travel plug numbers provided below in their proposed price in addition to any applicable General and Administrative (G&A) and/or Overhead (OH) rate applicable in accordance with FAR Part 31 in their accounting system. Only G&A and/or OH indirect costs are allowable if an offeror’s accounting system automatically applies it, no profit or fee is allowed.

Subcontracting Plan (Other than Small Businesses)

Large business offerors SHALL also submit a Subcontracting Plan in accordance with FAR 19.704, Subcontracting

Plan Requirements. Offerors are permitted to submit a master subcontracting plan so long as it is created in accordance with FAR 19.701 and FAR 19.704(b). Subcontracting Plans are not required from small business offerors. This plan SHALL be submitted with Volume II.

It is the goal of this solicitation that prime contractors subcontract with small businesses to the maximum extent practicable. For other-than-small (large) prime contractors, the Small Business Subcontracting Plan goals shall be expressed in terms of whole dollars and percentages based on total planned subcontracting dollars. Of the total planned subcontracting dollars, the Small Business Subcontracting Plan shall include goals for Small Businesses, Small Disadvantaged Businesses, Woman-Owned Small Businesses, HubZone Small Businesses, Veteran Owned

Small Businesses and Service-Disabled Veteran-Owned Small Business. The Government will consider prior achievement of small business subcontracting plan goals as well as the proposed dollar values and percentages related to this solicitation. Small businesses are not required to submit a subcontracting plan, but are required to submit a small business participation plan.

The completion and submission of the above items will constitute an offer (proposal) and will indicate the offeror’s unconditional assent to the terms and conditions of this RFP and any attachments hereto. Alternate proposals are not authorized.

The cost submission is not page limited, but is strictly limited to cost information.
