6. Include a description of your approach for tracking and reporting on technical progress, risks, and financial status including any processes for monitoring and controlling changes to completion estimates.

L.2.2.3 WORKFORCE (FACTOR 2)

The elements below are not separately rated Sub-factors.

(a) RESUMES OF KEY PERSONNEL

Resumes shall be provided for Key Personnel that best demonstrate the Offeror’s ability for successfully meeting the requirements of this contract, in accordance with Attachment J.4. In order to facilitate proposal evaluation, resumes shall be submitted with the level of detail described in the Section C clause “Resume Format and Content Requirements” and not exceed three (3) pages each. The cut-off date for any employee certified experience shall be No Later Than the closing date of the solicitation.

Key Personnel qualification levels can be found in Attachment J.4 and are considered to be desired for those individuals whose resumes are submitted for evaluation with the proposal. Following award, the qualification level for Key Personnel are considered to be minimum requirements for any growth beyond those initially proposed.

Resumes for the following number of Full-Time Equivalents (FTEs) are required. For the purposes of this solicitation, an FTE is defined as 1,920 hours. If an individual is proposed less than the identified FTE noted below, additional resume(s) are required to meet the following FTE resume requirements. Offerors should not exceed the number of FTE resumes shown below:

Key Labor Category FTEs

Engineering Program Manager 1

Senior Systems Engineer 1

Senior Electrical Engineer 2

Note: The Government may check educational background and certifications received.

(b) STAFFING PLAN/MATRIX

Offerors shall provide a matrix demonstrating how they shall provide qualified personnel to support areas described in the SOW. Attachment J.7 provides the format for the Staffing Matrix. This Staffing Matrix, when printed on 8.5" by 11" paper, shall be in a font size no smaller than 10 characters per inch and row and column headings shall appear on each printed page. Sub-contractors’ information shall be included under the Prime Contractor’s submission.

Offerors shall note that proposed Key personnel shall be provided at the performance start date noted herein. The Offeror shall provide a narrative discussing their staffing plan for this requirement. Offerors shall describe their processes and plans for providing personnel who are qualified to perform the technical requirements described in the SOW. Offerors shall describe how they plan to ensure an adequate number of personnel are available with sufficient experience to perform the SOW requirements. If Sub-contractors are proposed, the Offeror shall describe how the proposed team provides optimal balance between size, manageability, and support capability while maintaining an integrated approach.

Offerors shall describe their plans to provide full staffing (including Non-Key personnel) that are fully qualified and capable of performing all requirements of the SOW, and shall address any implementation risks and specific planned risk mitigations to be employed. Previous experience in implementing these risk mitigations shall be addressed.

Offerors shall identify and provide details on their past experiences in meeting staffing requirements on new awards where they were not the incumbent and/or meeting significant staffing increase requirements on already-awarded contracts. Items to include are: a brief description of work and numbers of staff recruited. It's preferred (but not required) that these examples have occurred within the last five years.

The number of hours actually used for each category may exceed or be less than the estimate by category, as long as the total Level of Effort identified in section B is not exceeded. The Contractor will not be reimbursed for any work performed in excess of the total Level of Effort.

The Offeror is forewarned that it may receive a weakness if it proposes the predominance of a Labor Category or SOW section tasking using prospective or contingent hire employees and the evaluation team deems this a risk to successful performance.

If an Offeror is proposing an individual who is listed as a key personnel on another contract with a Period of Performance that will overlap this requirement it shall describe its plans to satisfy both contracts if the Offeror is selected for award.

Note 1: In the event that a Contractor has not identified a firm candidate for proposed positions, said positions shall be addressed as "Pending Hire" in lieu of an individual's name.

Note 2: A copy of a signed offer letter indicating acceptance by the individual shall be provided for each contingent hire. The Cost Proposal shall contain a copy of this letter with the agreed-to salary. The following definitions apply to this Section: A “contingent hire” is an individual who has committed, under a signed letter of intent, to being employed by the Offeror if the Offeror is awarded the contract . A “prospective hire” is an individual that the Offeror has committed to hiring if the Offeror is awarded the contract whose identity may not be known until after contract award.

Note 3: Contractors submitting a proposal under subject solicitation should attempt to minimize the number of proposed Labor Category personnel positions for which candidates have not been identified. From a proposal evaluation perspective, proposal risk in terms of “Technical Capability” and “Cost Realism” may increase when firm candidates have not been identified for proposed Labor Category personnel positions, when signed offer letters have not been provided for contingent hires and when the names in the staffing matrix do not match the names in the cost proposal.

Note 4: The Staffing Matrix shall be clearly traceable to the Cost Proposal.

Note 5: The cut-off date for any employee certified experience shall be no later than the closing date of the solicitation.

L.2.2.4 FACTOR 3: MANAGEMENT CAPABILITY

CONTRACTOR’S INABILITY TO CONTROL SUB-CONTRACTOR PERFORMANCE AND COULD IMPACT

THE EVALUATION RESULTS IN THIS FACTOR.

(6) A copy of any subcontracting/teaming/consulting agreements proposed to fulfill any direct charged part of the contract shall be provided. The agreements may be submitted as an Attachment to the Technical Proposal. The document shall be signed by both the Offeror and the proposed Sub-contractor/Team Member/Consultant and shall show agreement as to the specific technical work areas to be subcontracted, the projected labor categories (Key and Non-Key) to be provided, type of contract pricing arrangement (FFP, CPIF, CPFF, etc.) and the Level of Effort to be provided for each year of the contract. Ensure the agreements are consistent with other portions of the proposal to include resumes submitted and the Cost Proposal. Agreements shall be submitted only for those Sub-contractors or Consultants who are priced in the Cost Proposal. If Sub-contractors/Consultants/Advisors are not included in the cost proposal they should not be referenced in any part of the proposal.

L.2.4 VOLUME IV: COST (Factor 5)

L.2.4.1 WRITTEN COST PROPOSAL

(a) No technical information shall be submitted as part of the Cost/Price Proposal.

(b) The requirements of this section apply equally to the Offeror and any proposed Sub-contractors regardless of Sub-contract type. Specifically, all Sub-contractors are required to submit un-sanitized proposals showing unburdened labor rates, all indirect rates and must include all calculations in the cells (i.e. Show formulas).

REVIEWERS MUST BE ABLE TO RECOGNIZE WHAT CELLS ARE INVOLVED IN CALCULATING

RESULTS.

(c) It is the responsibility of the Prime Contractor to ensure that all Sub-contractors provide information at this same level of detail regardless of the subcontract pricing arrangement. If Sub-contractors do not comply, this will be viewed as indicative of the Prime Contractor’s inability to control Sub-contractor performance and could impact the Management Factor evaluation result.

(d) The cost data shall be organized and all pages shall be numbered and a table of contents provided.

L.2.4.2 COST SUMMARY

(a) Offerors shall provide cost summary information in the format of Attachment J.6, "Cost Summary Format". *Offerors may propose additional administrative support as addressed below in Section L.2.4.4 Direct Labor Notes

L.2.4.4 DIRECT LABOR NOTES

(a) The total contract hours identified in Section L.2.4.3 for pricing purposes refer to labor categories required to execute the technical aspects of the SOW. Local-level and other corporate management as well as general and administrative support to include administrative/financial/clerical, program control, and contract business management/administration (to include progress report preparation) are considered to be overhead in nature except for those oversight or administrative functions performed by the Prime Contractor's proposed Program Manager.

The Offeror is, however, permitted to propose such effort as a direct charge if it is in accordance with its standard DCAA-approved practice to do so. Such hours SHALL BE ADDED to the total number of technical hours proposed. The Labor Category to be used is “MANAGEMENT AND SUPPORT”. If no “Management and Support” hours are proposed, the hours will NOT be allowed as a direct charge under the resulting contract. The proposed Level of Effort should be reflected in the Section H, H-216-H002 LEVEL OF EFFORT - ALTERNATE 1 (NAVSEA) (OCT 2018). This requirement applies equally to the prime and any Sub-contractor(s), if applicable.

(b) To demonstrate how the Offeror’s proposed labor mix corresponds to the table in L.2.4.3 the Prime shall provide a table illustrating the distribution of technical labor (by labor hours) across the Offeror’s team by Contract Labor Category (plus any administrative support) for the total effort only.

(c) The Prime and all Sub-contractors shall clearly identify the Contract Labor Category (not the Company Labor Category) proposed for each named person or "To Be Determined (TBD)" or "Pending". If the person is proposed for direct charge management and support, use the title "Management and Support".

L.2.4.5 DIRECT LABOR SUPPORT INFORMATION

(a) Labor Rates: The Cost Proposal shall reflect actual labor rates expected to be expended (delivered) in performing the proposed contract; e.g., actual hourly rates for named personnel if such rates will be the basis for billing under the resultant contract, and not a composite rate of individuals within a labor classification or Labor Category. The Cost Proposal shall contain a table which shows the following for each named person:

(1) Current (as of the date of proposal submission) actual hourly rate (based on a 40-hour work week and effective date of the rate (Month/Year)

(2) Current decremented hourly rate (if Total Time Accounting/Uncompensated Overtime (UT/TTA) is proposed or will be delivered).

(3) Contract Year 1 hourly rate. Offerors shall ensure that they escalate current actual rates based on the Offerors current approved escalation policy. In addition, provide the method and application of this escalation rate for each period as part of your proposal. See Paragraph (b)(1) below for details

(4) Derivation of rates for unnamed positions shall be shown in a similar manner. Fully explain the basis of the rates for unnamed positions. The basis for all "To Be Determined (TBD)" or "Pending" employee rates proposed must be detailed with specificity.

(b) Labor Escalation: In addition to the information required in the bullets above, Offerors (PRIME AND ALL SUB-CONTRACTORS) shall also provide the following information for analysis of their proposed direct labor costs:

* Note: Labor Escalation is defined as including all factors that affect an employee’s direct hourly rate to include promotions, other merit increases, and cost of living increases.

(1) Offeror's proposal shall contain a narrative explanation of the escalation percentage(s) proposed and how/when the escalation rate is applied in each year.

(2) Offeror's proposal shall describe the Offeror’s corporate raise policy (e.g. raises are given on individuals’ anniversary dates, or all employees receive raises on the same date each year. If the answer is the latter, provide the date).

(3) Offerors shall provide three (3) years of historical documentation supporting the escalation proposed. The Offeror shall also provide its rationale and measures put in place to control costs in this area while ensuring that acceptable services are delivered. Absent evidence of adequate controls, upward cost realism adjustments will be made by the Government.

(c) Total Time Accounting/Uncompensated Overtime: If TTA/UT is explicitly proposed, if an Offeror utilizes Total Time Accounting (TTA) practices, or if decremented labor rates are likely to be delivered, Offerors shall reflect

UT/TTA hours in their proposed direct work-year. Historical data to support the hours listed above is required. In addition, UT/TTA hours MUST be reflected in Section H, Level of Effort. If UT/TTA is not proposed, Offerors shall provide their compensation policies for any hours worked over forty (40) in a week by exempt employees.

(d) Labor Format: When completing the labor portion of Attachment J.6, both the Prime Contractor and all Team Members shall list personnel in order, first by contract Labor Category, and secondly by individual within the Labor Category, listed alphabetically by last name. Subtotals by Labor Category of the number of labor hours and direct labor dollars proposed shall be provided as well as a total quantity of hours and direct labor dollars by contract year.
