SECTION L – INSTRUCTIONS TO OFFERORS
1.0 Eligibility
This solicitation is unrestricted. Offerors who are other than Small Businesses are required to submit a Small Business Subcontracting Plan in accordance with FAR 52.219-9, Small Business Subcontracting Plan. If a Subcontracting Plan is required, the offeror shall complete the Subcontracting Plan Cover Sheet Attachment 1 and provide it with their Subcontracting Plan.
1.1 Questions
It is the Offeror's responsibility to bring to the attention of the Contracting Officer at the earliest possible time, but prior to the solicitation closing date, any ambiguities, discrepancies, inconsistencies, or conflicts between the Statement of Work (SOW) and other solicitation documents attached hereto or incorporated by reference. All questions shall be submitted in accordance with L-215-H007 Submission of Questions by Offerors - Alternate I
(NAVSEA)(NOV 2021).
2.0 INSTRUCTIONS FOR SUBMISSION OF OFFERS
Offeror shall comply with the detailed instructions for the format and content of the proposal. Proposals shall be clear and unambiguous. Proposals that do not comply with the detailed instructions for the format and content of the proposal may render the Offeror ineligible for award. Information requested and submitted in one volume will not be considered for purposes of evaluation of information contained in another volume. Cost/price proposal submissions must reflect what is submitted in the technical volume. Proposals for which the cost elements (e.g., number of hours, labor categories, subcontractors) in the cost/price volume do not match those identified in the technical volume may be deemed ineligible for award. The Government reserves the right to reject any proposal that does not comply with these proposal submission instructions.
2.1 General
(a) Definitions. As used in this solicitation –
i. “In writing” or “written” means any worded or numbered expression that can be read, reproduced, and later communicated, and includes electronically transmitted and stored information.
ii. Proposal modification is a change made to a proposal before the solicitation’s closing date and time, made in response to an amendment, or made to correct a mistake at any time before award.
iii. Proposal revision is a change to a proposal made after the solicitation closing date, at the request of or as allowed by a Contracting Officer, as the result of negotiations.
iv. “Day” is defined as a calendar day unless otherwise specified. If the last day of a specified period falls on a
Saturday, Sunday, or Federal Holiday, the period shall be deemed to end on the next Federal workday.
v. “Major Subcontractor” is defined as a subcontractor performing 30% or more of total proposed burdened labor costs.
(b) Amendments to the solicitation. If this solicitation is amended, terms and conditions that are not amended remain unchanged. Offerors shall acknowledge receipt of any amendment to this solicitation by the date and time specified in the amendment(s). The Offeror shall demonstrate that the proposal is in response to the latest amendment.
(c) After the solicitation closing date and time, Offerors may submit revised proposals only if requested or allowed by the Contracting Officer. Proposals may be withdrawn at any time before award. Withdrawals are effective upon receipt of notice by the Contracting Officer.
2.2 Electronic Submission

If the Offeror elects to use DoD SAFE, the Offeror shall submit a DoD SAFE request to the aforementioned Contract Specialist and Contracting Officer three business days prior to due date. Failure to submit a complete proposal prior to the solicitation closing date and time will in almost all circumstances render the proposal late and unacceptable. For DoD SAFE submissions, the DoD SAFE email notification provided to the Contract Specialist and Contracting Officer shall be used as the proposal submission time.
2.3 Proposal Format
In order to maximize efficiency and minimize the time for proposal evaluation, all Offerors shall submit their proposals in accordance with the format and content specified below. 4.1 VOLUME I – TECHNICAL (FACTOR 1)
The submission of an offer constitutes the unconditional acceptance to perform all of the requirements described in the Statement of Work (SOW), including applicable drawings and specifications. The Offeror shall assume that the Government has no knowledge of its approach, capabilities, facilities, equipment, personnel, and other resources.
The Offeror shall demonstrate its technical understanding, capabilities, and approach (both Prime and Subcontractors) to perform and manage the SOW requirements described below.
The Offeror shall not simply rephrase or restate the Government’s requirements in its proposal. The Offeror shall provide sufficient details and convincing rationale to address how the Offeror intends to meet the requirements.
Offerors shall assume that the Government has no prior knowledge of its facilities, capabilities, or approach.
The Offeror shall include sufficient details to permit a complete and accurate evaluation of the proposal. The proposal shall clearly demonstrate the Offeror’s understanding of the requirements and the feasibility of its approaches to meet those requirements. This is solely the Offeror’s responsibility. Proposals that merely offer to perform work in accordance with this solicitation without sufficient elaboration shall be deemed unacceptable and not considered further. Offerors shall identify technical uncertainties and assumptions within the requirements set forth in the solicitation and provide specific courses of action for their resolution. Offerors are cautioned that failure to provide the necessary information may result in their ratings being downgraded accordingly. Note that the information required by FAR 52.215-22, Limitations on Pass-Through Charges-Identification of Subcontract Effort if applicable to the proposal, is a material requirement; therefore, failure to include the required information in the technical and cost volumes, as appropriate, will render the Offeror ineligible for award.

The Offeror shall provide formalized teaming and subcontractor agreement(s) under this subfactor, if applicable.
4.1.3.6 Statement of Compliance: The Offeror shall provide a statement of compliance indicating that it will comply with all portions of Section C not specifically addressed otherwise in Volume I.
4.2 VOLUME II – PAST PERFORMANCE (FACTOR 2)
Offeror shall provide all past performance information in accordance with Attachment 2 – Past Performance Reference. Offeror shall provide five past performance references, if available, which shall reflect recent experience performed within the last five calendar years of the solicitation release date and that demonstrates experience relevant to the solicitation’s SOW. In addition to these past performance references, Offeror shall submit one additional past performance reference for each subcontractor proposed to perform more than 30% of the effort.
Offeror shall describe how the past performance references are relevant including details about how it is similar in scope and complexity to this solicitation’s SOW.
If the Offeror is aware that no CPARS exists for a past effort, the Offeror shall submit one Past Performance Questionnaire (PPQ) to its customer POC. If the Government receives a PPQ and there is also a CPARS, the CPARS shall take precedence in case they conflict. In the case where an Offeror’s past performance is as a subcontractor, the PPQ may be completed by the prime contractor of the contract under which the Offeror performed. In order to expedite the assessment process, the Offeror may complete the “Contract Information” portion of the PPQ for the convenience of the customer POC. The Offeror shall not, however, complete any other section of the PPQ. The questionnaire shall be provided to the customer POC with instructions to complete and submit it directly to the Contracting Officer and Contract Specialist on or before the proposal due date. Provide email addresses to customers for submission of PPQs.
4.3 VOLUME III – SMALL BUSINESS (FACTOR 3)
Proposals shall include a Small Business Participation Commitment Document (SBPCD) which demonstrates a realistic commitment (in terms of percentages of total costs) to achieving the Small Business Participation goals set forth below. Offerors shall provide a SBPCD with sufficient information to demonstrate the tasks assigned to the selected Small Business subcontractors are meaningful to the overall success of the program in that: a) the type of tasks subcontracted to Small Business are of a technical nature and are not simply limited to administrative positions, and/or; b) it reflects a portion of the key labor categories proposed. The approach shall address use of Small Business Concerns, Small Disadvantaged Business Concerns, Women-Owned Small Business Concerns, HubZone Small Business Concerns, Veteran-Owned Small Business Concerns, and Service-Disabled Veteran- Owned Small Business Concerns. If it is the prime, a Small Business may submit its own participation toward achieving the objectives. This SBPCD shall be separate from Subcontracting Plan submitted pursuant to the clause at FAR 52.219-9, Small Business Subcontracting Plan. However, any differences between the two plans shall be explained in the proposal. The SBPCD will be reviewed by the Government’s Deputy of Small Business Programs.
*DO NOT INCLUDE COST INFORMATION IN THIS SUBMITTAL.
All percentages are out of total proposed value.
Requirement for Total Small Business (all categories of small business): 10 %
Goals per Subcategory:
Small Disadvantaged Business 5% Hub-Zone Small 1% Woman Owned Small Business 1% Service-Disabled Veteran 1% Veteran Owned Small 1%
Note: The North American Industry Classification (NAICS) code applicable to the requirements contained within this solicitation is 336611. Therefore, companies proposing as a subcontractor under this solicitation as a Small Business concern must have less than 1,300 employees. The size standard certified to by the Prime for the MAC is valid for the base ordering period and duration of any resultant task order issued against this solicitation.
4.4 VOLUME IV – COST/PRICE PROPOSAL (FACTOR 4)
4.4.1 Section B Pricing
Offerors shall ensure that all cost/price information is contained within Volume IV and Section B, as applicable. In addition, ensure that Section B pricing matches the Prime Offeror Cost Summary. The Section B pricing will take precedence should there be any discrepancies with any other pricing information submitted. As such, the resulting award will be made to the successful Offeror using their proposed Section B pricing. No Technical and Management or Past Performance information shall be submitted as part of the Cost/Price Proposal.
4.4.2 Cost Proposal Spreadsheet
Offeror and their subcontractors shall each separately submit a cost proposal spreadsheet using the format set forth in Attachment 4 - Cost Proposal Spreadsheet/Prime Offeror’s Cost Summary. The cost proposal spreadsheet shall provide a detailed breakout of every single cost element proposed.. The cost proposal spreadsheet shall include calculations in the cells showing all formulas used to calculate the values. Do not enter hard data where formulas were used to calculate the entered value.
The Offeror’s cost proposal spreadsheet shall be overarching, encompassing all proposed costs inclusive of sanitized subcontractor costs, and it shall fully align with and support the proposed Section B pricing. Subcontractor’s unsanitized cost proposal spreadsheets shall be submitted separately using Attachment 4 - Cost Proposal Spreadsheet/Prime Offeror’s Cost Summary Format via the DoD SAFE in order to protect their proprietary information. Subcontractor cost proposals shall be received by the time and date specified for receipt of proposals specified in this solicitation.
4.4.3 Cost Proposal Narrative
Offeror shall provide a cost proposal narrative that fully substantiates the reasonableness and realism of the proposed costs. The cost proposal narrative shall fully align with and support the proposed Section B pricing. The cost proposal narrative shall fully corroborate every cost element that is proposed. Providing insufficient information to substantiate the reasonableness and realism of the proposed costs may result in the identification of a risk, a cost adjustment, and/or in the offer no longer being considered eligible for award.
Offeror shall propose realistic costs within its proposal. Offeror bears the sole responsibility to demonstrate that its proposed costs are realistic within its proposal. Offeror is advised that proposing unrealistically lower costs without substantial justification will be an indication that the Offeror does not have a clear understanding of the requirements or does not have the requisite capability to support the effort. Any inconsistency between promised performance in the technical proposal (e.g., Volume 1 – Technical) and the proposed cost must be explained in the proposal. Any inconsistency, if unexplained, may raise a fundamental question of the Offeror’s understanding of the nature and scope of the work required and may adversely impact the evaluation of the Offeror’s proposal.
The cost proposal narrative shall address:
Labor hours. Offeror shall propose the labor hours required to complete the scope of the SOW The labor hours shall include both the Offeror and subcontractor labor hours, if applicable. See Attachment 5 Labor Hours General Example.
Direct Labor Rates/Forward Pricing Rate Agreement (FPRA) or Forward Pricing Rate Recommendation (FPRR). Offeror and subcontractors shall describe the basis of estimate for each direct labor rate proposed and provide substantiating information that fully corroborates each direct labor rate proposed.
If the Offeror or subcontractor has an FPRA or FPRR with DCAA/DCMA, the Offeror shall provide a copy with their proposal. The Offeror shall clearly explain any deviations from the FPRA or FPRR. If not evident in the FPRA or FPRR, include contact information for the DCAA/DCMA office that executed the FPRA or FPRR.
For each current employee named in the cost proposal spreadsheet, that does not have a FPRA/FPRR, Offeror and major subcontractors shall provide a screenshot that captures pertinent information from the employer's payroll system, incurred within the last three months preceding release of this solicitation. Payroll screenshots shall not contain any personally identifiable information, such as, social security numbers, date and place of birth, etc. Cost proposal narratives shall fully explain all pertinent data on a screenshot. The Government must be able to derive the individual’s direct rate (both inclusive and exclusive of the impact of uncompensated overtime, if proposed) from the payroll screenshot. Alternatively, Offeror and major subcontractors may provide payroll verification instead of payroll screenshots. Payroll verification shall consist of a form containing the named personnel, proposed labor category, direct labor rate, certification status (per labor category as required), description of current position, and a signed certification by an authorized representative of the company that the information contained in the form is correct and current within the last three months preceding release of this solicitation. This supporting direct labor rate information shall clearly map to individual direct labor rates included within the cost proposal spreadsheet.
For each contingent hire in the cost proposal spreadsheet, Offeror and cost reimbursement subcontractors shall clearly indicate named contingent hires and shall provide a signed letter of intent that explicitly lists the agreed upon annual salary for the named individual and the amount of uncompensated work required. The cost proposal narrative shall fully explain all pertinent data about the letter of intent. The Government must be able to derive the individual’s direct rate (both inclusive and exclusive of the impact of uncompensated overtime, if proposed) from the letter of intent information.
For any position for which no candidate has been identified by name, Offeror and major subcontractors shall provide payroll data for a comparable position and an analysis of how the proposed position is comparable to the position corresponding to the payroll data supplied. For any position where there is no similar position with a payroll screenshot, Offerors and subcontractors shall provide other substantiating cost data to support the basis of estimate and an analysis of how the proposed position is comparable to the position corresponding to the payroll data supplied.
Uncompensated Overtime. Any uncompensated overtime proposed shall be in accordance with FAR 52.237-10, IDENTIFICATION OF UNCOMPENSATED OVERTIME.
