B 1.0 DEFINITIONS OF RATES
B 1.1 The Government shall pay for services provided under this Contract in accordance with the
Section B-1.2 below. Said payments shall be considered payment in full for all services
(including the carriage of hazardous cargoes), equipment, personnel, supplies, training, and maintenance of aircraft, including any overtime, penalty time, bonuses, payments and emoluments payable to Contractor personnel irrespective of the geographic scope of said services, except as elsewhere provided.
B 1.2 Definition of Contract Line Items (CLIN(s)):
B 1.2.1 Per Diem [CLINs 0001, 1001, 2001, 3001, 4001]: Firm-fixed-priced, daily rate. Per
Diem is subject to scheduled deductions in accordance with Section J-01, Section H-3.0, and
Section H-4.0.
B 1.2.2 Flight Rate [CLINs 0002, 1002, 2002, 3002, 4002]: Firm-fixed-priced, hourly rate payable for actual flight operations of Detachment aircraft for missions set forth in Section
C-2.7, and currency/proficiency flights in accordance with Paragraph Section C-8.7.2. The
Contractor shall be paid for actual flight hours used to the nearest tenth of an hour. Actual flight hours will be based on Hobbs hours - weight off wheels and rotor blades in flight condition.
B 1.2.3 Other Direct Costs (ODCs) [CLINs 0003, 1003, 2003, 3003, 4003]: Expenditures which are in direct support of the Contract, and not appropriate to include in other identified
CLINs. Payment of ODCs will be made in accordance with Section B-2.0 below.
B 1.2.4 Dynamic Interface Testing (DIT) Ground School (OPTION) [CLINs 0004, 1004, 2004, 3004, 4004]: Firm-fixed-priced, lump sum for service provided in accordance with Section
C-2.7.3(c). The price includes the course, enrollment, additional insurance, equipment, personnel and all other items required to conduct the DIT Ground School. The Contractor shall invoice only if this option is exercised in the respective period of performance, and upon successful completion of the DIT Ground School.
B 1.2.5 Inspections (OPTION) [CLINs 0005, 1005, 2005, 3005, 4005]: Firm-fixed-priced, lump sum for services provided in accordance with Section E-6.0.
B 1.2.6 Delivery Price [CLIN 5000]: Firm-fixed-priced, lump sum to transport aircraft to the delivery location specified in Section F-1.3. The Contractor shall invoice upon the
Government’s issuance of a satisfactory Acceptance Inspection, as set forth in Section E-2.3.
The Government, at the sole discretion of the Contracting Officer, may elect to provide transportation for the aircraft from the Continental United States (CONUS) to the delivery location. If Government transportation is provided, any or all transportation to the delivery location, any resulting cost savings associated with the transportation provided shall be realized by the Government in the form of a price reduction to this CLIN.
B 1.2.7 Redelivery Price [CLIN 5001]: Firm-fixed-priced, lump sum to transport aircraft from the redelivery location at the end of the final performance period. The Contractor shall invoice upon redelivery of the aircraft. The Government will not pay the redelivery price if the aircraft is not redelivered to the Contractor or its agents. Upon request, the Government may, at the sole discretion of the Contracting Officer, transport the aircraft on a Government-owned ship or aircraft from redelivery location to CONUS. If the Government provides such transportation, any resulting cost savings shall be realized by the Government in the form of a price reduction to this CLIN.
B 2.0 OTHER DIRECT COSTS PROCEDURES
B 2.1 The Government will reimburse the Contractor for the actual price paid for those supplies and services that are identified as ODC items by this Contractor, when approved by the Contracting
Officer, in direct support of Contract requirements. “Actual price" paid by the Contractor for such supplies and services includes tax paid, if any, reduced by any and all credits and rebates, whether accrued or realized, associated with the supplies and services provided. “Actual price” does not include material handling charges, overhead, general and administrative costs, profit, or any other indirect cost that is in any way associated with the Contractor’s purchase or provision of such supplies and services.
B 2.2 The Government will reimburse for actual costs associated with shore accommodations, victualling, and transportation when Detachment personnel are shore-based at the direction of the
Government. The Contractor shall be fully responsible for all arrangements related to accommodations, victualling, and transportation. Actual costs shall be considered reasonable, allowable, and reimbursable only to the extent that they do not exceed, on a daily basis, the maximum rates in effect at the time of travel as set forth in the Federal Travel Regulations, Joint
Travel Regulations (JTR) and Standardized Regulations as set forth in FAR 31.205-46. The
Contractor shall make reservations at a DoD lodging facility within 20 miles of the ship's location. If accommodations are not available at a DoD lodging facility, the Contractor shall obtain a Certificate of Non-Availability (CNA) prior to obtaining off-base accommodations.
B 2.3 To be eligible to receive reimbursement under this Contract for ODC expenses, the Contract must either specify that the service or supply is reimbursable in accordance with this clause, or the Contractor must have obtained pre-approval from the Contracting Officer. In both cases, the
Contractor must obtain at least three (3) quotes for each supply or service in excess of $2,500 or provide an acceptable justification as to why it was impracticable to do so. The Contractor will not be reimbursed unless it provides documentation, such as original receipts, in English substantiating actual costs incurred. The Contractor shall maintain documentation of all ODC purchases for three (3) years after the Contract is completed and shall provide access to and copies of such documentation when requested by the Contracting Officer or his/her designee. At a minimum, the documentation shall include:
(a) A description of the supplies or services
(b) The name, address, contact information, and price quote by the proposed supplier; and
(c) The names, contact information and prices quoted by other suppliers.
ODCs related to Section B-2.2 are exempt from the requirement to obtain three (3) quotes.
B 2.4 The Contracting Officer may reduce the ODC payment by any amount above that which the
Contracting Officer finds, in his/her sole discretion, to be fair and reasonable for the supplies or services provided, giving due consideration to the facts and circumstances prevailing at the time that the Contractor procured the supplies and services. Disputes as to the amount by which any payment is reduced shall be resolved in accordance with the “Disputes” clause of the Contract. It shall be the Contractor’s burden to demonstrate that the prices it paid for ODC supplies and services were fair and reasonable.
B 2.5 When the total funding expended for ODC items reaches 85 percent of the total funds then available on the ODC Supplies and Services CLIN, the Contractor shall contact the Contracting
Officer or his/her designee and state the estimated amount of additional funds required for the remainder of the period of performance. The Contractor shall not exceed or incur costs that exceed the amount of funding stated on the ODC Supplies and Services CLIN. The Contracting
Officer shall notify the Contractor in writing; or, if orally, with written confirmation within two
(2) business days, when the funded amount has been increased.
B 2.6 The Contractor is not obligated to incur costs and the Government is not obligated to reimburse the Contractor for ODC supplies and services in excess of the funded amount available on each
ODC Supplies and Services CLIN.
