e. Variation in Quantity for each DO. The quantities for individual line items set forth in the TDL may be greater or less than the quantities set forth in corresponding DO as long as the cumulative dollar amount of all TDLs corresponding to a DO does not exceed the DO amount. A modification to the DO must be executed before additional quantities may be ordered that exceed the DO amount.

f. Variation in Quantity Delivered from Quantity Ordered on TDL

i. At the time of delivery, the actual number of units delivered by the Contractor shall be as close as possible to the number of units requested by the Government taking into consideration the limitations imposed by actual package size/package fills provided. The number of units not delivered (i.e., less than one full package size/package fill) will be considered cancelled by mutual agreement of the parties and the Government shall not be liable for payment of the cancelled portion of the order. The Contractor shall be responsible for reporting said cancellation in the appropriate SRI report, per FAR Clause 52.212-4 (ADDENDUM) CONTRACT

TERMS AND CONDITIONS – COMMERCIAL ITEMS.

ii. If the Contractor exceeds the quantity ordered on an individual line item on a TDL that was not approved by the Ordering Officer or the COR before the supplies are delivered, the costs of the excess quantity will be for the Contractor’s account and not chargeable to MSC. If the Contractor seeks to remove excess quantity, it shall notify MSC within its delivery confirmation email prescribed in Section 5.5. If Contractor fails to remove such excess quantity, MSC will be entitled to retain such excess quantity at no additional cost.

iii. The preceding considerations are not applicable to instances in which the Contractor is unable to deliver the quantity requested by the Government for a given product due to product non-availability.

4.2 Other Direct Cost (ODC) Provision. In the event that additional services or supplies are required in support of contract requirements, either the Contractor shall submit a written proposal to the Contracting Officer or the Government will request a quote for additional services or supplies. Approval from the Contracting Officer shall be obtained in writing prior to additional services or supplies being obtained or performed by the Contractor. Any prior procurement of services, supplies, per diem, and/or travel is done at the Contractor’s risk.

The Government will reimburse the Contractor only for the actual price paid. “Actual price" paid by the Contractor includes tax paid, if any, and reduced by any and all credits and rebates, whether accrued or realized, associated with the services/supplies provided or the per diem/travel incurred. “Actual price” for supplies, services, per diem, and/or travel does not include material handling charges, overhead, general and administrative costs, profit, or any other indirect cost that is in any way associated with the Contractor’s purchase or provision of such supplies, services, per diem, or travel. Actual price for the services, supplies, per diem, and/or travel will be ordered under the line item titled Other Direct Cost

(ODC).

The Contracting Officer may reduce the reimbursement by any amount above that which the Contracting Officer finds, in his/her sole discretion, is greater than that which is fair and reasonable for the supplies, services, travel, and/or per diem giving due consideration to the facts and circumstances prevailing at the time that the Contractor procured the supplies, services, per diem, or travel. Disputes as to the amount by which any reimbursement is reduced shall be resolved in accordance with the “Disputes” clause of the Contract. It shall be the Contractor’s burden to demonstrate that the price it paid for the supplies, services, per diem and/or travel was fair and reasonable.

Each TDL that requires ODCs will include a not-to-exceed funding limitation for ODCs. The Contractor shall not exceed or incur costs that exceed the amount of funding stated on the TDL. The Government is not obligated to reimburse the Contractor for otherwise reimbursable ODCs in excess of the funded amount stated on the TDL. When the Contractor expects funding expended for ODCs to exceed the limitation per the TDL, the Contractor shall notify the Contracting Officer and the COR. The notice shall state the estimated amount of additional funds required to continue performance for the period specified in the TDL.

The Contractor is not obligated to continue performance of any reimbursable work under this Contract or otherwise incur costs for ODCs in excess of the funded amount stated in the TDL unless the Contracting Officer notifies the Contractor in writing that the funded amount stated in the TDL has been increased. In the event notification is made orally, such notification shall be followed up in writing within two (2) business days. No notice, communication, or representation from any person other than the Contracting Officer shall affect the Government’s obligation to reimburse the Contractor. Change orders shall not be considered an authorization to exceed the funded amount stated in the TDL unless they contain a statement expressly increasing the funded amount of that TDL by a sufficient amount to cover the change order.

4.3 Licenses, Permits, and Precautions. The Contractor shall, at its own expense, be responsible for obtaining any necessary licenses and permits, and for complying with any applicable laws, codes, and regulations, in connection with the performance of this Contract.
