SECTION SF 30 BLOCK 14 CONTINUATION PAGE

SUMMARY OF CHANGES

SECTION C - DESCRIPTIONS AND SPECIFICATIONS

The following included by full text have been revised:

C-243-H003 CONFIGURATION MANAGEMENT (NAVSEA) (NOV 2022)

(a) Baseline Definition All contractual documentation in effect at the time of contract award shall constitute the Contract Baseline, which shall be considered incorporated in the baseline documentation.

(b) General Requirement (1) The Contractor shall maintain a Configuration Control Program to assure that all detail level work being performed under this contract is in compliance with appropriate baseline documentation. The Contractor shall prepare a Configuration Management Plan in accordance with the requirements of the contract. If required, the Contractor’s Configuration Management Plan shall be submitted through the appropriate Contract Data Requirements List (CDRL) for approval by the Government.

(2) Whenever a situation arises wherein the Contractor cannot comply with a baseline document, or whenever intent of such documentation is significantly changed by detail level documentation, the Contractor shall submit change documents to modify the baseline to resolve the conflict or to allow noncompliance. Whenever the cost of implementing a proposed change is less than the threshold requiring certified cost or pricing data, the Contractor shall provide such detail of related costs as to allow the Government to determine an equitable adjustment for the change document submission. Whenever the contract cost changes by an amount greater than the threshold requiring certified cost or pricing data, the Contractor shall complete such cost and pricing data as the Contracting Officer shall require detailing all related costs, and attach it to the change document. Requirements for cost and pricing data shall be determined by the gross amount of the change unless otherwise directed by the Contracting Officer. Change documentation shall be submitted to the Contracting Officer in accordance with the appropriate CDRL, and as described in paragraphs (c) through (f) below.

(c) Engineering Change Proposals (ECPs) ECPs shall be prepared in accordance with the approved configuration management plan and the requirements of the contract. DI-SESS-80639E approved 11 Feb 2020, EIA-649-1A of Aug 2020, and MIL-HDBK-61B of 7 Apr 2020 apply. An ECP shall be submitted whenever the detail level physical configuration, material quality, operational or functional performance of equipment or installed systems will not be in compliance with baseline designrelated documents (Specifications, Contract Drawings, etc.), and a change to the baseline document is considered an appropriate means of resolving a designrelated issue. The contractor shall develop documentation in sufficient detail to enable Government review and evaluation of the merits of the proposed change, including cost and scheduling impact, ship class impact if applicable, and consequences if disapproved. List all existing drawings and technical manuals impacted by the change, including a brief narrative explanation of needed changes to incorporate the ECP if approved. Provide weight and moment data incidental to the change, if applicable. The Contractor shall also prepare applicable baseline document insert sheets, with specific word changes or proposed rewrite, to facilitate baseline documentation changes.

(d) NonEngineering Change Proposals (NECPs) – An NECP shall be submitted whenever necessary to document administrative, procedural, scheduling, or documentation changes that do not directly impact the physical configuration of the equipment. The NECP shall explain the nature of the problem, identify the applicable baseline document (i.e., Contract Data Requirement List (CDRL), Contract Clause, etc.) and provide a detailed explanation justifying the proposed course of action desired to resolve the problem. Insert sheets for applicable documents shall also be attached to facilitate change action in the event the NECP is approved.

(e) Deviations/Waivers In the event that a baseline designrelated document requirement cannot be met, and a change to the baseline document is considered inappropriate, the Contractor shall submit a Request for Variance. The explanation of "Need for Deviation/Waiver" in the DD1694 shall provide detailed justification and consequences of approval, to include technical details explaining the degree of noncompliance and the effect on ship equipment or system operation.

(f) Equitable Adjustments for Change Documentation Preparations For its effort expended in preparing ECPs, NECPs, and Deviations/Waivers, the Contractor shall receive equitable adjustment under the following circumstances:

(1) In the event the Contractor, on its own initiative, and without written request from the Contracting Officer, develops a change document that is later disapproved by the Government, the Contractor shall bear the cost of this effort.

(2) To avoid such loss, and at its option, the Contractor may submit a "preliminary" document that outlines intent, but without detailed supporting documentation and request the Contracting Officer's approval for expenditure of effort to complete the detailed supporting documentation. In the event the Contracting Officer denies this request, the Contractor will bear the cost of development of the "preliminary" document, and shall make no further effort to complete detailed supporting documentation.

(3) In the event the Contracting Officer approves the Contractor's request to develop supporting documentation, the Contractor shall be equitably compensated for its effort for both the "preliminary" and "final" documentation, regardless of whether or not the change document is later approved.

(4) In the event the Contracting Officer requests in writing that the Contractor develop change documentation, the effort expended by the Contractor in developing such documentation shall be subject to equitable adjustment, regardless of whether or not the change document is later approved.

(5) In the event the Contractor, on its own initiative, and without written request from the Government, develops a change document that is later approved by the Contracting Officer, the cost of developing such documentation shall be subject to equitable adjustment.

(6) Failure to agree to such equitable adjustment in contract price shall constitute a dispute, and shall be adjudicated in accordance with the requirements of the clause entitled "Disputes" (FAR 52.2331).

(g) Any cost reduction proposal submitted pursuant to the clause entitled "Value Engineering" (FAR 52.2481) shall be submitted as a Value Engineering Change Proposal (VECP). The Contractor shall follow the VECP preparation requirements of FAR 52.248-1(c) and any additional guidance provided by the Contracting Officer.

C-245-H004 INFORMATION AND DATA FURNISHED BY THE GOVERNMENT--BASIC (NAVSEA) (MAY 2019)

(a) Contract Specifications. The Government will furnish, if not included as an attachment to the contract, any unique contract specifications set forth in Section C.

(b) Contract Drawings and Data. The Government will furnish contract drawings, design agent drawings, ship construction drawings, and/or other design or alteration data cited or referenced in Section C or in the contract specification as mandatory for use or for contract performance.

(c) Government Furnished Information (GFI). GFI is defined as that information essential for the installation, test, operation, and interface support of all Government Furnished Material identified in an attachment in Section J. The Government shall furnish only the GFI identified in an attachment in Section J. The GFI furnished to the contractor need not be in any particular format. Further, the Government reserves the right to revise the listing of GFI as follows:

(1) The Contracting Officer may at any time by written order:

(i) delete, supersede, or revise, in whole or in part, data identified in an attachment in Section J; or
(ii) add items of data or information to the attachment identified in Section J; or
(iii) establish or revise due dates for items of data or information in the attachment identified in Section J.

(2) If any action taken by the Contracting Officer pursuant to subparagraph (1) immediately above causes an increase or decrease in the costs of, or the time required for, performance of any part of the work under this contract, the contractor may be entitled to an equitable adjustment in the contract amount and delivery schedule in accordance with the procedures provided for in the "CHANGES" clause of this contract.

(d) Except for the Government information and data specified by paragraphs (a), (b), and (c) above, the Government will not be obligated to furnish the Contractor any specification, standard, drawing, technical documentation, or other publication, notwithstanding anything to the contrary in the contract specifications, the GFI identified in an attachment in Section J, the clause of this contract entitled "Government Property" (FAR 52.245-1) or "Government Property Installation Operation Services" (FAR 52.245-2), as applicable, or any other term or condition of this contract.

(e) Referenced Documentation. The Government will not be obligated to furnish Government specifications and standards, including Navy standard and type drawings and other technical documentation, which are referenced directly or indirectly in the contract specifications set forth in Section C and which are applicable to this contract as specifications. Such referenced documentation may be obtained:

C-251-H001 ACCESS TO THE NAVY SUPPLY SYSTEM (NAVSEA) (JUL 2022)

(a) In compliance with the comparability requirement of 10 U.S.C. 8684, Public and Private Shipyards will be provided equal access to the Naval Supply System. Use by private yards is permissive, not mandatory.

(b) Pursuant to the clause of this contract entitled "Government Supply Sources" (FAR 52.251-1) the Contracting Officer hereby authorizes the Contractor to place orders with the Navy Supply System for materials and equipment or other supplies necessary to perform the required work. The Naval Supply System shall process such orders in the same manner as it would for any other Navy supply user, and the Contractor shall make payment on account of materials and equipment and other supplies ordered or received in accordance with the normal requirements of the Naval Supply Systems Command, but in no event shall payment in full be any later than 30 days after receipt by the Contractor of each order. The Contractor shall pay the Naval Supply System any costs for materials, equipment, or other supplies obtained including any surcharges normally charged to any other Naval Supply System user.

(c) This contract has been priced on the basis that, except as specifically provided elsewhere in this contract with regards to Government furnished property, the Contractor shall provide all necessary materials, equipment and supplies for performance of this contract. If the Contractor uses the Naval Supply System, it has elected to use the system for its own convenience to meet its contractual obligations to perform the work under this contract. The Naval Supply System is considered to be an alternate source or vendor of contractor furnished material; therefore, materials, equipment, or other supplies ordered or obtained from the Naval Supply System are specifically not considered to be Government furnished material, but are considered to be contractor furnished material. The Government makes no representation as to the availability of materials, equipment, or other supplies for the performance of the work required under this contract, nor shall unavailability, late delivery, delivery of non-conforming supplies, higher costs of the Naval Supply System (if any), or any failure of the Naval Supply System to meet the expectations or requirements of the Contractor constitute excusable delay or grounds for equitable or any other adjustment to the contract or relief from the requirement to perform in accordance with the terms of the contract.

SECTION H - SPECIAL CONTRACT REQUIREMENTS

The following included by full text have been revised:

H-216-H002 LEVEL OF EFFORT--ALTERNATE I (NAVSEA) (NOV 2022)

(a) The total level of effort for the performance of this contract is specified in Section B and includes prime and subcontractor direct labor (for those subcontractors specifically identified in the Contractor's proposal as having hours included in the proposed level of effort).

(b) Of the total man-hours of direct labor set forth in Section B, it is estimated that (Offeror to fill-in) man-hours are uncompensated effort.

Uncompensated effort is defined as hours provided by personnel in excess of 40 hours per week without additional compensation for such excess work. All other effort is defined as compensated effort. If no effort is indicated in the first sentence of this paragraph, uncompensated effort performed by the Contractor shall not be counted in fulfillment of the level of effort obligations under this contract.

(c) Effort performed in fulfilling the total level of effort obligations specified in Section B shall only include effort performed in direct support of this contract and shall not include time and effort expended on such things as local travel to and from an employee's usual work location, uncompensated effort while on travel status, truncated lunch periods, work (actual or inferred) at an employee's residence or other non-work locations (except as provided in paragraph (i) below), or other time and effort which does not have a specific and direct contribution to the tasks described in Sections B and C.

(d) The level of effort for this contract shall be expended at an average rate of approximately hours per week. It is understood and agreed that the rate of man-hours per week may fluctuate in pursuit of the technical objective, provided such fluctuation does not result in the use of the total man-hours of effort prior to the expiration of the term hereof, except as provided in the following paragraphs.

(e) If, during the term hereof, the Contractor finds it necessary to accelerate the expenditure of direct labor to such an extent that the total manhours of effort specified in Section B would be used prior to the expiration of the term, the Contractor shall notify the Contracting Officer in writing setting forth the acceleration required; the probable benefits which would result; an offer to undertake the acceleration at no increase in the estimated cost or fee; and an offer for the additional man-hours to cover the remainder of the term to include a proposed level of effort, cost breakdown, and proposed fee, for continuation of the work until expiration of the term. The offer shall acknowledge that the additional man-hours proposed will be subject to the terms and conditions of this contract and any additions or changes required by then current law, regulations, or directives, and that the offer, with a written notice of acceptance by the Contracting Officer, shall constitute a binding contract. The Contractor shall not accelerate any effort until receipt of a signed contract modification by the Contracting Officer. Any agreement to accelerate will be formalized by contract modification.

(f) The Contracting Officer may, by written order, direct the Contractor to accelerate the expenditure of direct labor such that the total manhours of effort specified in Section B would be used prior to the expiration of the term. This order shall specify the acceleration required and the resulting revised term. The Contractor shall acknowledge this order within five days of receipt.

(g) The Contractor shall provide and maintain an accounting system, determined adequate by the Administrative Contracting Officer, which collects costs incurred and effort (compensated and uncompensated, if any) provided in fulfillment of the level of effort obligations of this contract. The Contractor shall indicate on each invoice the total level of effort claimed during the period covered by the invoice, separately identifying compensated effort and uncompensated effort, if any.

(h) Within 45 days after completion of the work under each separately identified period of performance hereunder, the Contractor shall submit the following information in writing to the Contracting Officer with copies to the cognizant Contract Administration Office and to the Defense Contract Audit Agency office to which vouchers are submitted: (1) the total number of manhours of direct labor expended during the applicable period that separately identifies compensated and uncompensated hours; (2) a breakdown of this compensated total showing the number of manhours expended in each direct labor classification and associated direct and indirect costs; (3) a breakdown of other costs incurred; and (4) the Contractor's estimate of the total allowable cost incurred under the contract for the period. Additionally, in the case of a cost underrun the Contractor shall submit the amount by which the estimated cost of this contract may be reduced to recover excess funds. All submissions shall include subcontractor information.

(i) Unless the Contracting Officer determines that alternative worksite arrangements are detrimental to contract performance, the Contractor may perform up to % of the hours at an alternative worksite, provided the Contractor has a company-approved alternative worksite plan. The primary worksite is the traditional “main office” worksite. An alternative worksite means an employee’s residence or a telecommuting center. A telecommuting center is a geographically convenient office setting as an alternative to an employee’s main office. The Government reserves the right to review the Contractor’s alternative worksite plan. In the event performance becomes unacceptable, the Contractor will be prohibited from counting the hours performed at the alternative worksite in fulfilling the total level of effort obligations of the contract. Regardless of work location, all contract terms and conditions, including security requirements and labor laws, remain in effect. The Government shall not incur any additional cost nor provide additional equipment for contract performance as a result of the Contractor’s election to implement an alternative worksite plan.

(j) Notwithstanding any of the provisions in the above paragraphs and subject to the Limitation of Funds or Limitation of Cost clauses, as applicable, the period of performance may be extended at the discretion of the Contracting Officer, and the estimated cost may be increased in order to permit the Contractor to provide all of the man-hours listed in Section B. The contractor shall continue to be paid fee for each man-hour performed in accordance with the terms of the contract.

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

The following have been modified:

SECTION L

SECTION L - Section Instructions, Conditions and Notices to Offerors

1.0 GENERAL

THE GOVERNMENT RESERVES THE RIGHT TO REJECT ANY PROPOSAL THAT DOES NOT SUBSTANTIALLY COMPLY WITH THESE PROPOSAL PREPARATION/SUBMISSION INSTRUCTIONS.

THIS PROCUREMENT IS SET-ASIDE FOR 8(a) FIRMS ONLY. IF A PROPOSAL IS RECEIVED FROM AN OFFEROR OTHER THAN A CURRENT 8(a) FIRM, IT SHALL BE DEEMED INELIGIBLE FOR AWARD. THE PREPONDERANCE OF THE PLACE OF PERFORMANCE OF THIS REQUIREMENT IS NEWPORT NEWS, VA.

The Government is seeking proposals for Third Party Fire Watch for the USS John C. Stennis’s (CVN 74) and USS Harry S. Truman’s (CVN 75) Refueling Complex Overhauls (RCOHs). For proposal purposes, the estimated date of award is June 2023. The Government reserves the right to award sooner or later than necessary. The start and end dates will be updated accordingly upon Award.

The Government contemplates award of a Cost-Plus-Fixed-Fee (CPFF) contract through a best value tradeoff selection process. The best value proposal will be selected using a tradeoff process, as defined in FAR 15.101-1, which permits tradeoffs among cost and non-cost factors. Award will be made to the Offeror whose proposal is the most advantageous to the Government under the selection criteria set forth in this Section M. The contract will be awarded for one base year, with four one-year options.

The Government intends to evaluate proposals and award a contract based upon initial proposals. Therefore, the Offeror’s initial proposal should contain the Offeror’s best terms from cost or price and technical standpoints. Proposals shall be submitted in accordance with the instructions herein, and non-conformance with the specified required content may be cause for rejection of the proposal. Offerors are advised that material submitted in excess of the page limits stated herein will not be evaluated.

2.0 GENERAL CONTENT REQUIREMENTS

The Offeror’s proposal is the sole basis for evaluating the technical merits of what is being offered, the degree to which the Offeror’s claims of performance capability and capacity are supported, and the ability of the Offeror to perform In Accordance With (IAW) the requirements. Proposals submitted shall be sufficiently detailed as to clearly demonstrate that the Offeror has a thorough comprehension of all requirements, including all special provisions of the Request for Proposal (RFP), to enable Government personnel to make a thorough evaluation of the proposal and to arrive at a sound determination as to whether the prospective Offeror will be able to perform IAW the requirements of the RFP.

Offerors are advised to submit proposals that are complete, clear, and consistent in all respects without the need for additional explanation or information. Offerors are cautioned against the use of general, vague, or unsubstantiated statements which prevent concise proposal evaluation.

The format and content of the proposal shall contain a response to the topics of discussion noted below. Information presented shall appear in the same order as outlined. A master table of contents identifying major subsections by number, title, page number and volume shall be provided in each volume.

The Offeror’s proposal shall address the entire RFP and all of its amendments and attachments. The proposal shall constitute an offer and will indicate the Offeror’s unconditional assent to the terms and conditions in this RFP. Any objection to any of the terms and conditions will constitute a deficiency which may make the offer unacceptable.

Alternate proposals will not be considered and shall not be submitted.

Documents, exhibits, and other attachments that form a part of this RFP and will become part of any resultant contract are identified in Section J. The following RFP sections listed below (which also form a part of this RFP), will not become a part of any resultant contract:

Section K – Representations, Certifications and Other Statements of Offerors Section L – Instructions, Conditions, and Notices to Offerors Section M – Evaluation and Award Factors

Offerors are expected to reach a reasonable understanding of the requirements of this RFP by careful study (particularly Section C—Descriptions/Specifications and Section J—List of Documents, Exhibits, and Other Attachments) and by the application of qualified knowledge and experience. If such a review establishes the need for correction or clarification, such need should immediately be brought to the attention of the Contract Specialist and Procuring Contracting Officer (PCO), noted below, so that the matter can be resolved and so that, if necessary, official dissemination of such correction or clarification can be made to all Offerors.

The Government intends that all work authorized for the contemplated fire watch support be compatible with the duration of the scheduled performance period for each availability. The Offeror should, therefore, inform the Government prior to the due date for proposals of any work item or sum of work items that appears to require a longer period.

2.0 SUBMISSION OF PROPOSALS

PROPOSALS ARE DUE AT 1500 EASTERN TIME ON TUESDAY, February 21, 2023 AT THE NAVAL SEA SYSTEMS COMMAND.

The proposal shall be valid for no less than 270 days from the date of solicitation closing.

The Offeror’s proposal shall be detailed, specific, and complete to enable a thorough evaluation of the proposal and a sound determination that the proposal will meet or exceed the requirements and objectives set forth in the RFP. Proposals shall be submitted in accordance with the instructions herein, and non-conformance with the specified required content may be cause for rejection of the proposal.

If it is determined that an offer is not in compliance with the page limitation of that volume of the proposal, Offerors are cautioned that pages above the specified page limit within each volume will be removed and not evaluated (i.e. if the maximum page limit is 30 and 35 pages are submitted, pages 31 through 35 will not be evaluated). Offerors are cautioned that some factors have additional page limitation criteria, specific to that section. The page count shall not include cover pages, title pages, table of contents, or tab pages. NOTE: Unless specifically excluded above, all pages will count towards the page limitations, including all required plans. Exhibits/Diagrams/Charts are allowable but shall have type no smaller than 8-point font size and 1 inch margins, and should be viewable/distinguishable by the average person with the naked eye. The narrative material in the proposal shall be single spaced, with type no smaller than 10-point font size and have 1 inch margins.

The proposal shall be valid for no less than 270 days from the date of RFP closing. The proposal shall provide comprehensive responses to the areas provided for in this section. The proposal shall be a complete response to the Statement of Work (SOW) and the requirements of this RFP.

Each Offeror must (1) submit an offer, (2) submit written information that pertains to its capability, and (3) submit supporting cost data. When evaluating an Offeror’s capability to perform the prospective contract, the Government will consider how well the Offeror complied with these instructions. The Government will consider an Offeror’s noncompliance with these instructions to be indicative of the type of conduct that it may expect from the Offeror during contract performance.

The first page of each volume shall be in accordance with FAR 52.215-1 Instructions to Offerors – Competitive Acquisition. The Offeror shall identify any restrictions to the disclosure of its proposal by marking the proposal IAW paragraph (e) of FAR Provision 52.215-1.

Formal Submission: Initial proposals and any modifications thereto are to be submitted to the Contract Specialist on or before the closing date and time cited elsewhere in this solicitation (Note 1, below). Faxes, hard copy, and/or responses through other means are not acceptable.

One (1) electronic submission of each volume shall be sent through the Procurement Integrated Enterprise Environment (PIEE) website Solicitation module of the complete proposal. The PIEE website is as follows: https://piee.eb.mil.

To register, click the “Register” button and agree to the Privacy Act Statement; select “Vendor” as the type of user you are; choose “User ID \Password” as how you will be accessing the PIEE applications and create a User ID and Password; choose security questions and answers; complete the user profile; enter company information; in the Roles screen, select “SOL – Solicitation” under Application and “Proposal Manager” under role and press the “+Add Roles” button; Roles summary will pop up and enter your CAGE under Location Code / CAGE (a Contract Administrator must be in System of Award Management (SAM) prior to entering this information); complete the justification (example: required for proposal submission); and sign the Statement of Accountability Agreement. It is highly recommended that the PIEE Solicitation Module account be established and the communication path confirmed well in advance of the proposal submission deadline. As the PIEE system is just being set up, and if issues arise, Offeror(s) may submit their proposals via their standard submission process, if they have a system in place that allows for secure proposal transmission.

Alternate methods of transmission may be accepted on a case-by-case basis if a written request is submitted to the points of contact (Eliott Lee and Kirby Tucker) prior to the proposal submission date to ensure operability and timely submission. Failure to submit the proposal via PIEE OR obtain permission to submit through an alternate method prior to the deadline may render the offer unawardable.

Electronic Submissions of the proposal, as indicated below, shall be submitted to the Contract Specialist, Kirby Tucker at kirby.e.tucker.civ@us.navy.mil and the PCO, Eliott Lee at eliott.m.lee.civ@us.navy.mil. Responses not received at the time specified above will be considered late and not considered for award. The Offeror is responsible for the condition of its delivered proposal. Timely submission to PIEE does not constitute complete submission. As such, Offerors are strongly encouraged to submit early to allow time to confirm receipt of the proposal materials with the PCO or Contract Specialist. Although the Government will consider minor proposal deadline extensions to accommodate PIEE transmission issues, the Government may not approve such extension requests very close to the submission deadline. Offerors should contact the PCO and Contract Specialist by email as soon as they are aware of any technical difficulties.

Note 1: Hand-carried and mail delivered proposals will not be accepted. Submission of e-mail offers is not authorized for this solicitation. The PIEE website is the only acceptable method of submission, unless an alternate secure proposal submission process is arranged with the Government prior to the proposal submission deadline.

Electronic proposal submissions and supporting information shall be suitable for reading in the standard Microsoft Windows suite, in accordance with 252.215-7012 REQUIREMENTS FOR SUBMISSION OF PROPOSALS VIA ELECTRONIC MEDIA (JAN 2018). Submitted electronic files shall not be compressed. Included files shall be created/prepared using Microsoft Office 2010 compatible applications. Spreadsheets, worksheets, and workbooks shall be prepared using Microsoft Excel compatible applications. Schedules shall be created and submitted using Microsoft Project compatible applications, in addition the Offeror shall submit schedule as a higher level PDF. Graphics, photographs, and other data beyond the capability of Microsoft Office 2010 compatible applications may be submitted in Adobe Acrobat format. Electronic spreadsheets shall not be compiled or password protected; and all cells and formulas shall be visible, editable, and unprotected. Formulas shall be maintained in each Excel sheet to permit verification of calculations, and revision of output(s) through variation of inputs(s). Any tables contained within submitted narrative shall be capable of being edited (i.e. not embedded pictures or screenshots). Submitted files shall not reference external data. The Offeror shall screen all proposal submission and supporting information for computer viruses prior to submittal. Submitted electronic files shall be limited to the following extensions:

.docx Microsoft Word .xlsx Microsoft Excel .pptx Microsoft PowerPoint .pdf Adobe Acrobat .mmpx Microsoft Project

Acceptance of Terms and Conditions: The submission to the Government in response to the RFP -- i.e., the Offeror’s offer, including the entire RFP and all of its attachments -- will constitute an offer and will indicate the Offeror’s unconditional assent to the terms and conditions in this RFP. An objection or exception to any of the terms and conditions will constitute a deficiency which may make the offer unacceptable.

SUBCONTRACT INFORMATION

In requesting proposals from prospective subcontractors, Offerors shall provide all necessary information for the contemplated requirement. The Government will not advise prospective subcontractors as to the requirements of their transactions with Offerors, nor will the Government respond to direct inquiries from prospective subcontractors concerning clarifications of specification or solicitation requirements. ALL SUCH REQUESTS FOR CLARIFICATION MUST BE SUBMITTED TO THE GOVERNMENT THROUGH THE PRIME CONTRACTOR (OFFEROR).

3.1 PROPOSAL OVERVIEW

A. Evaluation Factors The Government shall evaluate Non-Cost/Price and Cost/Price factors. The Technical evaluation is comprised of three (3) Non-Cost/Price factors: (1) Management Approach; (2) Resource Capabilities; and (3) Past Performance.

The final factor, (4) Cost/Price is a Cost/Price factor.

B. Proposal Structure

(1) Paragraph Numbering. Paragraph numbering shall conform to the following system:

Volume I. SF33 Solicitation Set

Volume II. Technical

A. Management Approach B. Resource Capabilities

Volume III. Past Performance

Volume IV. Cost/Price Proposal

(2) The Offeror shall structure the Proposal so information provided for each section is as comprehensive as possible. The information provided for each section should be sufficiently self-contained to minimize the need to refer to other Proposal sections for evaluation purposes. Offerors shall not include any cost/price information under any volume other than Volume IV. If cross-references are needed, page and paragraph numbers shall be included.

(3) Section M of this solicitation provides the relative importance of the evaluation factors.

(4) Four separate volumes: Volume I (SF33 Solicitation Set), Volume II (Technical), Volume III (Past Performance), and Volume IV (Cost/Price) are required. The page limitations are identified in table L1 below. The Offerors shall ensure consistency, defined as “free from variation”, between the technical proposal and cost/price proposal. During the course of evaluating the technical and cost/price proposals, the PCO will validate that the technical proposal (Management Approach & Resource Capabilities) and cost proposal are consistent. Specifically, the costs/prices proposed will be evaluated and verified using historical and current market information to confirm costs proposed are within reason and consistent with the technical approach. Any inconsistencies between the technical (Management Approach & Resource Capabilities and Past Performance) and cost/price proposals may be viewed as weaknesses and/or risks in the proposals, and the offer may, at the Government’s discretion, be considered unacceptable and eliminated from competition for award.

Note- The RFP response must be submitted in four (4) separate volumes (each Volume is a separate e-file) as delineated above, with any sub-headings divided and easily recognizable upon viewing within each volume, within the specified page limitations. No additional volumes or pages will be reviewed. Sub-heading are for organization purposes, Offerors must still address entire Section L.

(5) Offerors are cautioned that, in accordance with the clause “Instruction to Offerors-Competitive Acquisitions” (FAR 52.215-1), the Government intends to award a contract on the basis of initial proposals received, without discussions. Therefore, each proposal shall contain the Offeror’s best terms from a cost and technical standpoint.

(6) Proposal Outline: The proposal submission shall be accompanied by a cover letter that contains the information outlined in FAR 52.215-1 (c)(2). The cover letter shall also affirmatively state that the accompanying proposal:

1. Is for all requirements as stated in the solicitation (including all attachments, appendices, and amendments thereto);

2. Is made without qualification or exception to any terms and conditions appearing in the solicitation;

3. Is from an Offeror that is a current SBA 8(a) firm/participant (include the anticipated graduation date from the 8(a) program); and

4. Is valid for a period of 270 days from the date established for the receipt of proposals.

Offerors shall address any exceptions to the solicitation’s requirements/terms/conditions PRIOR to proposal submission and NOT within its submission. Any exceptions taken to the terms of the solicitation that are not adjudicated through an amendment to the solicitation, or otherwise adjudicated, may render proposal submissions as unacceptable.

The proposal shall be organized and tabbed in accordance with the Volume, Factor, and layout detailed in the following outline:

Each of Volumes I, II, III, and IV shall contain the following items in addition to the Offeror’s proposal data required by this RFP:

a. Cover & Title Page

The cover and Title page shall include the following:

· Title of Proposal

· Volume number and title

· RFP number

· Name, Point of Contact Information, address, telephone number, and email address of the Offeror

· The following statement: “The Offeror confirms that it will comply with the requirements of N00024-23-R-2101, as amended, regardless of 1) any references in Volumes I, II, III, and/or IV to request a waiver to an RFP requirement; and 2) any references in Volumes I, II, III, and/or IV to data requested to be provided by the Government post-award.”

· Signature and Date

b. Master Table of Contents

The table of contents shall provide sufficient detail, including page numbers, so that factors and sections can be easily located.

C. Solicitation Responsiveness

Offerors are advised to submit proposals that are complete, clear, and consistent in all respects without the need for additional explanation or information. Offerors are cautioned against the use of general, vague, or unsubstantiated statements, which prevent concise proposal evaluations. Each factor will be evaluated on how well the response meets the requirements of the solicitation. The response that completely addresses all of the solicitation requirements may be judged superior to the response that minimally addresses solicitation requirements.

D. Offerors Compliance

Offerors must comply with specific information submission requirements found below under Paragraph III entitled, “Instructions for Technical Proposal Preparation” and paragraph IV entitled, “Instructions for Cost Proposal Preparation.” Failure of the Offeror to comply with all aspects of solicitation requirements located within the “Technical Proposal” or “Cost Proposal” section may, at the Government’s discretion, render the proposal unacceptable, and the Offeror may be eliminated from competition for award.

E. Competitive Range

If an award is not made on the basis of initial proposals, the PCO will make the determination as to which proposals are in the “competitive range.” The competitive range shall be determined based on the results of the evaluation of initial technical and cost/price proposals, considering all evaluation criteria, and shall include the most competitive proposals. The number of proposals within the competitive range may also be reduced if the PCO determines the number of most competitive proposals that might otherwise be included within the competitive range exceeds the number at which an efficient competition can be conducted.

F. Discussions/Final Proposal Revision (FPR)

(1) Pursuant to the provision under this section entitled FAR 52.215-1, “Instructions to Offerors – Competitive Acquisition,” the Government intends to award a single contract on the basis of a proposal submission without conducting discussions with Offerors, but reserves the right to conduct discussions per FAR 15.306 “Exchanges with Offerors After Receipt of Proposals” if determined by the Contracting Officer to be necessary. Each Offeror shall submit only one proposal. No alternate proposals will be accepted, and the submission of multiple proposals will result in rejection of the proposal. Therefore, each Offeror’s proposal submission shall contain the Offeror’s best terms from a price and technical standpoint.

(2) If discussions are held, all Offerors selected to participate in discussions shall be advised of weaknesses and risks in their proposals, and shall be offered a reasonable opportunity to correct or resolve such weaknesses and risks and to submit such technical and cost information, or other revisions to their proposal, that may result from such discussions.

(3) The PCO intends to make award without conducting discussions pursuant to FAR 52.215-1. At his or her discretion, the PCO may determine the competitive range and elect to conduct either verbal or written discussions, or both. If the PCO elects to conduct discussions, the PCO reserves the right to conduct oral discussions, consisting of presentations of discussion question responses followed by a question-and-answer session. At such time, the PCO will also provide the Offerors with information as to the format, length and rules which will govern the conduct of oral presentations of discussion question responses. The content of these presentations will be in response to questions the PCO may submit to the Offeror during the discussion period. The purpose and goal of presentations of discussion question responses is to clarify and gain a better understanding of questions asked the Offeror by the Government and the Offeror’s responses. The execution of oral discussions will not constitute part of the Offer. Written answers to discussion questions will become part of the proposal only if subsequently specifically referenced in the FPR. When discussions are completed, the PCO will close discussions and request FPRs.

3.2 CROSS REFERENCING

Each volume shall be written to the greatest extent possible on a stand-alone basis so that its content may be evaluated with a minimum amount of cross-referencing to other volumes of the proposal. Cross-referencing within a proposal volume is permitted where its use would conserve space without impairing clarity. Information required for proposal evaluation that is not found in its designated volume will be assumed to have been omitted from the proposal.

Glossary of Abbreviations and Acronyms Each volume shall contain a glossary of all abbreviations and acronyms used. Glossaries do not count against the page limitations for their respective volumes.

3.3 COMMUNICATIONS WITH NAVSEA

3.3.1 Solicitation and Amendments

Solicitation information and amendments will be made available through the Government Contract Opportunities website found at: www.sam.gov.

The Government may edit the question to remove potentially proprietary information. For ease of Government review and to minimize response time, Offerors shall submit this form in the original file format. DO NOT convert the form to Portable Document Format (PDF). To ensure the Government understands the context of the question, Offerors shall detail the applicable document name, document date or version, page, paragraph, clause or other specific citation to which the question applies. Information contained in the Government’s responses to bidder’s question shall not supersede any information contained in the solicitation (including amendments). In the event of a discrepancy between a response to a bidder’s question and the content of the solicitation, the solicitation shall take precedence. Questions should not include proprietary or otherwise protected information of the Offeror.

The deadline for receipt of questions is 30 Calendar days after the date the original solicitation was issued (See Block 5 of the Standard Form 33). Any questions received after this date may not be answered prior to receipt of proposals. Proprietary data, if so noted, will be protected. Offerors shall not submit comments, questions, or inquiries to any Government representative other than the Contracting Officer and Contract Specialist identified herein.
